Audi of America, Inc. Date: To: From: Subject: Service Managers Audi Academy Audi Veterans to Technicians Program Audi Dealer Agreement to Participate in the Audi Veterans to Technicians Program Audi of America, Inc. 2200 Ferdinand Porsche Dr. Herndon, VA 20171 +1 703 364 7000 www.audiusa.com Audi of America, Inc. has established the Audi Veterans to Technicians Program to meet the growing and predicted future dealership demand for talented and experienced technicians. The purpose of the Audi Veterans to Technicians Program is to attract skilled former military maintenance technicians to become brand-certified Audi Service Technicians, Shop Foremen and Service Consultants, which will expand the pool of qualified personnel employed by authorized Audi dealerships. Veteran candidates for other dealership positions may be available for hiring as well and can be handled on an as needed basis with the program administrator. Veteran Technicians hired by a participating Audi Dealer will complete the Audi FastTrack 2-week training program that includes specific Audi training classes intended to immerse Veteran Technicians in product-specific diagnosis, maintenance and repair procedures. Dealers are expected to pair their new Veteran Technicians with a senior Audi Service Technician and/or Shop Foreman to provide mentorship and on-the-job training to ensure the Veteran Technician s successful integration into the Dealer s Service Department team. Participants must be employed by a participating Dealer and registered to attend the FastTrack Training Program within the first two months of employment. Completion of the FastTrack program should occur within the first 6 months of the date of hire. Veterans hired through this program must be employed by an Audi dealer. The dealer agrees to commit to retaining the Veteran as an Audi Technician, Shop Foreman, or Service Consultant for no less than one year, and further agrees not to transfer the hired Veteran to another franchise owned by the dealer or the dealer group. Graduates will receive credit for Audi instructor-led classes listed on the next page. In addition to instructor-led classes, Veteran participants will be required to complete various Self-Study Programs (SSP) and Web-Based Training (WBT) modules to enhance their product knowledge in accordance with Attachment A to this agreement. Here is how the Audi Veterans to Technicians Program will work: 1. Dealers that want to participate in this program must first complete this form and register online at www.audivets.com. Registration does not guarantee enrollment, as the program will be administered based on

demand. This program is being managed by CALIBRE Systems, Inc. (CALIBRE), a vendor hired by Audi to facilitate the entire process. 2. Once a Dealer has registered, the Dealer will be contacted by a CALIBRE representative to discuss the initial available Veteran talent pool and specific requirements based on demand in the Dealer s area. The CALIBRE staff will establish an account for the dealer within the Audi Veterans to Technicians Program Applicant Tracking System to track the dealer s technician job vacancies, along with the status of applications, interviews, hiring actions, and the scheduling and completion of Fast Track training. Dealers must identify their primary point of contact as part of the registration process, and CALIBRE will work with that individual to fill the dealer s requirements. A dealer may contact the CALIBRE staff at any time to request program assistance, or to request additional Veteran candidates by sending an email to: dealers@audivets.com. 3. Veteran candidates will be screened by CALIBRE for suitability in the program. However, the final decision to employ any candidate is entirely up to the Dealer, and the Dealer should not rely on this screening, and should conduct its routine background checks and go through its normal hiring process and criteria. Dealer understands and agrees that Audi and CALIBRE have no liability to Dealer, or any third party regarding this program or the candidates submitted to the Dealer for consideration. Further, should any claims be brought by the Dealer or a third party against Audi or CALIBRE for any acts or omissions of a candidate in this program, Dealer will defend and indemnify Audi from any such claims. 4. Once the Dealer has hired a candidate, Audi will charge the Dealer a program fee of $3,500.00 (per candidate hired) to help defray the cost of the program. Costs are billed through the Dealer s Audi Parts Account at time of hiring. If a Veteran leaves the Dealer on his/her own accord or fails out of the program within 180 days of being hired, the Dealer will have the option of hiring another Veteran candidate at no additional program fee. The dealer must notify the CALIBRE Program Manager within five business days by sending an email to dealers@audivets.com. The Program Manager will then contact the Dealer Service Manager, the Veteran, and their mentor to ascertain the cause of their departure from the program. The Program Manager will also discuss the available options for obtaining a replacement Veteran with the Dealer Service Manager. 5. Based on the geographical area and demand, all hired Veterans will attend the FastTrack Training Program, which will be offered at various Audi Learning Centers around the country. The Academy cannot guarantee that every center will offer this opportunity but will make every effort to provide the program in convenient Learning Center locations. Travel costs associated with the FastTrack Training Program will not be covered by the program cost or reimbursed by Audi of America. Every effort will be made to facilitate a timely start date for Veteran Technician attendance in the FastTrack Training Program on a convenient date and location; however, FastTrack Training Registration may not be immediate and may be limited by scheduled sessions, capacity and location availability. 6. The Dealer agrees to assign a mentor to each Veteran they hire for the duration of their first year of employment. The dealer must provide the

mentor s name, position, email address and telephone contact information to the CALIBRE staff on the date of the Veteran s hiring. Both the Veteran and their mentor will be contacted by Audi and CALIBRE representatives to routinely assess their progress and for program improvement purposes. While individual Veteran Technician performance cannot be guaranteed, the program is designed to promote a successful transition from military service to a functional, rewarding and challenging new career as an Audi Service Technician, Shop Foreman, or Service Consultant. 7. Upon successful completion of the Audi Veterans to Technicians Program and FastTrack Training Program, each graduate will be Certified for the remainder of the calendar year as a Registered Technician. If your dealer wishes to participate in the Audi Veterans to Technicians Program, please provide the following information in the form below. Please understand that Audi reserves the right to amend this program at any time, for any reason, with or without advance notice to the participant. In the event of cancellation, a full refund will be provided.
