Course Details Why you should attend This practical and interactive course dedicated to private equity transactions will examine how funds are structured and investments are valued using case studies and subject matter experts on the latest legislation, industry trends and models. The course will be held over two days and has been structured into five key sessions. Target Audience The course is aimed at individuals working within finance departments in private equity firms and assumes a fairly high level of general accounting knowledge. Dress Code Dress is smart casual for the duration of the course. Equipment Copies of the presentation slides are provided on the day, along with pens and note paper. You will not need a computer for any course sessions; however you may wish to bring a calculator. Registration Registration will take place from 8.30am on the morning of the course, with the first session commencing promptly at 9.00am.

The course director Heather Lightbody Heather began her career with Esso Petroleum after obtaining an economics degree from Bristol University in 1978. Heather worked with Esso for five years as Financial Planning Analyst, Credit Analyst and Internal Auditor. After completing a two year full-time MBA at London Business School Heather joined the Strategic Finance unit of the Wallace Smith Trust Group, where she carried out M&A advisory work for five years. She moved to the Corporate Finance division of Yamaichi International (Europe) in 1990, managing strategic and valuation analysis carried out by the M & A group and developing a business strategy and new corporate finance business opportunities in Eastern Europe. From 1992 she was responsible for marketing and execution of equity new issues, and was appointed Executive Director in 1994. After joining DC Gardner Training in 1998, Heather undertook training and training consultancy on corporate finance and management development for banks and financial institutions in Europe, the Americas and Asia. Heather was Managing Director of DC Gardner Training from 1999 to 2004. From April 2004 Heather returned to training, delivering courses in all areas of corporate finance, company valuation and management. Heather continues to maintain a professional and personal interest in Private Equity, analysing valuation of VC purchases and exits and their impact on the broader corporate finance market.
The speakers Deloitte: Jamie Darkenwald Jamie is a senior manager in the London based US Corporate Tax Group with over ten years of public accounting experience. He has extensive experience in assisting UK/European clients with US tax compliance and consulting projects over a broad range of industries to include real estate, manufacturing, financial services, energy, and telecommunications. Jamie has served these clients in general federal, state, and international tax reporting, crossborder finance restructuring, mergers and acquisitions, implementation of new legislation, and other matters. He also has extensive experience with the US tax advisory and compliance services on large to midsized multijurisdiction real estate and private equity funds. Jamie is an active member of the AICPA, belongs to the Colorado Society of Certified Public Accountants, the British American Business accounting forum, and is an active participant in the Think London North American Task Force committee, which focuses on the promotion of London as a US business centre of excellence. Ali Hai Ali Hai is a Senior Manager at Deloitte, specialising in indirect taxes for the private equity sector. Ali advises large and mid-market private equity firms on organising their VAT affairs in an efficient manner and on their acquisitions and disposals of portfolio investments. KPMG: Ed Kirkness Ed joined KPMG London in 2000. Since 2007 Ed has been focused on providing audit and advisory services to the Private Equity market. Ed's primary role is the delivery of annual audit services to a number of large Buy-Out and mid-tier firms. Ed's other roles within KPMG include supporting other KPMG offices with their Private Equity valuations and providing formal training to Private Equity teams on investment valuation and private equity accounting. Ed has supported a number of his clients through their fund raising programmes and fund structuring as well as performing internal control reviews, controls benchmarking and reviews of carried interest models. Prior to joining the KPMG Private Equity Group Ed worked in our financial sector audit practice where he focused on large multinational investment banking clients.
Langham Hall: Robert Short Rob founded Langham Hall in 2006. Langham Hall provides specialist fund accounting, investor reporting, fund administration and consultancy services to 70 private equity and private equity real estate funds. The business is located in London, Jersey, Guernsey, Luxembourg and Hong Kong and currently has $15bn under administration. Before this he was an Executive Director at Goldman Sachs, both in London and New York. Rob built up a team within Goldman's Whitehall private equity real estate funds to control and coordinate financial information and reporting from operating partners in a dozen European countries. Reporting to the US on $12bn of real estate, Rob was tasked with streamlining the production of information and improving communication between GS and non-gs real estate platforms. Prior to joining Goldman s, he qualified as a Chartered Accountant with Robson Rhodes, specialising on Unit Trusts and Investment Trusts. He also holds a real estate degree. Phoenix Equity Partners: Steve Darrington Steve joined Phoenix in 2001. Prior to this, Steve held senior finance positions in the US and UK including four years as CFO/European Finance Director at Netnumber.com (previously Unifi Communications), and five years as Controller of The Economist. Steve is an FCCA and has an MBA from Manchester Business School. PwC: Katrina Hallpike Katrina is a Senior Manager in the Financial Services Valuation team at PwC. She has over eight years of experience specialising in the investment management industry. Katrina spent three years auditing private equity clients in the Channel Islands before moving to London to specialise in supporting clients with asset management valuations. She has spent two years in the valuations practice in Singapore and has returned to the PwC UK financial services team in 2013. Katrina is a qualified chartered accountant (ACA) and has previously spoken at the Private Equity Alternative Investments 2013 seminar and a number of PwC sponsored events. Richard McGuire Richard is a Director in PwC's Asset Management Assurance Practice and leads the Private Equity Funds team in London. He has been advising on Private Equity for over ten years, working with many Private Equity houses in London and overseas. Richard s experience in Private Equity includes the audit of limited partnerships, general partners as well as review of carried interest calculations, advising on the accounting implications of partnership agreements, IFRS and US GAAP, as well as controls reporting. He also has experience in advising start up Private
Equity funds and general partners. Richard chairs PwC's Asset Management Technical Forum and is a member of the PwC Private Equity Club (a focus group for industry practitioners). Peter Jourdier Peter is a Manager in PwC's Asset Management Assurance Practice specialising in providing assurance services to private equity and real estate funds and corporate groups. Peter has been with PwC for nearly seven years and has worked on the audits of a number of London and Swiss based Private Equity houses. King & Wood Mallesons SJ Berwin: Jonathan Blake, Partner and Head of International Private Funds Jonathan Blake is head of the International Private Funds practice and until May 2012 served for two consecutive three year terms as the firm s Senior Partner. Jonathan joined King & Wood Mallesons SJ Berwin in 1982 and has been a partner since 1983. He founded the firm's private equity and private funds practices and was later head of the firm's corporate department. He is a corporate lawyer with a background in tax and with wide ranging experience of M&A, buyouts and capital markets transactions and has advised on numerous private funds. Jonathan was responsible for negotiating with the Inland Revenue and Department of Trade and Industry the agreed statement and guidelines on the use of limited partnerships as venture capital investment funds. He has served on the Council of the British Venture Capital Association and chaired the EVCA Tax and Legal Committee for 15 years. In April 2004, Jonathan was admitted to the BVCA Private Equity Hall of Fame in recognition of his contribution to the private equity industry over the past two decades. There were only three previous members. This was voted on by 500 of the most prominent people in the UK private equity industry. In April 2005, Jonathan was named Global Lawyer of the Year for Private Funds by The International Who s Who of Business Lawyers. In December 2007, Jonathan was included in The Lawyer s Hall of Fame. Jonathan is also included in Who s Who, the leading reference book, which contains biographies of noteworthy and influential individuals. In November 2011, Jonathan was named as one of the 100 most influential people in private equity over the last decade by Private Equity International. Brian O Neill, Associate, International Funds Brian is an associate in the International Funds group, Brian deals primarily with investment fund structuring, fund formation and fund raising, investor negotiation, co-investment and carried interest arrangements. His recent experience includes advising: A long-standing venture capital firm on the successful raising of their latest fund; Two large fund of funds houses on a range of different products; A UK turnaround manager on the successful fundraising of their third fund; He has also established carried interest and co-investment plans for a global investment firm and a UK bank. Brian also has responsibility for training and know-how in the International Funds group.
Joel Gindill, Associate, International Funds Joel is an associate in King & Wood Mallesons SJ Berwin s International Funds Department. Joel specialises in investment fund structuring and formation including fund raising and investor negotiation in addition to co-investment and carried-interest arrangements. Joel s experience includes advising a European private equity house on the raising of their sixth buyout fund and acting for a major European bank on a large secondary transaction including the structures used for the transaction. Joel recently completed a 9 month secondment with a leading Nordic fund manager during which Joel co-ordinated the structuring and establishment of co-investment and carried-interest programs.
