2014 WAHL Man of the Year Contest Official Rules NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. CONTEST DESCRIPTION: The 2014 WAHL Man of the Year Contest ( Contest ) begins May 8, 2014 at 12:00 AM Central Time ( CT ) and ends October 12, 2014 at 11:59:59 PM CT (the Promotion Period ). Men 18 years of age or older will have the opportunity to enter online through the Contest application by submitting a creative photo showing off their well groomed facial hair and answering a series of questions or at WAHL Mobile Tour events. ELIGIBILITY: Entrants must be male, 18 years of age or older at time of entry, and must be legal residents of the fifty (50) United States and the District of Columbia. This Contest is void where prohibited by law. To be eligible, entrants must have facial hair at the time of entry; winners of any prior WAHL Man of the Year Contest prize (including Man of the Market prize winners and Man of the Year prize winners) are ineligible to enter or win any prize in this Contest. Employees, officers and directors of WAHL Clipper Corporation ( Sponsor ) and its parent company, affiliates, subsidiaries, advertising and promotional agencies, and members of their immediate families (spouse and parent, children and siblings, and their respective spouses and children, regardless of where they reside), and persons living in the same household (whether or not related) of such employees are ineligible to enter or win. By participating, entrant agrees to these Official Rules, and the decisions of the Sponsor and/or its independent judges, which are final and binding in all respects. TO ENTER: There are two (2) ways to enter: 1) Online Entry through Contest Facebook Application: Go to the Wahl Facebook page (www.facebook.com/wahltrimmers) ( Web site ) during the Promotion Period, like the WAHL Facebook Page, click on the WAHL Man of the Year page tab to access the Contest Application, and then follow the directions to enter the Contest. You will need to complete the entry form fully and accurately by 1) entering your full name, address, daytime phone, email address and date of birth, 2) answering a short questionnaire, 3) uploading your creative photo showing off your well groomed facial hair (collectively, an Entry ) and 4) agreeing to these official rules. The photo you submit must be a photo of you and only you, must be a full frontal photo of your entire head (head, neck, and shoulders only), may not have your face or head obscured in any way by any objects other than your facial hair (e.g., sunglasses and/or a hat), must be in.jpg format, and may not be larger than 3 MB in size. All entries must be received and recorded by Sponsor s computer (the official Contest time keeping device) by 11:59:59 PM CT on October 12, 2014 to be considered. 2) WAHL Mobile Tour Event Entry: You will also be able to enter in person during 11 scheduled WAHL Mobile Tour events. You must live within a 50 mile radius of the venue where the event is being held to be eligible to compete for the Wahl Man of the Market for that event. If you do not live within a 50 mile radius of the venue where the event is being held, but meet the eligibility criteria specified above, you may still enter at the event and you will be considered for the Wahl Man of Anytown prize along with those individuals who enter via the Contest Application. To view a detailed schedule of events, visit www.wahlgrooming.com. There will be a photo area at each event, as well as on-site entry forms (while supplies last). The requirements to submit an entry at a scheduled event are the same as the requirements stated above for submitting an online entry. Limit one (1) entry per person, regardless of method of entry. Entries received from any person in excess of the limitation will be void. Multiple, separate entries may be submitted from different individuals residing in the same household; however, only one (1) winner per household is allowed. In the event more than one person from a single household is selected as a potential winner, the independent judging panel will determine the winner. No forms of entry other than as stated in these Official Rules will be accepted. 1

Contest Entry Requirements: The following guidelines set forth by the Sponsor must be followed for an Entry to be eligible: 1) All WAHL Mobile Tour Event Entries must be legibly hand-written or typed, or they will not be considered in the Contest; 2) Photos: a. may not have been submitted in any other competition; b. may not have been published; c. must not be inappropriate, offensive, defamatory or obscene; d. must not infringe upon any third party's rights, including, but not limited to, copyright, patent or trademarks/trade names/logos, or rights of privacy or publicity; 3) Photos submitted online must be the original and sole creation of the entrant, owned solely by the entrant, and must be a current photo of the entrant; 4) Any Entry, in the sole opinion of the judges and/or Sponsor, found to contain dangerous, harmful or objectionable content, or deemed to be inappropriate for publication or to otherwise violate any of the above requirements, will be deemed ineligible; 5) Any additional materials mailed to Sponsor (such as photos, artwork, samples, etc.) will not be included in the judging process, nor will they affect, in any way, the outcome of the Contest; 6) Photos cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity; 7) Photos cannot show or promote cruelty, harm, abuse or exploitation of anyone or anything; 8) Photos cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), promotes any activities that may appear unsafe or dangerous, or promotes any particular political agenda or message; 9) Photos cannot be obscene or offensive, endorse any form of hate or hate group; or appear to duplicate any other submitted entry. 10) Photos must be in keeping with the Sponsor s image, and may not be offensive, nor can it defame, misrepresent or contain disparaging remarks about Sponsor or its products or other people, products or companies, as determined by Sponsor and the Contest Judges in their sole discretion. 11) Photos cannot contain trademarks, logos or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission; or advertise or promote any brand or product of any kind, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; 12) Photos cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in web sites, television, movies or other media), without permission. 13) Photos cannot contain materials embodying the names, likeness, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission. 14) Photos cannot consist of or contain look-alikes of celebrities or other public or private figures, living or dead; 2

15) Photos cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate and/or; 16) Photos cannot violate any law. All Entries, whether submitted online or at an event, will undergo screening for compliance with the guidelines and requirements set forth in these Official Rules. By submitting your Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify your Entry for any reason, including if it determines, in its sole discretion, that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by the Sponsor, in its sole discretion. Sponsor reserves the right not to post or, after posting, to remove, an Entry for any reason. Once your Entry has been submitted, you will not be permitted to change the Entry. The entry information provided is subject to WAHL s Privacy Policy. To read that Policy, access www.wahlgrooming.com and then click the Privacy Policy button. Entries become the property of Sponsor, and will not be acknowledged or returned. WINNER SELECTION/JUDGING WAHL Man of the Market Selections: Round One: All eligible WAHL Mobile Tour event Entries and online entries submitted by October 12, 2014 at 11:59:59 PM CT will be reviewed by an initial judging panel appointed by the Sponsor and consisting of employees of the Sponsor s design and marketing team to determine whether the Entry complies with these Official Rules and to score the Entry based on the following judging criteria: Judging Criteria: 1) Photo portrays well groomed facial hair (25%) 2) Creativity & Uniqueness of personal style of the facial hair in the photo (25%) 3) Pride & enthusiasm for maintaining facial hair (based on answers to questionnaire) (50%) In the event of a tie, the score for pride & enthusiasm for maintaining facial hair will be the tiebreaker. Round Two: The top 3 entrants from each market and from all other Entries received (including online Entries and Entries received at events from eligible individuals residing outside of the market) will be contacted by the judging panel for a phone interview to determine the potential Man of the Market Winner for each market and the Man of Anytown Winner. The phone interview will be judged based on the following criteria: Judging Criteria: 1) General enthusiasm for facial hair (25%) 2) Media readiness (25%) 3) Potential for brand ambassadorship for the WAHL Brand (50%) In the event that the judging panel is not able to reach an entrant or conduct a phone interview within 5 days of the first attempt to contact the entrant for any reason, the entrant will forfeit his or her opportunity to be considered for the WAHL Man of the Market or Man of Anytown. The entrant with the highest score in each Market in Round Two of judging will be declared the potential WAHL Man of the Market for that market. The entrant with the highest score from all other Entries received (including online Entries and Entries received at events from eligible individuals residing outside of the market) in Round Two of the judging will also be declared a potential WAHL Man of the Market winner (also referred to as the Man of Anytown winner). In the event of a tie, the score for potential for Brand Ambassadorship for the WAHL Brand will be the tiebreaker. The judges decisions are final and binding on all judging matters related to this Contest. After the verification process is completed, WAHL Man of the Market winners and Man of Anytown winner will be announced online at www.wahlgrooming.com and on WAHL s Facebook page at www.facebook.com/wahltrimmers. WAHL Man of the Year Selection: Beginning on or about November 3, 2014 at 9:00:00 AM CT and ending on or about November 30, 2014 at 5:00:00 PM CT, the Entries from the verified WAHL Man of the Market winners who pass the background check will be posted on a Contest voting application on the WAHL Facebook page (www.facebook.com/wahltrimmers) for public voting. Voters will be required to like the WAHL Facebook 3

page in order to access the application and vote on their favorite Entries. At the end of the voting period, a potential Man of the Year will be chosen by a second and different judging panel appointed by Sponsor based on the following criteria: Judging Criteria: 1) Public Voting score (40%) 2) WAHL judging panel score based on the criteria below (60%) a) General enthusiasm for facial hair (25%) b) Media readiness (25%) c) Potential for brand ambassadorship for the WAHL Brand (50%) The WAHL Man of the Market with the highest score will be declared the WAHL Man of the Year. In the event of a tie, the score for the potential for brand ambassadorship for the WAHL Brand criteria from round 2 will be the tiebreaker. The judges decisions are final and binding on all judging matters related to this Contest. BACKGROUND CHECK FOR WAHL MAN OF THE MARKET: The WAHL Man of the Market winners must agree to a background check and to provide any information that Sponsor reasonably requests to conduct a background check, including Social Security number, and understand that no further notice is required to be provided to them by Sponsor with respect to such background check, and that Sponsor has the right, but not the obligation to conduct such background check prior to identifying a potential winner. Factors that may result in disqualification as a WAHL Man of the Market, in Sponsor s sole discretion, include, without limitation, negative driver history or record, any drug or alcohol dependency, criminal arrests or convictions, civil law suits alleging misconduct - either settled or still pending, and any other fact or allegation that, in Sponsor s reasonable discretion, would be inconsistent with the image, messages, and goodwill that Sponsor seeks to convey and be associated with, whether such facts are revealed to Sponsor in connection with a background check or otherwise. If a potential WAHL Man of the Market winner is disqualified for any reason, the entrant with the next highest scoring entry for the same market may be declared a potential WAHL Man of the Market winner for that market, or the Sponsor may elect not to designate a WAHL Man of the Market for that market. WINNER NOTIFICATION AND CLAIMING A PRIZE: Potential WAHL Man of the Market winners will be notified via mail, email or phone within approximately two (2) weeks of their selection. Potential WAHL Man of the Market winners will be required to verify their current mailing address, provide their Social Security number and submit a photocopy of a valid government issued photo ID (either driver s license or passport) as validation to verify he is the person in the photo. Potential WAHL Man of the Market winners must also complete and sign a background check release as well as a publicity release. WAHL Man of the Year Winner must complete, sign and return, within seven (7) days of the date of notification, an Affidavit of Eligibility including valid Social Security number and a Liability / Publicity Release (where lawful) and Federal Form W-9. As a condition of winning and qualifying for the prize, the potential WAHL Man of the Year Winner will be required to have facial hair at the time the prize is awarded. If the releases or any required documentation are not returned within seven (7) days, if any prize notification or any prize is returned as undeliverable, if Sponsor is unable to contact a potential WAHL Man of the Year Winner within a reasonable period, or if a potential WAHL Man of the Year Winner is found to be ineligible, declines the prize, or otherwise is not in compliance with these Official Rules, the prize may be forfeited, and the entrant with the next highest scoring entry for the same market may be declared a potential WAHL Man of the Market winner for that market, or the Sponsor may elect not to designate a WAHL Man of the Market for that market. WAHL Man of the Year Winner will be announced approximately 2-3 weeks after public voting ends and the final round of judging takes place. PRIZES: Twelve (12) WAHL Man of the Market Prizes: One (1) WAHL Lithium Ion+ Trimmer (exact make and models to be determined solely by the Sponsor) and a $500 general use prepaid card. The approximate retail value (ARV) of the WAHL Man of the Market Prize is $569.99. 4

One (1) WAHL Man of the Year Prize: In addition to the WAHL Man of the Market prize, the WAHL Man of the Year will receive a $1,000 general use prepaid card. Total ARV of all prizes: $7,839.88. All Federal, State, and local taxes (including income taxes), duties, and the like, if any, are the sole responsibility of the winner. No substitution, assignment, redemption for cash, or transfer of any prizes permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize becomes unavailable. Actual value of prizes may vary based on consumer electronic industry fluctuations. Winner will not receive difference between actual and approximate retail value. Allow 8 to 10 weeks for shipment of all prizes. Sponsor shall not be held responsible for any delays in awarding any prize for any reason outside of their control. All prize details are at Sponsor s sole discretion. A prize will only be delivered to a verified Winner. GENERAL: By participating in Contest, entrants agree to release and to indemnify and hold harmless Sponsor and its parent companies, affiliates, subsidiaries, retailers, franchisees, advertising and promotion fulfillment and/or judging agencies, Facebook, Inc., and all of their respective officers, employees, directors, representatives and agents (individually and collectively Releasees ) from all liability, losses, claims, action, or proceedings, losses, any and all injuries and damages of any kind to person(s), including death or property resulting, in whole or in part, directly or indirectly, from entrant s participation in the Contest or any Contest related activities, or violation of intellectual property or personal rights (such as but not limited to, copyright, patent, trade name/trademark, and/or rights of privacy or publicity or portrayal in a false light) due in whole or in part to acceptance, possession, misuse or use of any prize; or participation in this Contest, or participation in any Contest related activity. By claiming a prize, the WAHL Man of the Market and WAHL Man of the Year winners agree to confirm that consent in writing upon request, to Sponsor and those acting pursuant to the authority of Sponsor, the right, in perpetuity, to the use of his name, voice, picture, image and/or likeness (and notwithstanding anything to the contrary in these Official Rules, WAHL Man of the Year Winner license the use of their photo to Sponsor, which may be altered, changed, modified, edited, used alone, together or with other works, and/or in distorted form, as solely determined by Sponsor) at any time(s) and in all media now known or hereafter discovered, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval.
