1- CREOCEAN - KEY ELEMENTS 1.1 - SCE GROUP CREOCEAN belongs to SCE GROUP which provides a global offer in land and environment development. 2007 results: SCE: 17,8 M with 210 persons, CREOCEAN: 6.2 M with 44 persons 5

1.2 - CREOCEAN's Background and commitment 1.2.1 - History In 1948, after the Second World War, young French scientists decided to gather their skills to establish a team dedicated to the oceanographic research. Their idea was that oceanology is not a separate science, but a federation of cooperating disciplines requiring diverse and complementary skills. So more than thirty-one members, with various origins and competences, constituted the first Committee of Honour. Among these members, put under the presidency of Edouard Herriot, this committee gathered some names called to an international notability: Jacques Yves Cousteau, Théodore Monod, Jean Rouch,. Under these promising patronages, the Centre of REsearch and Oceanic studies (CREO) was born. It became a French limited company in 1984, with IFREMER (French Research Institute for sea exploitation) as major shareholder. During a decade, CREOCEAN received a strong technology transfer from the public institute. Sixty years later, we are proud to carry this inheritance: respecting the scientific ethics, we keep the idea of multidisciplinary skills necessary for the understanding of coastal and offshore marine environment. During all these years, accompanying the technical and scientific knowledge, we follow the evolution of societies within the framework of the Sustainable Development. 1.2.2 - Commitment The development of coastal areas is growing as a major concern all over the world. It is widely recognized that the development of urban, industrial, agricultural or touristic activities close to or in the sea needs to be managed in accordance with environmental preservation. Based on its long-term worldwide experience and multidisciplinary scientific approach, CREOCEAN has developed a functional vision of Coastal Areas Sustainable Development. CREOCEAN s commitment is to provide decision-aid tools for the development of sustainable coastal activities in harmony with their human and natural surroundings. For each case our answer is the cross result of three concerns: The preservation of human and natural heritage : rare species, biodiversity and ecosystems value, coastal and submarine landscapes as well as potential for human use require comprehensive management. The harmonious development of coastal activities: each urban, harbor, industrial, agricultural or touristic development may affect surrounding activities. We aim at avoiding harmful impacts and conflicts between activities, towards a rational management of coastal and marine resources. The development of sustainable facilities and activities: coastal areas have specific characteristics that must be taken into account for each new development. The success of some activities even necessitates the environment to be kept in pristine condition. 6

1.3 - CREOCEAN in France CREOCEAN has agencies all along the French coast and in overseas French territories. CREOCEAN's headquarter is in La Rochelle and the agencies in: Montpellier, La Seyne-sur -Mer, Nantes and Caen. The overseas agencies are located in French Guiana, Martinique and Tahiti. 1.4 - International development Since its inception, CREOCEAN has undertaken many studies linked to the coastline and marine environments. CREOCEAN has been involved in studies concerning the gathering and processing of data, baseline studies, impact studies, analyses of the environment in general and development schemes in the following zones: - Mediterranean sea, - North and South Atlantic Ocean, - English Channel, - North Sea, - Caribbean Sea, - Red Sea, - Indian Ocean, - Middle-East. In order to ensure a strong international development, CREOCEAN has created agencies in the Middle East (Doha and Abu Dhabi) and in North Africa (Morocco and Mauritania). 7

2 - CAPABILITY STATEMENT The specific strength of CREOCEAN's capabilities lies in its close integration of environmental, planning and engineering services, mixing its multidisciplinary staff potential. For each project, CREOCEAN is able to assemble the range of professional services most suitable to the client's need. 8

2.1 - Environment monitoring and auditing CREOCEAN offers a good experience in environmental monitoring studies. Marine investigations involve the identification and characterisation of effluents, determination of pollutants and environmental effects. CREOCEAN's expertise in chemistry, toxicology and biology (insuring as well sediments quality, water quality, marine flora and fauna characterisation and hydrodynamics), offers a very comprehensive know how to design and conduct environmental investigations in oil and chemical industry, industrial plants, mining industries. Those types of expertise include Environment Baseline Surveys (EBS) and Environmental Impact Assessment Studies (EIAS). 9

2.2 - Impact studies and statutory documents CREOCEAN's experts offer a wide experience in statutory document drafting. Legally speaking, a technical support must be provided in order to determine the level of concern associated with a project in regards to the environment. Impact studies, and many other statutory documents must be drawn up in fields such as marine aggregates extraction, underwater dumping sites, offshore or coastal oil and gas development,... 2.3 - Marine and aquatic ecology CREOCEAN proposes the know how of several engineers to predict, monitor and assess immediate and long term ecological changes associated with human activities. The firm's services cover both preliminary and comprehensive biological inventories (benthic fauna, planktonic and fish communities). This capacity is used to provide baseline data for impact assessment of dredging, dredged material disposal, submarine pipe laying, wastewater outfalls, oil exploration and production, aquaculture... To achieve those expertises, CREOCEAN has access to a large range of instrumentation and sampling equipment for marine biological studies (grabs, CTD probes, sampling bottles, diving equipment...). 10

2.4 - Environment chemistry and toxicology Government and industries must face increasing requirement for understanding the fate and possible effects of contaminant chemical in the environment. CREOCEAN's engineers and environmental scientists are experienced in environmental contaminants and problem definition and can provide a technical support to determine the level of concern associated with a contaminant on water quality. CREOCEAN can offer comprehensive experience in toxicity testing for routine monitoring and assessment in aquatic environments. 2.5 - Oceanographic and geophysical data gathering CREOCEAN is able to ensure the most efficient handling of quality meteorological and oceanographic surveys, bathymetry, depth sounding and cartography. Used as themselves for specific needs, those data can also be used to define characteristics of areas before any project of offshore or onshore planning. The range of material enables the measurement at sea of many natural elements: currents and wave, weather study, bathymetry and sea floor surveys by side-scan sonar (Dowty and Klein 3000 side scan sonar). Those data are used for construction of ports, dredging operation, submarine pipe laying, wastewater outfalls into the sea, coastal erosion and beach nourishment. To w fish 11 SAND

2.6 - Hydrodynamic modelling CREOCEAN has extensive expertise for modelling the physical processes in coastal areas, estuaries, lakes... and this tool is applied to all the projects that require the capability to implement calculations to anticipate and manage the functioning of a system. CREOCEAN developed a range of models and can produce 2D and 3D models, flow and surge simulation models (slope acceleration, wind stress and coriolis), sediment transport models, advection dispersion models and contaminant dispersion models. 2.7 - Environment technologies CREOCEAN proposes the capacity to design infrastructures taking into consideration environmental constraints such as currents, tide, wave motion, sediment transport. Engineers, therefore, can design pipes for wastewater treatment plants, dikes, hulks, floating landing stage, all infrastructure located on the shoreline and may be subject to natural environmental conditions. natural environmental conditions. 2.8 - Economy in coastal areas CREOCEAN can implement: - Regional or local development studies, master plans - Opportunity and market studies - Financial and management audits - Feasibility studies (technical, management, financing, legal aspects) - Conception and programming of projects, business plans, management - Marketing and communication 13

3- STAFF AND ORGANISATION 3.1 - Organisation and management CREOCEAN is employing 44 persons which include 30 environmental specialists in all marine fields. CREOCEAN is organised to answer to the requirement of a wide range of projects types and sizes. Projects are assigned on a task force basis, with each being handled by a project manager who has fully authority to provide comprehensive control of operation and resources, and is directly accountable for accomplishment of project objectives. Experienced and qualified personnel are assigned to tasks compatible to their field of expertise. To approach the projects in the more operative way, CREOCEAN has clearly defined five homogeneous areas of activities: 1. Statutory and impact studies 2. Sedimentology-geology and submarine mapping 3. Monitoring and coastal zone management 4. Hydrodynamic and engineering 5. Developments and economy in coastal areas 14

3.2 - Key personnel 3.2.1 - Direction Jean Marc Sornin - President and CEO He is doctor in marine geology (1981), after two years as engineer advisor for SCE and four years as researcher for IFREMER, he created ECOCEAN in 1987. Then he became technical and commercial director of CREOCEAN from 1991 to 1997 before being President and CEO of CREOCEAN. Christian Gau - Deputy Director He has been in charge of all financial and administrative aspects in CREOCEAN since 1985. 15

3.2.2 - Department Managers Philippe GUIBERT, Head of Statutory and Impact Studies Dpt Since 1985, he has directed or participated within CREOCEAN to more than 90 environmental studies (projects of development or management of offshore marine sites). He has worked on impact studies of industrial plans or projects, in France and abroad, notably concerning liquid or solid wastes disposal at sea (for Aluminium de Grèce, Alpat in Argentina, Péchiney in the Mediterranean Sea). He has also worked on environment quality diagnosis (radio-chemical quality of La Rochelle bay; marine environment state of the Persian Gulf) or prospective studies about coastal management (incidence study of the raising sea level in the Rangiroa atoll). Patrice WALKER, Head of Sedimentology, Geophysics and Submarine Mapping Dpt Since 1984, he has directed or participated within CREOCEAN to more than 80 environmental studies related to: - Bathymetric and geophysics surveying : side-scan sonar, seismic, magnetometer, - Surveying of sand and aggregates deposit field and extraction possibility, - Sediments transport and coastal protection (erosion phenomena ), - Impact and feasibility studies, audits, - Cable route surveys and feasibility studies of cable burying, - Study of ports and industrial sites, - Measurements and analysis of hydrobiological parameters, - Studies for sewage disposal plant and outlet at sea. 16

Eric DUTRIEUX, Head of Monitoring and Coastal Zone Management Dpt He has a strong academic background in marine ecology and a worldwide professional experience in the planning, management and evaluation of coastal zones (including aquaculture), evaluation of impact of industrial coastal facilities in tropical environments (harbours, oil & gas), coastal and marine sites restoration. He is an experienced lecturer and trainer, at levels ranging from operational training for environmental technicians, to post-graduate degree courses in France. His project and consultancy experience has included project management, feasibility studies (especially for institutional monitoring programs), Environmental Baseline Studies, Environmental Impact Assessment Studies and Coastal Zone Integrated Planning and Management. His technical emphasis has been mainly in the benthic ecology sector (soft bottoms, hard substrates and coral reefs), submarine expertise, mangroves and coastal forests studies, including data collection and interpretation. His work has been undertaken in France, North and West Africa, Arabic and Persian Gulf, Indian Ocean, South-East Asia and Caribbean seas for a wide variety of national and international institutions. He is the author of: More than 100 technical reports and publications regarding marine ecology, water pollution assessment and coastal zone management. 4 books on scuba diving and marine ecology. 12 non technical publications in the field of scuba diving and undersea discovering. 17

Georges CLAVERIE, Head of Hydrodynamics and Engineering Dpt Project manager in CREO Company from 1985 to 1987, he worked on study and conception of specific automation systems. Then he entered CREOCEAN (1987); specialized in marine engineering, he is in charge of studies related to feasibility, summary and detailed pilot study of pumping stations, outlets, work at sea, coast or port development, or also study of port hydrodynamic process, study and conception of measuring device. Since 2004, he has been heading the Creocean "Hydrodynamics and Engineering Dpt". Stéphane Alain RIOU, Head of Developments and Economy of Coastal Areas Dpt He started his scientific career at the French Research Institute for Sea exploitation (IFREMER) working on several European projects (ROBUST, NICE, BIOGEST). Project manager in a French Consulting Company from 1999 to 2002, he worked on impact assessment studies of dredging seaports. Then he entered CREOCEAN (2003) where he manages the studies related to marinas and ports developments. 18

3.2.3 - International development Olivier LE BRUN is in charge of the North Africa development. Managing Director of Creocean subsidaries in Morroco and Mauritania. Since 2006, Olivier Le Brun is in charge of the International Development of CREOCEAN in North Africa (Libya, Tunisia, Algeria, Morocco and Mauritania). He is a senior biologist and chemist with a strong background in environmental studies. His experience is the following: 1987-1988, within the biology control service of Atomic Energy Institute (CEA - French Polynesia), he directed research for ecological control in French Polynesia islands. 1992-1993, he entered the Civil Engineering Department of the Alberta University (Edmonton, Canada) as a Research Director, in charge of designing biological processes for organic control in drinking water treatment. 1993-2003, head of the PACA Regional Agency of CREOCEAN, he has been directing or participating in coastal and marine water quality studies (America s Cup project, mainly about coastal areas development and management or industrial pollution (LYONDELL, TOTAL, SHELL, Egypt Gas Company, JSC Ukrtransnafta, European Port Authorities,..) and environmental follow-up programs (Indian Ocean [COI-GREEN program, UE: Eco-Informations in European ports, Ecoports], Caribbean sea [Republic of Haiti, Ste Lucia]). 2003-2006, head of the International Business Department of CREOCEAN, he participated to the commercial developpement of Creocean as well as participated in international numerous studies of inventories of the benthic communities, of implementation of management plan in coastal zones but also guiding plan for economic development of on-shore and offshore activities (Tunisia, Yemen, Qatar, Koweit, Algeria, Morocco, Mauritania). Eric DUTRIEUX is in charge of the Middle-East development As the head of a multidisciplinary team of experts in Creocean, and with the involvement of the Creocean s local representative, he has the objective to develop small to large scale projects in the Middle-East, focusing on Qatar, Yemen and Emirates. Edouard ROUSSELLE is in charge of the Caribbean Sea development He is graduated from the Montpellier University in France in the field of environment sciences and specialized in hydraulics and hydrology. He worked fours years as a consultant in the Caribbean area and was then employed by Creocean in 2005 where he his the head of the Caribbean Agency, based in French Guiana. Romain LE GALL is the Creocean s local representative in QATAR and the Middle-East His qualification includes a BSc in oceanography (Bordeaux I, France) and a MSc in the management of industrial risks (INPT, France). He implemented a management plan against marine chemical pollution on a plant terminal and participated or managed environmental monitoring studies in marine and coastal waters of Qatar. His experience includes dredging projects at Ras Laffan port expansion and The Pearl Island. 19
