Dane Peterson CEO, Emory Healthcare Hospital Group President Session Title: System Mergers, Acquisitions & Transitions Dane C. Peterson is Emory Healthcare s Hospital Group President, a role in which he is accountable for overall performance and achievement at all of Emory Healthcare s seven hospitals and its hospital partnerships. Peterson is responsible for quality measures, best practices, finances, and satisfaction among patients, staff and physicians for the hospitals. Prior to this, Peterson served as CEO of Emory University Hospital Midtown in Midtown Atlanta, a 511-bed community-based, acute care teaching facility. Peterson joined Emory Healthcare in 2007 from Medical City Dallas Hospital (HCA) in Dallas, Texas, a 677-bed facility where he was interim COO and an associate administrator. Prior to his move to Texas, he was an associate administrator for ancillary services at Creighton University Medical Center in Omaha, Nebraska. Peterson, who holds an MBA from Stanford University and a bachelor's in industrial and operations engineering from the University of Michigan, has significant accomplishments in master plan construction and renovation, core measures improvement, employee engagement and cultural transformation support. These skills are crucial to an organization like Emory Healthcare, the largest, most comprehensive health system in Georgia, with more than 4 million patient encounters a year. In fiscal year 2013, Emory Healthcare had $2.6 billion in net revenue and provided $80.3 million in charity care. It has 15,208 employees and 1,830 hospital beds across the system. Session Bio: Jim is a partner with Draffin & Tucker's Audit and Accounting and Tax service groups in Albany, Ga. His career has been devoted exclusively to the healthcare industry since joining Draffin & Tucker in 1988. Jim has extensive experience providing healthcare audits and reimbursements, as well as tax and forensic services. Jim is a Certified Public Accountant licensed to practice in Georgia, South Carolina and Texas. He is a Certified Fraud Examiner and a frequent speaker at various healthcare industry associations on current topics affecting the industry. Originally from Vidalia, Ga., Jim lives in Albany with his wife and three children. When not in the office, he takes pleasure in spending time with his family, whether riding horses, playing soccer or enjoying the farm life. Jerry Dubberly Chief Medical Assistance Plans, Georgia Department of Community Health Session Title: Georgia Medicaid Updates Jerry Dubberly, Pharm. D., MBA, Chief of the Medicaid Division for Georgia Department of Community Health, will provide state Medicaid updates to include the status of the CMO reprocurement RFP and the RFP for Case/Care Coordination of the Aged, Blind and Disabled population. Dr. Dubberly s presentation will include a Q&A session. Jerry Dubberly, Pharm. D., MBA, is the Chief of the Medicaid Division within the Georgia Department of Community Health (DCH). As Division Chief, Dr. Dubberly provides leadership for the Georgia Medicaid Program and ensures compliance with state and federal laws, rules and regulations. Consistent with the DCH mission, he and his team seek to provide access to quality health care, responsible utilization of health care resources, and the promotion of positive health behaviors and health outcomes through the Medicaid and PeachCare for Kids programs. Together, these programs serve 1.7 million Georgians. Previously, Dr. Dubberly held the post of Deputy Director with the Medicaid Division after serving as Director of Pharmacy Services with the Department for more than four years. His previous experience includes eight years in the Medicaid pharmacy benefits management arena, where he was involved in 24 Medicaid/government-sponsored pharmacy programs throughout the country, as well as a number of commercial managed care plans. He has also practiced pharmacy in hospital, home health and retail pharmacy settings. Dr. Dubberly, a native of Jesup, Ga., is a graduate of the University of Georgia's College of Pharmacy in Athens, Ga. He received his Master of Business Administration degree (MBA) with a concentration in health services management from the University of Tennessee at Chattanooga and his Doctor of Pharmacy degree from the University of Arkansas for Medical Sciences in Little Rock, Ark. Carie Summers Vice President Financial Services, Georgia Hospital Association Session Title: Georgia Hospital Industry Payer Analysis

Carie has been the Vice President of Healthcare Financing at the Georgia Hospital Association since 2009 and represents the financial interests of Association members when working with various healthcare payer sources. Previously, Carie served six years as the Chief Financial Officer of the Georgia Department of Community Health. As the CFO at DCH, Carie was the primary financial advisor to the Commissioner and other agency executives in the administration of the state s Medicaid and Children s Health Insurance programs, the State Health Benefit Plan for state and school employees, and state public health activities. Carie has also previously worked for the Governor s Office of Planning and Budget, providing fiscal and policy recommendations to former Governors Roy Barnes and Sonny Perdue on Georgia s healthcare issues. Ken Conner Principal & Healthcare Practice Leader, Decosimo Co-Presenter: Ward Nelson Partner, Miller & Martin Session Title: Merger & Acquisition Panel Decosimo Principal & Healthcare Practice Leader Ken Conner of Decosimo and Ward Nelson, a partner with the Chattanooga law firm of Miller & Martin, will lead a panel discussion on the issues related to mergers and acquisitions within the healthcare field. In this age of consolidation, there is a great deal of activity on the merger-and-acquisition front. Smaller hospitals and healthcare providers are being acquired or merged with larger hospital systems. Physician practice groups have also become attractive acquisition candidates for hospitals and healthcare systems. The process of exploring all the considerations and finding the right match for the best synergies has become a vital part of executing a successful M&A strategy. Mr. Conner and Mr. Nelson will discuss the key elements of the M&A and the best approaches for ensuring success long after the deal is signed. Speaker Bio (Ken Conner): Ken Conner has over 30 years of experience in the financial aspects of the healthcare industry. Leading Decosimo's healthcare practice, Ken coordinates assurance, tax, due diligence compliance and valuation activities involving healthcare clients. He provides clients with objective and practical financial advice. Healthcare clients take advantage of Ken's experience in preparing forecasts, advising mergers, acquisitions and divestitures. Clients benefit from his knowledge of facilitating problem resolutions within joint ventures and from his ability to arange financing for established entities and startup companies alike. Before joining Decosimo in 1997, Ken served as the Chief Financial Officer of Erlanger Medical Center, a large tertiary facility based in Chattanooga. During his 12 years as CFO, Ken was involved in the issuance of $400 million in tax-exempt debt, including variable rate demand bonds and inverse floaters, as well as more traditional forms of tax-exempt debt. He oversaw the growth of managed care from its infancy and has been involved with strategic planning and re-engineering efforts. Ken worked closely with the State of Tennessee and other hospitals on the Medicaid program and its transition to the new TennCare program. A graduate of the University of Alabama with a Bachelor of Science in Accounting, he was awarded Certified Public Accountant designation in 1979. He currently participates on the Culverhouse School of

Accountancy Professional Advisory Board, serves on the board of Hospice of Chattanooga and is a member of the Chattanooga Downtown Rotary Club. Speaker Bio (Ward Nelson): A partner in the Chattanooga-based Miller & Martin law firm, Ward Nelson holds a CPA in addition to his law degree. Mr. Nelson has extensive experience with large health care corporate transactions. For many years, he represented a regional, nonprofit hospital, and continues to represent physician groups and other health care entities with respect to ongoing operations, regulatory compliance, contracts and corporate transactions. Most recently, he has represented a county hospital in connection with a longterm management contract, a nonprofit hospital in its sale to a regional, nonprofit hospital system and a rehabilitation hospital in connection with the acquisition of a nursing home. Shannon Farr Director of Valuation Services, Decosimo Session Title: The Life Cycle of a Physician Practice Decosimo Director of Valuation Services Shannon Farr will be presenting The Life Cycle of a Physician Practice, which will provide an overview of topics including physician employment, issues in employment contracts, compensation models and fair market value considerations. It will also examine becoming a shareholder in a practice, hospital purchase-and-employ transactions and related valuation issues as well as other hospital-physician alignment models and related valuation issues. In addition, the presentation will cover post-termination issues, including non-competes, medical records issues and notices to patients. Shannon Farr, Director of Valuation Services, devotes her practice to valuations of all types for a diverse set of clients. Shannon began her accounting career over 20 years ago in the assurance department of a Big Four firm. Her practice has focused on business valuation and litigation support since 2004. She is accredited in business valuation (ABV) and certified in financial forensics (CFF). Shannon s business valuation expertise is utilized in connection with marital dissolutions, purchase and sale transactions, healthcare regulatory, federal estate and gift tax determinations, strategic planning and shareholder disputes and settlements. Shannon also performs fair value for financial reporting valuations to be used in purchase price allocations and goodwill impairment testing. Her litigation support experience has been used in numerous marital dissolution cases as well as contract and shareholder disputes. Shannon provides expert witness testimony, as well as serving the court as Special Master. Before moving to Chattanooga, Shannon was an audit partner with a public accounting firm in Birmingham, Alabama. She provided audit, tax and consulting services to clients in numerous industries, including healthcare, government, not-for-profit, construction and fabrication, manufacturing and insurance. She also performed due diligence and assisted clients with mergers and acquisitions. Shannon graduated summa cum laude with a Bachelor of Science in Business Administration degree in accounting from the University of Tennessee, located in Knoxville. She is a member of the TSCPA, where she has been appointed to serve on the association s Healthcare Conference Committee. She is also a member of the AICPA, the American Health Lawyers Association (AHLA) and the Estate Planning Council. Shannon currently serves as Treasurer for the Signal Mountain Youth Baseball League.

Susan Clark Senior Manager, Pershing Yoakley & Associates Session Title: Keeping Up With the IRS Update for Tax-Exempt Hospitals Is your organization ready? Even with the IRS Exempt Organization under fire, tax exempt hospitals continue to face scrutiny from the IRS, Congress, and the public. Increased scrutiny = Increased disclosures. This session will cover where things stand with Internal Revenue Code Section 501(r) guidance, the latest on Community Health Needs Assessments, as well as a discussion on where your organization needs to focus to be in compliance with the rules and the required disclosures. Information on any new or proposed tax legislation will also be covered. Susan Clark is a Senior Manager in the Atlanta office of Pershing Yoakley & Associates P.C., who specializes in tax-exempt and healthcare organizations. Her twenty-three plus years of experience in public accounting includes all aspects of federal and state income taxation. Susan has specific experience in tax accounting and reporting issues for exempt organizations, including issues and studies related to private inurement, private benefit, unrelated business income tax, and tax-exempt status. She has represented clients before the Internal Revenue Service, including the filing of applications for recognition of exempt status and coordination of the approval process Susan received her BBA in Accounting (1989) and MAcc in Taxation (1990) from the University of Georgia. She is an active member of the AICPA, Georgia Society of CPAs (GSCPA), and is an advanced member of the Georgia Chapter of Healthcare Financial Management Association (HFMA). Susan has also served as Chairperson of the Healthcare Section of the GSCPA and the Healthcare Conference Committee Task Force for the society for the past ten years. She participates as a member of the leadership committees (TEAMS) of HFMA and is a Past President for the Georgia Chapter. In July 2002, she received her certification as a Fellow in HFMA. Susan has also served as Treasurer for the Gamma Alpha Chapter of Alpha Gamma Delta House Association, Stockbridge Middle School Band Boosters, and Woodland High School Band Boosters Association.
