11 Messrs. Lovaglio and Bielecki are members the Management Board Bank Pekao S.A. ("Pekao") and Messrs. Moneta and Fiorentinno are members the Supervisory Board Pekao. Since Bank BPH S.A. and Pekao are members the same capital group, according to the provisions the Law 15 December 2000 on Competition and Customer Protection, certain activities between Bank BPH S.A. and Pekao including appointment supervisory board members within the banks do not require notification to the President the Office for Competition and Customer Protection, and therefore such activities are not regarded as activities between competing entities on the basis this Law. As Bank BPH S.A. and Pekao belong to the same capital group, in the opinion Bank BPH S.A., the newly appointed members the Supervisory Board Bank BPH S.A. do not carry out competing activity and do not participate in a competing company. However, as Bank BPH S.A. and Pekao fer similar banking services and products on the Polish market, they may be currently viewed in this context, as competing with each other. Also all remaining newly appointed members the Supervisory Board do not conduct activities competitive to the Bank.
