Business Rules WhatsUp Gold 14.2 WhatsUp WhatsVirtual and WhatsUp Failover Manager WhatsUp Gold 14.2 Business Rules With the release of 14.2 comes a change to our business rules in regards to eligibility of software updates. Going forward in order to be entitled to software updates for the product, the customer must be under an active service agreement when the software update is released. If a customer does not have an active service agreement at the time of the WUG14.2 release, said customer is not eligible for the upgrade to WUG 14.2. The release of WhatsUp Gold 14.2 will be considered a revenue release. Therefore there will be new part numbers for all products, renewals and upgrades. With the release of WhatsUp Gold 14.2 we have changed the formula for calculating our service agreements. All service agreements for all products Worldwide are 28% of the new product MSRP. Updates Expired 0-12 months are 56% of new product MSRP, and Updates Expired Greater than 12 months are 84% of new product MSRP. We will be introducing new part numbers for customers who wish to upgrade and their service agreement has expired. These part numbers will be called Upgrades expired 0-12 months. On the day of release, all WhatsUp Gold licenses covered by an active service agreement will be automatically upgraded to WhatsUp Gold 14.2, and will receive the WhatsUp Gold 14.2 download in their Myipswitch.com account. Customers with an active WUG service agreement but an inactive plug in service agreement will not have the plug ins auto-upgraded to 14.2 version of the plug-in until their plug in service agreement is brought active. For our expired WUG and Plug-In customers they will need to purchase a renewal, update 0-12 months, or update greater than 12 months, to bring their service agreement current in order to receive 14.2. WhatsUp Gold Standard, Premium, Distributed Central, and Distributed Remote new licenses are available to purchase with a 1 or 2 year Service Agreement. Monthly WhatsUp Gold part numbers are available for prorating. The WhatsUp Gold monthly part numbers are not to be used to bring a parent serial number expiration date to a child serial number expiration date. The parent expiration date should always lead.

Service Agreements and Updates The Network Management products include one and/or two years of service. The one or two years of service is called a Service Agreement. The Service Agreement entitles the customer access to all product updates and releases, technical support via telephone and email, and price protection. Service Agreement Renewal When a customer s Service Agreement nears its end, the customer has the ability to renew their service for another year or two by purchasing a Service Agreement Renewal. If the customer renews on time, their Service Agreement will be extended for one or two years from the current service expiration date. A license can have no more than 26 months of service at a given time. Software Update 0 to 12 months expired If the customer does not renew the Service Agreement by the time of expiration but decides to update the software at a later date, not greater than 12 months past expiration, the customer must purchase a Software Update (Service Agreement expired less than 12 months) which costs more than a standard Service Agreement Renewal. The software license will be updated to support the latest version and the Service Agreement will be renewed for one year from the date of purchase. Software Update 12+ months expired If the customer decides to update the software and the Service Agreement is 12+ months expired, the customer must purchase a Software Update (Service Agreement expired greater than 12 months) which typically costs more than an Update. The software license will be updated to support the latest version and the Service Agreement will be renewed for one year from the date of purchase. Eligibility: In order to process a Service Agreement or Software Update order, the distributors, partners, or customers must provide the registered serial number and MyIpswitch.com username (email address) for the license they are buying service for. Upgrades for WhatsUp Gold Standard and Premium An upgrade licenses the customer for a different product edition (e.g. Standard to Premium) and/or tier (e.g. 100 to 300 devices), and includes one year of Ipswitch technical support and product updates. When an upgrade is activated, and there is any time remaining on the current Service Agreement this time is lost and the new Service Agreement starts immediately, with expiration date one year from day of the upgrade purchase. There is no restriction on where a customer can upgrade from or to within the Network Management Product line.

An upgrade can only be purchased if the customer is under an active service agreement. If the customer is expired 0-12 Months they must purchase an Upgrade Expired 0-12 Months. If the customer is expired greater than 12 months, the customer must purchase the Update Greater than 12 months SKU for the device level they wish to go upgrade to. The software license will be updated to support the latest version and the Service Agreement will be renewed for one year from the date of purchase. WhatsUp Gold Failover Manager and WhatsUp WhatsVirtual With the release of WhatsUp Gold 14.2 we will be introducing two new Plug-In s to our product family: WhatsUp Gold Failover Manager and WhatsUp Gold WhatsVirtual. WhatsUp Gold Failover Manager WhatsUp Gold Failover capability is only available in version 14.2 or later. A user wanting the capability must first upgrade to 14.2 if necessary, before purchasing failover. The WhatsUp Gold Failover Manager will be available on line, direct and through the Channel. A WhatsUp Gold parent serial number that is still covered by an active Service Agreement (or will be covered in a simultaneous renewal or upgrade) must be referenced in order to purchase the WhatsUp Gold Failover. At the time of release we will have part numbers for the Failover, service agreement renewals, monthly renewals and upgrades. We will not be creating update part numbers unless they are needed. There will not be an evaluation for the WhatsUp Gold Failover Plug-In and it will not be available in the NFR offering. When a customer purchases WhatsUp Gold Failover, the failover plug-in will be added to their primary (parent) license. The customer must refresh the primary WhatsUp Gold to activate the newly purchased plug-in. The customer will also receive a serial number for a secondary WhatsUp Gold license. The customer must separately activate the secondary WhatsUp Gold license using its own serial number (i.e. not the parent serial number). When the secondary WhatsUp Gold license is activated, the license file is dynamically configured to include and plug-ins associated with the primary WhatsUp Gold license; these plug-ins will NOT appear as attributes or separate licenses associated with the second license in MyIpswitch.com or the Staff Portal When a customer purchases an upgrade to an existing primary WhatsUp Gold license, and a secondary WhatsUp Gold Failover license is present (e.g., upgrades the primary

license from Standard 300 to Premium 500), the corresponding secondary WhatsUp Gold license will not be automatically upgraded; the customer must purchase the upgrade. The end user must refresh any WhatsUp Gold license which has been upgraded. When a customer purchases an upgrade to an existing plug-in for the primary WhatsUp Gold license, and a secondary WhatsUp Gold Failover license is present (e.g., upgrades from Flow Monitor 5 to Flow Monitor 10 on the primary license), the corresponding Plug-In license on the secondary WhatsUp Gold license will be automatically upgraded. The end user must refresh both WhatsUp Gold licenses. The cost of the WhatsUp Gold Failover Plug-In is 50% of the MSRP of the product being purchased new. The Service Agreement renewal is 28% of the price of the WhatsUp Gold Failover Plug-In License MSRP. The price is based on the parent WUG license regardless of the plug-ins. Plug-ins will be included with the secondary license at no additional charge. If a customer purchases Failover, there will be a new download available to them. Similar to how we have separate downloads for Distributed and MSP, there will be a separate installer for Failover. For best user experience, a user who owns WhatsUp Gold and subsequently adds the failover capability will need to download a different build of WhatsUp Gold that provides additional configuration. There is no difference in the installed product, but the script assists the user in configuring failover. In the case where a customer would like to transfer a Failover Manger to another parent, this will need to be approved by Product Management and also manually handled by CS and IT. If a customer would like to purchase (2) Failover Mangers for one parent, IT and CS will need to handle this request. WhatsVirtual WhatsVirtual is only available on WhatsUp Gold 14.2 or later. WhatsVirtual will be sold as a one size fits all offering. The customer can be running any device level of WhatsUp Gold to purchase WhatsVirtual. All the Plug-In business rules apply to the WhatsVirtual.

Evaluation for WhatsUp Gold 14.2, WhatsUp Gold Failover Manager, WhatsVirtual The WhatsUp Gold evaluation process will stay the same for the WhatsUp Gold 14.2 release. A customer who is presently running WhatsUp Gold will be asked for a serial number and be instructed that it is recommend to run the evaluation on a separate machine. For new evaluators, the customer will receive the WhatsUp Gold 14.2 evaluation as well as all the plug-ins. The evaluator will have the ability to turn on the plug ins as they wish to evaluate them. The evaluation will run for 30 days. The plug ins will turn off when the WhatsUp Gold expires regardless of how many days they have been evaluating the plug in. There will be no evaluation for the WhatsUp Gold Failover Manager. For the WhatsUp Gold WhatsVirtual, the plug-in will be added to the WhatsUp Gold 14.2 evaluation and work the same way as VoIP, WhatsConfigured, Flow Monitor, and WhatsConnected. The evaluation will include the following products and device counts: Evaluations WhatsUp Gold Evaluation licenses are for 2500 devices WhatsUp Flow Monitor Evaluation allows 10 sources WhatsConnected Evaluation has an export limit of 10 WhatsConfigured Evaluation has a max devices of 25 WhatsUp VoIP Whats Virtual WhatsUp Flow Publisher (a separate download) The Not For Resale Kit will include the following products and device counts: WhatsUp Gold license is Premium 100 devices WhatsUp Flow Monitor allows for 5 sources WhatsConfigured allows 100 devices WhatsUp Flow Publisher allows 4 Network Interfaces WhatsConnected has an export limit of 10 and 25 devices WhatsUp VoIP Whats Virtual
