PROCEDURE FOR TRADING SHARES OF LISTED STOCK This brief guide is to assist SEVN shareholders who are not familiar with trading their shares, and maintain them all (as share) in the form of certificates. Since SEVN shares are listed with the Philippine Stock Exchange (PSE), trading must be coursed through securities brokers. TO SELL SHARES: 1. Shareholder (SH) hands endorsed/signed stock certificate(s) to his/her chosen broker covering at least the number of shares SH wants to be sold at a price SH authorizes. 2. If the company s authorized Stock Transfer Agent (STA) does not have a copy of SH s signature card on file, SH must personally appear and sign such signature card in front of the broker. a. SH may also choose to sign a signature card with the STA by personal appearance (contact details below) 3. SH opens securities account with his chosen broker by filling up an Account Opening Form (supplied by the broker) 4. Broker encodes the lodgement transaction into the electronic PCD system and physically delivers the SH endorsed certificate to the STA. 5. STA verifies the certificate and endorsement and once in order, confirms lodgement to PCD. 6. PCD credits broker account. 7. Broker executes sell order with PSE and once done informs shareholder and settles sales proceeds. Broker s commission may range from 0.5% to 1.0% of sales proceeds There is also a 0.5% tax on sales proceeds. Note: The above is standard procedure for trading. It requires the personal presence of the shareholder at the broker s office. SEVN shareholders who do not reside in Metro Manila or other city with brokers offices, or are too busy to spare the time to personally appear, may prefer to do their trading online, as described on the following page.
