Because you re switching over to a new bank and a new system that will make banking so much better, so we want to tell you a little about us and the new system. There are some things you need to know about how your products and services are going to change and when they will change. Hence this guide. 1
SO WHAT S THE POINT OF THIS? Actually, the point is you. More specifically, we want to provide you with an awesome, modern banking experience that makes more sense than ever. One that helps make your life and your finances easy and seamless to manage. This guide includes tons of information. Here are a few of the things you need to know: As of Monday, October 12, 2015, Pine River Valley Bank and Miners & Merchants Bank will become Community Banks of Colorado, a division of NBH Bank, N.A. Starting Monday, October 12, go to cobnks.com for Business Online Banking. If you use business mobile deposit, you can deposit checks on your mobile device with our brand new Cobnks business mobile app. * Enjoy enhanced automation of our entire system, including banking by phone, text alerts and electronic loan statements. As part of Community Banks of Colorado, you can bank at more than 50 banking centers and 50 ATMs throughout Colorado. You can talk to a Treasury Management Client Services Specialist from 7 am to 5 pm MT, Monday through Friday. A FEW THINGS YOU LL NEED TO DO. In order for your business to take advantage of our convenient new services, there are a couple features that require the attention of your company administrator right away. Namely Business Online Banking and Online Bill Pay. Don t worry, it will be painless. We promise. BUSINESS ONLINE BANKING Starting Monday, September 21, Business Online Banking will have a Preview Period. Your company administrator will need to reactivate your online banking account on cobnks.com. They can also set up your users, alerts, etc. The Business Bill Pay feature will not be available in this preview. We will process any business activity completed by 3:30 pm MT on Thursday, October 8. After October 8, you will be able to only view your Pine River Valley Bank transactions. You can download, export or print any transactions or statements until Friday, October 30, 2015. To access your Pine River Valley Bank transactions, look for the link on the cobnks.com home page. The new cobnks.com system will be available at 12 pm MT on Monday, October 12. Your company administrator will need to reactivate your company s business online banking account in our new system. If you don t, you won t be able to bank online. And that would be a bummer. BUSINESS ONLINE BILL PAY We will process any payments that are scheduled through Go Pay before 5 pm MT on Thursday, October 8. At 12 pm MT on Monday, October 12, you can start scheduling payments through Business Bill Pay on cobnks.com. Your payees, payments, reoccurring payments and ebills will automatically be transferred to the new system. 3
KEY DATES AND DETAILS Below are important dates and details to remember as you approach the system conversion on October 12, 2015. DATE Late September to 10/9 WHAT YOU NEED TO KNOW During this time period, Business Online banking will have a Preview Period on cobnks.com/prvb-business. Your company administrator will need to activate your business online banking account. They can also set up all of your users, alerts, etc. ADDITIONAL DETAILS If you have any questions, call 877.539.4838 to visit with one of our Treasury Management Client Services Specialists. Week of 9/28 Look for your new Community Banks of Colorado business debit card in the mail. Your PIN will be mailed separately. Your card number will change. You can start using your new card at 8 am MT on Monday, October 12. 10/8 All external transfers need to be completed by 3:30 pm MT on October 8. 10/8 We will process any payments scheduled through Go Pay before 5 pm MT on Thursday, October 8. On Monday, October 12, you can resume scheduling payments through Business Bill Pay. 10/8 Go Bank business mobile banking will be in view only from 5 pm MT on Thursday, October 8, through 5 pm MT on Friday, October 30. You will be able to view Pine River Valley Bank transactions from 5 pm MT on October 8 until October 30 through the link on cobnks.com/prvb. 10/10 to 10/12 We will be moving your information from Go Bank to the cobnks.com system during the weekend. Our banking centers will be closed on Monday for Columbus Day, but Treasury Management Client Services specialists will be available from 12 pm to 4 pm MT. 4
10/11 to 10/31 We will mail your final Pine River Valley Bank statement, or you can download it through the link on cobnks.com if you are enrolled in Go Statements. Future statements will be mailed until you enroll in online statements through cobnks.com. 10/12 pm If your company administrator did not activate your business online banking account during the preview period, they can log in on cobnks.com to activate in our new system. Instructions for setting up your business online banking account can be found in the Business Online User Guide located on cobnks.com/prvb-business. 10/12 pm You will need to set up your scheduled transfers and loan payments in the new system on cobnks.com. Instructions for setting up your business online banking account can be found in the Business Online User Guide located on cobnks.com/prvb-business. 10/12 pm Business Bill Pay will be available at cobnks.com. Your payees, future payments and reoccurring payments will automatically be transferred to the new system. 10/12 pm Your company administrator can sign up to receive your statements electronically. Instructions for setting up your business online banking account can be found in the Business Online User Guide located on cobnks.com/prvb-business. 10/12 pm Download your new Cobnks business mobile banking app Your company administrator must set up who has access to this service. 10/13 Pine River Valley Bank and Miners & Merchants Bank locations will be open normal business hours as Community Banks of Colorado, a division of NBH Bank, N.A. After 10/15 You will receive a final Pine River Valley Bank statement for your escrow and real estate secured loan accounts showing any activity from January 1, 2015, through October 12, 2015. SMALL BUSINESS ACCOUNTS WE MAKE SMALL BUSINESS PERSONAL. What you need to know Your routing number will change to 102102013, but you will be able to use your existing checks and deposit slips. Please update the routing number on any direct deposits, auto pays and new check orders. You will receive a new debit card during the week of September 28. Your PIN will be mailed separately. Please note that you will have a new debit card number. Your direct deposit, automatic payments and transfers will be processed as they have been in the past, but we recommend you change your routing number to 102102013. As a starting point for your new relationship with Community Banks of Colorado, your Pine River Valley Bank Checking account has been converted to our Small Business Checking. One of our Small Business bankers will be reaching out to you to answer any questions you may have about your new accounts. What to expect A VISA Business Debit Card from Community Banks of Colorado is: Easy to use. Pay for items from your Business Checking Account without the hassle of issuing checks. Convenient. Your Community Banks of Colorado VISA Business Debit Card can be used anywhere VISA is accepted. Easy to track. Your purchases will be detailed on your monthly account statement, or you may view them within Business Online Banking. Easy to control. Cards can be issued to as many employees as needed, with the option to control daily spending and withdrawal limits for each card. Versatile. With a cash back option. Cash back options are available from many merchants when using your debit card. Free. There is no service charge to withdraw cash from a Community Banks of Colorado ATM. A $2.50 transaction fee will apply for any withdrawal from a non-community Banks of Colorado ATM.! Your new Community Banks of Colorado cards will be sent out the week of September 28. Navigation and terminology The Business Online navigation has been streamlined, and the terminology has been enhanced to make the service easy to use. User customization The favorites feature allows you to create up to five links to frequently performed functions within Business Online. Additionally, you will be able to create and save report queries for future use. Online help Improved online help includes frequently asked questions, a glossary of terms and step-by-step instructions for performing specific tasks.! SWEEP ACCOUNTS HELPING YOUR MONEY MAKE MONEY. What you need to know Community Banks of Colorado offers a variety of sweep products so you can maximize your income by investing excess balances automatically overnight. What to expect The Money Market Sweep Account offers: Interest earned on a tiered basis Money savings by eliminating wire, custody, and transaction fees. The Repurchase Agreement Sweep Account * offers: The ability to collateralize your deposits by sweeping collected balances above a required peg balance into an interest bearing repurchase agreement each day. *The balance in the sweep accounts are not FDIC insured, however, the investment securities, which back the agreement, provide the collateral that secures the balance. 11
SAVINGS AND MONEY MARKET ACCOUNTS What you need to know The name of your savings and money market accounts may be changing. But your first class client service and interest earning benefits won t change at all. As a starting point for your new relationship with Community Banks of Colorado, your Pine River Valley Bank savings account has been converted to Small Business Savings and your Pine River Valley Bank Money Market account has been converted to Small Business Money Market. What to expect Small Business Savings Open an account with $100 A monthly service charge of $10 is waived if you make deposits or transfers totaling $150 a month or maintain a minimum average daily balance of $2,500. Average daily balance is calculated by taking daily balance of account and dividing it by the number of days in the statement cycle. Small Business Money Market Open an account with $1,000 A monthly service charge of $15 is waived if you maintain a minimum average daily balance of $10,000. Average daily balance is calculated by taking daily balance of account and dividing it by the number of days in a statement cycle. Your new rate tiers are as follows: $0 - $24,999.99; $25,000 - $49,999.99; $50,000 - $99,999.99; $100,000 - $249,999.99; $250,000 - $999,999.99; $1,000,000 and up 12 Public Funds Money Market Enjoy funds liquidity and a great interest rate. The Community Banks of Colorado Public Funds Money Market account requires no minimum balance to earn interest and has no per-item fee. You may make six withdrawals per month. Interest is tiered on balances over $1,000. Interest is compounded and paid monthly. There is a $10 service charge if the minimum balance drops below $1,000. Check images are included with your monthly statement(s).
CERTIFICATES OF DEPOSIT MORE VARIETY. GREAT RATES. What you need to know When your Investment and Saver CDs reach maturity, they will no longer automatically renew. Upon maturity, please visit with one of our bankers to see how you can put your money to work by investing in a new certificate of deposit. You will earn a guaranteed return on your investment with as little as $500 and we offer a variety of maturity and interest payment options to meet your investment needs. What to expect Regular Certificates of Deposit Open your CD with $500 or more, and you will be able to select terms as short as 91 days. Interest is compounded to the CD annually or at maturity (whichever comes first, upon first renewal with Community Banks of Colorado). Interest can be paid electronically to another bank account monthly, quarterly, semi-annually, annually, or at maturity. CDs automatically renew at maturity. IRA Certificates of Deposit CDs of 91 days or greater may be opened as an IRA CD as a part of your retirement strategy. This account earns simple interest which can be paid via check or ACH, or added back to the CD. 13
TELEBANK24 WE JUST MADE ULTRA CONVENIENT MORE ULTRA AND CONVENIENT. Look for these new features: After 12 pm MT on Monday, October 12, you will be able to access TeleBank24 at 877.877.0395. TeleBank24 allows you to check balances, recent transactions and payment details for your business deposit and loan accounts 24/7. The cutoff time for transfers made through TeleBank24 is 9 pm MT. What you need to know You will need to know your account number in order to get set up for banking by phone. Please refer to your statement for your account number. On Monday, October 12, you can access TeleBank24 by entering your account number using the temporary PIN. The temporary PIN will be the last four digits of your company s tax ID number or your social security number. Once you are logged in, you will be prompted to choose a new PIN. You can change your PIN anytime by selecting option 5 on the main menu. 14

Lockbox (New Feature) Lockbox services speed up receivables and collections processing by reducing float and mail processing times, helping businesses run more efficiently, and increasing cash flow. Positive Pay (New Feature) Positive Pay helps strengthen security controls around check and ACH issuance and reduces fraud by eliminating unauthorized transactions from posting to your account. With Positive Pay, unauthorized transactions are intercepted to prevent loss. The service eliminates manual check sorting and is a convenient alternative to the dual-signature check writing process.
ACH Manager You can save money and improve productivity with Community Banks of Colorado s Automated Clearing House (ACH) Manager. ACH Manager helps streamline payments and collections with electronic funds transactions. Wire Transfer Wire transfers are available exclusively online through Business Online Banking or by visiting your local banking center. Outgoing wires have a cut-off time of 3 pm MT. Incoming wires have a cut-off time of 3:55 pm MT to receive credit on that day. Please contact Treasury Management Client Services at 877.539.4838 to update your wire authorizations, set up access to online wire services to request a foreign currency wire. Card Services Merchant Card Community Banks of Colorado offers Merchant Card programs tailored to meet business needs. You will be able to choose from a number of state-of-the-art electronic terminals and other solutions that will enable your business to set up deposit, transaction authorization and processing services for most major credit card. Purchasing Cards With our purchasing card program, you can manage your employees expenditures for a variety of business-to-business goods and services. Personal Banking Your busy work schedule likely leaves little time to manage your personal accounts. SMALL BUSINESS LOANS GREAT RATES. VARIETY OF TERMS. What you need to know Loan payments will continue to be accepted online. There may be a brief delay for loan transactions to reflect in Business Online Banking. Please take care not to submit duplicate transactions. Loan transactions made through business online banking are processed same-day when submitted by 9 pm MT on regular business days. Transactions submitted after this time will be processed with the next business day s date. The bank name on year-end tax reports will be Community Banks of Colorado. We provide quick turnaround on your application so you can get back to what matters most your business. Fixed-term loans are ideal for when you have long-term financial needs for purchases such as renovations, equipment and vehicles. Lines of credit are great for short-term cash needs, managing business expenses and purchasing inventory. Real estate loans are perfect for business owners who want to expand to a new location or are ready to own property. A VISA credit card with SavingsEdge can help you manage your company s business expenses, and save up to 15% when you use your card to make purchases at participating merchants. 1 Ready Cash Reserve gives you peace of mind that vendors, employees and bills will be paid in the event of an overdraft. 1 Discounts provided as credits on account statements. What to expect If you re a small business client and elect to sign up for auto pay through your checking account with us, you re eligible to receive discounted rates on select small business loans and lines of credit. 18
LOANS AND OVERDRAFT SERVICES What you need to know The terms and conditions of your loan or line of credit will remain the same with the exception of Ready Cash Reserve account as outlined below. If you have a revolving line of credit, all payments must be made in U.S. dollars and must be received by us consistent with any payment instructions provided on or with your periodic billing statement. If a payment is made consistent with our payment instructions but received after 4 pm MT, Monday through Friday on a business day, we will apply your payment to your credit line on the next business day. The bank name that will display on all credit bureau reporting will change from Pine River Valley Bank to NBH Bank, N.A. The bank name on year-end tax reports will be Community Banks of Colorado. You will receive a statement for your escrow and real estate secured account showing any activity from your last escrow analysis through October 12, 2015. Please retain this statement for your personal records. In January, you will receive your annual escrow analysis which will include your account activity from October 13, 2015 through December 31, 2015. You will receive your escrow analysis annually each January thereafter. What to expect If you have a Reserve Account for overdraft protection, effective October 12, 2015: Your Reserve Account will convert to a Ready Cash Reserve (RCR) account. Ready Cash Reserve will advance funds in $100 increments once a day to cover overdrafts. There is a $10 fee for each transfer and interest charges may apply. You have the right to opt out of this change. 19
20 You may opt out by writing to us at Community Banks of Colorado, a division of NBH Bank, N.A., PO Box 26528, Kansas City, MO 64196-6528, Attn: Loan Operations. If you opt out of this change, we will close your Ready Cash Reserve account. You will not be able to use your line of credit, but you will be able to pay down your outstanding balance, if any, under your existing terms. Ready Cash Reserve account information will not be printed on your checking account statements. A separate statement will be mailed the last day of the month. Depending upon the date of your last statement, your October statement may have more or less than one month s worth of activity and you may receive two statements in October. After October, subsequent statements will contain only one month s worth of activity. The billing due date is 20 days after the date of the statement. You will not be allowed to overdraft your related checking account in order to make your Ready Cash Reserve payment. If no payment is made, interest will continue to accrue on the full outstanding balance of your Ready Cash Reserve.
FUNDS AVAILABILITY AND FDIC INSURANCE What you need to know Funds Availability We have different deposit cut-off hours for different locations, but generally, our cut-off hour is 5 pm MT. If you make a deposit before our cut-off hour on a business day we are open, we will consider that day to be the date of your deposit. In determining the availability of your deposits, every day is a business day, except Saturday, Sunday and Federal holidays. (See our Funds Availability Policy Disclosure on page 46 for more details.) For an additional fee, clients may request a same-day funds transfer up to 7 pm MT Monday through Friday. To request a transfer, call 877.877.0395 and speak to a Client Services and Solutions Specialist. Deposit Insurance Coverage Community Banks of Colorado is a division of NBH Bank, N.A., Member FDIC. NBH Bank, N.A. operates under multiple trade names in multiple states. Divisions of NBH Bank, N.A. are not separately FDIC-insured banks. The FDIC coverage extended to deposit clients of all of the divisions of NBH Bank, N.A. is that of one insured bank. Please contact your Personal Banker to assess your FDIC coverage and any needed actions to ensure that all of your deposits are within limits. What to expect When the two insured banks merge, deposits from Pine River Valley Bank are separately insured from deposits at Community Banks of Colorado for at least six months after August 1, 2015. This grace period gives you the opportunity to restructure your accounts, if necessary. CDs from Pine River Valley Bank are separately insured until the earliest maturity date after the end of the six-month grace period. CDs that mature during the six-month period and are renewed for the same term and in the same dollar amount (either with or without accrued interest) continue to be separately insured until the first maturity date after the six-month period. If a CD matures during the six-month grace period and is renewed on any other basis, it would be separately insured only until the end of the six-month grace period. 21

Once you activate your service, you ll be able to access your membership information via a secure member dashboard online or through the mobile app. Foreign Currency Exchange Requesting and receiving foreign currency has never been simpler. Request your foreign currency easily with one flat fee, regardless of the amount requested. Receive your currency the next business day. Obtain numerous foreign currencies, including rare exchanges that other banks do not offer. Cash Advance Bring in a valid Visa, MasterCard or Discover card and your valid identification for an advance on your credit card. Applicable cash advance fees from your credit card provider will apply. Direct Deposit When you get your paychecks deposited electronically into your account, funds are available the same day as the direct deposit. Money Orders Purchase money orders at any Community Banks of Colorado banking center. Money orders are widely accepted and may be preferred over checks. Fees may apply. Bank by Mail For clients who find it difficult to travel to a Community Banks of Colorado location, we will offer bank by mail. You may send your deposits to your local banking center or: Community Banks of Colorado, P.O.
