Wayne Watts Senior Executive Vice President and General Counsel Wayne Watts, senior executive vice president and general counsel, is responsible for all legal matters at AT&T. He was appointed to his current position in June 2007. He has also served as a Director to AT&T Corp. since his appointment on June 15, 2007. Prior to his current appointment, Mr. Watts served as vice president and associate general counsel for, with legal responsibility for mergers and acquisitions, wireless operations, international operations, strategic planning, U-verse strategy and general corporate matters. Previously, he served as vice president and assistant general counsel for SBC Communications Inc., with responsibility for a variety of general corporate and subsidiary legal matters, including SBC's mergers and acquisitions and wireless operations. Mr. Watts joined Southwestern Bell Telephone Company in 1983 as an attorney in Dallas. In 1986, he became general attorney for Southwestern Bell Publications in St. Louis, and two years later he joined the mergers and acquisitions staff of SBC s legal department in St. Louis. In 1989, Mr. Watts was named vice president-general attorney and secretary for Southwestern Bell Mobile Systems in Dallas. He became general attorney and assistant general counsel for SBC Communications Inc. in 1995 and served as legal counsel for SBC s mergers and acquisitions and wireless operations. Throughout his tenure, Mr. Watts helped lead a series of mergers and acquisitions, valued at a total of more than $200 billion, that transformed SBC from the smallest of the Baby Bells to the largest communications holding company in the world. He is a member of the advisory boards of the SMU Dedman School of Law and the Salvation Army s Dallas/Fort Worth Metroplex Command, and the Development Board at the University of Texas at Arlington. Born in Abilene, Texas, Mr. Watts grew up and completed his high school education in Dallas. He graduated from the University of Texas at Arlington with a bachelor s degree in business administration in 1976. He received his Juris Doctorate in 1980 from Southern Methodist University in Dallas.

Wayne A. Wirtz Associate General Counsel and Assistant Secretary Wayne A. Wirtz has been Associate General Counsel for since July 1998 and Assistant Secretary since April 1995. He has also served as the Secretary of AT&T Corp. since his appointment on November 18, 2005. Mr. Wirtz serves as principal advisor and legal senior manager with the AT&T Legal Department regarding securities law, investor relations, shareholder services, financial reporting, debt issuance and corporate governance matters. Mr. Wirtz joined AT&T in 1989. From 1984 to 1989, Mr. Wirtz was an attorney with the Division of Enforcement at the Securities and Exchange Commission in Washington, D.C. Mr. Wirtz has a JD with honors from Ohio State University College of Law. 12/12/02

John J. Stephens Senior Executive Vice President and Chief Financial Officer John Stephens is Senior Executive Vice President and Chief Financial Officer responsible for directing financial planning, accounting, tax, auditing, investment management, financing and investor and shareowner relations for AT&T. He was appointed to his current position in June 2011. He has also served as a Director to AT&T Corp. since his appointment on May 16, 2011. Previously, Mr. Stephens served as Senior Vice President and Controller responsible for all financial reporting and operations, accounting policy, business planning, and regulatory reporting for AT&T. He is also responsible for all corporate tax and shared services activities matters. He was named to that position in November 2001. Prior to serving as Controller, Mr. Stephens served as Vice President-Taxes, where he oversaw all corporate tax matters, a position he was appointed to in August 2000. He previously served as managing director-taxes, where he had similar corporate tax responsibilities. He was named to that position in 1995. Mr. Stephens joined the company as director-federal taxes in St. Louis in 1992. Prior to joining the company, Mr. Stephens served as a tax senior manager with Ernst & Young in St. Louis. His career also includes serving as a member of the tax staff of Peat Marwick & Mitchell in Kansas City. Mr. Stephens earned his B.S.B.A. degree in Accounting from Rockhurst College in Kansas City. He also holds a J.D. degree from St. Louis University's Law School. He has served on the board of directors of Telmex, a Mexico based provider of predominantly wireline communication services, and América Móvil, an international provider of telecommunications service. Additionally, he serves on the audit committee of the Board of Directors of a large privately held retailer. He also serves on the Board of Directors of the Dallas Chamber of Commerce. Mr. Stephens serves on an advisory board to the Mays Business School at Texas A&M University. Mr. Stephens has also served on the board of numerous educational and social service organizations.

George Goeke Vice President- Assistant Treasurer George Goeke, Vice President Assistant Treasurer, has been in his role since August 2010. Before the move to Treasury, he served as Vice President - Financial Planning, where he was responsible for all aspects of AT&T financial planning. On February 20, 2012, he was appointed Chief Financial Officer & Treasurer of AT&T Corp. Prior to his current position he served as Executive Director-Financial Reporting, where he was responsible for all aspects of SBC internal financial reporting including financial statement preparation, short-term financial planning, and financial reporting system development. In 2000, he served as Executive Director - Financial Operations, at Cingular Wireless in Atlanta, Georgia, where he was responsible for the creation of a centralized financial transaction processing center in El Paso, Texas. He directed the site selection process and the start up planning that led to the consolidation of finance functions from across the SBC and BellSouth regions into the centralized center. Goeke joined SBC in 1990 a member of the Internal Audit staff. He moved to San Antonio in 1993 and joined the SBC Financial Planning group. Prior to joining SBC, Goeke served as a Financial Accounting Manager with Anheuser-Busch Companies in St. Louis. His career also includes serving as a member of the Audit Staff of Ernst & Whinney in St. Louis. Goeke earned his Bachelor s Degree in Accounting from University of Missouri in 1985, and is a Missouri CPA.. 4/12/2012

Michael W. Bowling Chief Marketing Officer Business Solutions AT&T Michael Bowling is currently responsible for managing the Business Solutions organization within Global Business Solutions. In this leadership role, Michael is responsible for the business solutions team which is focused on growing our strategic business services including Network Sourcing, As a Service, Mobility, and IP Networking. Michael was appointed to his current position in January, 2012. He has also served as the Chief Marketing Officer Business Solutions for AT&T Corp. since his appointment on February 1, 2012. Prior to his current role, Michael was President, AT&T Mexico, responsible for managing AT&T s relationship with Telmex, Telmex International and America Movil. During his time in Mexico, Michael served on the Boards of Telmex and Telmex International. Before leading AT&T Mexico Michael managed Converged Products for AT&T driving the delivery of a One AT&T product experience across wireless, broadband and TV platforms. Michael entered AT&T from BellSouth and led the formulation of the entertainment and advertising strategy for AT&T across wireless, broadband and television platforms. Prior to the merger Michael served as Vice President of Converged Services and Platform Development as well as serving as the Vice President of Marketing Product Management for Broadband from 2003 to 2005. In the broadband leadership role he was responsible for the strategic direction and product management of BellSouth s $1 Billion Internet products and service business. Michael worked in BellSouth s International division from 2000 to 2003. Initially working in business development then serving as an expatriate in Peru as the CMO for BellSouth s wireless unit. Additionally, Bowling has served in a wide range of marketing and sales capacities within BellSouth s domestic enterprise and consumer operations since joining BellSouth in 1990. Michael began his career in the enterprise sales organization serving as a system engineer, account executive and regional account manager. Bowling earned a bachelor s degree in electrical engineering from the University of Kentucky and a master s degree in business administration from Vanderbilt University.

Andy Geisse Senior Executive Vice President AT&T Business and Home Solutions Andy Geisse, Senior Executive Vice President-AT&T Business and Home Solutions, is responsible for serving the business segment across AT&T s product line from global enterprise customers to small businesses. Additionally, Mr. Geisse leads the Home Solutions team focused on U-verse, broadband and voice services for AT&T s 22-state local wireline operations. He has also served as President and Chief Executive Officer of AT&T Corp. since his appointment on February 1, 2012. Prior to his current position, Mr. Geisse served as Executive Vice President of AT&T s Global Customer Service, where he was responsible for all customer service functions for AT&T s Advanced Business Solutions, serving every Fortune 1000 company and tens of thousands of small- and medium-sized businesses. Mr. Geisse, a 32-year AT&T veteran, has served in a variety of key executive leadership positions for the company s wireline and wireless organizations, both in the U.S. and abroad. From 2004 to 2007, Geisse served as the company s Chief Information Officer. Prior to that role, he was a Senior Vice President-Enterprise Software Solutions. His experience also includes several leadership positions in the wireless industry, including serving as CEO of VTR Cellular from 1995-96 and Chairman and CEO of STARTEL from 1996-1998 both Chilean wireless providers partially owned by AT&T at the time. Mr. Geisse earned bachelor s degrees in Economics and Mathematics from The University of Missouri, an Executive Management degree from Carnegie Mellon, and MBA from Washington University.
