Purses & Pumps Tradeshow Event Sponsorship Agreement, henceforth known as Company and, henceforth known as Sponsor enter into this agreement freely and willingly on the day of, 2016. The covenants of this agreement are as follows: THE EVENT Sponsor agrees to provide sponsorship (insert sponsorship level here) for the 2016, henceforth known as Event. THE SPONSORSHIP Sponsor agrees to provide Company with {amount of money, specific items, or any other materials that the Sponsor will give/donate to the Company for this event} for Event. CREDIT In exchange for this sponsorship, Company agrees to provide Sponsor with Level Sponsorship as outlined in sponsorship package. DELIVERY Sponsor agrees that the item(s) listed above will be delivered to Company no later than Date 2016 via means by which item(s) shall be delivered to the Company. RELATIONSHIP This agreement represents the only relationship between Company and Sponsor. No other relationship between the two entities exist, are implied, or otherwise. TERMS AND CONDITIONS Terms and Conditions outlined herein have been established for the mutual benefit and protection of all Vendors, Sponsors, Exhibitors, Visitors, and Trade Show Organizers and may not be modified unless in writings signed by both parties. The Vendor agrees to these terms and conditions as an integral part of this binding contract. Please read carefully to avoid any misunderstandings. 1. Trade Show Booking: To reserve a space at the, a signed agreement and 50% space fee is required for deposit. Upon receipt of the agreement and deposit, your agreement will be reviewed. Upon approval, your deposit will hold your space until balance is due. We must received the balance of your fees no later than time allowed on Vendor/ Sponsor payment schedule or five weeks prior to the show opening date or reservation and deposit may be forfeited. The time you pay your deposit does not determine the balance due. The balance due is determined by the payment schedule. For example, if you pay an early bird deposit in order to receive the full early bird special you must pay your balance before the standard rate dates. Otherwise your balance will be the standard rate fee. Same applies to late payment fees. So please check the calendar of payment dates. 2. Vendor Space: Distribution of Vendor Space will be assigned and priority given upon receipt of payment and agreement. All Vendor Space assignments are at the sole discretion of PPTS, however, PPTS will consider all requests of paid Vendors. Sharing of Vendor Space is permitted with restriction of signage and agreement will be between PPTS and primary contract holder. The Vendor sign will only be in the name of contract holder. Use of display by unauthorized or third parties is strictly prohibited. All Vendors must remain assembled and staffed throughout Vendor Hours until the official closing time. If a Vendor Fails to occupy space contracted for or should a vendor s display or materials fail to arrive, vendor shall not be relieved of the obligation of paying full charge for space. If not occupied by the time set for completion of the installation of the displays, such space may be reallocated or reassigned. 3. Payments: Cash, Cashier Checks, Money Orders, Credit & Debit Cards- Visa, Mastercard, American Express, and Discover are acceptable forms of payment. We will not accept Personal Checks. Any balance due could be automatically charged to your credit and/or debit card account 30 days before show opening date. If deposit is paid by check, the outstanding balance must be paid 6 weeks before the show opening date or specified payment deadline. Any deposits and space may be forfeited, at PPTS discretion, if the full balance has not been received by the due date. All costs for collections, including reasonable attorney s fees, accrued interest, returned checks and/or credit card charge backs and any other fees due to PPTS shall be the responsibility of Vendor. If no written notification is received 30 days prior to the show, vendor will be held financially responsible for vendor space. Payments received are non-refundable and non transferable, except as provided in paragraph 8 of this agreement. 4. Licenses, Insurance, Permits: Vendors are fully responsible for obtaining all licenses, insurance, or permits required and adhering to all applicable laws, ordinances, and statues. Permits include, but are not limited to; sales tax permits, as well as health permits for any vendor selling, displaying, or sampling food. 5. Limitation of Liability: Vendor expressly releases PPTS from any and all liability and waives a.)any and all demands, claims, and causes of action in law or in equity, related to any defect, deficiency, failure or impairment of utilities or other facilities, including water, heating, electrical, ventilation, refrigeration or other mechanical systems failure; b.) the conduct, negligence or claims of any vendor or attendee; and c.) any fire, flood, strike, terrorist attack, weather, or other force majeure beyond control of PPTS. 6. Product/Service Exclusivity: Product And/Or Service Exclusivity is not guaranteed through, this reservation, this also includes Brand Exclusivity. 7. Indemnification: Vendors displays and exhibit property at their own risk. PPTS does not assume any responsibility for loss or damage to the Vendor s property. PPTS will not be held accountable for death or injury of any person attending the show, or for any damages suffered by Vendor or it s offers, agents, employees, or invitees as a result of any cause whatsoever. Vendor shall indemnify and hold PPTS, its parent, subsidiaries, affiliates, sponsors, and their respective officers, directors, agents, and employees harmless from any suit or claim arising out of any action or failures to act by the Vendor. Vendor shall be liable for any and all damages caused by Vendor to the Show building grounds, landscaping, floors, walls, columns, or any other part of the building, or the chattels and fixtures of the building or any other Vendor or person or entity having property at the events building s premises. Vendors are advised to obtain insurance coverage for this risk. 8. Cancellation: PPTS reserves the right to cancel this Show at any time prior to the date of the event with refund of all amounts paid by participants to PPTS in connection with this Agreement. Otherwise all payments are non-refundable. 9. No Guarantee of Results: PPTS does not warrant or guarantee any particular results of the Show, nor does it guarantee a particular number of attendees or Vendors. 10. PPTS Authority: PPTS reserves the right, upon reasonable notice to the Vendor, to substitute alternate dates and/or facilities other than those originally planned for a particular event. Vendor, also hereby grants PPTS permission to use Vendor s Name and/ or Logos for promotional purposes in connection with the Trade Show and/or events produced by PPTS. This permission shall extend to photographs of the Vendor s Space. 11. Miscellaneous: Vendors may not pin or tape anything to back drapes; Loud or offensive exhibits, subject PPTS discretion, are not permitted; Blocking Aisles soliciting customers in the aisles or handing materials out in the aisles is strictly prohibited. Absolutely no helium balloons will be allowed in the facility. Vendors must also comply with all requirements of the Venue provider. 12. Complete Agreement: This agreement represents the entire agreement between the parties and supersedes all communications, understandings, or agreements, if any expressed or implied, whether written or verbal. PPTS has made and makes no representation of any kind except those specifically set forth herein. In the event of any dispute to the terms of this Contract, the parties agree to consult with a professional mediator agreed upon by all parties prior to seeking legal action. The prevailing party shall be entitled to recover costs and attorney s fees. This contract shall be interpreted and construed pursuant to the laws of the State of Georgia.
