1.0 Introduction Colorado Springs Utilities (UTILITIES) requires professional services to assist in the upgrade from Lawson Environment version 8.0.3 to Lawson System Foundation (LSF) 9.0. This Statement of Work (SOW) defines the professional services (Services) to be performed by CONTRACTOR for the LSF 9.0 Implementation Project, in accordance with Professional Services Agreement Number [TBD]. 2.0 Background Currently, Springs Utilities utilizes Lawson software. to process HR, payroll, benefits, personnel and financial transactions and information. The database used is Oracle 10g. This is known internally as the Financial Human Analytical System (FHAS). The current environment version (8.0.3ESP7) will be decommissioned by the vendor in May 2009. In order for UTILITIES to continue receiving technical support from Lawson, the software environment must be upgraded to Lawson version 9.0. UTILITIES is seeking external consulting services for installation, configuration, and other implementation services to complete this effort. Prerequisite for these efforts in providing services is that prospective CONTRACTORS shall be certified by Lawson Software, Inc. to perform Lawson LSF9 upgrade services using approved methodologies. 3.0 Scope This Statement of Work describes the scope of services and deliverables for installation system assessment and planning, installation and configuration of LSF 9.0, integration of LSF 9.0 with UTILITIES existing LDAP (Lightweight Directory Access Protocol) and Single Sign On (SSO) authorization environment, migration of our existing Lawson Environment 8.0.3 ESP7 content, knowledge transfer and process documentation. CONTRACTOR will provide Services in support of this project, including reviewing and refining the project plan, installation, configuration and implementation of LSF 9.0, integration of LSF 9.0 with UTILITIES LDAP authentication and authorization environment, migration of the existing Lawson Environment 8.0.3 Environment Service Pack 7 (ESP7) content to LSF 9.0, and documentation/knowledge transfer of all activities completed within the LSF 9.0 environment. Additionally, UTILITIES requires a configuration to SSO authorization. Documentation of all of CONTRACTOR s decisions, customizations, and processes used is a key deliverable in this project. CONTRACTOR will be responsible for: Providing installation services for the successful installation and configuration of Lawson LSF9 software upgrade and associated software. Providing a detailed implementation plan which includes tasks, deliverables, and other related information consistent with the outline provided in this Scope of Work. Providing documentation, consisting of the LSF9 Administration and Procedures guides and the Installation Exit. help them understand the process impacts and integration points of LSF 9.0 technology and the Lawson applications Providing assistance to the UTILITIES Project Manager with refining the project plan, including tasks, milestones and deliverables for the implementation based on resources and business needs Providing written details regarding issues and/or progress updates to the IT Project Manager on a weekly basis, including a list of outstanding problems and time/solution to resolve, and who is responsible for resolving Providing assistance to UTILITIES with optimization of server/database processes as needed to gain acceptable level of efficiency. The expectation is that the system will perform at least as efficiently as it does today, or more efficiently related to processing time Providing documentation of all processes, procedures, decisions, and customizations implemented in provision of the Services. Documentation will consist of procedural and installation guides and the Installation Exit Verification. Training of key support personnel in the processes, procedures, decisions, customizations, and best practices implemented. Note this is a knowledge transfer scope item and does not include full system administration and/or report development. CONTRACTOR shall perform the Services remotely or on site, as directed by UTILITIES Project Manager. CONTRACTOR shall obtain advance approval from UTILITIES before initiating travel to perform any Services at UTILITIES site(s). For such pre-approved travel, CONTRACTOR will be reimbursed for travel related expenses within the limits of UTILITIES then-current travel reimbursement policy. 4.0 Tasks, Deliverables & Schedule CONTRACTOR shall be responsible to ensure that: LDAP is installed, and the successful binding/connecting to our internal LDAP Service is completed and functioning appropriately. This task will require written acceptance by UTILITIES, including the Project Manager, Systems and Database Lead, and Systems Security. WebSphere is installed and UTILITIES is able to use WebSphere as a local and remote web server for Employee Self Service (ESS), Portal and ESS from Home. Security (LAUA Lawson Account User Administration) is working as expected and access is limited to what was defined by UTILITIES Business Application Administrators, as well as at least one LAUA security class converted to the Lawson Security 9.0 (LS 9.0). Connection of the Lawson Application instances to Oracle is completed and UTILITIES is able to add, change and delete data. Ensure FHAS Technical Team understands all aspects of installation and implementation, including LDAP and WebSphere set up. This will be measured by the successful implementation on the production system completed by the FHAS Technical team. T01-10653 (04/2004) Page 2 of 8 RFP-DH-54826

To accomplish the above, CONTRACTOR shall prepare an implementation plan with the following Tasks, in order to complete the project by June 15, 2008. CONTRACTOR shall perform Tasks as requested and authorized by UTILITIES Project Manager. Items in the table below marked with an asterisk (*) are used in our current Lawson environment. Because performance of this upgrade will be similar to a new installation of the Lawson environment, those items marked with an asterisk (*) must be migrated to and re-installed in LSF 9.0. [RFP Respondents: Insert proposed start and completion dates for all Tasks/Deliverables per Section 1.6 of Exhibit B. Schedule will be subject to approval/agreement by UTILITIES & CONTRACTOR prior to contract execution. UTILITIES will develop custom content for testing. 5.8 Demonstrate then assist the FHAS Technical team with the installation of Lawson s user interface (1 per environment max of 2) (*) 5.9 Assist the FHAS Technical team with installation of Lawson s Web based Self Service Application (3 instances) (*) 5.10 Assist the FHAS Technical team with and document the installation of BSI TaxFactory 8g (2 instances) (*) 5.11 Assist the FHAS Technical team with installation of Lawson s environment and Application Maintenance pack (latest available) Programs can be recompiled with no errors or warning messages Successful authentication of different UTILITIES groups of users using the LDAP bind to the UTILITIES LDAP Service. Successfully connect to the Oracle database and retrieve data. Successful encryption and decryption of data using Bouncy Castle. This will be accomplished by sending test files. Access all Lawson application and environment programs with no issues. Successfully access Employee Self Service (ESS) from inside the organization as well as from home. This includes successful updating of employee data as well. Successfully design and run a Professional Process flow, Design Studio and a MS Addin file. We will know if Professional Process Flow is successful if people are notified via their in-basket of a pending transaction, if Finance and HR can access and update forms created via Design Studio and a data can be retrieved and uploaded successfully via MS-Addin s. Successfully access and update employee or financial data. Successfully access ESS and Manager Self Service (MSS). Successfully run a small payroll to ensure payroll taxes are calculating correctly. All interfaces should work exactly as they do today. 5.17 (UTILITIES): Review printer definition Verify that Lawson defined printers can be printed to successfully. 5.18 Provide Installation Exit Verification documentation to support all installations, set up and changes 5.19 Assist with and document procedure for migration of data from current 8.0.3 environment to new version 5.20 Provide technical assistance for production migration to LSF 9.0. This will include weekend support for the go live in production. 5.21 Provide support for live version 9.0. This will include weekend support for the go live in production. 5.22 Ensure knowledge transfer with FHAS Technical Staff, including LDAP information Verify that the data is converted correctly by running before and after reports. The FHAS Technical team will lead the migration to production with CONTRACTOR present for assistance. We would require CONTRACTOR consultant to be available for go live weekend. After that, support will be handled by Lawson s Global Support Group. This will be measured by the FHAS team s success at implementation on production. 6.0 Resource Requirements TBD - Requirements to be mutually agreed upon by CONTRACTOR and UTILITIES prior to execution of contract. (See Section 1.10 of Exhibit B to RFP) 7.0 CONTRACTOR s Key Personnel. CONTRACTOR s personnel performing the services shall be certified in Lawson 9.0, for all modules used by UTILITIES. CONTRACTOR shall provide evidence of such certifications prior to starting the Services. CONTRACTOR'S personnel listed below are considered to be essential to the work being performed hereunder. Prior to diverting any of the specified individuals to other programs or in the event a key personnel terminates his/her employment, CONTRACTOR shall notify the T01-10653 (04/2004) Page 6 of 8 RFP-DH-54826

identified UTILITIES Project Manager in advance and shall submit written justification, including proposed substitutions, in sufficient detail to permit evaluation of the impact on the project. No diversion or substitution shall be made by CONTRACTOR without written consent of UTILITIES. Name (TBD) Organization 8.0 Project Cost CONTRACTOR shall provide the Services contained in this SOW on a time and materials basis, at the rates specified in Exhibit B to this Contract, not to exceed $TBD. UTILITIES will only be invoiced for actual hours applying to Services requested by UTILITIES and delivered by CONTRACTOR. 9.0 Changes in Scope All changes to the Statement of Work including all additions to or deletions of Services provided herein shall require written pre-approval by both UTILITIES and CONTRACTOR. 10.1 In Scope Changes. UTILITIES has expended great efforts in preparing the specifications in this Statement of Work, and in attempting to describe as thoroughly and precisely the requirements therein, it is possible that some of the requirements might have been involuntarily or inadvertently omitted from the Statement of Work. If any requirements that relate to, or are similar to, the requirements contained in the attached Statement of Work have been overlooked such requirement(s) will be deemed incorporated by this reference into the relevant portion of the Statement of Work. 10.2 Out of Scope Changes. All requests for services to be provided that are outside of this Statement of Work will require a mutually agreed upon Amendment to the Statement of Work. UTILITIES will not be liable for any out of scope work or services which are preformed prior to the execution of such Amendment between the parties. 10.0 Security Requirements CONTRACTOR shall comply with all of UTILITIES safety and security policies and procedures.
