Conduct an introductory telephone conference call with Your project manager to review the Services and estimated timeline for the performance of Services; 2. Conduct an Application and Process Overview Workshop for up to two (2) hours with Your project manager and the project team; 3. Perform the Initial Functional Setup of Your development environment; 4. Conduct a User & Organization Workshop for up to two (2) hours with Your project manager and the project team; 5. Conduct a Business Process Workshop for up to four (4) hours with Your project manager and the project team; 6. Based on input gathered during workshops and as documented in configuration workbooks, configure Your Oracle Sales Cloud development environment, as follows: A. Set up of up to one (1) Organization (Business Unit) and one (1) Country; B. Set up an assignment of up to two hundred (200) users to five (5) seeded roles (e.g. sales rep, sales manager); C. Configure one (1) single language and one (1) single currency to be deployed for all application users; D. Configure the Profile Options for Global Search; E. Configure the Profile Options for Accounting Calendar; F. Configure the Profile Options for Accounts, Contacts, Activities; G. Configure up to ten (10) custom fields on the Account object; H. Configure up to ten (10) custom fields on the Contact object; I. Configure Profile Options for Leads & Opportunities; J. Configure up to ten (10) custom fields on the Opportunity object; K. Configure the Profile Options for Sales Catalog, as follows: 1) Configure the Sales Catalog for up to two (2) Product Group Levels; 2) Configure the Sales Catalog for up to one hundred (100) Product Groups; and 3) Set up Sales Catalog for base usage. L. Configure Profile Options for Oracle Social Network and Oracle Sales Cloud Mobile Application; and M. Activate standard Oracle Transactional Business Intelligence (OTBI) reports. 7. Conduct a configuration familiarization session for up to four (4) hours; 8. 9 9. Make available the standard Oracle Sales Cloud Services End User Guide via a URL; 10. Make available the standard Oracle Sales Cloud Services Administration User Guide via a URL; 11. Conduct a Personalization Session for up to one (1) hour; and 12. Deploy Your Oracle Sales Cloud Services configuration into Your production environment ( Go- Live ). Your Obligations and Project Assumptions In addition to the obligations and assumptions stated in Your order, You acknowledge that Oracle s ability to perform the Services depends upon Your fulfillment of the following obligations and the following project assumptions: Your Obligations 1. Obtain Cloud Services under separate contract prior to the commencement of Services and maintain such Cloud Services for the duration of the Services. 2. Ensure Your existing procedure and business process documentation is made available to Oracle in a timely manner prior to the start of the Services. 3. Notify Oracle within two (2) business days about any inaccuracies or incomplete information in project documents provided by Oracle to You. 4. Develop any necessary end-user documentation, including, but not limited to, documenting specific business practices, data examples and organization/end-user specific policies and procedures. 5. Be responsible for planning, executing, and managing all aspects of the system review, including preparing and executing test cases and plans and reviewing test results. 6. Modify Your processes as necessary to comply with the standard functionality in the Oracle Sales Cloud Services. 7. Be responsible for extracting the data from source systems, cleaning it and translating it in format specified by Oracle and loading in Oracle Sales Cloud application. 8. Maintain responsibility for the implementation of (file based) interfaces in Your existing systems including production and consumption of file based interfaces by non-oracle systems. 9. Ensure that Your team members are dedicated to completing their obligations related to these Services and their assigned tasks under the project work plan. 10. Be responsible for post production maintenance and support of Oracle Sales Cloud application. 11. Be responsible for data migration and system integrations between Oracle Sales Cloud and legacy applications. 12. Be responsible for delivery and conducting end user training. 13. You agree to make reasonable efforts to limit Oracle s access to personal data to the minimum necessary to accomplish the intended purposes. You acknowledge that You are solely responsible for providing any required notices and obtaining any required consents for the processing or transfers of personal data. You acknowledge that Oracle may provide the services from Oracle s global locations. 14. Prior to the commencement of Services, You designate and identify a business resource that will be responsible for coordinating Your participation in this project and provide on-going support for Your implementation of Oracle Sales Cloud. Responsibilities include but are not limited to: A. Provide user feedback during configuration and validation; Oracle Consulting Midsize Services Descriptions v docx Page 9 of 195

10 B. Available as needed during the project to answer Oracle s questions, provide business decisions and other items as required; and C. Provide on-going support to internal users after implementation of Services. Project Assumptions 1. Some Services will be provided remotely via conference calls and web conferences. 2. The Services shall be delivered using Oracle s Cloud Implementation Methodology. 3. All project documentation, presentations and project communication will be in English. 4. Standard functionalities will not be documented. 5. Performance testing, tuning or any management of performance services are not in scope. 6. Go-Live is defined as when the End-to-End system review is completed and users are activated. 7. The Services are designed to Go-live in the production environment at one time with all users (i.e. no multiple or staged Go-lives). 8. Anything not expressly specified in the Description of Services is out of scope. 9. Any timelines or expected completion dates discussed with You are estimated dates and are intended for planning purposes only. 10. Capitalized terms not defined in the agreement or this order shall refer to named functionality and activities within the applicable Cloud Services, as described in more detail within the Oracle Program documentation. Completion of Services Upon completion of the Services, Oracle will provide You with written notice (e.g., a completion certificate). If You fail to provide written notice to Oracle that the Services do not conform to the description as set forth in the above Description of Services, within five (5) business days after the date of Oracle s written notice of completion (the review period ), then the Services shall be deemed completed at the end of the review period. Unused Services The Services must be used within twelve (12) months from Your order s signature date, unless otherwise stated in Your order ( Professional Services Period ). Any Services not used within the Professional Services Period will be automatically forfeited by You, with no further action required of either party, and You will not be entitled to a refund, or any credit toward additional or other services, for any unused portion of the fees paid for any unused Services. You may not use the fees for any services other than the Services stated herein. Expenses In addition to the fees set forth in Your order, You agree to reimburse Oracle for travel and out of pocket expenses related to providing any on-site services. All expenses invoiced monthly hereunder are due and payable in accordance with the payment terms of Your order. Project Management You and Oracle each agree to designate a project manager who shall be responsible for coordinating its activities under this order. You and Oracle each shall direct all inquiries concerning the Services to the other party's project manager. Oracle s project manager shall have the sole right to exercise direct control and supervision over the work assignments of Oracle resources. Conduct an introductory telephone conference call with Your project manager to review the Services and estimated timeline for the performance of Services; 2. Conduct a Territory Management Design Workshop for up to four (4) hours with Your project manager and project team ; 3. Based on input gathered during the Territory Management Design Workshop and documented in the configuration workbook, configure Your Oracle Sales Cloud development environment, including: A. Define Territory Management Profile options, including defaults and linkages between Territory dimensions and Account classifications B. Configure Profile Attributes, Lookup Values, and Territory Type C. Set up and synchronize dimension and Territory members D. Set up Territory geographies as applicable E. Configure up to twenty (20) Territories F. Configure up to two (2) standard Dimensions G. Perform a one-time batch assignment of Territories H. Setup scheduled processes for Territory Assignment if needed 4. Conduct a configuration familiarization session for up to four (4) hours; 5. Conduct a review session of the Services for up to two (2) hours; 6. Make available the standard Oracle Cloud Sales Administration User Guide via a URL; and 7. Deploy Your Oracle Sales Cloud Service configuration into Your production environment ( Go- Live ).
