General Terms of Business 1 Advertising Agreement and Scope (1) The Advertising Agreement within the meaning of these General Terms of Business is the agreement on the publication of one or several advertisements of a Commissioning Party in kid s wear magazine. (2) For the Advertising Agreement these General Terms of Business shall apply exclusively;; any General Terms of Business Agreement unless kid s wear Publishing House has explicitly agreed to their validity in writing. 2 Conclusion of the Agreement The Advertising Agreement shall be brought about when: b.) the advertisement is published in kid s wear magazine. (1) The Publishing House shall reserve the right not to publish advertisements due to their content, origin or technical form Publishing House for any other reasons. (2) The Publishing House shall be entitled to withdraw from circulation advertisements whose content violates legal or Commissioning Party shall be informed of such measures forthwith. The Commissioning Party shall not be entitled to claim compensation as a result of this. (1) The Commissioning Party alone shall be responsible for the content, in particular its accuracy and the legal admissibility of the text and visual material made available for the placing of the advertisement. (2) The Publishing House shall not be obliged to check the advertisement in terms of impairing third party rights. The Commissioning Party shall be obliged to release the Publishing House from third party claims which could arise from publis- hing the advertisement in any way to the detriment of the Publishing House. (3) Where protected brand rights are used in the publication of the advertisement, the permit to use these rights shall hereby be granted. The Commissioning Party shall ensure that he is entitled to grant the permit. kid s wear Publishing House shall of the fee by the Commissioning Party, inter alia for any layout work by kid s wear Publishing House, shall, insofar as no the Commissioning Party or the agency acting on its behalf. Insofar as the advertisement published by kid s wear Publishing House was prepared by the Commissioning Party himself or by an agency acting on its behalf, the Commissioning Part shall hereby grant the Publishing House the exclusive rights of use to deploy the advertisement in terms of all types of use involved with the publication of the advertisement. (4) Through this the Publishing House shall also particularly be authorised to fend off, on its own behalf, unlawful encroachment on copyright by third parties as a result of the publication and to lodge any claims for compensation arising from this. (5) All the information published by kid s wear Publishing House (texts, pictures etc.) shall be subject to the copyright of kid s wear Publishing House. However, information published by the Publishing House which was produced by the Commissioning Party itself or by an agency acting on its behalf shall be excluded from this. Only in these cases shall the copyright not be in the hands of kid s wear Publishing House, but in those of the relevant Commissioning Party or of the agency acting on its behalf. 5 Publication to Commence and Cease (1) Publication shall commence on that date agreed in writing with the Commissioning Party. Where no date has been agreed upon in this way the advertisement shall be published immediately after the Advertising Agreement has been concluded or at the latest by the date the sum payable is credited to kid s wear Publishing House s account. must be done by no later than 4 weeks prior to an agreed date for publication. kid s wear Publishing House shall not be held generally responsible for delays arising as a result of the content of the advertising text made available for advertising by the Commissioning Party, should these delays arise due to content or technical reasons. prior to the end of the duration of the Agreement. Should no notice be given each Agreement shall automatically be extended for a further term. 6 Remuneration and Arrears (1) The Commissioning Party shall pay kid s wear Publishing House the fee set out in the Agreement for the publication of the advertisement. (2) The invoice shall be prepared in advance by kid s wear Publishing House immediately after conclusion of the Agreement for the entire duration of the Agreement and shall be forwarded to the Commissioning Party. The invoice shall be due and payable without any discounts within 14 days subsequent to invoicing. (3) Should the Commissioning Party fall into arrears, kid s wear Publishing House shall be entitled to demand interest on arre ars of 5 % above the current base rate of the German Bundesbank p.a. 7 Place of Publication (1) The Commissioning Party shall pay the fee for publication of the advertisement in kid s wear magazine. The Commissioning Party shall be entitled, for the duration of the Agreement, to publication in that magazine. (2) kid s wear Publishing House shall be entitled, though not obliged, to publish the advertisement in any print medium of its choice or to have it published by third parties. This shall be an additional and voluntary service on the part of kid s wear Publishing House which shall not imply any additional costs for the Commissioning Party. 8 Changes to Advertising Copy (1) The Publishing House shall be obliged, at the request of the Commissioning Party, to make changes to the Commissioning Party s advertisement published by the Publishing House during the period of publication insofar as these are reasonable for the Publishing House in technical and content terms. (2) All changes shall be subject to a charge and shall be invoiced separately. notice. Where this is not the case, the Commissioning Party must be informed of this. 10 Liability (1) kid s wear Publishing House and its representatives or vicarious agents shall only be held liable for compensation for closest to the inoperative clause. 3 Status These General Terms of Business (correct as of April 2004 ) shall replace all our previous General Terms of Business. (2) Exclusion of liability shall not apply in the event of intent or gross negligence nor liability for guaranteed characteristics. (3) Where cardinal obligations are violated in the aforementioned way, liability shall be limited to the damage typical to this type of agreement (price of the advertisement). (4) In any event, liability - with merchants for gross and slight negligence and with vicarious agents (who are not legal repre- sentatives or executives) also liability for intent - shall be limited to the typical and foreseeable damage in such cases which is not controllable by the Commissioning Party. 11 Safekeeping of Advertising Artwork and Copy Filing of Advertisements The advertising artwork and copy made available by the Commissioning Party for advertisement production are only to be sent back to the Commissioning Party by kid s wear Publishing House on special written request made by the Commissioning Party. The obligation to keep advertising artwork and copy safe shall end three months after the Advertising Agreement manner once the Advertising Agreement has ended. Where the Commissioning Party is a merchant, legal person under public law or public separate estate or where he has no general place of jurisdiction in the Federal Republic of Germany, Cologne shall be the sole place of jurisdiction for all disputes arising from this contractual relationship. (2) Supplementary agreements, amendments and supplements must be made in writing to take effect;; this shall also particularly apply for the cancellation of this provision. (3) Should one of the above provisions become inoperative, the effectiveness of the remaining clauses shall remain unaffected. The inoperative clause shall then by replaced by common consent by one whose commercial and legal purpose comes
