October 7, 2014 Dear Valued Customer: On June 20, 2014, Landmark Bank, N.A. assumed the deposits and essentially all of the assets of Valley Bank. We have been diligently working on merging the two operating systems and we are pleased to inform you that we have reached the final phase. During the weekend of November 7, 2014 we will be merging and consolidating the Valley Bank operating system into Landmark Bank, N.A. This consolidation will allow you the opportunity to visit any of our six (6) convenient branch locations and conduct your normal banking transactions. Our goal is a smooth transition of operational functions. To assist with this process, you will be receiving a statement through November 7, 2014. Your next statement will either be produced on the 15 th or the 30 th of November based on your account type and will be delivered via US mail. Listed below are several key points of interest concerning your banking relationship: Your new Landmark Bank Visa Debit card(s) are on order and will be delivered prior to November 7 th. You will be able to continue to use your Valley Bank checks even after the merger. You will continue to receive your direct deposits as normal. The branches will operate during normal business hours on Monday, November 10 th. The following is a schedule of important information, dates and times: Before Conversion (Prior to Friday, November 7, 2014) Valley Bank Online Banking Users: Download and save (or print) your Valley Bank account statements and transaction history. Account transaction history will not be converted to your new online banking account. At 5:00 p.m. on November 7 th, the Valley Bank Online Banking system will no longer be available. Valley Bank Bill Payment Users: Download, print and save all current payee information, to include name, address & account information. Bill Payment payees and associated history will not be converted and will need to be re-established on the new Landmark Bank bill payment system. New Landmark Bank Consumer and Business Visa Debit Cards will be mailed during the week of October 27 th. You may call 1-800-567-3451 to activate and choose a new Personal Identification Number (PIN) for your new Landmark Bank Visa Debit Card; however, you may begin to use your new card on November 7 th. If you have previously set up recurring payments that are tied to your Valley Bank debit card, please contact your vendors with the new Landmark Bank card information.

Conversion Weekend (Friday, November 7 th Sunday, November 9 th ) Your Valley Bank accounts will be transferred to the Landmark Bank operating system over the weekend from Friday, November 7, 2014 at 5:00 p.m. EST through Monday November 10, 2014 at 8:30 a.m. EST. During this time period, you will not have access to your new on-line banking system. Using your new Landmark Bank Visa Debit Card, you will have full access to ATM and Point of Sale (POS) transactions. This will allow you to withdraw cash or pay for items at any POS device. See included Frequently Asked Questions for additional information. Landmark Bank s Customer Support Team will be available to assist you over the conversion weekend for emergency issues. Call 1-866-425-5488 on Saturday or Sunday from 8:00 a.m. EST to 5:00 p.m. EST. and we will be happy to assist you. November 7, 2014 Your current Valley Bank Debit MasterCard will no longer be active and available for use after 3:00 a.m. EST at which time your new Landmark Bank Visa Debit Card will be available for use; Beginning at 5:00 p.m. EST, all on-line banking services will no longer be available for use; Beginning at 5:00 p.m. EST, Telebanc 24 hour automated banking service will no longer be available for use and will be suspended until November 10 th. The new phone number is 1-866- 802-0652; All customers will receive a final paper statement with activity through November 7, 2014, including those who are receiving electronic statements. November 10, 2014 Normal branch banking hours will resume; Beginning at 8:30 a.m. EST, On-line banking services at landmarkbankonline.com will be available for use; Beginning at 8:30 a.m. EST, Telebanc services will resume using the toll free number 1-866-802-0652; Conversion support team is available for technical help at 1-866-425-5488. In preparation for the consolidation process, the Valley Bank account products were carefully reviewed and matched to the Landmark Bank accounts they most closely resembled. Below is a list of the old account product names and the Landmark Bank product it will become:

FREQUENTLY ASKED QUESTIONS What happens to my online banking? On November 10 th, you will be able to access your online banking accounts at www.landmarkbankonline.com. Your Login and Password will remain the same as it was with Valley Bank. Your Valley Bank account history will no longer be available. All Valley Bank online users will use either the personal online banking selection or small business online banking selection unless you are a cash management customer (see below for cash management). During the merger weekend, Landmark Bank s online banking system will not be available until Monday morning, November 10 th. We understand the inconvenience this may cause and we will work diligently to have the site up and running as quickly as possible. What happens to my bill payment? Once you have logged into the online banking, you will need to set up your bill pay. Any prior bill payments and history will not transfer over. In order to avoid late penalties and to ensure your bills are paid in a timely manner, please schedule all online bill pay transactions with Valley Bank prior to November 7, 2014 or after November 10 th on Landmark Bank s bill payment system. If you have payments scheduled to be sent during this time frame, please edit these payments to be processed before November 7 th. Your local bank representative will be available to help you set up your bill payments. Welcome! Your money is safe and secure. You will be able to access your online account on November 10, 2014 at www.landmarkbankonline.com What happens to my Cash Management logon? You will continue to have access to Landmark Bank s Corporate Cash Management system. A Landmark Bank employee will be contacting each customer prior to November 7 th to review online enrollment. In order to avoid late penalties and to ensure your bills are paid in a timely manner, please schedule all online bill pay transactions with Valley Bank prior to November 7, 2014 or after November 10 th on Landmark Bank s bill payment system. If you have payments scheduled to be sent during this time frame, please edit these payments to be processed before November 7 th. During the merger weekend, Landmark Bank s Corporate Cash Management system will not be available until Monday morning, November 10, 2014. You will no longer receive estatements and your statements will begin being mailed to you after November 10 th. Going forward, you will also be able to access your statements via Landmark Bank s online banking system. We recommend that you download and save or print your current Valley Bank Statements prior to November 7, 2014, as they will no longer be available online after that. To assist you in reconciling your accounts, you will receive a Valley Bank statement through November 7, 2014. Your next statement will be a Landmark Bank statement and will be produced on the 15 th or the 30 th of November based on your account type. When will I receive my new debit card? If you have an active Valley Bank Debit MasterCard, your new Landmark Bank Visa Debit Card will be mailed to you during the week of October 27, 2014 to replace your existing card. Once you receive your card, please call 1-800- 567-3451 to activate the card and choose your new PIN number. Activation instructions and additional information will be included with your new Landmark Bank Visa Debit Card packet. You may activate and choose your new PIN any time after you receive your new card in the mail. Your current Valley Bank Debit MasterCard will no longer be active and available for use after 3:00 a.m. EST on Friday November 7, 2014, at which time you may begin using your new Landmark Bank Visa Debit Card.

If you have previously set up reoccurring payments that are tied to your Valley Bank debit card, please contact your vendors with the new Landmark Bank card information. Can I use my old checks? Yes, you will be able to use your existing supply of Valley Bank checks. When it is time to reorder checks please contact a customer service representative at your local branch to assist you in ordering new Landmark Bank checks. What happens to my Direct Deposit? No action is required. Your direct deposits will continue to post as they normally do. What happens to my auto debits that are set up using my account number and routing number? No action is required. Your auto debits will continue to post as they normally do. Where do I call for telephone banking? After November 10 th, your accounts will transfer to our telephone banking system. The new toll-free number for telephone banking is 1-866-802-0652. Your credentials will remain the same as they were with Valley Bank. What happens to the interest on my account? Interest that accrued through Friday, November 7, 2014 on deposits will be paid. The Bank may change rates on variable rate accounts at its discretion. Our personal checking and money market accounts pay interest based on a tiered balance.
