1 Agreement on consultancy services by and between Lillebaelt Academy of Professional Higher Education and xxxxxxxxxxxxxxxxxxxxxxxxx This agreement is entered by and between Lillebaelt, Academy of Professional Higher Education, herein after referred to as the Academy, and the consultant mentioned above, hereinafter referred to as the Consultant. The purpose of this agreement is student recruitment to the Academy. The Academy is represented by Please find the contact person for each study programme on the next page. 2 The Consultant has been selected by the Academy for the purpose of promoting its English taught educations listed below. The Academy authorizes the Consultant to assist in the process of selecting foreign students for further enrolment process. Activities and services to be performed by the Consultant: 1. Advertising in local media and at local events and fairs 2. Establishing a help desk for applicants 3. Holding informational meetings for applicants 4. Evaluation and selection of prospect candidates 5. Receiving applications 6. Working out a list of successful applicants for each of the programmes in question in accordance with the issued deadlines for applications. Later incoming applications may however still be considered. The list shall include the following information: Name, gender, age, address, address, phone number. Agreement 2

3 Documentation for their educational background and level. Name of the programme the student is applying for. 7. Providing assistance in arranging applicant phone or Skype interviews 8. Assist applicants throughout the process until arriving in Denmark. The specific number of students to be recruited is subject to agreement with the Academy. The final selection of candidates will be carried out by the Academy. The Consultant must act and work according to the laws and rules of his country and according to the Code of Conduct (COC) for Danish institutions of higher education under the Danish Ministry of Education. The Consultant is liable for the content of disseminated information, which must fully correspond to the information provided by the Academy on their web site and to the COC. All students must be given an accurate picture of the academic level of the Academy and a realistic picture of working and living conditions in Denmark. The consultant must inform about and be able to answer questions concerning: The admission process Residence permit Costs of living Costs of books Accommodation Spare time jobs Counsellors at EAL All students have to meet the following requirements to be selected: General requirements An educational level equivalent to a Danish Upper secondary certificate is required. All students must have the necessary qualifications to study abroad at a higher level. Language requirements Applicants must have a level of the English language that enables them to study at a professional higher education level. Specific requirements mentioned at for each programme must be met. Tuition fee Students from the European Union do not pay tuition fee. However, the students must cover the cost of books and other expenditures in connection with staying and studying in Denmark. Non EU students pay tuition fees. Period of Performance This Agreement is valid for 1 year since the date of signature by both parties. The performance of the Consultant will be evaluated by the Academy according to the number of students recruited, relevancy of their qualifications and Consultant s compliance with the terms and conditions of the cooperation. The Academy reserves the right to termi- Agreement 3

4 nate the Agreement upon failure of the Consultant to perform within the frameworks of this Agreement. Programme Cancelation If an educational programme has to be cancelled by the Academy, the Consultant is not entitled to commission for recruited students for that particular programme start. The academy is committed to offer postponed admission to applicants for a later start. When a student then starts, the Commission will be paid according to terms mentioned elsewhere in this agreement. Commission for Service For each student, who starts at the Academy as a result of this agreement and provided the student fulfils the set of selection and study criteria, the Academy will pay the Consultant a commission. The payment will be made in two instalments. For students who are present and active in their originally chosen programme one month after the official starting date, instalment no. 1 will be paid. For students who pass the first semester exams and requirements and who are present one month after official start of the second semester, instalment no. 2 will be paid. After the above mentioned conditions are fulfilled, the reason to pay a commission is a Commission Claim Invoice, submitted to the Academy by the Consultant and fulfilling the Academy s Invoice requirements. Commission payment can only take place for students whose applications were sent to the Academy clearly stamped by the Consultant with the Consultants name. Modifications No modifications or amendment of this agreement is coming into force unless made in writing and duly signed by both parties. Governing law This agreement shall be governed by and conducted in accordance with the Danish law. Arbitration Any dispute between the parties regarding this agreement shall be finally settled by arbitration in Denmark in accordance with Danish Law and the rules and procedures of the Danish Institute of Arbitration (Copenhagen Arbitration). Confidentiality The details of this agreement must be kept confidential between the Consultant and the Academy. Signatures This Agreement is written in English and exists in two copies, one kept by each party. Agreement 4
