1 2008 MODEL CONTRACTS WORKSHOP Preliminary List of Speakers James Barnes is a member of the firm of Barnes & Cascio LLP, located in Houston, Texas. The firm s main areas of practice are international oil and gas and international business law, transactions and negotiations. Mr. Barnes has more than twenty-five years of experience negotiating and advising companies on upstream and midstream oil and gas acquisitions, operations and related activities. His clients are primarily oil and gas companies ranging from small independents desiring to enter the international arena to integrated majors. Mr. Barnes holds a bachelors degree in mathematics from the University of Vermont, a masters degree in agricultural and resource economics from the University of Maine, and a juris doctorate degree from the University of Florida. In addition Mr. Barnes has a diploma in international law from Trinity College, Cambridge, England and the Academy of Sciences, Warsaw, Poland, and has attended the International Executive Program at the Institute for Management Development in Lausanne, Switzerland. He is licensed to practice law in Texas and Florida. Mr. Barnes was formerly a senior partner at Thompson & Knight LLP, Vice President and General Attorney for British Gas Exploration and Production, Inc., and General Attorney for the International Divisions of Tenneco Oil Company. Currently, Mr. Barnes is serving as co-chair for the Model Joint Operating Agreement Revision Committee for the Association of International Petroleum Negotiators, as a Trustee of the Rocky Mountain Mineral Law Foundation, and as the Program Director of the Short Course on International Oil and Gas Law. In the past he has served as Vice President of Education of the AIPN, a Director of the AIPN, Chairman of the International Oil and Gas Program of the Rocky Mountain Mineral Law Annual Institute, Co-Chair for the International Energy Sub-Committee of the ABA International Section and an active participant of the AIPN drafting committees for the following model forms previous versions of the Joint Operating Agreement, the Study and Bidding Agreement, Lifting Agreement, Secondment Agreement, and Gas Sales Agreement. He writes and lectures on a variety of topics involving international energy law. Bateman, Jr. is a partner with Andrews Kurth LLP in the oil and gas group of the Business Transactions Section, and has been at the Firm over twenty-five years. He has broad experience in the foreign and domestic upstream, midstream, and downstream sectors of the oil and gas industry. He is on the Advisory Board for the Institute for Energy Law. Mr. Bateman is the Co-Chairman of the AIPN Term Sheet Committee. Mr. Bateman graduated from Southern Methodist University with a B.A., and received his J.D. from the University of Texas School of Law. Andreas joined DLA Piper from White & Case. In the past, Andreas has worked as a lecturer and legal advisor at the Centre for Energy, Petroleum and Mineral Law and Policy. He lectured on European energy and environmental law, energy market regulation, and 1

Garry has been an attorney for almost 30 years and has been handling international oil and gas matters for more than 25. His experience covers projects and business development in more than 45 countries and includes all types of government granting instruments, farmouts, joint operating and joint bidding agreements, gas sales agreements, production handling agreements, service contracts, infrastructure construction agreements, project financing, and purchase and sale agreements. In addition to currently serving as the co-chair on the committee that is charged with preparing a revised Joint Operating Agreement, he has served on a number of other model contract agreement drafting committees for the AIPN including Confidentiality, Gas Sales, Unitization, Farmout/Farmin, and Model Contract Term Sheets Garry has a BBA from the University of Texas at El Paso, a JD from Texas Tech University, and an MS in management from New York University. He is a lawyer graduated at the University of Buenos Aires. Ariel started his career in Buenos Aires working for Occidental Petroleum as in-house lawyer in 1986, then moved to work as Legal Manager for Total Austral in In 1999 he moved to Paris where he worked in Total S.A. as Business Coordinator for Latin America, then as V.P. Gabon. In 2004 Ariel was transferred to The Hague as a Business and Corporate Manager of Total E&P Netherlands, and he is currently in Paris working as V.P. Norway & Netherlands, Total S.A. He was the Director of the Hydrocarbons Laws, Gas Laws and Environmental Laws Collections published by the Argentine Oil and Gas Institute, and has published several works and articles related to legal and commercial issues of the oil industry. He has received awards from the Argentine Institute of Energy, The Argentine Association of Banks, the Argentine Academy of Social Sciences and Total S.A. 2

He has extensive experience analyzing, drafting, and reviewing energy-related contracts and insurance, indemnity and other contract issues. His practice background also includes master service agreements, onshore and offshore drilling contracts, charters, flight service agreements and onshore and offshore construction contracts. Mr. Pugh works with companies, both domestically and internationally, to develop comprehensive contracts that maximize the company s risk allocation, including indemnity and insurance protection. Sullivan Jr., is a member of the Legal Department of ConocoPhillips, where he provides legal support for ConocoPhillips international energy activities. Prior experience includes: Of Counsel to Thompson & Knight L.L.P. in its global energy group; fifteen years with Atlantic Richfield Company (ARCO), where he was Chief Counsel in ARCO s International Oil and Gas Division; and five years with Sun Oil Company. He has experience in negotiating and working with granting instruments in more than 25 different countries. He has been the lead attorney for natural gas development projects in Indonesia, China, Qatar (the Qatargas 3 LNG expansion project) and Mozambique; a major EOR project in Algeria; and for the LUKARCO joint venture between ARCO and the Russian oil company LUKOIL. Welmaker, Jr., is a Senior Partner in the law firm of Thompson & Knight LLP in Houston, Texas where his practice centers on international and US oil and gas transactions and dispute resolution. Before joining Thompson & Knight LLP, Mr. Welmaker was Director of International Negotiations for Coastal Oil & Gas Corporation. He had previously been in private law practice, was Assistant General Counsel at MidCon Corp and Vice President of Land of its Texoma Production Company subsidiary. Other companies where he has worked are Union Texas Petroleum, as Senior Counsel and Division Counsel and Gulf Oil Corporation, as Counsel to Bolivian Gulf Oil Company. Mr. Welmaker is admitted to the State Bar of Texas; the Florida Bar as well as being admitted to practice before the United States District Court for the Southern District of Texas. He served as cochair of the AIPN committee to revise the 2000 AIPN Model Form International Accounting Procedure and is now co-chair of the AIPN committee to revise the 1999 AIPN Model Form Confidentiality Agreement. Mr. Welmaker has been a speaker at various AIPN and bar association events. His last presentation was made at the State Bar of Texas Advanced Oil, Gas and Energy Resources Law Course in Houston, Texas where he spoke on recent revisions to the AIPN and COPAS accounting procedure forms.
