1 Mexico Energy Group Mexico Energy Group Oil and Gas Team José L. Valera is a partner in Mayer Brown s Global Energy group. Jose focuses his practice on domestic and international energy transactions and project development and has more than 25 years of legal experience representing oil, gas and electric energy companies throughout the United States, Central America, South America, Africa, Asia and the Caribbean. Jose represents oil and gas companies regarding exploration and production contracts, investment contracts, field development contracts, mergers and acquisitions, joint ventures, sales of products and LNG liquefaction and regasification projects. He also advises companies on the development of power generation projects, operation and maintenance of power plants, fuel supply, financing and mergers and acquisitions. Jose has advised several countries on legislative reforms in the energy industry and on the development of shared hydrocarbon resources. Jose is recognized in Chambers Latin America Energy 2015 for his oil and gas work. Proficient in English, Spanish (native) and French, Jose has been a board member of the Association of International Petroleum Negotiators (AIPN) and often participates as a speaker on energy issues at professional conferences. He is admitted to practice in Louisiana, Peru (inactive) and Texas. Francisco Mendez is a partner in Mayer Brown s Global Energy group. Previously, he spent close to 20 years at ExxonMobil Corporation as in-house counsel for Latin America, where he most recently advised the company on the opening of the oil and gas industry in Mexico to the private sector. As a part of this work, he was involved in the formation of the Mexican Hydrocarbons Association, the first such industry association in Mexico. In addition to his work in Mexico, Francisco also provides counsel on significant upstream and downstream projects in Latin America. 2 Dallas Parker is a partner in Mayer Brown s Global Energy group and his practice has had a career-long focus on transactions in the US and International oil and gas sectors. Dallas represents US and non-us clients in corporate and securities law matters, and he has extensive experience in the areas of mergers, acquisitions, dispositions and public and private offerings of securities. Dallas is a frequent speaker and author on Mexico energy policy, and sits on the advisory board of the Center for US and Mexican Law, a research center associated with the University of Houston Law Center. Dallas has been included in the Chambers USA Leaders in their Field legal directory by Chambers & Partners from , and according to Chambers, he understands the issues and knows when to move forward and when to back down (2012) and is viewed as instrumental to the firm s international presence, particularly in Brazil (2009). Pablo C. Ferrante is a partner in Mayer Brown s Global Energy group. He concentrates his practice on domestic and international corporate and energy transactions, with focus in Latin America. Pablo has extensive experience representing oil and gas companies on domestic and cross-border mergers and acquisitions and development projects and agreements. Pablo s dual civil law and common law training and experience gives him a unique perspective in assisting clients in cross-border matters and addressing the parties different perspectives in the context of cross-border transactions. Pablo is a member of the AIPN, and participates in several of its drafting committees. Pablo has been recognized by Chambers Global for his work in oil transactions in Latin America (Energy & Natural Resources (Foreign Experts)-Spotlight Table 2014) and by Chambers Latin America- Wide (Corporate M&A-Spotlight Table 2015). Pablo is fluent in English and Spanish (native). Alex Chequer is a partner in Tauil & Chequer (T&C) s Rio de Janeiro office and coleader of Mayer Brown s Global Energy group. He focuses his practice on mergers and acquisitions, joint ventures, projects and infrastructure development. He represents clients in such sectors as energy, renewable energy, oil and gas, mining and heavy industries and has assisted them with infrastructure projects in upstream, midstream and downstream energy, as well as in negotiations for the structuring of such projects with host countries. These have included pipeline projects, LNG facilities, and hydro, gas power plant, refinery, petrochemical, ethanol and renewable projects in Latin America and Africa. He also advises on energy exploration and production. The structuring of corporate and operating agreements is an important component of his project development activities. He has significant experience drafting engineering, procurement and production (EPC) agreements for

3 the construction, operation and maintenance of hydro, gas power plants, LNG, refinery, petrochemical, ethanol and renewable energy projects. Tom brings a wide range of corporate, commercial and financial experience to the energy and infrastructure industries. He has played a lead role in many major energy assignments worldwide, including liquefied natural gas (LNG) projects in the United States and Africa, petrochemical plants in the Middle East and gas fired generation facilities around the world. He represents Chinese, the Korean state and investor owned oil companies in acquisitions in Africa, Asia, South America and the US, and has represented a wide range of energy companies and investment funds in acquisitions and divestitures of other energy assets of all kinds. Salinas is a senior associate in Mayer Brown's Global Energy group with extensive experience representing companies in international and domestic energy projects and transactions in the upstream, midstream and downstream sectors with a focus on Latin America and Mexico. 4 John D. Furlow is an associate in Mayer Brown s Global Energy group and Corporate & Securities practice. John concentrates his practice on international and US energy transactions, securities offerings, the regulation of upstream oil and gas activities and general corporate matters. John is a frequent author on energy law topics, particularly the Mexico energy reforms and unconventional shale development in North America and globally, and his work on these issues has been published by the Texas Journal of Oil, Gas, and Energy Law, the Houston Business Journal, the Rocky Mountain Mineral Law Foundation, Pipeline & Gas Journal and the State Bar of Texas Corporate Counsel Section, among others. Power and Project Finance Team Christopher P. B. Erckert is a practice leader in the firm s Banking & Finance practice and a member of the global Projects, Energy, Renewable Energy and Latin America groups. He has built an active practice representing borrowers and lenders in corporate financings, project financings and other financing and restructuring transactions, with a particular emphasis on energy and infrastructure-related work. Christopher has been actively involved with Mexico s energy sector for more than 20 years: from the earliest projects (e.g., the 250 MW Merida III Project, Mexico s first IPP) and the first private pipeline (the 700km Mayakán Natural Gas Pipeline), to some of the most unique (e.g., the US $700 million, 300 MW Nuevo Pemex Cogeneration Project), most complex (e.g., the 750 MW El Cajón Hydroelectric Project and the 750 MW La Yesca Hydroelectric Project) and most recent (e.g., the Oaxaca II and Oaxaca IV Wind Power Projects and the Energía Sierra Juárez Wind Power Project [which closed in June 2014]), among others. Six of the projects in Mexico on which Christopher led our legal team have been named Deals of the Year, one was named Overall Deal of the Year for all sectors in Latin America and another was named Deal of the Decade. Doug Doetsch is head of the firm s Latin America/Caribbean group and co-head of the firm s Banking & Finance practice. He has advised on a wide variety of Mexican transactions, including project financings, securities offerings, structured financings, real estate transactions and debt restructurings. His work-out experience includes representation of creditors committees or large creditors on the restructurings of Ahmsa, Durango, Grupo Mexico, Lamosa, Urbi and Geo. For the past several years, Doug has acted as special master to a US federal judge in a criminal trial relating a $450 million fraudulent time-share scheme in Mexico, which has involved taking control of, operating and selling a broad range of real estate and other assets in Mexico.

5 Paul Astolfi is a partner in Mayer Brown s global Projects and Energy groups. He represents some of the most important sponsors and investors in the energy industry. He handles transactions across technologies, and his experience includes joint venture agreements, greenfield project development, multi-tiered debt structures, tax equity investments, and acquisition/disposition of project assets. Paul s most recent experience in Mexico includes representing the sponsor on a construction and term debt facility for the financing of an approximately 50MW wind project in Tamaulipas, Mexico and assisting Christopher Erckert in representing the sponsor in two 144A bond financings for separate wind projects in Oaxaca, Mexico. Additionally, in the last twelve months, Paul has worked on behalf of Invenergy on a number of corporate and project related matters in the US. David Duffee advises financial institutions in US and cross-border lending transactions, with a particular focus on secured transactions and acquisitions. His finance work has also included many transactions in the energy industry in Latin America, including financing for the acquisition of Enron s energy businesses in Latin America, many financings for Petróleo Brasileiro S.A, financings for oil field development projects in the Gulf of Mexico, and drilling rig financings in Mexico and elsewhere. George K. Miller is a partner in Mayer Brown s global Projects and Infrastructure groups. He has worked on numerous Deals of the Year and other high-profile transactions in the projects and infrastructure space, including the 2009 and 2010 Project Finance North America Transport Deals of the Year. 6 Maria Luisa Gutierrez is a Banking & Finance foreign associate in the Leveraged Finance, Projects and Latin America groups. Maria Luisa represents lenders and borrowers in connection with the preparation and negotiation of complex financial documents. She has participated in a wide range of infrastructure projects in Mexico and cross-border transactions. Maria Luisa joined Mayer Brown in August Before joining Mayer Brown, Maria Luisa worked at a top-tier law firm in Mexico City, specializing in cross-border transactions, project finance and mergers and acquisitions. Maria Luisa earned her law degree from Mexico s Universidad Iberoamericana and a postgraduate degree in finance from Universidad Iberoamericana. She earned an LLM from Harvard Law School. Maria Luisa is admitted to practice in Mexico and is fluent in English and Spanish (native). Andres Loera is an associate in Mayer Brown s Banking & Finance practice. He is a native of Mexico City and a Mexican trained lawyer. Andres' experience includes infrastructure projects and various financings matters in Mexico and throughout Latin America representing lenders and issuers. Andres is admitted to practice in Texas and is fluent in English and Spanish (native). Dispute Resolution Team Michael P. Lennon Jr. is a partner in Mayer Brown's Houston office and a member of the Litigation & Dispute Resolution and International Arbitration practices. He is an experienced arbitration practitioner and trial lawyer with an outstanding track record for handling a wide variety of arbitration and litigation matters, particularly in the energy and natural resources. Mike has tried numerous cases before arbitral tribunals, courts, and juries, as well as handling enforcement, annulment and appellate proceedings arising from his matters. His energy and natural resources experience covers a wide range of matters, including disputes involving production sharing agreements, licenses, concessions and other host state agreements, oil and gas royalty disputes, pricing and other disputes under short and long-term commodity agreements, disputes arising out of joint operating and joint venture agreements, and other arbitration and litigation matters arising out of commercial disputes in the energy and natural resources sectors. Alejandro López Ortiz is a partner of Mayer Brown s International Arbitration practice located in its Paris office. He represents companies and States in commercial and investment arbitrations in complex disputes involving engineering and construction projects, energy, telecommunications, mergers and acquisitions, commercial contracts and financial transactions. He has acted as counsel before the major international arbitration institutions such as the ICC, LCIA, ICSID, ICDR, SIAC, the Madrid Court of Arbitration and the Court of the Hungarian Chamber of Commerce, among others, and in ad hoc arbitrations under the UNCITRAL Rules.
