Thurman and Ed Phillips, Jr., our firm has represented local and national clients for almost twenty-five (25) years. With the expansion of our firm to include Valinda J. Astoria, John C. Dulske and Joan K. Fiorino as shareholders, our firm established a team of highly competent and respected attorneys who have a strong personal and professional bond. Our areas of service include: Banking: Since inception, our firm has represented numerous financial institutions. We provide a full range of commercial banking services to our clients. Our services include commercial and residential real estate loans, business loans and SBA loans. Our firm provides review of the loan structure, negotiation of loan terms and preparation of loan documents. Business: Whether a national company or a small, local proprietorship, our firm provides counseling and representation on all aspects of business endeavors. From determining the appropriate organizational structure, forming the business entity, qualifying the entity to do business in the appropriate jurisdiction, to subsequent business counsel and representation, our firm works with each client at every step. Michael B. Thurman regularly represents national clients undergoing acquisitions and mergers. We also represent clients involved in reorganization, liquidation and dissolution. Construction: We have extensive experience in all areas related to construction. We have represented project owners, general contractors, sub-contractors, real estate developers and homebuilders. Our representation includes pre-development and planning assistance, drafting and negotiation of construction contracts, filing and enforcement of mechanic's liens, dispute resolution, drafting of residential covenants and representation of community associations. Creditor's Rights: Whether representing financial institutions, businesses or contractors, our firm provides a full range of services to our creditor clientele. We have extensive experience in representing financial institutions in the work out of non-performing loans. We represent various creditors, including commercial lenders and financial institutions, in collection litigation, including garnishment, attachment, sequestration, foreclosure and other debt collection procedures.

5 Ed Phillips, Jr., represents all levels of business creditors in various bankruptcy proceedings, from the typical Chapter 7 liquidation through complex Chapter 11 reorganizations. Federal Procurement: Under the leadership of Joan K. Fiorino, our Federal Procurement Law team serves a nationwide clientele. Our team has a continuous bid protest practice before the U.S. General Accounting Office, the U.S. Court of Federal Claims and other federal agencies. We also routinely advise clients on the development, preparation and submission of contract claims. Additionally, we represent clients before the United States Court of Federal Claims and the various boards of contract appeals in claims litigation. Our firm is proficient in matters relating to the Office of Management and Budget Circular No. A-76 and the related appeals processes. Valinda J. Astoria and John C. Dulske bring significant business and litigation experience to the federal procurement team. On a daily basis, our firm counsels government contractor clientele on a variety of federal procurement issues. Litigation: Our firm provides all types of collection services, including real property foreclosures, personal property repossessions and sales, and collection litigation. Each of our areas of service from time to time requires dispute resolution. Mike possesses extensive experience in mergers and acquisitions, contract law, corporate law, structuring business entities and real estate acquisitions, including farm and ranch acquisitions. Since 1997, Mike has been actively involved in the mergers or acquisitions of over twenty-five (25) entities involving in excess of one hundred and twenty-one million dollars ($121,000,000.00). Mike also maintains a proficient mechanics and materialman s lien practice. Mike is board certified in residential real estate law by the Texas Board of Legal Specialization. Since 1992, John has maintained a successful Civil Trial and Appellate practice with an emphasis on Business Litigation, Insurance Law, and Federal Procurement Law. After receiving his B.A. in Economics from Kenyon College, John worked as a systems engineer for Electronic Data Systems and a senior consultant with Price Waterhouse. Thereafter, John attended St. Mary's University Law School in San Antonio from which he received his Juris Doctor degree and the Institute on World Legal Studies in Innsbruck, Austria. John was a Senior Associate Editor and Writer for the St. Mary s Law Journal and a member of the Order of the Barristers.
