4 Profiles of Our Tax Specialists LaBarge Weinstein is made up of a dynamic team of over 35 professionals, who have the experience necessary to deal with the legal and business issues that face our clients every day. Our tax division includes the following team members: Paul LaBarge Paul is a founding partner of LaBarge Weinstein and an active participant in the local high technology sector. Practising primarily as a tax and corporate lawyer, his practice has included anti-dumping trade enquiries and NAFTA disputes, as well as financings for all types of enterprises from pulp and paper mills to satellites, major technology acquisitions, and corporate acquisitions and divestitures. Paul has represented various clients during the tax litigation process in the Tax Court of Canada and the Federal Court of Appeal. A strong supporter of life-long learning, Paul completed his LLM in He is an author of Tax Litigation, Managing the Process; Taxation of Technology Transfers; and Your Blueprint for Financial Fitness; and has been a lecturer at The Law Society of Upper Canada for 10 years. Lawrence Weinstein Lawrence is also a founding partner of LaBarge Weinstein. Lawrence has been very actively involved in the business and technology sector in Ottawa since the early 1980 s. His practice includes tax planning with an emphasis on corporate taxation, including planning for many cross-border financings and mergers and acquisitions. Lawrence has been on the Board of Directors for many organizations including Xstream Software Inc., the Eastern Ontario Landlord Association, the Ottawa Heart Institute Foundation, Urbandale, and SIGPRO Wireless. He is also a former seminar leader of the taxation section of the Bar Admission Course (1985 to 1995) and a lecturer on technology and tax matters for the Canadian Institute and Law Society of Upper Canada. 4

5 Profiles of Our Tax Specialists (Continued) Estelle Duez Estelle is a partner at the firm who assists clients with the tax implications of their business transactions by developing succession plans for family businesses, strategies to facilitate cross-border investment, and custom-built solutions for clients evolving business models. Working closely with members of the firm s corporate and securities practices, Estelle provides advice regarding the Canadian taxation of investment rounds, acquisitions, mergers, and public offerings with a view to maximizing value for all parties, while also addressing clients day-to-day operational issues from a tax perspective. Dineen Beath Dineen is an associate with the firm who specializes in tax law. In this role, she assists clients with the tax implications of their business transactions. Dineen works closely with her client s other advisors to develop and implement estate freezes and business reorganizations. Her clients range from large multinational corporations to non-profit organizations, where she provides advice in the areas of both income tax and commodity tax. Dineen also assists clients during the audit, reassessment, objection and appeal stage of the tax litigation process. Currently, Dineen is working forwards her LLM with a specialization in tax law. Prior to attending law school, Dineen worked at a large accounting firm where she obtained her chartered accountant designation. 5
