2 Attachment O9 s for Cellular Services 1. Introduction This Attachment: (a) identifies the s approved by the GPS Group to support certain elements of the Cellular Services; (b) sets out the process for the Approval and removal of s that support certain elements of the Cellular Services; and (c) identifies Retailers that are not s 2. Initial s TELUS may subcontract post-sales and order fulfillment support/services for the Cellular Services to the s listed in Exhibit O9-A of this Attachment in respect of the corresponding elements of the Cellular Services. 3. Subsequent Approval If TELUS wishes to add a to the s listed in Exhibit O9-A of this Attachment, TELUS may request Approval by submitting a letter to the Administrator substantially in the form attached as Exhibit O9-B to this Attachment. The GPS Group may request additional information and TELUS will use commercially reasonable efforts to provide all information requested by GPS Group for the purposes of making its decision. If TELUS wishes to make changes to (a) listed locations, (b) the elements for which a is approved, or (c) remove s from the list, it will promptly inform the GPS Entities of such change in writing. 4. Removal of In addition to the rights of the GPS Entities under section 31.3 of the main body of this Agreement, the Administrator may at its sole discretion direct TELUS to remove any approved set out in Exhibit O9-A or otherwise approved by the GPS Group under section 3 above by giving notice to TELUS of the circumstances giving rise to the direction, in which event TELUS will remove such approved (a) immediately if such circumstances are incurable or relate to a breach or potential breach of this Agreement by the, or, otherwise, (b) thirty days after such notice unless TELUS or the has remediated to the satisfaction of the Administrator within such thirty-day period the circumstance giving rise to the direction. If TELUS agrees to find a suitable replacement for a removed pursuant to this section 4, TELUS will follow the process set out in section 3 above to seek approval for the replacement. 5. Retailers that are not s As of the Effective Date there are no Retailers that are not s in British Columbia. If TELUS adds a Retailer that is a not a in British Columbia, it will promptly inform the GPS Entities of such change in writing. 1
