4 Conversion information A note about... What you need to know... The transition to ESSA Bank & Trust Where to bank through January 18, 2013 Continue to bank as you do today, using your existing checks, deposit tickets, and loan payment options for both consumer and business accounts. In addition, you may continue to use your First Star Bank debit card to access your accounts. Over the weekend of January 18, 2013 Beginning the evening of January 18, 2013, ESSA will be transitioning your accounts from First Star Bank s computer system to ESSA s computer system. You can continue to access your accounts via: U Check cashing at designated locations (see page 20) U ATM withdrawals U Point-of-sale (signature & PIN-based) From the evening of January 18, 2013 until January 21, 2013 you will have limited online access to your converting accounts. Please note that electronic credits (such as Social Security or payroll direct deposit) that are normally available to you on Saturday will be available to you on Monday, January 21, Future electronic credits will post as scheduled. 5 A note about... What you need to know... Using your ESSA accounts Account numbers remain the same for deposit accounts and Certificates of Deposit (CDs) In most cases, account numbers for checking accounts, savings accounts, and CDs/time accounts, including Individual Retirement Accounts (IRAs) and Education Savings Accounts (ESAs) will remain the same at ESSA. We will notify you in a separate communication if your account number changes. Use your same checks and deposit tickets Continue to use your existing First Star checks and deposit tickets until depleted unless you are specifically notified otherwise. New check orders placed with ESSA will be updated automatically with the ESSA name and routing number beginning January 21, If you order checks from another source or print your own, please visit an ESSA branch or call (800) during normal business hours for a check specification sheet before reordering or printing future supplies. First Star Bank debit card ESSA will be issuing new debit cards starting January 7, 2013, to replace your current FSB debit card. You will receive a new Personal Identification Number (PIN) following the delivery of your ESSA debit card. U Your ESSA debit card will include easy instructions on how to activate your card. You may activate your card on or after January 21, 2013; this can be performed at any ATM. As a reminder, card activation is required before making any purchases. U Your FSB debit card will be active through January 20, Effective January 21, 2013, you will need to begin using your ESSA debit card. Your daily cash withdrawal and point-of-sale (POS) limits will convert to ESSA limits. Refer to the Customer Account Agreement; businesses should call a Customer Service Representative for specific information. If you do not currently have a debit card and wish to obtain one, please contact an ESSA Customer Service Representative at any branch to apply. 3

Using your ESSA accounts (continued) Telephone access Beginning January 21, 2013, you can call ESSA telephone banking (TeleBank) at (800) hours a day, seven days a week. You will be asked to enter you current checking, savings, or Money Market account number and establish a PIN by entering the last four digits of your SSN/ EIN. This will give you unlimited access to the automated telephone banking service. If you need assistance with TeleBank, a Customer Service Representative will ask you a few questions to verify your identity and assist you with your accounts during normal business hours. Overdraft protection services and account links Effective January 21, 2013, FSB overdraft protection services will transfer to ESSA. Current arrangements and account links will continue as stated below: - If you currently have a checking account with overdraft protection that has more than three accounts linked to it, only the first three accounts in the order you linked them will automatically protect the checking account. - Line of credit accounts will no longer be used for overdraft protection. - If your checking account is covered by an ESSA savings*, another checking account, or Money Market account*, the exact dollar amount of the overdraft will be transferred, plus any applicable fee. - Savings accounts are not eligible to receive overdraft protection. *Subject to transaction limitations by regulation; see page 13. Automated Clearing House (ACH)/electronic transactions Existing electronic transactions set up for your accounts will continue at this time (with the exception of CDs/time accounts). ESSA does not accept electronic transactions for CDs/time accounts. ESSA will send the originators a Notification of Change (NOC) with the updated Routing Transit Number (RTN) at a later date. We anticipate that no action will be required on your part. U Beginning January 21, 2013, please provide your current account number and the ESSA RTN when setting up new electronic transfers. Please note that electronic credits (such as Social Security or payroll direct deposit) that are normally available to you on Saturday will be available to you on Monday, January 21, Future electronic credits will post as scheduled. Wire transfer services U Prior to conversion, you will need to contact anyone who sends you wire transfers and alert them that as of Monday, January 21, 2013, they will send their wire transfers to ESSA Bank & Trust, wire RTN If you currently initiate future-dated and/or template wires with FSB, these wire initiation options will not be available at ESSA branches beginning January 19, If you need assistance with determining alternate solutions for these initiation types, please contact any Customer Service Representative. Beginning January 21, 2013, only authorized signers on an account may originate wires at ESSA. If you currently initiate wires over the phone, you will need to contact ESSA to re-enroll, if eligible. 4

Account statements Your final deposit account statements from First Star Bank Your final First Star Bank account statement will be issued at the end of business on January 18, 2013, and will cover the period since your last regular statement. Your new deposit account statements from ESSA Your ESSA checking, savings, and Money Market account statements will be issued in a new format on or about the same schedule as before. Your first ESSA statement will cover the period from January 19, 2013, until your next regular statement date. ESSA savings account statements are mailed at month end. If you currently receive a combined account statement, these will not continue. You will receive a separate statement for each account. Beginning January 21, 2013, you can request a combined statement for your checking, savings, and Money Market accounts, by visiting an ESSA branch location. All converted accounts will receive a paper statement. You may choose to receive free online statements in place of paper statements. You can enroll in this service beginning January 21, 2013, at Online banking and bill pay Account set-up and access Beginning the evening of January 18, 2013, until January 21, 2013, you will have limited online access to your accounts while we transfer your information to ESSA. You will continue to have access to your accounts at any ESSA ATM during this time. We understand any interruption to your service is an inconvenience, and we thank you in advance for your patience. U Starting January 21, 2013, log on to from your computer and we ll lead you through a one-time ESSA sign-up process so you can begin banking online with ibank@essa SM. You will be asked to accept our online terms and conditions to begin using the services. To set up your ESSA username and password, simply follow the prompts. In most cases you can keep your existing First Star Bank username as long as it is not already in use. You will be required to use the last six digits of your SSN/EIN as your initial password; then you will be prompted to set a new password that must meet the ESSA system requirements. You will be notified in advance if your username is no longer available. If you already have ESSA accounts, you can sign on using your current ESSA username and password. U Please complete the log on process before April 18, If you do not log on within this time frame, your online services will be cancelled for your converted accounts. All of your converted accounts and any ESSA accounts you may have will display in your Account Summary. Online banking customers will receive additional communications. 5

Online banking and bill pay (continued) Checking and savings account history U After conversion, FSB account activity from December 31, 2012, to January 18, 2013, will be available only through ibank@essa SM. If you would like to print and save any FSB transaction history and/or regulatory disclosures, please do so before January 17, If you are enrolled in online statements at FSB before conversion, you will need to print or save any available statements before January 17, To continue receiving electronic statements, you will need to enroll online after January 21, If you are currently receiving a paper statement, you will continue to receive paper statements after conversion to ESSA. If you wish to view your statements online, you may enroll by visiting or through your ibank@essa SM online banking service. Check images Images of any check you write can be printed and viewed online after the transaction is posted. Online bill pay When we convert your checking account, whenever possible, your scheduled FSB online Bill Pay payments, payee/biller information and eighteen (18) months of payment history will remain. At ESSA, online payments will remain as they are today, with funds being withdrawn on the specified pay date. Not having sufficient funds in the funding account on the pay date may result in an overdraft. ebills will continue to be supported when the accounts convert. Should an ebill not convert, you will need to re-register with the biller. U Please keep a record of your FSB online bill pay information so you can verify it after your accounts convert. Online transfers Your scheduled transfers between your checking and savings accounts will continue without interruption at ESSA.* Please review these transfers after conversion to make sure they are correct. *Note: Transfers dated January 19, 2013 through January 21, 2013 will process January 21, Alerts You will need to re-establish all alerts for your accounts through ibank@essa SM. Alerts can be sent to addresses and mobile devices. 6
9 A note about... What you need to know Savings accounts (For detailed information about ESSA savings accounts, please see the enclosed Consumer or Business Disclosure.) At conversion, January 21, 2013, your FSB Savings will become an ESSA savings account We will apply the interest earned to your FSB savings account balance, which will be reflected on your final FSB statement. Time Accounts/Certificates of Deposit (Your FSB Time Account will be called an ESSA Certificate of Deposit) Interest rates You will continue to receive the same interest rate on your existing fixed-term time account until its scheduled maturity. The term and maturity date on your time account will not change. Bonus interest rates on time accounts at FSB will be honored until the maturity date of the account, but will not apply at renewal. Notices/statements ESSA sends maturity notices at least thirteen (13) days prior to maturity for certificate of deposits and retirement accounts with terms greater than thirty (30) days. For 2012, you may receive more than one tax document for your IRA or ESA contributions or distributions. Payments, distributions, and deposits Most time account interest payments and IRA/ESA distribution payments will take place on approximately the same schedule as your current payments, although for operational reasons, some payment schedules may be modified. If your payment schedule is modified, you may receive a partial or adjusted payment on your first payment under the new schedule. In addition, interest payments made by check may be delayed slightly around the time of the conversion. Time account interest payments and IRA/ESA distributions made by check from multiple accounts on the same date will be processed as separate checks or payments for each account. IRA/ESA interest-only distributions from retirement time accounts/esas will take place on the day of crediting. IRA owners over age 70 1/2 and inherited (beneficiary) IRA owners are responsible for withdrawing the annual Required Minimum Distribution (RMD) each year. Contact your tax advisor for advice specific to your situation. ESSA does not automatically provide notifications that distributions will not meet the RMD. You may contact a Customer Service Representative starting January 21, 2013, to review your existing distribution schedules or establish new automatic distribution instructions to ensure you meet the RMD each year. Electronic transactions set up to deposit money into your time account, retirement time account, or ESA (including third-party initiated ACH credits) will no longer be available. Please make the appropriate changes with the originator to discontinue the arrangement. 7

Time Accounts/Certificates of Deposit (continued) At maturity Renewable accounts will renew automatically as Certificates of Deposit (CDs), Retirement CDs, or Education Savings Accounts (ESAs). - Interest will be calculated using a 365-day year and be compounded as listed below. - The grace period is seven (7) calendar days from the maturity date. - ESSA s early withdrawal penalties will apply with the first renewal following conversion. CDs, Retirement Accounts, and ESAs will renew for the renewal term stated below at the rate available on the renewal date. See the enclosed Consumer or Business Disclosure for terms and conditions governing accounts at renewal. FDIC insurance FDIC deposit insurance coverage increase The FDIC Standard Maximum Deposit Insurance Amount (SMDIA) for deposits has been permanently increased to $250,000 per depositor per insured financial institution. Non-interest-bearing transaction accounts The following special rules apply to non-interest-bearing transaction accounts: December 31, 2010 December 31, 2012 The FDIC will fully insure deposits in non-interest-bearing transaction accounts, regardless of the amount in the account. The full insurance on non-interest-bearing transaction accounts will be separate from and in addition to FDIC insurance coverage a depositor may have for interestbearing accounts. Beginning January 1, 2013 Absent a change in law, beginning January 1, 2013, funds in non-interest-bearing transaction accounts will be insured up to $250,000 under the FDIC s general deposit insurance rules. Full insurance for funds in excess of $250,000 held in non-interest bearing transaction accounts (regardless of amount) will cease. Merger impact on FDIC deposit insurance coverage On July 31, 2012, the bank charters of First Star Bank and ESSA Bank & Trust were combined under one bank charter: ESSA Bank & Trust ( the Bank ). Under FDIC rules, funds held in a bank that merges with another bank are separately insured for at least six (6) months after the merger (January 31, 2013). CDs (time accounts) may be separately insured for longer than six (6) months after a bank merger. The following FDIC rules apply to funds you had on deposit at First Star Bank as of July 31, 2012: CDs (time accounts, including IRAs and ESAs) If the CD has a maturity date after January 31, 2013, the CD will be separately insured, under the FDIC s general deposit insurance rules, from other deposits you have at the Bank until its maturity date. If the CD matured prior to January 31, 2013, and was renewed for the same term and same dollar amount (either with or without accrued interest): Under the FDIC s general deposit insurance rules, the CD will be separately insured from other deposits you have at the Bank, until the first maturity date after January 31, If the CD matured prior to January 31, 2013, and was not renewed or was renewed for a different term or amount: The separate insurance coverage ends on January 31, Starting January 31, 2013, these funds are added to your other non-separately insured deposits at the Bank, and insured under the FDIC general deposit insurance rules. Checking and savings accounts The separate insurance period for funds in checking and savings accounts expires on January 31, These funds will be added to your other non-separately insured deposits at the Bank, and insured under the FDIC general deposit insurance rules. 9

Additional Information Accounts without a balance If you have a FSB checking or savings account without recent activity and which also has a zero balance, your account may be automatically closed at ESSA unless there is a deposit to the account by January 17, If the account is currently combined with other accounts for the purpose of a statement, your combined statement will be discontinued and any statements generated for your other accounts, if applicable, will be sent separately. Privacy Please be assured that we do not sell or share customer information with outside parties who may wish to market products to you. Use your debit card for convenient ATM access to your linked checking, savings, and Money Market accounts. You can also set up online and mobile access with online banking, Bill Pay, and mobile banking, or use online planning tools to help plan your retirement, budgets, and more. With ESSA, you ll also enjoy 24-hour automated service by phone. ESSA branches and electronic banking ESSA Branches Beginning January 21, 2013, you will be able to bank at 26 branches located in Monroe, Northampton, and Lehigh counties. Account name Basic Checking Description A basic checking account you can open with a low minimum balance of just $100 to avoid a monthly service charge. Relationship Checking An interest-bearing checking account for customers with higher balances or other ESSA deposit accounts, with added value and money-saving benefits. ESSA Business Basic Checking This account is for the sole proprietor or small business with limited monthly transaction activity. Maintain a $100 minimum balance to avoid a monthly service charge. Interest from lawyer trust accounts is pooled to provide civil legal aid to the poor and disadvantaged. No minimum daily balance requirement No monthly maintenance fee Interest earned when daily balance is $1,000 or more Unlimited free transactions each month including deposits posted, checks paid, items deposited and ACH transactions posted ibank@essa SM at no charge Bill Pay monthly fee waived when enrolled in estatements Cash Management tools include ACH Origination and Remote Deposit Capture Overdraft protection at ESSA ESSA s Payment Protection provides a convenient way to avoid the embarrassment of overdrawing your account or having an item returned for insufficient funds. Add Payment Protection to any of your checking accounts by linking them to another checking, savings* or Money Market account.* Funds will automatically be transferred to your checking account when the balance does not cover checks you have written or other items presented for payment on your account (for example, ACH or debit card transactions). We ll do the work, and you ll avoid having your check or electronic transaction returned. Standard insufficient funds/overdraft fees are waived, but a nominal transfer fee will apply. * During any statement cycle, federal regulations restrict you to no more than six (6) withdrawals or transfers to another account of yours or to a third party by means of a preauthorized/automatic transfer, telephone transfer, internet banking transfer, check, draft, debit card, or similar transfer. 13
16 Savings accounts Savings and Money Market products are available to you at ESSA. For detailed information about ESSA savings and Money Market accounts, stop by an ESSA branch and speak with a Customer Service Representative or call (800) during normal business hours. With an ESSA savings or Money Market account, you ll earn competitive rates and have the ability to take advantage of these benefits: Free automatic transfers from ESSA checking account Free access to ibank@essa SM, our online banking product Convenient access to your accounts 24 hours a day, seven days a week by phone, ATM, or online Account name Statement Savings Description Convenience is the key to a Statement Savings account. Access your money 24 hours a day, seven days a week, through ibank@essa SM, TeleBank, or at ATMs. All of your transactions will be reported on your monthly statement. As long as you maintain the minimum daily balance, you earn interest and there is no monthly service charge. Federal regulations limit the number of transfers permitted each month on this account. To encourage children to save, the minimum balance requirement and monthly service charges on this account are waived until the age of 18. Money Markets The ESSA Money Market account allows you to deposit your funds in a federally insured, interestbearing account that offers money market yields. You can earn progressively higher interest rates on higher balances. Whenever your balance reaches the next tier, you will automatically earn the corresponding rate. There are no service charges on this account when you maintain the minimum daily balance requirement. You can make deposits and withdrawals at any time in any amount at any of our convenient branch locations.
