1 Dealer Services Agreement This agreement (the Agreement ), dated, is between DealerMall.com ( Company ) and ( Dealer ). The above referenced Dealer hereby authorizes Company to randomly access and promote, advertise and market pre-owned vehicles from Dealers inventory on behalf of Dealer. Dealer acknowledges that multiple media venues will be used by Company on a random basis and agrees to pay the monthly services fee indicated below to Company in exchange for Company s lead generating efforts and expertise. Dealer hereby authorizes Company to receive a data feed from its data management company and to use branding, messaging and strategies Company deems appropriate and necessary in producing and delivering leads to Dealer. Leads that are generated by Company shall be delivered to the above referenced Dealer only. In addition, all leads referenced herein shall be delivered directly to Dealer on a daily basis and shall be delivered to Dealer through Company s proprietary messaging and notification process. Company warrants that third parties, automotive or otherwise, will not receive or have access to the above referenced Dealers leads for any purpose(s) whatsoever. Primary Market $399 Secondary Market $299 Company s services are provided month-to-month with the first month s service being paid upon account activation. Thereafter, the monthly service fee will be due 30 days after original activation date. Service will be immediately suspended regarding non-payment of a monthly fee. Acceptable payment methods are: Visa, MasterCard, Discover, and American Express.
