If you fax, please submit the original application to us when you come to the auction, or check out our website, for online registration. When you arrive at Yorkmont Auto Auctions, we will complete your application at the registration office and: 1. Issue your photo I.D. Cards. 2. Meet you personally to explain our Auction procedures and answer any questions you may have. 4 GUARANTY In consideration of Yorkmont Auto Auctions, Inc., allowing Dealer to buy and sell motor vehicles through Yorkmont Auto Auctions, Inc., the undersigned, whether one or more, personally covenant, guarantee and warrant that the title to each vehicle sold by Dealer through Yorkmont Auto Auctions, Inc., will be good and will be free and clear of all liens and encumbrances, whatsoever. The undersigned unconditionally agrees to reimburse Yorkmont Auto Auctions, Inc., for any loss, damage, expense or costs, including attorney s fees incurred by Yorkmont Auto Auctions, Inc., as a result of breach of the foregoing warranty of title as to any such motor vehicle. The undersigned further guarantees the Odometer Mileage Statements given, or given in behalf of the Dealer, in all sales of motor vehicles by it through the Yorkmont Auto Auctions, Inc., and agrees to reimburse, indemnify and hold harmless Yorkmont Auto Auctions, Inc., from all losses and expense caused it by any Odometer Mileage Statement which proves to be false or inaccurate, including payment made by Yorkmont Auto Auctions, Inc., under any Odometer Statement Guaranty issued by it in connection with any such sale, as well as any expense or costs incurred by Yorkmont Auto Auctions Inc., in collection or attempting to collect such losses, including attorney s fees. The undersigned further guarantees full payment of any debts of Dealer to Yorkmont Auto Auctions, Inc., including any checks issued by Dealer, or any of Dealer s Authorized representatives as designated on the following page, together with any loss or expense incurred by Yorkmont Auto Auctions, Inc., in collecting or attempting to collect such debts, including attorney s fees. The undersigned acknowledges that Yorkmont Auto Auctions, Inc., shall have the right to refuse to transact business with Dealer, to modify or release any and all collateral security, to extend or change time of payment and to settle or compromise with Dealer without notice to the undersigned and without discharging or affecting the liability of the undersigned hereunder. This Guaranty is to be a continuing guaranty and the undersigned hereby waives notice of acceptance of this Guaranty and presentment, demand, protest and any notice of non-payment or dishonor. The undersigned shall be liable as principal debtor and not merely as surety, and the bankruptcy, or any assignment in favor of Creditors of Dealer, shall not affect the enforceability of this agreement. The undersigned acknowledges that Yorkmont Auto Auctions, Inc. may receive notice from its subsidiaries, or from entities related by common ownership of by corporate control (hereinafter, an affiliate ) that Dealer is in breach of contract of default of obligations or an affiliate. In the event that an affiliate provides such a notice of default to Yorkmont Auto Auctions, Inc., Yorkmont Auto Auctions, Inc. shall advise its affiliate whether the identified dealer has any motor vehicle inventory located at Yorkmont Auto Auctions, Inc. s facility and whether the Yorkmont Auto Auctions, Inc. is holding checks or drafts made payable to the Dealer for sold inventory. The Yorkmont Auto Auctions, Inc. shall tender such inventory, checks or drafts to its affiliate upon its affiliate s request for turnover and a fully executed agreement to notify and hold harmless Yorkmont Auto Auctions, Inc. for its compliance with its affiliate s request. The instrument shall bind the respective heirs, executors, administrators and assigns of the undersigned, and shall ensure to the benefit of Yorkmont Auto Auctions, Inc., its successors, assigns and subrogees. Where there is more than one signatory to this agreement, each signatory shall be jointly and severally liable under this Agreement. 5 POWER OF ATTORNEY (Dealer - Consignor) does hereby duly authorize Yorkmont Auto Auctions, Inc., and/or its employees to act as our Attorney in fact to sign all papers and documents that may be necessary pertaining to the sale and subsequent title transfer of the vehicles owned by Consignor and consigned to Yorkmont Auto Auctions, Inc., for sale, including without limitation, any title transfer documents, reassignment, or odometer disclosure statements as required by federal or state law. In consideration of Yorkmont Auto Auctions, Inc. s agreement to execute such documents on Consignor s behalf, Consignor shall indemnify, defend and hold harmless Yorkmont Auto Auctions, Inc., its affiliates, subsidiaries, officers, directors, employees, successors and assigns from and against any and all loss, damages, liability, claims, causes of action and expenses of whatever kind and nature, arising from the execution of transfer of ownership of any consigned vehicle by Yorkmont Auto Auctions, Inc., or its employees or agents of any Certificate of Title, Odometer Statement, Bill of Sale or other document necessary to transfer ownership of a consigned vehicle. Consignor further agrees to guarantee and save the authorities of any state requested to process such transfer of title, from all responsibility with respect to this Power of Attorney. 6 REPRESENTATIVE AUTHORIZATION LETTER TO: YORKMONT AUTO AUCTIONS The Undersigned Dealer wishes to register the following person as an Authorized Agent to buy and sell automobiles, to execute checks or drafts, and to execute bills of sale, Odometer Mileage Statements, assignments of titles, and warranties or titles on behalf of Dealer. Dealer understands and agrees that the authority of such person to act on behalf of Dealer shall continue in full force and effect until terminated by Dealer in writing to Yorkmont Auto Auctions. Dealer hereby guarantees all transactions made by such person, and agrees to indemnify and hold harmless Yorkmont Auto Auctions from all loss or expense caused it as a result of transactions including but not limited to losses or dishonored drafts, defective titles, and false or inaccurate Odometer Mileage Statements as well as any expense incurred in attempting to collect such losses, including attorney s fees.
