4 REQUEST FOR PROPOSAL SPECIFICATIONS FOR: Cleaning Services for Liberty Bowl Memorial Stadium and Fairgrounds GENERAL TERMS AND SPECIAL PROVISIONS 1. SCOPE OF SERVICES: This request for a provider of cleaning services is from Liberty Bowl Memorial Stadium and Fairgrounds, Memphis, Tennessee. Selected service provider will employ qualified individuals to provide cleaning services for Global Spectrum in strict accordance as outlined in the specifications. Service Provider shall provide personnel to staff all events, as requested, held at the Liberty Bowl Memorial Stadium and Fairgrounds, and provide regular day-to-day custodial requirements in accordance with the specifications. Personnel provided shall include but not be limited to: On-Site Manager, Supervisors, Sweeper porters, Restroom porters, Suite/Club porters, Trash/Cardboard runners, Pressure washers and Equipment Operators. Service provider shall recruit, train, supervise, direct, discipline, and if necessary, discharge personnel working on service provider s behalf for Global Spectrum. Employees and service providers will adhere to Global Spectrum s practices and policies including grooming standards, drug abuse, smoking, eating, using offensive language, fighting, etc., along with Stadium Security Policies and Procedures. Service provider shall cause all of its employees and service providers to behave in a friendly, respectable and courteous manner toward all guests, patrons, Global Spectrum staff, management, Tenants and Licensees. 2. INSTRUCTIONS TO SERVICE PROVIDERS: Delivering the response to Global Spectrum on or before the stated date will be the sole responsibility of the Service Provider. Global Spectrum will in no way be responsible for delays caused by the United States Postal Service or a delay caused by any other occurrence. 3. EXCEPTIONS TO CONDITIONS: The Service Provider will list on a separate sheet of paper any exceptions to the conditions of the response. This sheet will be labeled "EXCEPTIONS TO CONDITIONS" and will be attached to the response. If no exceptions are stated, it will be understood that all general and specific conditions will be complied with, without exception. 4. REJECTION OF RESPONSE: Global Spectrum reserves the right to reject any and all responses received by reason of this request. 5. RESERVATIONS: Global Spectrum reserves the right to accept or reject any or all responses received and reserves the right to select a provider without further discussion of the responses submitted. Therefore, the responses should be submitted initially in the most favorable manner. 6. TAXES: All responses submitted must show the net price after any and all discounts allowable have been deducted. State sales tax shall be included. 7. EEOC PROGRAM: Service providers are hereby notified that Global Spectrum, as an agent of the City of Memphis, is an equal employment opportunity employer and encourages the firms and contractors with whom it does business to likewise follow these principles. 8. QUALIFICATION OF RESPONDERS: Global Spectrum will determine whether the Service Provider is qualified to perform the services being contracted based upon their response demonstrating satisfactory experience and capability in the work area. The Service Provider shall identify necessary experienced personnel and facilities to support the activities associated with this response. The Service Provider should demonstrate experience in cleaning similar scale facilities that have complex uses and an event orientation. 9. AUTHORIZED/LICENSED TO CONDUCT BUSINESS IN THE STATE OF TENNESSEE: Service Provider must be authorized to do business in the State of Tennessee

5 10. LICENSES AND PERMITS: In the performance of these services, the Service Provider will fully comply with all the laws and regulations of all State, Federal, County, City and of other governmental authorities and agencies as required by reason of these services or duties to be performed hereunder. The Service Provider will hold Global Spectrum, as an agent of the City of Memphis, as well as the City of Memphis, harmless from any liability that may be imposed upon Service Provider by reason of any alleged violation of the law by the Service Provider, or for failure to pay taxes or secure necessary licenses or permits. 11. COSTS INCURRED IN RESPONDING: This Request for Proposal does not commit Global Spectrum or any other connected agency to pay any costs incurred by an individual firm, partnership, or corporation in the submission of a response or to make necessary studies or designs for the preparation thereof, nor to procure or contract for any articles or services. 12. DRUG-FREE WORKPLACE PROGRAMS: Whenever two or more responses, which are equal with respect to price, quality and service are received for the procurement of commodities or services, a response received from a business that certifies that it has implemented a drug-free workplace program in accordance with Tennessee Statutes, shall be given preference. 13. RESPONSE SUBMISSION: General: Responses will be received until 5p.m. (CST) on June 18, Responses received after that time and date will not be considered. By submitting a response, the service provider represents that it understands and accepts the terms and conditions to be met and the character, quality and scope of services to be provided. Each Service Provider shall fully acquaint itself with the conditions relating to the performance of the services under the conditions of this Request for Information. This may require an on-site observation. The response shall address the items listed below in detail. 1. SCHEDULE I OWNERSHIP AND MANAGEMENT PLAN a. SBE/MWBE Status: If applicable, Service Provider should provide certification of SBE/MWBE status as determined by the City of Memphis. b. Organization and Management: The Service Provider shall provide a narrative description showing its organizational chart and outlining its methods of operation, operational structure and the services to be provided. This narrative description must demonstrate the Service Provider s staffing plan including support staff that will be utilized in event preparation, event operation and post-event reconciliation. Service Providers are encouraged to provide any other pertinent information, including job descriptions, which will assist Global Spectrum in evaluating the proposed method of operation. c. Approach to Hiring Qualified and Experienced Staff: Service Provider must submit a concise description detailing its existing operational policies and addressing recruiting, hiring practices, including background screening, job descriptions, termination policies, employee performance evaluation and disciplinary practices. Service Provider must address the methods used to ensure Global Spectrum s deployment requests are fulfilled

6 d. Service Provider's Business History/Experience: The Service Provider shall provide a brief statement concerning the length of time the firm has been in the Cleaning Services Business and provide a brief description of comparable contracts the firm is currently performing or has performed in the past. For each contract, include the location where the services were performed, the dates of performance, and the client s name, address, and telephone number. e. Training: Service Provider shall describe in detail any proposed Training Standards. This shall include, but not be limited to, length of training, location, training manuals, video presentations, site orientation, tests and other reference materials. f. On-Site Manager Experience: The Service Provider shall provide a resume along with a brief statement explaining who would be the Service Provider's candidate for On-Site Manager and what the role of the On-Site Manager will be during the duration of the contract. 2. SCHEDULE II TECHNICAL PLAN The Technical Plan must at a minimum, address the following. a. Sample of Staffing Plan: The Service Provider shall provide a sample staffing plan for Cleaning Services for the venue. Plan should include Weekly Staffing and Event Staffing. b. Event Employee Handbook The Service Provider shall prepare a sample event services employee handbook, or provide a previously utilized handbook, that would be given to all event services employees. c. Availability of Staff: The Service Provider shall address the availability of staff necessary to perform the work under this contract. d. Uniforms: The Service Provider shall provide samples or photographs of the Service Providers uniforms in compliance with Section 21.C. (below) 3. SCHEDULE III - PRICING a. Forms: The Pricing information shall be submitted on the forms provided. b. Structure: Service Providers pricing for full stadium events will be broken into three parts: event services, post-event cleaning, and hourly rates. Post-event cleaning should be charged based on suggested attendance based brackets (see page 22). Service Providers may also provide an alternative option for post-event billing, if they wish. c. Post-event: Price should reflect that the post-event cleaning will occur after the end of any scheduled event, with food waste and any blowing trash being removed immediately following, and the remainder of the clean being taken care of the following day. d. Office Cleaning: Office cleaning of the Liberty Bowl Memorial Stadium s administrative and food service offices should be based on a two to three day per week service and should be conducted during normal business hours. This may be an hourly rate, or lump-sum. 14. AWARD OF THE CONTRACT: The final determination will focus several specific criteria: pricing, experience, and SBE/MWBE certification. Upon determining those entities that meet the minimum qualifications, - 6 -

7 Global Spectrum will look at each qualifying company s credentials and pricing structure as a whole in determining the best possible provider for the services required. Global Spectrum requires the right to negotiate with the selected provider prior to awarding the contract or to cancel the process and not award a contract in this form. 15. EXPECTED TIME LINES: Pre-Response Conference and site tour: May 15, 2012 Deadline for the submission of questions: May 21, 2012(5:00PM) Responses to questions: June 4, 2012 Deadline for submitting proposals: June 18, 2012 (5:00 PM) Awarding of Contract: July 16, PAPER ACCOMPANYING RESPONSE: The Service Provider submitting its response understands the contract is one entire individual contract for the performance of all the services required thereunder, and is not separable. The Service Provider's full and complete payment for such service is the price for Cleaning Services for the Liberty Bowl Memorial Stadium. The following pages must accompany each proposal: A. If the Service Provider is a corporation: A copy of its Certification of Incorporation with a written declaration signed by the secretary of the corporation, with the corporation seal affixed thereto, attesting that the copy furnished is a true copy of the Certificate of Incorporation as of the date of the delivery of the response. B. If the Service Provider is not incorporated under the laws of the State of Tennessee He/she must provide an affidavit evidencing the Service Provider s legal qualifications to do business in the State of Tennessee. C. If the Service Provider is a partnership A statement of his/her residence may be on the page following the proposal. D. If the Service Provider is an individual A statement of his/her residence may be on the page following the proposal. 17. WAGE ADJUSTMENT: Global Spectrum will pay to Service Provider, during the period of the Agreement, wage schedule adjustment in the event of any increase in the minimum wage established under the Fair Labor Standard Act of the United States of America, and upon written notice from the Service Provider that the minimum wage increase raised the employees hourly rate by the minimum wage increase amount. The maximum increase will be the difference between the new minimum wage and the old minimum wage (ex. $6.00/hr.- $5.15/hr. = $.85) plus related social security and Medicare costs. There will be no additional charge for overtime service by the employees of the Service Provider. Service Provider must comply with the City of Memphis Living Wage ordinance. In the event the City of Memphis determines the Living Wage Ordinance not applicable to the facility, Service Provider and Global Spectrum will renegotiate the pricing based on market based pay rates

8 18. CONTRACT PERIOD: The term of this contract shall be a one-year period from the effective date of the final contracting agreement. At the sole option of Global Spectrum, this contract may be renewed for one additional one-year period, at the same terms and conditions, except for any adjustment in hourly rates pursuant to Section 19 below. 19. ADJUSTMENT TO HOURLY RATES: In the event Global Spectrum elects to renew the contract for an additional one-year period, the hourly rates during the extended term shall be increased by an amount equal to the hourly rates during the initial term multiplied by a fraction, the numerator of which shall be the level of the CPI for the month ending six (6) months prior to the effective date of the renewal term and the denominator of which shall be the level of the CPI for the month ending eighteen (18) months prior to the effective date of the renewal term. As used herein, CPI shall mean the Consumer Price Index for the Region. 20. EMPLOYEE REQUIREMENTS: Service Provider will screen all employees and require satisfactory personal references, government-issued identification, and other appropriate measures to determine that employees are of good character. 21. SERVICE PROVIDER S PREREQUISITES: Companies interested in submitting a response should meet the following: A. Experience: Company should be able to demonstrate they have provided cleaning services for a major arena or public assembly facility of similar size and scope as Liberty Bowl Memorial Stadium. B. Communications (System provided by Service Provider): 1. Approved communications equipment that is compatible with the Liberty Bowl Memorial Stadium s communication equipment. The Liberty Bowl Memorial Stadium will provide Service Provider with three (3) stadium radios. 2. The Service Provider will supply any necessary office equipment (i.e., a compatible computer, approved by Global Spectrum, printer, copier, fax machine(s), etc.). 3. The Service Provider will be responsible for all telephone service charges incurred during contract period. C. Uniforms: Uniforms shall be provided by the Service Provider at the Service Provider s sole cost. Global Spectrum requires that all Service Providers shall comply with the Liberty Bowl Memorial Stadium s dress code. Service Provider is responsible for cleaning/maintenance of uniforms. Service Provider shall insure that all personnel wear the approved shirt, shoes and trousers at all times while performing duties on the Liberty Bowl Memorial Stadium s premises. The uniform must be neat and clean in order to present the best possible image while on duty. 1. Minimum Uniform Requirements for Event Staff: Uniforms consisting of: Trousers Collared Shirt or Polo Style Shirt, worn tucked in Socks Shoes Belt Inclement weather clothing 2. Minimum Uniform Requirements for Post-Clean Staff: Uniforms consisting of: Shirts for supervisors T-shirts for Post Clean staff, worn tucked in Global Spectrum must approve all uniform colors and styles. Service Provider will be required to submit samples or photographs with their responses

9 22. SUPPLIES AND EQUIPMENT: The Liberty Bowl Memorial Stadium shall furnish all consumable supplies and limited equipment for accomplishment of work. Service Provider shall assist Global Spectrum staff with the inventory of consumable supplies for replenishing. Consumable supplies and equipment shall include but is not limited to: A. Consumable supplies 1. Toilet tissue and seat covers 2. Paper towels 3. Hand soaps 4. Trash can liners 5. Cleaning agents 6. Floor strippers 7. Floor coating 8. Glass cleaner 9. Toilet bowl and sink cleaners 10. Urinal deodorant blocks 11. De-greaser B. Equipment 1. Riding Floor Scrubber 2. All Trash cans 3. Three (3) stadium radios Service Provider shall provide the following equipment: 1. Carpet extraction equipment 2. Brooms, dustpans, small tools 3. Mops and squeegees 4. Housekeeping carts 5. Vacuums 6. Leaf blowers 7. Pressure Washer - 9 -

10 23. USE OF HOUSEKEEPING FACILITIES: Two large storage areas located on the service level, and a chemical closet in the maintenance building are available for use by the Service Provider. The janitorial closets are available for use by the Service Provider for the purpose of storing materials and equipment, excluding flammable materials. Service Provider shall be responsible for the orderliness, cleanliness and stocking of these closets. Any problems with these areas will be reported to the On-Site Manager in a timely manner. 24. ON-SITE CONFERENCE: Global Spectrum will hold an on-site conference and site inspection on May 15, 2012 at 1:00 PM at the Liberty Bowl Memorial Stadium Large Multipurpose Room, located inside Gate 4. The conference and inspection will conclude with an open question and answer period. Written questions submitted to Global Spectrum after the on-site conference will be responded to within the stated timeframe and will be addressed to all prospective Service Providers. 25. GENERAL AREAS OF SERVICE: A. Suites, elevators, lobbies and hallways B. Team and officials locker rooms, and other rooms in the tunnels C. Box offices D. First aid room E. Press Box F. All parking lots and adjacent sidewalks 26. EVENT STAFFING LEVELS: The number of personnel required per event will depend on the type of event and expected attendance. A. 11 Total NOTE: Event and employee estimates are based on schedule and are subject to change. 27. STANDARDS: A. The Service Provider shall have an On-Site Manager or Supervisor on duty any time that there are more than three employees working. B. The Service Provider shall, at all times, furnish sufficient personnel to accomplish all work set forth in these specifications. C. Failure to satisfactorily perform the quality of work required under these specifications to the required quality level shall be accepted as evidence that the working force is too small or that supervision is inadequate. D. Only personnel hired by the Service Provider will be authorized on the premises. 28. SPECIFICATIONS: This section contains a list of specific cleaning and janitorial services to be performed by the successful Service Provider. This list is not intended to be an exclusive list of the services to be provided in that the successful Service Provider will be expected to maintain the Liberty Bowl Memorial Stadium and Fairgrounds in a first class state of cleanliness and will be expected to do whatever is necessary to accomplish this. A. Suites, Elevators, Lobbies and Hallways 1. Remove all trash from all suites (except from suite pantries). Place liners in trash carriers and transport to dumpster. (Insure all carriers wheels are free of dirt or grime before coming into finished spaces). Replace liners in receptacles used. 2. Inspect ledges for debris. Close all doors and windows, secure and clean. 3. Wipe clean all counter tops, table tops and drink bars. 4. Wipe clean all upholstered chairs and stools. Inspect for crumbs between cushions. Inspect furniture for spills and stains and spot clean as soon as possible. Organize furniture back in place after cleaning. 6. Sanitize all restrooms, clean and polish all fixtures. Remove decals, graffiti from toilet stalls/doors, mirrors, etc.. Replace all trash liners, paper stock, and liquid soap in restrooms. 7. Sweep clean all stone, tile and ceramic floors. Mop clean all floors, entrance ways, etc. with approved germicidal cleaner. 8. Vacuum clean all carpeted areas. Spot clean all spills, stains and remove chewing gum as soon as possible. 9. Remove trash and clean smoking urns from outdoor smoking areas. 10. Wipe clean fingerprints and marks from doors and polish clean

12 11. Dust shelves, T.V. screens and cabinets. 13. Wipe down elevator walls, sweep clean and mop elevator floors. Wipe clean and polish interior elevator walls and control panels. Polish clean exterior elevator doors. 14. Clean windows on suite level hallway and in all suites. 15. Check stairwells for trash and spills, spot clean to remove all spills or stains on stairways and landings. 16. Report any problems or damage to Stadium Event Manager. B. Team and Officials Locker Rooms, Tunnel Restrooms, Other Tunnel Rooms 1. Remove all trash from all areas of locker room.(i.e. training room, equipment rooms, assistant and head coaches rooms, restrooms and shower areas) Place liners in trash carriers and transport to dumpster. (Insure all carriers wheels are free of dirt or grime before coming into finished spaces) Replace liners in receptacles used. 2. Remove all trash, tape, etc. from lockers (including top of lockers). Inspect lockers for personal items that may have been left behind. Turn in any items found to the Locker Room Staff or Administrative Office. Wipe down lockers with approved wood cleaning solution 3. Sanitize all restrooms and showers, clean and polish all mirrors and fixtures (including water fountains). Remove decals, graffiti from toilet stalls/doors, mirrors, etc. Replace all trash liners, paper stock, and liquid soap in restrooms as needed. 4. Sweep clean all tile and concrete floors. Mop clean all floors, entranceways, showers, etc. with approved germicidal cleaner. 5. Vacuum clean all carpeted areas. Spot clean all spills, stains and remove chewing gum. 6. Remove names from locker name plates and wipe clean. 7. Wipe down dry erase/chalk boards, walls and doors as needed. 8. Report any problems or damage to Stadium Event Manager. C. Box Offices (Day after detail crew) 1. Wipe clean all ticket pass-through trays and windows (both interior and exterior), counter tops, partitions, table tops, chairs and stools. 2. Sweep clean all tile floors. Mop clean all floors, entranceways, etc. with approved germicidal cleaner. Vacuum clean all carpeted areas. 3. Wipe down walls and doors as needed. 4. Report any problems or damage to Stadium Event Manager

13 5. Spot clean carpet. D. First Aid Room 1. Remove all trash from all areas of room. Place liners in trash carriers and transport to dumpster. (Insure all carriers wheels are free of dirt or grime before coming into finished spaces) Replace liners in receptacles used. All medical waste (red) liners and containers shall be provided and disposed of by First Aid staff. 2. Wipe clean all counter tops, examination tables, desks, and chairs. 3. Sanitize all restrooms, clean and polish all fixtures. Remove decals, graffiti from toilet stalls/doors, mirrors, etc.. Replace all trash liners, paper stock, feminine products and liquid soap in restrooms. 4. Sweep clean all tile floors. Mop clean all floors, entranceways, etc. with approved germicidal cleaner. 5. Wipe down walls and doors as needed. 6. Report any problems or damage to Stadium Event Manager. E. Press Box 1. Remove all trash from all rooms. Recycle all papers, programs, folders, etc. left on counter tops. Place liners in trash carriers and transport to dumpster. Insure all carriers wheels are free of dirt or grime before coming into finished spaces. Replace liners in receptacles. 2. Wipe clean all counter tops, tables, desks, and chairs. 3. Sweep clean all tile floors. Mop clean all floors, entranceways, etc. with approved germicidal cleaner. 4. Vacuum clean all carpeted areas. Spot clean all spills, stains and remove chewing gum. 5. Wipe down walls and doors as needed. Remove tape and residue from walls and windows. Close and secure all windows. 6. Check stairwells for trash and spills, spot clean to remove all spills or stains on stairways and landings. 7. Report any problems or damage to Stadium Event Manager. F. Stadium Seating Bowl 1. Collect all loose trash in plastic bags and transport to nearest dumpster. (Trash shall mean, but not limited to, paper or plastic cups, paper or foil wrappers, shells, gum, decals, confetti, programs, and any food items. 2. Sweep small trash to the aisles of each row for collection

14 3. Use leaf blowers to move small debris from highest point in section to the lower rows. Insure all drains are free of trash and debris. 4. Insure all cup holders are free of trash. 5. Pressure wash concrete deck and seats as needed (estimated 2 3 times per year). 5. Report any damaged seats, railings, concrete or caulking to Stadium Event Manager. G. Turf/Field 1. Pick all trash and debris from sidelines and field, including paper trash, tape, shells, and animal droppings, collect in plastic trash bag and transport to nearest dumpster. Clean all trash cans and replace liners. 2. Clean all grates and drains of debris. H. Concourse, ramps, and stairways 1. Use Riding scrubber on concourse areas (Certified driver only). 2. Spot mop to remove all spills or stains on ramps, walkways, and concourses not accessible to the scrubbers. 2. Remove trash from receptacles, replace liners. 3. Clean smoking urns. 4. Clean wheelchair areas, removing trash, wiping hand rails, ledges, panels. 5. Clean elevator landing rooms, mop floors/vacuum in elevator and waiting area. 6. Wipe clean and disinfect all water fountains. 7. Clean debris and bird droppings from all gates and fence lines. I. Concourse Restrooms 1. Collect all loose trash and feminine products and dispose of in restroom waste receptacles (including any debris on ceiling supports). 2. Sweep all floors; collect trash and place in restroom waste receptacles. 3. Remove all trash from urinals and place in restroom waste receptacles. 4. Collect all receptacle liners, place in carriers, and transport to nearest dumpster. 5. Waste receptacles shall be rinsed out following each event, exteriors shall be damp wiped. Report any damage to Stadium Event Manager. Replace all receptacle liners and feminine receptacle liners. 6. Waste closets, seats, urinals shall be washed and disinfected inside and outside. Seats shall be cleaned on both sides and left in a raised position. No rust, incrustation or water rings shall exist

15 7. All stall partitions and stall doors shall be damp wiped. Any graffiti or decals shall be removed after each event. 8. Clean and disinfect washbasins. No rust, incrustation or water rings shall exist 9. Clean and disinfect baby changing stations. 10. Clean and polish all dispensers and fixtures. 11. All restrooms walls, both interior and exterior shall be spot cleaned. 12. All stock closet equipment shall be cleaned and made ready for the next event. Mops will be cleaned in clear water, rinsed, wrung dry and hung up. Mop buckets will be emptied in mop sink and rinsed clean. Dustpans will be emptied and wiped clean. Brooms will be hung off the floor on hangers provided. 13. All toilet paper, hand towel, and soap dispensers shall be serviced and made ready for the next event. 14. All mirrors and shelving shall be cleaned and wiped dry. 15. Floors shall be scrubbed using cleaner, mopped, and squeegeed dry. 16. Insure janitorial closets are locked upon completion of work. 17. Report any problems or damage to Stadium Event Manager. J. Public Entry Gates and Halo 1. Collect all loose trash in plastic bags, place in carriers and transport to dumpster. 2. Collect all trashcan liners from entrance gates and around plaza, place in carrier and transport to nearest dumpster. 3. Inspect ticket boxes for trash. 4. Sweep clean all areas inside and outside of gates. 5. Wipe down all walls in and around the gates and plazas. 6. Rinse clean all trash receptacles and install new liners. 7. Spot clean (wash down) any spills or stains as needed. K. Common Areas 1. Collect all loose trash in plastic bags, place in carriers and transport to dumpster. 2. Sweep clean all hard floor areas. Wipe clean any spills, oil or grease residue, stains left on concrete floor. 3. Vacuum all carpeted walkways and traffic lanes. 4. Rinse clean all trash receptacles and install new liners

16 L. Landscaped Areas 1. Collect all loose trash, including small debris, using extension poles that grab trash in areas that may damage vegetation or flower boxes. 2. Collect trash from trees and shrubs. 3. Report any damage to Stadium Event Manager. M. All Parking Lots and Adjacent Sidewalks 1 Collect all loose trash (including glass fragments and cigarette butts) in plastic bags. 2. Collect all trash can liners from sidewalks and transport to dumpster. 3. Sweep clean all areas in and around lots and driveways. 4. Clean and clear all drains of trash and debris. 5. Collect trash from trees and shrubs 6. Report any damage to Stadium Event Manager. 29. INSPECTION BY GLOBAL SPECTRUM S EVENT/OPERATIONS MANAGER: An inspection after all events will be conducted by the Event/Operations Manager. Inspection will begin at a time agreed upon by Service Provider and Global Spectrum. Service Provider will be provided written documentation detailing the result of each inspection. Corrective action to relieve any deficiencies should be undertaken as soon as reasonably possible and with consideration for upcoming stadium events. 30. CLEANING OF OFFICE SPACE: Offices (2-3 times weekly) 1. Empty all trash receptacles and replace liners as needed. Use trash carriers to transport from office to office. (Insure all carriers wheels are free of dirt or grime before coming into finished spaces, do not drag trash bags across carpets or floors). Carry trash to dumpster for disposal. 2. Sanitize all phones with spray germicidal cleaner and wipe off. 3. Dust desk tops and window ledges (move items around if necessary). 4. Vacuum carpeting (spot clean any stains on carpeting). 5. Sweep up dirt and debris from tile floors. 6. Sweep clean exterior of office near front door. 7. Clean glass windows (interior and exterior) and mirrors. 8. Clean and sanitize all restroom fixtures. (Replace paper supplies and liquid soap as needed.) 9. Wipe clean all fingerprints from walls and doors

17 10. Mop clean all tile floors. 11. Spot clean carpets as necessary. 12. Dust window blinds (once per week). 13. Damp wipe A/C vents and intakes (once per week). 14. Remove cobwebs and perform high dusting (once per week). 15. Deep clean carpeting (estimate 1 2 times per year) 31. CONTRACT: The successful Service Provider will be expected to enter into a written contract approved by Global Spectrum s attorneys for the performance of these services. The contract will be based on the following standards/requirements; additional requirements may be determined: A. Global Spectrum s Rights of Review and Approval over the following: 1. Quality of Personnel a. Appearance b. Standards 2. On-Site Manager 3. Right to remove On-Site Manager or staff with reasonable cause 4. Suppliers of staff a. Temporary staffing agencies or sub-contractors utilized to provide staff must be approved in advance by Global Spectrum. b. Service Provider shall provide staffing as requested by the Event/Operations Manager or Designee. Minimum staffing requirements shall be dependent upon the number of events and expected attendance on a daily basis. B. Global Spectrum may request additional staff based upon expected attendance and special circumstances such as, but not limited to, give-aways in wrappers, etc. and will agree on price variations as a result. C. Service Provider shall employ only personnel that have been fully and properly trained to perform their assigned duties. D. All employees shall be cross-trained to provide flexibility in assigning breaks to Service Provider s employees. E. Service Provider shall be responsible for providing coverage as designated by Global Spectrum. Hours of operation may vary. F. Service Provider shall be responsible for maintaining satisfactory standards of employee competency, conduct, appearance and integrity and shall be responsible for taking disciplinary action with respect to their employees as may be necessary, including removal of employees from service. Service Providers shall employ only competent and

18 orderly employees who will keep themselves neat and clean and accord courteous and competent treatment and service to all patrons. Service Provider shall remove from service any employee whose service had been unsatisfactory when requested to do so by Global Spectrum. G. Global Spectrum shall provide maximum notice possible to Service Provider on the attendance of upcoming events. Service Provider shall be able to provide full staffing requirements within 48 hours notice from Global Spectrum. H. Global Spectrum shall provide maximum notice possible to Service Provider on cancellation of events; 72-hour notice will be given in all occurrences except for weather. When events are canceled due to weather Global Spectrum shall notify Service Provider immediately and Service Provider shall make every attempt to contact all scheduled employees. I. Service Provider shall provide various reports and invoices to Global Spectrum s Event/Operations Manager and General Manager. The format and frequency of reporting and invoicing to be mutually agreed upon by Global Spectrum and Service provider. J. Service Provider shall be solely responsible for the payment of all wages, salaries and all other amounts due employees, and shall be responsible for the payment of all federal, state, and local employment taxes to include all reports, obligations, and payments pertaining to social security taxation, income tax withholding, workers compensation, unemployment and any group insurance coverage or similar matters. K. Only those employees working the event shall be allowed free access to facility. At no time shall Service Provider, or its employees, permit free access to anyone not scheduled to work at event(s) that day. Any Service Provider s employees that are attending events as a spectator must park in designated guest/spectator parking, and shall not be allowed to use employee parking. L. Service Provider agrees that there shall be no discrimination against any person with respect to opportunity for employment on the basis of national origin, age, sex, race, religion or disability and agrees to comply with all applicable state and federal laws relating to employment practices. M. Global Spectrum requests that Service Provider make every effort to assign employees to the same position and/or area for each event. N. Service Provider shall supply Global Spectrum with event deployment sheets four (4) days before event. O. The On-Site Manager will be expected to attend required event meetings unless Global Spectrum s General Manager approves the Manager s absence. P. On-Site Manager will be required to supply Global Spectrum s Event/Operations Manager with: Time sheets following events, signed checklist of work completed. Q. The Agreement may be terminated for cause at any time by Global Spectrum by giving written notice prior to desired termination date with such notice directed to the main office of the Service Provider. R. The Agreement may be terminated at any time if Global Spectrum is no longer retained as the management agent for the Liberty Bowl Memorial Stadium

19 32. INSURANCE REQUIREMENTS During the term of this Agreement, the Contractor shall provide, pay for, and maintain with insurances companies satisfactory to Global Spectrum the types of insurance described herein. All insurance shall be issued by insurance companies rated no less than A VIII in the most recent Bests insurance guide, and licensed in the state of Tennessee. All liability policies shall provide that Global Spectrum, LP; City of Memphis, are additional insureds as to the operations of the Contractor hereunder and shall also include the severability of interest provision (a/k/a separation of insureds). The insurance coverages and limits required must be evidenced by properly executed certificates of insurance on forms which are to be provided by the Service Provider with written proof that the person signing the certificate is an authorized representative of the insurance companies shown on the certificate. In addition, certified, true and exact copies of all insurance policies required shall be provided to Global Spectrum if requested on a timely basis. Thirty (30) days prior written notice by registered or certified U.S. mail shall be given to Global Spectrum of any cancellation or reduction in the policies coverage except in the application of the aggregate limits provisions. In the event of a reduction in any aggregate limit, the Contractor shall take immediate steps to have it reinstated. If at any time Global Spectrum requests a written statement from the insurance company as to any impairments to the aggregate limit, the Contractor shall promptly authorize and have delivered such statement to Global Spectrum. Contractor shall make up any impairment to the aggregate limit when known to it. The Service Provider authorizes Global Spectrum and its insurance consultant to confirm all information furnished, as to its compliance with these requirements with its insurance carriers. All insurance coverage required of the Service Contractor shall be primary to any insurance of self-insurance program carried by the Service Provider. The acceptance of delivery to Global Spectrum of any certificate of insurance evidencing the insurance coverage and limits required in the Agreement does not constitute approval or agreement by Global Spectrum that the insurance requirements in the Agreement have been met or that the insurance policies shown in the certificate of insurance are in compliance with the Agreement requirements. No Services shall be performed under this Agreement until the required certificate of insurance is received by Global Spectrum and Global Spectrum has given a written notice to proceed under this Agreement to the Contractor. All of the required insurance coverages shall be issued as required by law and shall be endorsed, where necessary, to comply with the minimum requirements contained herein. Thirty (30) days prior written notice of cancellation of any insurance policy by the respective insurance company under the certificate of insurance shall also be given, by certified U.S. mail to: Lew Bostic, VP of Risk Management Global Spectrum 3601 South Broad St. Philadelphia, PA Should at any time the Contractor not provide or maintain the insurance coverages required in this Agreement, Global Spectrum may terminate or suspend this Agreement. The amounts and types of insurance shall conform to the following minimum requirements with the use of Insurance Service Office (ISO) policies, forms and endorsements or broader where applicable. Notwithstanding the foregoing, the wording of all policies, forms and endorsements must be acceptable to Global Spectrum. INSURANCE COVERAGE AND LIMITS A. Workers Compensation and Employers Liability Insurance shall be maintained in force by the Contractor during the term of this Agreement for all employees of Contractor performing Services under

20 this Agreement, in accordance with the laws of the State of Tennessee. The limits of coverages shall not be less than: Workers Compensation: Tennessee Statutory Requirements Employers Liability: $100,000 Limit Each Accident $500,000 Limit Disease Aggregate $100,000 Limit Disease Each Employee B. Commercial General Liability Insurance on the full occurrence form shall be maintained in force by the Contractor. Coverage shall include, but not be limited to, Premises and Operations, Personal Injury, Contractual for the Agreement, Independent Contractors, Broad Form Property Damage including Completed Operations, and Products & Completed Operations Coverage and shall not exclude coverage for cleaning services to be provided under this Agreement by the Contractor. Limits of Coverage shall not be less than: Bodily Injury, Personal Injury & Property Damage Liability: $1,000,000 Combined Single Limit Each Occurrence and Aggregate $1,000,000 Each occurrence and Aggregate for Liability under this Specific Agreement. C. Business Automobile Liability Insurance shall be maintained in force by the Contractor as to the Ownership, maintenance, use, loading and unloading of all owned, non-owned, leased or hired vehicles to be used for this project with limits of not less than: Bodily Injury & Property Damage Liability: $1,000,000 Combined Single Limit Each Accident These Insurance Requirements shall not limit or restrict in any way the responsibilities of the Service Contractor to Global Spectrum under this Agreement

21 COST PROPOSAL In compliance with the Request for Proposal, the responder hereby proposes and agrees to perform the services called for in the Agreement at the prices specified herein. The Services shall be performed in an efficient and diligent manner to the satisfaction of Global Spectrum s authorized representative. Prices must include all applicable Federal, State, County and City taxes, along with profit and overhead and any other expenses including, but not limited to, administrative charges: All administrative overhead (home office, supplies, event preparations, etc.) should be carried in the rate schedules of the Post-Clean and Event Labor Rates. For hourly rates, service providers should note the rate per man-hour should be based on the time personnel are on post until the nearest quarter hour to the time they are released from their post. Time required for sign-in or arrival to post is not included in the billable time. There will be no minimum number of employees per call and the minimum call will be no more than three hours. In addition to scheduled major events, there will be small private functions held in the multipurpose rooms, on Tiger Lane, and in other parts of the Liberty Bowl Memorial Stadium that will require Contractor to provide personnel, at the request of Liberty Bowl Memorial Stadium staff. Service Provider shall be responsible to schedule employees such that all time is billed at straight time rates as agreed upon. Global Spectrum shall not pay overtime for any employee unless specifically requested by the Service Provider and approved in writing in advance
