We, the undersigned of these statutes; Gathered in the General Assembly on 23 rd May 2012 Do hereby agree to create a limited company whose statutes are the following: TITLE ONE: FORM, NAME, HEAD OFFICE, DURATION MISSION Article One: Form and name Pursuant to the Rwandan legislation, especially the Law N 07/2009 of 27/04/2009 relating to companies, do create a public limited company named «IMANZI INVESTMENT GROUP, Ltd», «IIG Ltd» in abbreviation 1 Nous, les soussignés des présents statuts ; Réunis en Assemblée Générale ce 23 Mai 2012 Convenons de créer une société à responsabilité limitée dont les statuts sont les suivants: TITRE PREMIER : FORME, DENOMINATION, SIEGE, DUREE, MISSION Article Premier:Forme et Dénomination. Conformément à la législation en vigueur au Rwanda, spécialement la Loi N 07/2009 du 27/04/2009 relative aux sociétés commerciales, convenons de créer une société publique à responsabilité limitée dénommée «IMANZI INVESTMENT GROUP Ltd», «IIG Ltd» en abrégé.

Ingingo ya 3: Igihe izamara Igihe «IIG, Ltd» izamara ntikigenwe. Article 2: Head office The head office of the company shall be establised at Huye District, Southern Province, P.O. BOX 577 Huye. It may be transferred to any other place in the Republic of Rwanda upon the dicision of the General Assembly of shareholders in conformity with the provisions relating to the modification of theses statutes. Notwithstanding the provisions of the first paragraph of this article, the company may also establish administrative and commercial branches, agencies in any place in Rwanda and abroad by the simple decision taken by the Board of Directors. Article 3: Duration «IIG, Ltd» is created for an indefinite period of time. It may however be dissolved any time pursuant to the Law relating to companies and to the provisions of these statutes relating to dissolution. Article 2: Siège Social Le Siège social est établi dans le District de Huye, Province du Sud, B.P Huye. Il peut être transféré en toute autre localité du Rwanda sur décision de l'assemblée Générale des actionnaires conformément aux dispositions relatives à la modification des présents statuts. Sans prejudice des dispositions du premier alinéa de cet article, la société peut établir, par décision du Conseil d Administration, des sièges administratifs, sièges d exploitation, succursales ou agences dans n importe quel localité du Rwanda et à l étranger. Article 3: Durée La Société est crééé pour une durée illimitée. Elle peut toutefois être dissoute à tout moment conformément à la Loi relative aux sociétés commerciales et aux dispositions des présents statuts relative à la dissolution. 2

Article 4: Objective The following business occupation: - The saving for investment; - The promotion financial welfare of shareholders; - The promotion of the spirit of entrepreneurship among shareholders; - Doing business in general: buying, selling, import and export of all products Generally IIG Ltd may invest in all income-generating activities through contribution, merger, and purchase of securities or any other ways in other firms or corporations whose purpose is similar, related or merely useful for the realization of all or part of its corporate purpose. Article 4 : Objectif «IIG, Ltd» poursuit les activités commerciales suivantes : - L épargne pour investissement ; - La promotion du bien-être financier des actionnaires ; - La promotion de l esprit d entreprise parmi les actionnaires ; - Le commerce en général : l achat, la vente, l importation et l exportation de tous produits. D une manière générale la société peut investir dans toutes les activités génératrices de revenus par voie d apport, de fusion, d achat de titres ou de toutes autres manières dans toutes autres entreprises ou sociétés dont l objet serait similaire, connexe ou simplement utile à la réalisation de tout ou partie de son objet social. 3

Imigabane yemejwe izajya ishyikirizwa umucungamutungo hakurikijwe ibyo amategeko shingiro ateganya na we TITLE TWO: SHARE CAPITAL, SHARES, SUBSCRIPTION, LIBERATION Article 5: Share capital and shares The share capital of IIG Ltd is one billion fourteen million Rwandan francs (Rwf 1,014,000,000). It is composed of four hundred twenty one thousand three hundred fifty one shares (421,351) worth to two thousand four hundred Rwandan francs (2,400 Rwfs) each. Article 6: Subscription and liberation The share capital is subscribed as showed out on the list of all shareholders attached to these statutes. The release of shares subscribed shall be made to the accountant who will give good and sufficient discharge. TITRE II : CAPITAL SOCIAL, ACTIONS, SOUSCRIPTION, LIBERATION Article 5: Capital social et actions Le capital social de IIG Ltd est fixé à un milliard quatorze million de francs Rwandais ( Frw). Il est composé de 421,351 actions d une valeur de 2,400 Frw chacune. Article 6: Souscription et liberation Le Capital Social est souscrit telle que figurant sur la liste des actionnaires annexée à ce statut. La libération des actions souscrites se fera auprès du comptable qui donnera bonne et valable quittance. 4

Ingingo ya7: Ihinduka ry imari shingiro Imari shingiro ishobora kongerwa cyangwa ikagabanywa inshuro imwe cyangwa nyinshi byemejwe n Inteko Rusange yabisuzumye hakurikijwe ibiteganwa mu guhindura amategeko shingiro. Usibye igihe Inteko Rusange yaba yabifasheho icyemezo, inama y ubuyobozi ishyiraho ijanisha n ibisabwa kugirango hatangazwe imigabane mishya mu gihe habayeho iyongerwa ry imari shingiro. Imigabane mishya mu mafaranga ihabwa Nevertheless, to facilitate the shareholders releasing their actions by payroll deductions, their actions will be deemed to have been paid upon receipt by the Manager of the financial evidence from the employer of the shareholder. Subscribed shares must be paid within a period not exceeding four (4) years from the date of subscription. Article 7: Modification of share capital The share capital should be increased or reduced once or many times by the decision of the General Assembly deliberating in the conditions stated for the modification of the statutes. Unless the General Assembly decides otherwise, the Board of Directors determines in any capital increase the rate and the terms of issue of new shares. A moins que l Assemblée Générale n en décide autrement, le Conseil d administration fixe, lors de toute augmentation du capital, le taux et les conditions d émission des actions nouvelles. Imigabane ntishobora kwegurirwa abandi bantu batari muri IIG Ltd bitemejwe n ubwiganze bw abanyamigabane bungana nibura na ¾ by umutungo fatizo. Ingingo ya 9 : Uburenganzira n inshingano by abanyamigabane Umunyamigabane afite uburenganzira n inshingano biteganywa n itegeko are preferentially offered to shareholders in proportion to the capital represented by their shares. Unless the General Assembly decides otherwise, the Board of Directors shall determine the time and conditions of exercise of the right of preference. This period may not be lower than two months. The General Assembly decides the fate of actions that would not have benefited from preferential rights. Article 8 : Cession and transfer of shares Shares are freely transferable and assignable between shareholders within the limits of the law relating to companies. Shares can not be transferred to third parties without the consent of the majority of shareholders representing at least ¾ of the capital. Article 9 : Rights and obligations of shareholders The shareholder has the rights and obligations under the Law on commercial sont offertes par préférence aux actionnaires proportionnellement à la partie du capital que représentent leurs actions. Article 8 : Cession et Transmission des actions Les actions sont librement transmissibles cessibles entre actionnaires dans les limites de la loi relative aux sociétés commerciales. Les actions ne peuvent être cédées à des tiers qu avec l accord de la majorité des actionnaires représentant au moins les ¾ du capital social. Article 9 : Des droits et obligations des actionnaires L actionnaire a les droits et les obligations prévues par la Loi relative aux sociétés 6

Article 12: Ordinay General Assembly The ordinary General Assembly meets once per a year on the last week of February convened by the Chairperson of the Board of Directors by sending a letter to all shareholders fifteen days (15) before the meeting. The letter of invitation shall specify the venue, date and time of the meeting and the agenda. Article 12 : L Assemblée Générale ordinaire L Assemblée Générale ordinaire se réunit une fois par an dans la dernière semaine du mois de février sur convocation du Président du Conseil d administration par lettre adressée à tous les actionnaires quinze jours avant la tenue de la session. La lettre d invitation précise le lieu de lieu, la date, l heure de la réunion ainsi que l ordre du jour. 9

Ingingo ya 15 : Gufata ibyemezo Ibyemezo by Inteko Rusange bifatwa Article 13 Extraordinary General Assembly Extraordinary sessions of the General Assembly may be held whenever deemed necessary to examine urgent matters. The Extraordinary meetings of the General Assembly are convened in the same conditions as of the ordinary General Assembly. However the Extraordinary sessions shall examine the only items mentioned on the agenda precised in the invitation. Article 14: Quorum To hold a valid General Assembly, there must be shareholders representing at least half of the subscribed shares. If this quorum is not attained a new convocation for the same meeting is issued within 7 days. In this meeting, the General Assembly deliberates legitimately and approves or takes any decision whatever the number of the present shareholders. Article 15 : Taking decisions The decisions of the General Assembly are Article 13 : De l Assemblée Générale extraordinaire Des sessions extraordinaires de l Assemblée Générale peuvent avoir lieu chaque fois que de besoin pour traiter des questions urgentes. Toutefois l Assemblée Générale extraordinaire ne peut examiner que les points figurant à l ordre du jour précisé dans l avis de convocation. Article 14 : Du quorum Pour que l Assemblée Générale puisse se réunir valablement, il doit y avoir des actionnaires représentant au moins la moitié des actions souscrites. Si ce quorum n est pas atteint, une nouvelle convocation est lancée dans un délai de 7 jours. A cette échéance, l Assemblée Générale siège et délibère valablement quelque soit le nombre des actionnaires présents. Article 15 : De la prise des décisions Les décisions de l Assemblée Générale sont prises à la majorité absolue des voix 10

However, when it comes to amending the statutes, decisions will be taken by a majority of shareholders representing four fifths of the shares subscribed. CHAPTER II: THE BOARD OF DIRECTORS Article 16: Designation of the Board of Directors "IIG Ltd" is administered by a Board of Directors consisting of 15 members, shareholders or not, appointed for three years by the General Assembly of Shareholders. Functions of former Directors whose term is not renewed take immediately end after an ordinary General Assembly meeting. The Board of Directors elects among its members a Chair person having a casting voice and can vote Deputy chairperson. The Deputy Chairperson replaces the Chairperson in his/her functions in case of représentant la moitié des actions sousscrites. Les fonctions des administrateurs sortants non réélus prennent fin immédiatement à l issue de l Assemblée Générale ordinaire. However, the first financial year starts on the day the company is registered in the register of companies and ends on the 31st December of the same year. Article 28 : Balance sheet The manager of the company shall, at the end of each year, close the accounting records and an inventory containing an indication of securities and real estate as well as the profit and loss account. He must attach a summary of all commitments, including guarantees and other guarantees and debts of each shareholder towards the company. Article 29 : Auditing The audit of the company may be entrusted to one or more auditors appointed and dismissed by the General Assembly. En cas de dissolution, le solde bénéficiaire de la liquidation sera partagé entre les actionnaires suivant le nombre de leurs actions respectives, chaque action conférant un droit égal. The decision to amend these statutes must be approved by shareholders representing at least four-fifths of the shares (4/5) subscribed. Article 32 : dispute settlement Any dispute arising out of the execution of these statutes will be first settled amicably. In case of failure, it will be settled by the competent commercial court.
