3 NOTICE NOTICE IS HEREBY GIVEN that pursuant to Regulation 49 of the United Bank of India (Shares & Meetings) Regulations 2010, an Extraordinary General Meeting of the shareholders of UNITED BANK OF INDIA will be held on Friday, March 13, 2015, at A.M. at Bhasha Bhavan Auditorium, National Library, Belvedere Road, Kolkata to consider and if thought fit, pass with or without modification, the following resolution as a Special Resolution: RESOLVED THAT, pursuant to the provisions of the Banking Companies (Acquisition and Transfer of Undertakings) Act, 1970 (the Act) and United Bank (Shares and Meetings) Regulations, 2010 as amended from time to time (the Regulations) and subject to the approvals, consents, sanctions, if any, of Reserve Bank of India (RBI), Government of India (GOI), Securities and Exchange Board of India (SEBI), and / or any other authority as may be required in this regard and subject to such terms, conditions and modifications thereto as may be prescribed by them in granting such approvals and which may be agreed to by the Board of Directors of the Bank and subject to SEBI (Issue of Capital & Disclosure Requirements) Regulations, 2009 (SEBI (ICDR) Regulations) and regulations prescribed by RBI and all other relevant authorities from time to time and subject to the Listing Agreements entered into with the Stock Exchanges where the equity shares of the Bank are listed, consent of the Shareholders of the Bank be and is hereby accorded to the Board of Directors of the Bank (hereinafter called the Board which shall be deemed to include a Committee which the Board may have constituted/may constitute, to exercise its powers including the powers conferred by this Resolution) to create, offer, issue and allot on preferential basis to the Government of India (a) up to 23,39,18,128 equity shares of Rs.10/- each at Rs per equity share determined in accordance with the Regulation 76(1) of SEBI (ICDR) Regulations, not exceeding Rs.1000cr. including premium for cash (b) up to 12,28,60,818 equity shares of Rs.10/- each at Rs per equity share determined in accordance with the Regulation 76(1) of the SEBI (ICDR) Regulations by conversion of PNCPS (Perpetual Noncumulative Preference Shares) of Rs.100,000/- each, being the second and the final tranche of such conversion of entire block of units PNCPS as at the beginning of the financial year, both under Chapter VII of SEBI (ICDR) Regulations. "RESOLVED FURTHER THAT, the Relevant Date for determination of the Preferential Issue Price is February 11, "RESOLVED FURTHER THAT, the Board shall have authority and power to accept any modification in the proposal as may be required or imposed by the Government of India / Reserve Bank of India / Securities and Exchange Board of India/ Stock Exchanges where the shares of the Bank are listed or such other appropriate authorities at the time of according / granting their approvals, consents, permissions and sanctions to the issue, allotment and listing thereof and as agreed to by the Board." "RESOLVED FURTHER THAT, the said equity shares to be issued shall rank pari passu with the existing equity shares of the Bank and shall be entitled to dividend, if any, declared in accordance with the statutory guidelines that are in force at the time of such declaration." RESOLVED FURTHER THAT, for the purpose of giving effect to this Resolution, the Board be and is hereby authorised to do all such acts, deeds, matters and things as it may in its absolute discretion deem necessary, proper and desirable and to settle any question, difficulty or doubt that may arise in regard to the issue of the equity shares and further to do all such acts, deeds, matters and things, finalise and execute all documents and writings as may be necessary, desirable or expedient as it may in its absolute discretion deem fit, proper or desirable without being required to seek any further 1

4 consent or approval of the shareholders or authorise to the end and intent that the shareholders shall be deemed to have given their approval thereto expressly by the authority of this resolution. The E-voting rights of the shareholders/beneficiary owners shall be reckoned on the equity shares held by them as on February 13, (I) The voting period begins at hrs on Saturday, March 7, 2015 and ends at hrs on Monday, March 9, During this period shareholders' of the Company, holding shares either in physical form or in dematerialized form, as on the cut-off date (record date) i.e. February 13, 2015, may cast their vote electronically. DOB Enter the Date of Birth as recorded in your demat account or in the company records for the said demat account or folio in dd/mm/yyyy format. Dividend Bank Details Enter the Dividend Bank Details as recorded in your demat account or in the company records for the said demat account or folio. Please enter the DOB or Dividend Bank Details in order to login. If the details are not recorded with the depository or company please enter the member id / folio number in the Dividend Bank details field as mentioned in instruction (vii). (viii) After entering these details appropriately, click on SUBMIT tab. (ix) Members holding shares in physical form will then directly reach the Company selection screen. However, members holding shares in demat form will now reach 'Password Creation' menu wherein they are required to mandatorily enter their login password in the new password field. Kindly note that this password is to be used by the demat holders for voting for resolutions of any other company on which they are eligible to vote, provided that company opts for e-voting through CDSL platform. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential. Explanatory Statement Setting Out all Material Facts including Objects of the Issue: a) The Bank is in the business of the banking and related activities. Presently, the Authorized Capital of the Bank is Rs.3000 Crore. The Paid-up Equity Share Capital of the Bank is Rs Crore. b) In , the Bank has reported [-2.48%] growth in advances, 10.79% growth in deposits and 5.36% growth in total business. The Operating Profit, Net Profit, Risk Weighted Assets and CRAR ratios (under BASEL III) of the Bank for the first 3 quarters are as under (All in INR in cr.) Within the minimum Tier 1 ratio of 7%, AT1 ratio should be maximum 1.5% and within the minimum CRAR of 9%, Tier 2 ratio should be maximum 2.0% However, if the bank complies with the minimum CET1 and Tier 1 capital ratios, then the excess Additional Tier-1 (AT1) and Tier 2 capital can be admitted for computation of CRAR. Bank is also required to maintain a Capital Conservation Buffer (CCB) of 2.5% of RWAs in the form of Common Equity Tier 1 Capital to be implemented from March 31, 2016 of 2.5% per year. 6

9 d) Based on the internal business projections, it has been assessed that the Bank would require additional Rs.163cr. capital as on March 31, 2015 to be able to maintain the minimum Tier 1 ratio and overall CRAR. The Bank would need further Tier-I capital to the tune of around Rs.1000cr. to achieve the projected business level for the following years. e) Presently, the shareholding of Government of India in the Bank is Crore constituting % of the total paid-up equity capital of the Bank. Under Basel-III Norms, Capital of the Bank was at Rs.5981cr. and CRAR 9.81% (Tier % and CET 6.54%) as on g) The Bank is targeting to maintain CRAR at higher side of 10% (against minimum requirement of 9%) as on to ensure achievement of unhindered business growth, expansion and general lending in the remaining part of this fiscal and the coming financial years. h) The Bank had issued Perpetual Non Convertible Cumulative Preference Shares (PNCPS) under BASEL II regime to Government of India of Rs. 100,000/- each in 2009 & Out of which, 27,477 PNCPS were converted into 7,74,00,000 equity shares on June 23, i) The PNCPS are devoid of the loss absorbency feature and consequently are liable to a deduction of 10% per annum. It is proposed to convert the remaining PNCPS into equity shares. By conversion of these PNCPS into equity, the Bank will get the capital benefit to the tune of Rs.158cr. in Tier-1 by March 31, j) The Bank also proposes to issue additional equity capital up to Rs.1000cr. to the Government of India under the ongoing Bank recapitalization plan of the Central Government. If required, the Bank may also explore other options to raise equity and/or Additional Tier -1 instruments at opportune moments to ensure that the projected business growth for the next financial year remains unhindered. k) The entire fresh equity to be allotted by conversion of PNCPS and pursuant to capital infusion shall be allotted to the Central Government, which will enable the Bank to shore up its Common Equity, Tier I capital and overall capital adequacy and help the Bank to comply with the regulatory requirements in terms of capital adequacy and augment its resources to achieve the future growth envisaged by the Top Management of the Bank. l) The Preferential allotment(s) of up to 35,67,78,946 equity shares in favour of the Central Government shall be made in accordance with the Chapter VII of the SEBI (ICDR) Regulations. With the aforesaid allotment, the Central Government holding in the Bank will increase from % upto % of the total share capital. m) The Ministry of Finance vide its letters F.No.11/17/2013 (Part III) BOA dated December 31, 2014 has approved conversion of existing PNCPS of Rs cr. into equity shares subject to compliance with applicable of RBI and / SEBI guidelines. n) The Issue Price of shares to be allotted to the Central Government has been determined in accordance with Regulation 76 of SEBI (ICDR) Regulations. Considering February 11, 2015 as the Relevant Date, the Issue Price including premium is fixed at Rs per equity share. o) The Certificate issued by the Statutory Central Auditor(s) certifying the pricing and that the issue is being made in accordance with the requirements of these regulations will be tabled at the Extraordinary General Meeting. 7

The Central Government shall be under an obligation to make an open offer for acquiring shares of the minority shareholders under Regulation 3(2) of the SEBI (Substantial Acquisition of Shares & Takeover) Regulations The Bank on behalf of the Central Government shall approach SEBI seeking exemption from the applicability of said Regulations from the said obligation. r) The Central Government has not sold any equity share of the Bank during six months preceding the Relevant Date. s) The shares of the Bank have been listed for more than six months and accordingly, provisions of Regulation 76(3) and 78(5) of SEBI (ICDR) Regulations are not applicable. t) All the shares held by the Central Government are in dematerialized mode and the Bank is in compliance with the conditions of continuous listing of equity shares as specified in the Listing Agreement with the Stock Exchanges where the equity shares of the Bank are listed. u) The entire pre-issue holdings of the Central Government shall be locked-in from the Relevant Date till a period of six months from the date of trading approval granted by the Stock Exchanges. v) The fresh shares allotted to Government of India, subject to a maximum of 20% of the paid-up capital of the Bank shall be locked-in for 3 years from the date of trading approval and fresh shares allotted beyond the aforementioned 20% shall be locked-in for 1 year from the date of trading approval. w) The Bank undertakes to re-compute the price of the equity shares in terms of the provisions of SEBI (ICDR) Regulations where it is required to do. x) As required under Clause 23 of the Listing Agreement executed by the Bank with the Stock Exchanges where the Bank's Equity Shares are listed and Chapter VII of SEBI (ICDR) Regulations, the Bank seeks the approval of the shareholders by way of a Special Resolution for the proposed issue of equity shares to the Government of India on preferential basis. y) For reasons aforesaid, the enabling resolutions are therefore being recommended to provide adequate flexibility and discretion to the Board to finalize the terms of the issue. For this purpose the Bank is required to obtain the consent of the shareholders by means of a special resolution. Hence, your consent is requested to the above proposal. z) None of the Directors of the Bank is interested or concerned in the aforementioned Resolution(s), except to the extent of their shareholding, if any, in the Bank.
