7 1. Introduction The year 2011 was another a colourful and fruitful year for the Centre for the Study of European Contract Law. Important highlights in the life of the Centre in 2011 included: the inaugural lectures held by Evelyne Terryn and Aukje van Hoek; the successful defence of her doctoral thesis by Joasia Luzak; the conference organised bij Jaap Baaij, on The Role of Legal Translation in Legal Harmonisation, and a workshop, organised together with the Amsterdam Center for International Law and the Amsterdam Centre for European Law and Governance, on Framing and Taming Postnational Rulemaking. Two members of the Centre, Hugh Beale and Martijn Hesselink, were members of a European Commission Expert group that published a Feasibility Study which became the basis, later that year, for the European Commission's proposal for a regulation on a Common European Sales Law (CESL). Moreover, Chantal Mak and Marco Loos, together with researchers of the Institute for Information Law, published a report for the European Commission on digital content, that also had an important impact, specifically with regard to digital content, on the Commission s proposal for a CESL. Finally, in 2011 the CSECL was happy to welcome two new PhD candidates (Josse Klijnsma and Candida Leone) and one new post-doc (Marija Bartl). Amsterdam, July 2012 Martijn W. CSECL s mission and research theme Mission The Centre for the Study of European Contract Law (CSECL) was founded in Its research programme focuses on the interplay between the European, national and international laws of contract. Contract law is understood in a broad sense, namely the law governing economic transactions in Europe. The research group aims to play a leading role in the academic debate on European contract law. General research theme The theme of CSECL s research is European contract law. This includes both commercial and consumer contracts, and both general and specific contract law. It also includes the relevant aspects of general patrimonial law and the general law of obligations. Moreover, it also includes important aspects of property law and insolvency law, and, albeit to a lesser extent, of tort law. European law is understood here as the law which is applicable in Europe. The definition is based on the concept of multi-level governance: the research focuses on the interplay between the relevant national (civil code, common law), European (current and new acquis) and international (eg CISG) law. Finally, law is understood here also in a broad sense including not only soft law but also the context in which the black letter rules operate. As a result, research will often be multi-disciplinary combining insights from comparative law, economic analysis, legal theory, political analysis, constitutional analysis, sociology and psychology. CSECL s specific focus is on four specific themes: 1) the interaction between national and community (consumer) private law, 2) economic transactions, 3

10 property law and Europe, 3) European contract law, social justice and democracy, and 4) European private law and legal method. CSECL s research also includes other subjects within the general theme of European contract law as defined above, than those relating to the four themes. 1. The interaction between national and community (consumer) private law (directed by Marco Loos) This theme deals, in particular, with the impact of Community law on the national private laws of the Member States. Specific subjects include: the different strategies for transposing directives; the spillover effects of specific directives; the consequences of harmonization for the systematic character of private law and for the ideal of codification. In view of its predominance in EC private law, the focus will be mainly, though not exclusively, on consumer law. This theme includes, in particular, the work of Hugh Beale, Diana Dankers- Hagenaars, Aukje van Hoek, Bram Duivenvoorde, Jeroen Kortmann, Marco Loos, Joasia Luzak, Sacha Tamboer and Gerard de Vries. 2. Economic transactions, property law and Europe (directed by Arthur Salomons) As said, the main object of our research is the law of contract understood in a very broad sense, i.e. as the law of economic transactions. Clearly, property law is an important part of the private law concerning economic transactions, not only because many transactions (notably sales) aim at the transfer of property but also because contracts are often secured by property or similar interests. Therefore, this research theme explores, in the first place, the possibility of convergence, harmonisation or even unification of property law in Europe. Moreover, it analyses the implications and 4

11 spill-over effects of the Europeanization of the law of contract (understood in a strict sense) on property law. Finally, it also addresses certain fundamental questions which property law and contract law have in common and where contract law research could learn from property law research. This theme includes, in particular, the work of Selma de Groot, Dewi Hamwijk, Arthur Salomons, and Rolef de Weijs. 3. European contract law, social justice and democracy (directed by Martijn Hesselink) In this stage, we will both broaden and deepen our research. In particular, we will further explore the implications of different social justice theories for questions of European private law; the specific role of the courts in delivering social justice; and the relationship between the Europeanization of private law and the democratic deficit in Europe. This theme includes, in particular, the work of Tim de Booys, Guido Comparato, Martijn Hesselink, Josse Klijnsma, Chantal Mak and Lyn Tjon Soei Len. 4. European private law and legal method (directed by Martijn Hesselink) Legal method plays an crucial role in both the development of European private law and its analysis. Surprisingly, however, methodological issues in European private law are not so often studied. Our aim is to contribute to the theory and practice of European private law methodology. This theme includes, in particular, the work of Marieke Oderkerk on the methodology of comparative legal research and of Martijn Hesselink on the idea of a European legal method and its implications. Moreover, in all PhD projects methodological choices are explicitly addressed and justified, which contributes to the methodological state of the art in the field. In some cases, including 5

12 notably Jaap Baaij, Guido Comparato and Lyn Tjon Soei Len, developing an own analytical framework (on law & language, nationalism and capabilities respectively), is a central part of the research. 6

VISITING PROFESSORS Prof. Evelyne Terryn Evelyne is a professor at the KULeuven, where she teaches commercial law. As of 1 st of September 2010 she held the 'Wisselleerstoel voor Privaatrecht' of the Dutch-Belgian Tijdschrift voor Privaatrecht. Her research i.a. focuses on consumer law and European private law. While in Amsterdam, her research focused on the enforcement of consumer law and she was involved in the course "Consumentenrecht", taught by Prof. Marco Loos, who was hosting the Wisselleerstoel. RESEARCHERS Ronan Tigner Ronan specializes in the field of new technologies law. As of 1 st of August 2010 he joined the CSECL to work on a study funded by the European Commission on the "legal framework for digital content services to consumers," which is led by Prof. Marco Loos. 12

Collaborations Members of the research group participate in the following international research groups and collaborations: The Common Core of European private Law ( Trento Project ) The aim of this project is to establish common rules with respect to certain fields of private law of the different members of the European Union, although their methods of research are totally different. European Law Institute The Joint Network on European Private Law (Co-PECL) has been concluded. Several members of the CSECL have become members of the European Law Institute that was founded in The Study Group on Social Justice in European Private Law Within the Social Justice Group CSECL researchers co-operate with researchers of the Paris I, the London School of Economics, the European University Institute (Florence), the University of Helsinki, ZERP (Bremen), the Karl-Franzens-Universität Graz and the University of Catania. This group conducts common research of social justice and regulatory legitimacy within the European Contract Law. The Ius Commune Research School CSECL co-operates with the Faculties of Law of the University of Utrecht, the University of Maastricht, the Catholic University Leuven (Belgium) and with individual researchers of the University Stellenbosch (South Africa), the University of Edinburg (Scotland), the Free University in Amsterdam, Tilburg University and the Erasmus University Rotterdam. 15

22 Several specific research projects by members of the research group are carried out within the framework of one or more of these international collaborations. The aim is to intensify and extend international collaboration and exchange. Moreover, CSECL is partner of the Finnish Centre of Excellence in the Foundations of European Law and Polity Research. Furthermore, there are numerous international collaborations on an individual basis with scholars from many leading European and American universities including Harvard, EUI, LSE, Oxford and Sciences Po. Locally, the CSECL collaborates with other academics outside the Faculty of Law, especially with the Amsterdam Centre for Law and Economics (ACLE), through joint research projects and seminars. Inside the Faculty CSECL participates in the Research Priority Area (RPA) European Private and Public Law, launched formally in The RPA includes three research groups, each with their own specific research programmes and research centres (the Amsterdam Centre for European Law and Governance (ACELG), the Amsterdam Centre for Tax Law (ACTL) and the Centre for the Study of European Contract Law (CSECL)). Although there are no common research activities planned for the area as a whole, there have been important collaborations between certain researchers from different groups. The most prominent example is the project The Architecture of Post- National Rulemaking: Views from Public International Law, European Public Law and European Private Law (see that is directed by Deirdre Curtin (ACELG) and Martijn Hesselink (CSECL) together with André Nollkaemper (Public International Law). 16

23 5. Organisation Management Prof. dr. Martijn W. Hesselink is Director of the Centre for the Study of European Contract Law (CSECL). He is assisted by Coordinator dr. Chantal Mak and Management Assistant LLM Yvonne ter Horst. The specific (four) themes within the research programme are led by the senior researchers prof. dr. Arthur Salomons, prof. dr. Marco Loos and prof. dr. Martijn Hesselink. The CSECL consists of a diverse research group where researchers interact with other researchers from different backgrounds in terms of nationality, gender, education et cetera. By creating attractive positions for assistant professors (more research time), occasionally in combination with the possibility of a tenure track to become associate professor, the CSECL has managed to attract and retain talented researchers. All researchers, including PhD students, participate in the Ius Commune research school. Moreover, all researchers are facilitated to excel in their work by showing confidence in their capacities to be innovative while at the same time showing a real interest in their ideas and projects. Weekly meetings In this respect bi-weekly seminars are organized on Mondays and are dedicated to discuss each others research during internal seminars and to discuss recent developments in the field of (European) regulation and literature during lunch meetings. In a series of CSECL Seminars, which take place twice-monthly on Mondays and which are public, invited leading scholars from across the world present and discuss their working papers. 17

24 Interaction with teaching The Master s programme in European Private Law is directed and coordinated and, for the most part, taught by members of our research group. Students in that programme are invited to participate in CSECL seminars, conferences, and, where possible, research. 18

25 6. Teaching Private law in Europe has undergone rapid transformation over the last two decades. From being a branch of law that was hardly affected by European Community (EC) legislation, it has become the object of a multitude of harmonisation measures, to the point that the idea of a European civil code is now a priority on the political agenda. This development has given rise to a growing demand within the legal profession, within national and EC institutions and in academic research for lawyers with a thorough understanding of both existing European private law and the ongoing Europeanisation process and its dynamics. The Master's programme in European Private Law gives students a thorough understanding of this developing multilevel system of private law in Europe. Relevant insights from other disciplines such as Economics and Political Science are integrated into the discussion of legal questions, thereby broadening and deepening the debate. The Master s programme in European Private Law is directed and coordinated and, for the most part, taught by members of our research group. 19

27 7. PhD research The Centre for the Study of European Contract Law supervises PhD students and so-called JUDOOZ. 1 PhD students are appointed during three years and they have no teaching obligation, unless this is relevant to their research. PhD students and JUDOOZ are supervised by a supervisor and co-supervisor. They receive training offered by the Ius Commune research school and/or the Faculty of Law. In addition they attend relevant conferences and the CSECL seminars. The CSECL actively searches for talented PhD students. All PhD positions are widely advertised in the CSECL s international networks. PhD students spend some time at a foreign university (mostly at Harvard, Columbia, NYU and the MPI in Hamburg). They are stimulated to develop their own research profiles which are visibly distinct from that of the research leaders. On 29 November 2011 Joasia Luzak defended her PhD thesis The implied duty of a service provider to warn about a risk of construction defects resulting from a contract with a third party, with emphasis on defects resulting from design failures. G.J.P. de Vries In 2011 the Centre for the Study of European Contract Law supervised 10 PhD students (see Chapter 3), of whom 2 are JUDOOZ (Baaij and Tamboer). 2 PhD students whose PhD appointment has expired (De Groot and Manko) are working on their thesis and it is expected that they will finish it soon. 1 JUDOOZ are Junior researchers who are appointed during six years and who teach 40% and conduct PhD research 60% of their appointment. 21

29 8. Publications The research group aims to play a leading role in the academic debate on European contract law, on the four research themes, and on the subject in general. For that purpose, it is required that the permanent staff members (full-time employed, having a 60% research task) 2 publish either, A. two articles per year (i.e. six articles in three years), on a subject within our research theme as defined above, in one of the leading international journals (notably European Review of Private Law, European Review of Contract Law, European Law Journal, Zeitschrift für Europäisches Privatrecht, Common Market Law Review, Journal of Consumer Policy 3 ) ( A publication ), or, alternatively, B. one such international A publication plus two other articles, on a subject within our research theme as defined above, in leading national journals (in the Netherlands: WPNR, NTBR, Themis, NJB 4 ) or international journals or books of good quality but with a lower degree of international competition and impact than the top international journals 5 (eg national reports and other invited contributions) ( B publication ). For the same reason it is required that junior researchers complete their doctoral theses within the agreed three years. 30 conferences and seminars, and to publish books (text books, conference proceedings, monographs).
