1 German Emirati Joint Council for Industry & Commerce (AHK) Protocol of the Ordinary General Assembly Tuesday, 31st May 2011 Beach Rotana Hotel, Abuu Dhabi The General Assembly on the German Emirati Joint Council for Industry & Commerce (AHK) took place on Tuesday, 31 st May 2011 at the Beach Rotana Hotel, Abu Dhabi. The assembly was opened by Dr. Peter Goepfrich, CEO of AHK, who confirmed that the quorum demanded by the By-Laws was reached. Martin Böll was nominated supervisor of elections. Agenda of the assembly was as follows: Presentation of the Report of the CEO on behalf of the Boardd of Directorss concerning activities Discharge of responsibilities of the Board of Directors Presentation of the Financial Report concerning the financial year January 2010 December 2010 treasurer Ralph Nitzgen Presentation of the Independent Auditor s Report (PricewaterhouseCoopers) by Sami Fazly by the Appointment of the auditor for the new financial year. The auditor will be ODEH & Co. Certified Public Accountants, P.O. Box 30489, Abu Dhabi Voting on amendments of 5 (2) 1. and 6 (1) of the By-Laws, which were amended as follows: Active members can be natural persons, enterprises and organizations, private or public, residing in Germany or in the UAE or in another country and whose participation in the German-UAE economic relations as well as their support of the AHK s purposes can be proven. The membership begins with the accession of the admissionn resolution. A right to admission does not prevail. The admission follows the decision of the CEO as perr 5 (2). AHK employees do not have the right to membership.

2 Voting on approval of the new members of the Board of Trustees. The Board of Trustees was approved as per list in Appendix II Election of the new members of the Board of Directors. The Board of Directors, whose term of office will be two years, was approved as per list in Appendix I Voting on approval of resolution to join the general assembly of the Association of German Chambers of Industry and Commerce (DIHK). Resolution was approved. Right after the general assembly, the Constituent Session of the Board of Directors took place. During the session, the members of the board elected following members as Chairman, Vice Chairmen and Treasurer: H.E.
