3 Key player in the real estate market Duna House Holding is Eastern-Europe s key property market player. It operates the greatest number of franchise bureaus both in Hungary and Poland with regard to the number of offices. In addition to being the owner of the most widely known real estate and loan brokerage trademark in Hungary, it also holds a leading position on the market of financial and other services related to real estate*. With regard to the number of offices it operates the highest number of real estate agency offices and holds a leading position on the market of property related financial and other services. Duna House s strategic goal is to become a dominant regional player on the real estate and additional services market. Duna House through its real estate agencies, provides a comprehensive range of services connected to the real estate transactions. Thereby it supports customers through the entire sales process and is able to generate income from different areas of the real estate market. Exploiting its market expertise, in addition to residential property investments, it is also planning the establishment of an asset management company in the near future. The activities of Duna House Group cover five segments: self-owned real estate agency management franchise HUF financial product brokerage sales of real estate related services real estate investments * based on both spontaneous and aided brand awareness, February 2016, population age group: 18-59, representaitve survey carried out by NRC.

4 Franchise and self-owned agency management The Company has begun to build up the franchise business unit in As a result of the continuous development, as of 2nd Oct the Company had more than 70 independent franchise partners under the brand names Duna House and SMART Ingatlan operating a total of 144 agencies (with 20 are the Group s self-owned agencies). On April 21th, the Holding completed the acquisition of Poland s biggest real estate and loan brokerage network, Metrohouse, expanding its portfolio with an additional 80 (including 7 self-owned) offices. Financial product brokerage With the aim to provide the most comprehensive services, the Holding in Hungary- based on long-term brokerage agreements with credit institutions and insurance companies- offers a wide range of financial products, primarily related to the sale or acquisition of real estate. The Group loan activity in 2014 has reached a market share of approx. 7.3% of total new home loan volume in Hungary. HUF Related services With the aim of expanding the range of offered services the Hungarian palette, in addition to financial products brokerage includes other related services, primarily in connection to real estate sales. Duna House performs energy certification services in collaboration with independent partners, and provides real estate appraisal services for financial institutions real estate funds and other market players. In addition, under the Home Management brand the Group carries out property management services as well. Investments The company - taking advantage of its expertise in the real estate market is regularly purchasing properties for investment purposes. In the current favorable market environment, the Group intends to give higher priority to real estate investment activities building up a mainly residential real estate portfolio of billion HUF.

5 INTERNATIONAL EXPANSION The Holding s priority strategic goal is the introduction of the business activity on foreign markets, focusing on Central-Europe in the beginning. In the near future our target area is the development of the newly acquired Metro House network in Poland, where in addition to the significantly larger market, our proven know-how generates a remarkable added value in the operation, as well as improvement in efficiency and profitability for the Polish subsidiary. At that time the Hungarian real estate agency sector had been underdeveloped with no agency networks. In 2001, the Company started up a small residential real estate office with few sales agents targeting primarily Hungarian customers. After the successful operation in year 2002, the single-office company has opened two new agencies in Launch of the franchise model and network Recognizing the importance of the network in the real estate business and in order to reach sellers and buyers extensively, in 2002 the Company have begun the preparation of a foreign model based real estate network, taking advantage of the favorable market environment and the professional experience acquired over the years. The network eventually was launched in The franchise model opened the way to fast expansion in the number of agencies. The operative managers experience acquired during the everyday work greatly contributed to the successful development of the franchise system developed involving the franchise partners as well. Next to Budapest, the Company has begun to expand the network in major Hungarian towns with new agencies in the cities of Debrecen and in Szekesfehervar in Comprehensive real estate sales services In 2004, Duna House Group has set the strategic goal to extend its activities and offer a comprehensive range of services for home sellers and buyers. Within the framework of the new strategy, next to real estate agency and real estate management, Duna House has introduced also loan, insurance and other financial services, as well as property appraisal services. By 2008, the Group has become a comprehensive supplier of real estate sales related services, serving customers in almost 100 agencies through every phase of the real estate buying and selling process, supporting successful transactions. In 2011 the range of new activities continued to expand with energy certificate management. The new strategy has proven to be successful and by now real estate sales related services -especially financial products- account for a significant part of DH Group s activities.

7 The global financial crisis In spite of the sudden effect of the global financial crisis in September 2008 setting back real estate transactions dramatically from an annual 191 thousand to 91 thousand in just two years, according to KSH (Hungarian Central Statistical Office) data from 2007-, Duna House s business performance has not dropped. In the first years of the crisis, the Duna House management concentrated on the main pillars of its business activities, with a primary focus on efficiency increase, sales support, and the training of franchise partners and agents. Duna House, as a result of the innovative way of thinking and solid business model, has been able to increase its market share and the number of transactions despite the unfavorable external conditions caused by the years of the global crisis. Since 2008, the Company has increased its market share by 100% in real estate sales, and by 250% in home equity loans International strategy By the beginning of year 2008 Duna House Group s management has decided to expand its activities towards other countries. Its initial plans were halted due to the global financial crises but in the company group has agreed upon a moderate foreign market expansion, entering the real estate market of the Czech Republic with self-owned agencies. The goal of the greenfi entry into the Czech market was the testing and practicing of the market entry of the services in other countries. The Company group is currently investigation various acquisition targets in the erea with the goal to boost its international activity The Multi Brand strategy As a result of the recovery of the real estate market, the Company has continued to expand the scope of its activities in different directions, one being the development of a multi-brand system. The Company, while keeping up and supporting the existing brands, has begun the development of a multi brand real estate agency system. In October 2014, a new franchise was launched under the name SMART Real Estate. SMART Real Estate by now has become to be a dynamically developing brand which Duna House intends to build up to a market leading position. SMART Real Estate offers the possibility for small real estate agencies to join the Group s system, who then enjoy the benefits of belonging to a market leading player and at the same time maintain their operational flexibility Real estate investments Between 1998 and 2005, the Group had been very active in real estate investment activity. Taking advantage of the real estate market growth the Group has also been engaged in real estate development in the years between 2006 and Evaluating the sings of a positive real estate market in 2014, Duna House has turned towards increasing its real estate portfolio again Real estate fund management At the beginning of 2015, the Company established the Impact Asset Fund Management Ltd., a company planned to operate as a real estate fund management company Year of growth On April the 20th 2016, Impact Asset Management Ltd., in the exclusive ownership of Duna House Holding, obtained the permission of the Magyar Nemzeti Bank (the central bank of Hungary) to execute fund management activity. As the member of Duna House Holding, Impact Asset Management Ltd. is launching the establishment of a public, open-end residential property asset management fund. In addition, on April the 21th another transaction has been completed, as a result of which the Hungarian Duna House Holding gained 100% ownership of the biggest real estate agency network of Poland, Metrohouse. In March this year a representative survey carried out by NRC showed that Duna House is Hungary s most widely known real estate and loan brokerage franchise networks, based on both spontaneous and aided brand awareness, in February 2016, within age group:
