1 The License to Succeed Contest Official Rules THE FOLLOWING CONTEST IS VALID IN THE UNITED STATES, DISTRICT OF COLUMBIA (D.C.) AND PUERTO RICO ONLY, AND IS OPEN ONLY TO QUALIFIED PERSONS (AS DEFINED IN THE OFFICIAL RULES ( OFFICIAL RULES ). VOID ELSEWHERE AND WHERE PROHIBITED. ( Ellie Mae ) CONTEST NAME: License to Succeed contest. CONTEST DATES: Contest registration is scheduled to begin at 12:00:00 am Eastern Time (ET) on September 1, 2016, and ends at 11:59:59 pm (ET) on July 31, 2017 (the Registration Period ). Void outside the 50 United States, D.C. Puerto Rico and where prohibited or restricted by law. ELIGIBILITY WHO MAY ENTER: Contest is open to current Ellie Mae clients (employees of companies who are current customers in good standing with Ellie Mae), Ellie Mae prospects (employees of companies which could benefit from an Ellie Mae product), Ellie Mae partners (employees of companies who are contracted as partners with Ellie Mae), and Ellie Mae Pro Consultants (employees of companies who are contracted as an Ellie Mae Pro Consulting Partner), in each case, who are also legal U.S. residents of the (50) United States, D.C. and Puerto Rico, are age 18 or older or the age of majority in their state/territory of primary residence as of date of entry, and have a valid U.S. or Puerto Rico driver s license or government issued ID, except the following persons who are not eligible to enter, participate or win: (a) Employees, officers, and directors of Ellie Mae, Inc., affiliated companies, subsidiaries and all other companies associated with the design or execution of this Contest (collectively, Released Parties ), and the members of the immediate families or households, whether or not related, of any of the above. Immediate family members includes, for purposes of this Contest parents (including in- laws), grandparents, siblings (including step- siblings), children (including step- children), grand children (including step grandchildren) and each of their respective spouses, regardless of where they reside; (b) Individuals who do not have access to an internet connection in order to visit the Contest website, or a valid address to register. To take part in the contest: 1) Entrant provides Ellie Mae with their contact information and mailing address via a form found at elliemae.com/agent; 2) Upon completion of the form at elliemae.com/agent, entrants must follow the instructions to complete four objectives via the License to Succeed microsite; 3) Once the objectives are complete, the participant will be placed in the contest for the Grand Prize relating to their appropriate category (Client, Prospect, Partner, or Ellie Mae Pro Consultant). How to Enter On- Line Registration: To enter the Contest, visit during the Registration Period to connect to the Contest registration page. Fully complete the on- line registration with all required information, including your name, complete address (including city, state and zip), valid address and phone number (including area code) via the form. Eligibility is further dependent on completion of four multi- step objectives via the License to Succeed microsite. Once we have validated your eligibility and submission, you will be entered into the contest for a Grand Prize. All entries must be fully complete for all required registration information. The deadline to submit an entry in this Contest is 11:59:59pm (ET) on 7/31/17. Any entry submitted with an invalid address or inaccurate information will be disqualified. A maximum of one (1) registration, one (1) entry per person and per valid address will be accepted. If it is discovered that an entrant has registered, entered or attempted to register or enter the Contest using more than one (1) e- mail address, identity, or uses a proxy server or in any way violates these Official Rules, all of that entrant s entries into the Contest will be declared null and void and any prize that entrant might have been entitled to receive will not be awarded. 2 Information and Likeness: Participation in Contest constitutes permission for Ellie Mae and its designees to use entrant s name, cities and states of residence, super story, photograph and/or likenesses, and the trade name of entrant s employer, for purposes of advertising and trade in any and all media now or hereafter known worldwide in perpetuity without limitation or further compensation, notification or permission, unless prohibited by law. False, fraudulent or deceptive entries or acts shall render entrants ineligible for any prize. Entrant represents and warrants that he or she has the right to consent on behalf of entrant s employer to grant Ellie Mae the right to use entrant s employer s trade name in connection with the Contest. Any incomplete or illegible entries will be disqualified. Released Parties are not responsible for lost, late, misdirected, illegible, incomplete, invalid, unintelligible, damaged, or for entries submitted in a manner that is not expressly allowed under these Official Rules, or for any entry not submitted or received due to any technical error or failure, unauthorized human intervention, inaccurate capture or mis- entry of any required information, or the failure to capture any such information or effects of hackers or failure of any electronic equipment, computer or cellular transmissions and/or network connections; all of which will be disqualified. Each entrant must submit an entry on his/her own behalf. Any entry submitted on behalf of another individual or using another person s address or name will be disqualified and ineligible to claim any prize. No mechanically reproduced or automated entries permitted. Use of any automated system to participate is prohibited and will result in disqualification and all such entries will be deemed void. In the event of a dispute as to any on- line registration, the authorized account holder of the e- mail address used to register will be deemed to be the registrant and he/she must be eligible according to these Official Rules. The authorized account holder is the natural person assigned an e- mail address by an Internet access provider, online service provider or other organization responsible for assigning e- mail addresses for the domain associated with the submitted address. All entries received become the property of the Ellie Mae and will not be returned. By participating and submitting an entry, entrant agrees that Ellie Mae and Released Parties are authorized to contact entrant via , mail, phone or any other form of media to make entrant aware of information pertinent to the Contest as well as to provide information relating to Ellie Mae s products and/or services. Ellie Mae reserves the right, in its sole discretion, to disqualify any individual (and all of his or her entries) who tampers or attempts to tamper with or abuse the entry process or the Contest website in any way or who is otherwise in violation of these Official Rules, as determined by Ellie Mae in its sole discretion. Any questions regarding the number of entries submitted or the authorized account holder shall be determined by Ellie Mae in its sole discretion. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY CONTEST WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ELLIE MAE RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Prize Award & Delivery: Grand Prize: A maximum of three (3) Grand Prizes will be awarded to the entrant that Ellie Mae determines in its discretion to be the winner. The three Grand Prize winners will be named, one from each of the three categories (Client/Prospect, Ellie Mae Partner, Ellie Mae Pro Consultant). 1. The Client/Prospect grand prize winner will receive an American Express travel certificate (the Certificate ) valid for travel costs in the amount of $5,000. Once the winner is awarded the Certificate, he or she will work with an American Express travel advisor to redeem the Certificate. In addition to the

3 Grand Prize, Ellie Mae will also award a cash prize of $2,463.00, bringing to total prize value to $7, Ellie Mae will withhold taxes from the additional cash payment equal to 33% of the overall prize value. Ellie Mae will file form 1099 with the IRS to report the total prize value of $7, This will include the $5, Grand Prize as well as tax in the amount of $2, which Ellie Mae will pay on behalf of the winner. Tax is computed at 33% of the overall prize value and will be distributed 25% federal and 8% state. This is based on an assumption that the payment will be sufficient to cover any federal/state/local taxes but may not be sufficient to cover all taxes. Entrant is solely responsible for payment of any federal/state/local taxes due as a result of the prizes awarded entrant. 2. The Partner grand prize winner will receive a Visa gift card in the amount of $1,000. In addition to the Partner grand prize, Ellie Mae will also award a cash prize of $493 bringing the total prize value to $1493. Ellie Mae will withhold taxes from the additional cash payment equal to 33% of the overall prize value. Ellie Mae will file a form 1099 with the IRS to report the total prize value of $1,493. Winner Selections: On or about August 1, 2017, a selection will be made from among all eligible entries received to select a total of one (3) potential grand prize winners. Winner Notification Grand Prize Winners: The selected potential Grand Prize Winners will be notified initially by phone beginning on or about 8/15/17. If the Ellie Mae is unsuccessful in its attempt to reach and speak directly with a potential Grand Prize Winner by phone or after three (3) attempts over a 72- hour period to the phone number listed on that entrant s entry, then that entrant may be disqualified, and an alternate potential Grand Prize Winner may be selected from among the remaining eligible entries and notified as per the procedures outlined above (time permitting). Phone messages will not be left during the notification attempts. During the Grand Prize winner notification phone call, a selected potential Grand Prize winner must confirm their eligibility and indicate their willingness to accept the Grand Prize. If the selected Grand Prize winner does not meet the eligibility requirements or elects to decline the Grand Prize, s/he will be disqualified and, at Ellie Mae s discretion and time permitting, an alternate winner will be selected from among all entrants who completed a registration in the contest, and will be notified as per the procedures outlined above. Any disqualified potential winner will not receive any alternate Grand

4 Prize substitution or compensation. Winner selection and participation is non- transferable. All of the following will apply for the grand prize winners: 1) Grand Prize Winners will be required to complete and return, within 5 days of date of receipt, a prize acceptance form, a W- 9 form, an affidavit of eligibility, and a liability/publicity release (where permitted) signed by both the winner and travel guests; 2) Grand Prize Winner will be required to provide a copy of a valid social security card and a valid driver s license as a condition of participating or receiving any prize; 3) Winner will be issued an IRS Form 1099 reflecting the actual value of all prizes won; and 4) Grand Prize Winner will be responsible for paying all applicable taxes (including, but not limited to all local, state and federal taxes) on Grand Prize awarded. Failure to collect or properly claim Grand Prize in accordance with these Official Rules will result in forfeiture of the Grand Prize. If forfeited for any reason, entrant will not receive any other Grand Prize substitution or compensation, and the Grand Prize will remain the property of Ellie Mae and will not be awarded, except as provided herein. Travel Terms & Conditions: The Certificate may be redeemed for travel using the extensive network of American Express endorsed suppliers. It may not be used for car or hotel only reservations. Certificate cannot be exchanged for cash, gift cards, or Travelers Cheques. Service fees will apply for bookings made. Certificate is redeemable only for bookings made through an Employee Vacation Programs Travel Advisor and not online. Recipient may apply the Gift of Travel toward the purchase of eligible travel and pay the difference when the total exceeds the value of the certificate. The recipient must present their assigned password to the Employee Vacations Program advisor for redemption. Employee Vacation Programs is not responsible for lost or stolen certificates. Certificates are non- refundable and nontransferable. Ellie Mae Release and Limitation of Liability: By participating, entrants agree to release and hold harmless Release Parties from any claims, losses, actions, or damages of any kind, whether actual, incidental or consequential, for injury (including but not limited to death), damages, losses or expenses arising out of or relating to entrant s participation in this Contest, or the acceptance, possession or use/misuse of any prize, or participation in prize related activities (including but not limited to travel or activity related thereto), and to assume all liability therefor. Released Parties shall not be liable to winner or any other person for failure to supply the prize or any part thereof by reason of any acts of God, any actions, regulations, orders, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause beyond Released Parties sole control. Ellie Mae disclaims all liability for the inability of an entrant to complete or continue an entry due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond Ellie Mae s control, or otherwise. Ellie Mae disclaims any liability for entries not received due to technical difficulties or transmission errors. Ellie Mae disclaims all liability for any delays, mis- delivery, loss, or failure in the delivery of any item sent by electronic transmission. Released Parties are not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network connections which may limit an entrant's ability to participate in the Contest, and any injury or damage to entrant s or any other person s computer or mobile phone related to or resulting from participating in or downloading any information necessary to participate in the Contest. Released Parties are not responsible for any other errors of any kind, whether computer, technical, typographical, printing, human or otherwise, relating to or in connection with the Contest,

5 including, without limitations, errors which may occur in connection with the printing or advertising of this Contest, administration or execution of the Contest, the cancellation of the Contest, the processing of entries or in the announcement of the prize or prize winner. Ellie Mae, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Contest website. Ellie Mae reserves the right to cancel, modify or terminate the Contest if fraud, misconduct or technical failures destroy or threaten the integrity of this portion of the Contest, in the opinion of Ellie Mae, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper conduct of the Contest as determined by Ellie Mae, in their sole discretion. In the event of early termination of the Contest, Ellie Mae reserves the right to determine prize winners from among all eligible, non- suspect entries received as of the time/date of such termination. IN CASE OF DISPUTES: By participating, each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the City and County of San Francisco, California; (2) any and all claims, judgments, and awards shall be limited to actual out- of- pocket costs incurred, including costs associated with entering this Contest, and in no event will entrant be entitled to received attorneys' fees or other legal costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out- of- pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Ellie Mae in connection with this Contest, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of California.
