All Accounts MUST BE PAID during or immediately following the end of each Sale Session. All Payments shall be in U.S. CURRENCY or checks drawn on U.S. Banks ONLY. Method of Payment shall be Cash, Cashier s or Certified Check, Personal Check (with proper bank letter of guarantee or introduction and picture identification, such as driver s license), Traveler s Checks or MasterCard, Visa or American Express. NO Bank Drafts. Credit Cards: ONLY MasterCard, Visa or American Express will be accepted. ALL SALES FINAL. Buyer s Premium: 3%. Buyer s Premium will be entirely discounted for purchases paid by cash or check. Registration Certificates will be mailed to AQHA approximately 21 DAYS after the sale for horses paid for by check. To obtain Registration Certificates on the day of the Sale, payment MUST be made by CASH, CERTIFIED CHECK or MONEY ORDER. If you pay by this method they can be transferred at the AQHA Service Desk at the Sale. All RETURNED CHECKS will be immediately turned over to the County District Attorney s Office and charges will be filed! Cost of collection, including attorney s fees, will be assessed to the buyer. 9 LIVE INTERNET ONLINE BIDDING A Service provided through Terms and Conditions The AQHA World Show Sale will be broadcast live on the internet via Professionalauction.com and HorseAuctions.com. You may bid on and purchase horses over the internet in accordance with the following conditions: 1. The Conditions of Sale and other information set forth in the 2008 AQHA World Show Sale Catalog also apply to online bidders. Conditions of Sale and information on sale horses is available at 2. Online and Absentee Bidders must register to bid by completing the bidder registration form, and returning it no later than 11:00 a.m. EST, Tuesday, November 11, to the Berryville, VA office of Professional Auction Services, Inc. 3. A 3% (three percent) online buyers fee will be added to all purchases made through HorseAuctions.com. This fee is in addition to any other fees that may apply, or as stated in the Conditions of Sale. 4. Online Buyers must pay by one of the following methods: a) A bank wire transfer to Professional Auctions Services, Inc. Custodial Account in an amount equal to or greater than the amount intended to bid. b) An official bank check drawn on a bank in the United States in an amount equal to or greater than the amount intended to bid. 10 Attention Foreign Buyers Foreign Buyers are required to pay in the manner specified below: 1) by US Currency, or 2) by a check drawn on a U.S. Bank, or 3) by world or international money orders. Foreign Credit Cards cannot be used because of the difficulty getting approval due the large dollar amount and time difference. (Unless approved by the Sale Office prior to bidding.) Buyers from Canada should be aware of recent health certificate regulations that must be met for export of horses from the State of Florida: On September 9, 2008, Canada asked APHIS not to endorse any export health certificates for horses to Canada from the State of Florida due to cases of piroplasmosis in equines in Florida. Canada has now revised their import requirements for horses from Florida and is requiring that APHIS apply the additional requirements for all equines exporting to Canada from the State of Florida. These requirements are effective immediately. Additional Requirements (at the responsibility and expense of buyer): - Import permit (for the Canadian importer) - The horse(s) are inspected by a veterinarian within fifteen (15) days preceding the date of importation; Additional certifications on the export health certificate: - The horse(s) have not been on a premises where equine piroplasmosis (clinical or serology) has occurred during the 60 days immediately preceding exportation to Canada, nor has this disease occurred on any adjoining premises during the same period of time. (This statement is the responsibility of the Consignor). - They must have tested negative using a celisa test or, where applicable, an alternate test acceptable to CFIA for equine piroplasmosis, during the fifteen (15) days prior to the date of importation into Canada. (This blood test is the responsibility and at the expense of the Buyer). Canada has also asked APHIS to provide additional certification for equines from other states, for all certificates issued after Sept.15, 2008: "During the previous twenty-one (21) days, the animal(s) in this shipment has/ have not been in the state of Florida" Professional Auction Services has contacted all consignors regarding this health certificate information, but the ultimate responsibility of meeting all health requirements rests with the buyer of the horse(s). 22 Any questions regarding these requirements should be directed to Dr. Vicky Guilfoil, US Dept of Agriculture, (405)

11 Procedures for Domestic U.S. Absentee Bidders Mail Bids: Pre-register using the Absentee Bid Form. Be sure to sign the Absentee Bid Form. Use the Absentee Bid Form on page 25 to state your bid and give the appropriate buyer and contact information. The deposit for mail bids and the Absentee Bid Form must be in our Berryville office before 11:00 a.m. EST, Tuesday, November 11. For MAIL bids, Professional Auction Services, Inc. will bid on your behalf up to the specified amount. Any bid placed on your behalf would be one bid past the last bid from other bidders in the audience. Telephone Bid: Pre-register using the Absentee Bid Form on page 25. Use the Absentee Bid Form to give the appropriate buyer and contact information. You will be called one horse prior to the horse you intend to bid on. Deposit of Funds: A deposit in the full amount of the bid price is required in the form of an Official Bank Check made payable to Professional Auction Services, Inc. or by Bank Wire Transfer. Bank wire instructions are available on request from Professional Auction Services, Inc. office. The deposit for absentee bids must be made by, or in, our Berryville office no later than 11:00 a.m. EST, Tuesday, November 11. Credit Cards will not be accepted for Absentee Bids. 14 Buyer s Agent Agreement You may want to use this proposed agreement to hire a professional to assist you in your selection at the World Championship Show Sale. Date: Buyer: Agent: Buyer agrees to pay Agent a fee of $ and/or a commission of % ( percent) of the purchase price of any horse inspected by the Agent on the Buyer s behalf and at the Buyer s direction. Buyer will make payment directly to the Agent. Agent agrees to give his/her best and honest evaluation of the horse to the Buyer and guide the Buyer to the best of the Agent s ability. The Agent s evaluation will be completed and the results provided to the Buyer in a timely fashion. Agent agrees not to take any remuneration of any kind from the Seller of the horse or the Seller s agent for instructing the Buyer to purchase the horse. 15 Important Notices for Buyers Your protection is your responsibility. Please read and be familiar with the Conditions of Sale in this catalog. The CONDITIONS OF SALE stated in this catalog form a contract for the purchase of your horse. You will be bound by these conditions even if you have not read them. The Conditions Of Sale state the protection a buyer receives as well as the responsibilities of the buyer, seller and sale management. Agent s Authorization: Persons acting as agents must file an Agent s Authorization Form satisfactory to Professional Auction Services, Inc., at least 12 hours prior to sale session. They must indicate they are purchasing as an agent on the Acknowledgement Of Purchase. See form on page 24 in this catalog. Examine horses before bidding: Veterinary assistance is available at bidder s expense on request to the sales company. Please contact Equine Medical Associates, Inc. (sale veterinarian) through the sale office. Acknowledgement of Purchase: After making the final bid on a horse, you must complete and sign the Acknowledgement Of Purchase form. Be sure to confirm the correct hip number and price before you sign. Please print your name and address clearly since this document is used for the American Quarter Horse Association and Jockey Club transfers, invoicing, and in publishing sale results. A Paid Receipt or Release is required to remove any horse from the Sale Grounds. Present the PINK copy of the receipt to a Sale Security Officer. DO NOT REMOVE HIP NUMBERS from horses before leaving the Sale Grounds. ALL SALES OR TRANSACTIONS FOR HORSES ENTERED IN THIS SALE MADE ON THE SALE GROUNDS MUST BE REPORTED TO AND MADE THROUGH THE SALE OFFICE. FOREIGN BUYERS: Instead of a Coggins Test, some horses may have an Elisa test for EIA, which may not be acceptable for immediate export. You are welcome to check in the Sale office prior to bidding. By attending the World Championship Show Sale all individuals agree they may be photographed, filmed, videotaped or otherwise recorded and that their likeness and voice may be broadcasted, distributed or displayed in connection with any promotion created from these events without any compensation being paid to them. 27

16 Important Notices for Buyers Although this sale is held in conjunction with the American Quarter Horse Association s 2008 World Championship Show, purchaser hereby acknowledges that the American Quarter Horse Association is not responsible for the warranties of the sales company or the consignor. Information in this catalog other than that provided by AQHA, NCHA, NRHA or Sara Vaessen Pedigrees has been provided by the consignor or other third party. This includes specific futurity information, circuit championships, other associations information, etc. Professional Auction Services, Inc. and Sara Vaessen Pedigrees assume no liability on the part of the seller for such information. Engagements: unless announced otherwise, all eligibility payments due after date of sale are the responsibility of the buyer, who should promptly notify the proper associations of the new ownership in order to receive direct billing. Announcements: to avoid making costly errors, please pay attention to all announcements made from the sales office and the auction stand, especially concerning horses on which you intend to bid. Tote board: if the asterisk* appears on the tote board, this means a special announcement has been made concerning that hip number. Care of horses after sale: please be reminded that at the fall of the hammer the purchaser assumes all risk and responsibility for the horse and must assume the care of the horse once it is returned to the stall. All horses must be removed from the sale premises by noon Sunday, November 23, Horses remaining after that time are left at the buyer s risk, responsibility and expense. Any delays in shipment of horses must be approved by the sales office. 18 Some Helpful Hints for Buyers The Seller has a responsibility to announce defects, that are known to them, in their horses, particularly those that may affect the soundness of the horse for the purpose for which they are advertised. What is a defect to one person, may not be a defect to another. The Buyer has a responsibility to examine a horse carefully before they bid on it. If you have any particular concerns about conformation faults or defects, size, attitude, stall manners, riding ability or anything else, check it out BEFORE you bid. If you buy a horse on impulse, without shopping it before you bid, you may expect to find some surprises. In that case you still own the horse. The seller is not responsible for you, if you don't shop the horse. Once you bid on a horse, you are indicating you have shopped enough to satisfy yourself and no one else is responsible. If you shop horses carefully, your chances of buying the right horse for you are very good. Some suggestions: Make a list, written or mental, of the things that are important to you in a horse. Think about the good characteristics you want and also think about the vices, habits or characteristics you do not want in a horse. Go through this checklist for each horse you shop. Ask questions and make sure you get the answers. Do this BEFORE you bid, because after you buy a horse you cannot change your mind if you don t like the horse. If you want a horse for children or Novice riders, make sure the owner's statement in the catalog mentions the horse has experience with this type of rider. If you are looking for a riding horse make sure the owner's statement says the horse is broke to ride, see it ride or better yet, ride it. Also, listen for announcements such as selling "breeding sound only" or "As Is" which means it may not be sound to ride. Your protection is Your responsibility. Please Examine Horses carefully before you bid and Listen carefully to announcements made while the horse is in the Sale Ring. You may want to seek the assisstance of a professional trainer or agent. In this case you are asking for professional advice and should expect to pay a fee. This can be a wise investment. See the Buyer s Agent Agreement on page 26 for a guide to setting up an arrangement, if the professional does not have their own contract or agreement. It is the auctioneers job to help determine the price. It is your job to decide which horse to bid on. 33

20 AQHA Incentive Fund Nomination Deadlines The following are the General Rules and Regulations for Nominations to the AQHA Incentive Fund Subject to Conditions of Rule 479 in the AQHA Official Handbook Foals sired by stallions nominated to the AQHA Incentive Fund for the breeding year in which the foal was conceived, may be nominated at the time registration is applied for, or, on or before its twenty-fourth month of age, to be eligible for lifetime participation in the Incentive Fund Program. They may do so provided that the foal has not earned 1/2 point or more at an AQHA approved event, and provided that the foal has not reached its twenty-fourth month of age. Nomination fees must be received in U.S. Funds. Nomination Deadlines...Fees Foaling date to the 7 month birthdate... $ Eighth month birthdate to 12 month birthdate... $ Thirteenth month to 18 month birthdate... $1, Nineteenth month to 24 month birthdate... $2, Absolutely no foals will be accepted after the twenty-fourth month of age. AQHA s charge for Incentive Fund nomination is determined by the actual age of the horse according to the date the nomination and fee are received in the Association office, as evidenced by AQHA s date stamp. In this catalog 2008 FOALS stating ELIGIBLE FOR NOMINATION TO THE AQHA INCENTIVE FUND may not yet be nominated and are represented by the consignor to be eligible. STALLION NOMINATION to AQHA Incentive Fund Stallions must be nominated to the AQHA Incentive Fund by NOVEMBER 30, 2008 for the 2009 breeding season. Stallions may be nominated after that date, however, certain conditions or penalties may apply. Refer to the AQHA Rulebook or inquire at the AQHA Service Desk at the Sale. 35

21 Parentage Verification All Foals of 2007 and 2008 have been Parentage Verified unless otherwise announced In some cases one parent may have died or may have been unavailable for DNA testing. These foals will be DNA tested and possibly verified to a sire. ATTENTION!! For horses descended from the AQHA stallion, IMPRESSIVE Horses descended from the stallion, IMPRESSIVE, AQHA Registration No may possess the genetic defect for the condition HYPP ("Hyperkalemic Periodic Paralysis ). For horses that have tested positive and horses that have not been tested, AQHA registration certificates will display the following note: This horse has an ancestor known to carry HYPP, designated under AQHA rules as a genetic defect. AQHA recommends testing to confirm presence or absence of this gene. HYPP DEFINITIONS N/N - Negative for HYPP - Should not show symptoms or reproduce the defective gene. N/H or H/N - Positive (Heterozygous) for HYPP - May show symptoms or reproduce the defective gene. H/H - Positive (Homozygous) for HYPP - May show symptoms and will reproduce the positive gene. Not Tested or Not reported - The HYPP status is not known or has not been reported to P.A.S., Inc. The buyer must assume the risk that the horse could be Positive for HYPP. In this Catalog where HYPP Status has been stated, verification has been given by the Consignor or by AQHA records. Please Listen carefully for updates on horses who may have been listed in the catalog as Not Tested or Not Reported. For more information on HYPP, please ask for a brochure at the Sale Office or from AQHA. 37

SECOND - Horses are offered for sale according to the laws of the state of Oklahoma. Rights of consignors to bid are reserved unless otherwise announced. FOURTH - Terms of sale are cash and payment in full must be made within 30 minutes of the completion of the session in which the horse sells. A fee of $50.00 will be charged on any check that is returned. FIFTH - Bidding Procedure: The person making the highest bid recognized by the Auctioneer shall be the buyer. The Auctioneer shall immediately present the buyer with a document entitled Acknowledgement of Purchase for signature. Should such presentation not be made prior to commencement of bidding on the next lot offered, the buyer shall forthwith identify himself/herself to 38 CONDITIONS OF SALE auctioneer as buyer and sign Acknowledgement of Purchase. In the event that

23 a person other than the recognized buyer signs the Acknowledgement of Purchase, such action shall not give such other person any right or title, and immediately that such erroneous signing of the Acknowledgement of Purchase becomes known to the auctioneer, he shall cause the Acknowledgement of Purchase to be presented to the recognized buyer for signature. If the highest bidder fails to immediately execute the Acknowledgement of Purchase or otherwise fails to comply with the Conditions of Sale, or in the event of a mistake by the Auctioneer, Professional Auction Services, Inc. (hereinafter may be referred to as P.A.S., Inc.) reserves the option to re-sell the animal and such resale shall terminate all obligations of P.A.S., Inc. and consignor to honor any bid. The Auctioneer has the right to decline any bids made by parties who have defaulted in former purchases or by persons, who in his judgement are not responsible bidders. Minimum acceptable advances in bidding are $50 up to $1,000 and $100 thereafter. SIXTH - BUYERS ASSUME ALL EXPENSES AND RISKS ON HORSES AFTER THEY HAVE BEEN STRUCK DOWN TO THEM. Upon receiving payment for the horse the cashier will issue receipt. Buyer must present the pink copy of the receipt to security at the time the horse is removed from the grounds. All horses must be removed from sale grounds by Noon of the day following the last day of the World Show. Failure to remove the horse for any reason will obligate the buyer to pay all costs associated with board and transportation of the horse. Buyer is responsible for the care of the horse immediately. SEVENTH - All registration papers will be withheld by the sale management until all checks clear the bank (approximately 21 days) at which time they will be mailed, with completed transfer reports to AQHA for Quarter Horses and to the buyer for other breeds. NOTE: If any buyer desires to obtain papers immediately, horses must be paid for with cash or cashier's check. EIGHTH - IF ANY PERSON SHALL PURCHASE A HORSE AND NOT PAY FOR IT AS PRESCRIBED ABOVE, the sale management or consignor shall have the right to resell the horse, or at their option, bring legal action in which event buyer agrees to pay all cost of such suit together with reasonable attorney fees as fixed by the court. In the event of resale the defaulting buyer agrees to pay all costs of resale and price deficiency, if any. Interest of 1-1/2% per month will be charged on the unpaid balance of any account not paid for as set forth in these conditions. NINTH - Every effort has been made to assure correctness of the catalog but Professional Auction Services, Inc., the sale management and auctioneers are not responsible for errors or omissions and assume no liability on the part of the seller as to any such statements, either verbal or written regarding horses sold. All statements and corrections at the sale will supersede the catalog. TENTH - Professional Auction Services, Inc., auctioneers and clerks do not act for or represent the buyer or seller, but merely provide a medium for bringing together the buyer and seller for the purpose of sales transactions. Professional Auction Services, Inc. and sales personnel assume no responsibility whatsoever to anyone for blemishes, defects, the physical condition or health of any horse and makes no warranties or representations of any kind in the sale. The Consignor hereby specifically waives all implied warranties of fitness and merchantability. ALL RESPONSIBILITY FOR REPRESENTATIONS LIES BETWEEN THE CONSIGNOR AND THE BUYER. ELEVENTH - Broodmares will be guaranteed only to have been bred to stallions 39

24 as indicated. No guarantee is made of pregnancy status or eventual foaling unless made specifically by consignor. No return privileges or live foal guarantees accompany mares unless stated by consignor with proof in writing of such agreement issued by stallion owner. Each broodmare selling as bred to a stallion will have been examined by a veterinarian within 10 (ten) days of the Sale Date and reported at the sale as in foal, open or barren, or bred (meaning an insufficient amount of time has passed to determine pregnancy). Any purchaser of a broodmare sold in this sale may have the mare examined by an acceptable veterinarian within 12 hours after the start of the session in which the horse sells and before the horse leaves the sale premises. Any broodmare so examined whose pregnancy or breeding soundness status is found not to be as represented at the time of sale, may be returned to the consignor as unsold, and the consignor shall pay veterinarian s fee for examination. TWELFTH - Consignor has the responsibility to notify the sales management in writing prior to the sale of any unsoundness of any nature known to him and they will be announced at time of sale. BUYER HAS THE RIGHT TO HAVE A LIMITED VETERINARY EXAMINATION WITHIN 12 HOURS OF THE START OF THE SESSION IN WHICH THE HORSE SELLS AND BEFORE THE HORSE LEAVES THE SALE PREMISES. If a qualified veterinarian finds the horse not to be sound for the advertised purpose, and presents a certificate stating such to P.A.S., Inc. within the 12 hour period, the consignor will accept the return of horse as unsold and hereby authorizes Professional Auction Services, Inc. to refund the purchase price. This examination will be limited to moving the horse for soundness on riding horses, and checking the reproductive tract on breeding horses, as well as checking for conditions as stated in Condition Thirteenth. Positive reaction to flexion tests and hoof testers does not constitute unsoundness, if the horse is moving sound. These tests should be a part of a prepurchase examination. THE BUYER HAS THE RESPONSIBILITY TO EXAMINE HORSES BEFORE BIDDING. THIRTEENTH - The consignor has the responsibility to notify the sales management in writing prior to the sale of the fact that the horse is a cribber, a weaver, unsound of eyes or wind, a cryptorchid, monorchid or ridgling, parrot mouthed, has had major surgery or a serious illness, has been nerved, has foundered prior to this Sale, has a lameness due to navicular disorder, osteoarthritis of a joint or other bone abnormality, or a neurological disorder including but not limited to EPM or wobbles, and these conditions must be stated in the catalog or announced when the horse is sold. If a buyer discovers such a condition in the horse which was not stated to the sales management by the consignor, as required and specified above, and NOT stated in the catalog or announced at the time of the sale, and the horse had such a condition at the time of sale, the buyer may have grounds to reject the horse. The buyer must deliver to Professional Auction Services, Inc. a WRITTEN STATEMENT FROM A QUALIFIED VETERINARIAN within five (5) days of the date of the sale establishing the existence of the condition, in detail. The veterinarian s statement shall include a description of the procedures performed during the examination, the results which caused the veterinarian to diagnose the condition, and state how it was determined that the condition existed prior to the sale. If the veterinarian s statement is inconclusive or is not complete with the information required above, Professional Auction Services, Inc. may disallow the claim and pay the consignor. 40

25 FOURTEENTH - If the consignor disputes the diagnosis by the buyer s veterinarian for conditions stated in Condition Thirteenth above, that were not stated in the catalog or disclosed before the horse was sold, then P.A.S., Inc. may appoint an equine veterinarian of its choice to determine the condition of the horse. The examination of the appointed veterinarian shall be limited to the disputed condition. The appointed veterinarian may inspect the horse and may apply such diagnostic testing and procedures as deemed to be appropriate. The appointed veterinarian may also confer with the consignor and the buyer and the buyer s veterinarian, and may review available veterinary medical history including confering with prior veterinarians having knowledge of the horse, and may review the report and supporting information supplied by the buyer s veterinarian. The decision of the appointed veterinarian shall be final in all respects and P.A.S., Inc. shall allow or disallow the rejection of the horse by the buyer consistent with the opinion of the appointed veterinarian. The buyer has the duty to present the horse for examination with the appointed veterinarian in cooperation with the veterinarian s schedule and has the duty to provide board, necessary farrier and veterinary care, and transportation until the dispute is resolved. The appointed veterinarian shall be within a reasonable proximity to the buyer. If rejection by the buyer is allowed by P.A.S., Inc., the consignor shall pay the cost of services of the appointed veterinarian and the buyer may recover from consignor any direct costs related to care of the horse. Risk of loss passes back to consignor immediately upon notice of decision by P.A.S., Inc. to allow rejection by the buyer and consignor shall immediately make arrangements to take possession of the horse. FIFTEENTH - In the event a horse is returned to the consignor in accordance with the conditions ELEVENTH, TWELFTH OR THIRTEENTH, the consignor agrees to pay all reasonable costs involved with the sale and return of the horse, including transportation, board and appropriate sale fees. If legal action is initiated by any party, for any horse entered in this auction, the Seller and Buyer, jointly and severally, agree to indemnify P.A.S., Inc., from such suit including legal fees and all related costs incurred by P.A.S., Inc. SIXTEENTH - The sale management shall not be bound by any oral or written agreement or alleged agreement varying from these CONDITIONS OF SALE between the buyer and the consignor unless agreed to by the sale management, and any controversy or claim between the buyer and the seller arising under any such agreement shall be a matter for their resolution. SEVENTEENTH - Buyers and spectators are cautioned to be careful while on the grounds and particularly while horses are being sold or shown in the sale ring. Management is not responsible for accidents. EIGHTEENTH - Admission to the premises constitutes your agreement to be photographed, filmed, videotaped or otherwise recorded in connection with the shows and sales and other events at the World Championship Show Sale and related activities and your agreement that your likeness and voice may be broadcasted, distributed or displayed in connection with any promotion created from these events without any compensation being paid to you. The taking of photographs and the making of drawings or paintings of the World Championship Show Sale and related activities are permitted for personal use only. All commercial uses are prohibited without the express written consent of Professional Auction Services, Inc.
