1 February 1, 2016 Dear Food Vendor: Hello, and welcome to a new year of festivals and events wi Newport News Parks, Recreation & Tourism! There are a number of exciting event opportunities for vendors is year, along wi a few significant changes to our payment structure and vendor requirements. Beginning in 2016, we will no longer require vendors to pay a refundable security deposit; however we will be strictly enforcing e $250 clean up fee for any trash/waste left behind after an event. We hope is approach will help streamline e payment process, as well as give our vendors a little more financial freedom roughout e season. A complete listing wi dates, times, and vendor fees is enclosed for your review. Also, in 2016 we are going Green! In step wi recent Parks sustainability efforts we will need your cooperation wi meeting e following requirements: commitment to no polystyrene proper grease disposal Oer non-required ways to protect e environment you may want to consider include providing condiments in bulk, using nonbleached napkins, serving from bulk water dispensers raer an single-use bottles, donation of excess food, and using sustainable organic and/or local food products whenever possible. There are two ways in which vendors may apply; you may wait to send your per-event information/application packages prior to each deadline, or you may apply for as many events as you would like at one time using e set of forms enclosed. You ll still need to complete two identical sets of ese (we keep one set wi your original signature, and return one set to you wi our original signature), regardless of when you submit e forms. Also, for your convenience, we are enclosing e Newport News Heal Department s Guidelines for Obtaining a Temporary Heal Permit. Since Newport News Parks, Recreation & Tourism must have proof at you have applied for your temporary food permit, please return all applications and fees to our office; however, please write e Heal Department payment separately from e Newport News Parks & Recreation payment. We will make e appropriate copies for e Heal Department and forward your payment to em. Per e Fire Marshall s Office, all boos must have an ABC fire extinguisher, and boos using grease or combustibles must also have a Type K extinguisher wi current inspection tags. Please call if you have any questions regarding ese requirements. Food vendors for events held in Newport News are also required to show proof of liability insurance (naming e City of Newport News as additionally insured please contact your insurance carrier for meeting is requirement), and to have a City of Newport News Business License (for information on meeting is requirement, please call e Commissioner of Revenue s Office directly at (757) Applications for events held at City Center also require property stakeholders be added as additional insureds, to include The City of Newport News. For events held wiin e City Center area of Newport News, additional insureds should also include, in addition to e City of Newport News, e Economic Development Auority of e City of Newport News, VA; Newport News Town Center, LLC; Norwestern Mutual Life Insurance; and, Harvey Lindsay Commercial Real Estate. 3 2016 FOOD VENDOR INSTRUCTIONS ON HOW TO APPLY Newport News Parks, Recreation & Tourism 700 Town Center Drive, Suite 320 Newport News, VA Phone (757) Applicants will be evaluated for demonstrated leadership and organizational ability based upon oer successful activities, including prior festival participation. Newport News Parks, Recreation & Tourism strives for menu diversity, festival spirit, and menu quality when selecting food boo operations, as well as striving to reduce menu duplication and maximize sales for all food vendors. For is reason, we reserve e right to delete proposed menu items from selected food boo applications. Applicants shall be given e opportunity to accept e deletions, to make mutually agreeable substitutions, or to widraw from e selection process and receive a full refund wiout penalty. Newport News Parks, Recreation & Tourism seeks to offer participation to a broad representation of community organizations. Preference will be given to nonprofit or charitable organizations who submit evidence of such status wi e Food Boo Application. Evidence may include an exemption letter from e U.S. Internal Revenue Service, nonprofit corporation charter, and current certificate of good standing or oer satisfactory evidence certified by e officers or auorized representative of e applicants. The applicant must provide food boo service for e entire festival, based on e estimates of typical attendance listed on e Information and Fees Schedule enclosed. Boo space allocations are 15' x 15' for freestanding boos and tents, and allocations for trailers are 20' x 15'. Tents being used by vendors must be no larger an 15' x 15' and certified flame retardant (no tarps allowed). If any equipment is to be used on-site (e.g., grills, ice cream carts, etc.), it must be contained wiin e specified space allocation or a DOUBLE BOOTH FEE WILL BE CHARGED (NO Double Boos Permitted for Hollydazzle Event). Each vendor is responsible for e design, construction and disassembly of each boo structure as scheduled by e Festival Coordinators. A picture of e boo as it will be displayed during e Festival is required for new vendors. Any boo at does not conform to size specifications or appearance regulations will not be allowed to participate in e Festivals. Double spaces are available, space permitting, at twice e cost of a single space as described above; NO double boos permitted for Hollydazzle Event. Boo identification signs must be made from sturdy materials and be attractive in appearance. Menu boards wi prices MUST be displayed roughout e Festival or your security deposit will be forfeited. ALL MENU ITEMS MUST BE SOLD AT THE FULL PRICES DESCRIBED ON THE VENDOR S APPLICATION. VENDORS ARE NOT PERMITTED TO ACTIVELY CANVAS FOR CUSTOMERS; HAWKING, OR OTHERWISE APPROACHING OR LOUDLY ADVERTISING FOR SALES AND DISTRIBUTION OF PRINTED ADVERTISEMENTS AND COUPONS IS NOT ALLOWED. ALL SIGNAGE MUST REMAIN WITHIN THE BOOTH SPACE ALLOCATION. It is e responsibility of each vendor to continually clean up e boo and e area surrounding e boo; each vendor shall leave e area in e same condition as when ey arrived. No trash, waste products, gray water, grease, etc., may be dumped anywhere on Festival grounds. SHOULD THIS REQUIREMENT NOT BE MET, A $250 CLEAN UP FEE WILL BE CHARGED AND PARTICIPATION IN FUTURE NEWPORT NEWS EVENTS WILL BE JEOPARDIZED. Decide on which festivals and events to apply, making note of e deadlines for each (deadlines are listed on e Fee Schedule). Complete TWO COPIES of e Application Complete TWO COPIES of e Electrical Request Form (if electricity will be needed). Complete TWO COPIES of e Food Vendor Agreement, which must be signed by an auorized representative for your business. We reserve e right to reject any applications and offers. Upon acceptance of e Agreement by e City of Newport News, evidenced by execution of e Agreement by an auorized representative of e City, and return of e Agreement (wi modifications if applicable), e Food Boo Agreement shall become a binding contract. Complete ONE COPY of e Newport News Heal Department s Temporary Restaurant Permit Form. We will forward ese for you to e Heal Department along wi your payment to em. Your food contract will be void if you do not have a Temporary Restaurant Permit. If you do not have e permit, you will be asked to leave e event site and no refund will be provided. Write one check payable to e City of Newport News for e event fee(s), and a separate check payable to e Peninsula Heal Center for e Temporary Food Permit. MAIL Mail all applications and fees to Special Events, Newport News Parks, Recreation & Tourism, 700 Town Center Drive, Suite 320, Newport News, VA RECEIVE NOTE You will receive confirmation from us if chosen as a vendor (usually wiin e same week as e deadline), along wi one signed set of your approved applications and agreements (wi modifications, if applicable). Should your application not be accepted, you will be notified. You may receive a full refund wiout a penalty if written notice is received any time prior to acceptance by Newport News Parks, Recreation & Tourism. You may not receive a refund if you widraw after acceptance, unless modifications made to your initial proposal cannot be mutually agreed upon.

6 2016 FOOD VENDOR AGREEMENT Newport News Parks, Recreation & Tourism 700 Town Center Drive, Suite 320 Newport News, VA Phone (757) THIS IS AN AGREEMENT, between e City of Newport News, Virginia ("City") and ( Vendor ): 1. Formation and Nature of Agreement This Agreement shall become a contract between e Vendor and e City upon execution by auorized representatives of bo parties. Upon formation of e contract and subject to e terms and conditions of is Agreement, e City agrees to allow Vendor to operate a food boo, once selected, at community festivals sponsored under e auspices of e Department of Parks, Recreation & Tourism for e City of Newport News. The Vendor agrees to operate e boo and to oerwise perform in accordance wi is Agreement. Neier is Agreement nor performance by e Vendor under is Agreement shall create any rights in Vendor to operate a food boo at subsequent festivals. 2. Use of Boo The boo shall be used exclusively for e sale of food and beverage products on e menu described in e application attached to is Agreement, and at e prices described in e application. Upon written request of e Vendor, submitted to e City not less an 30 days prior to e beginning of e Festival, e City may, by written consent, approve e sale of goods oer an approved menu items. It is e intention of e parties at e sale of goods oer an approved menu items be restricted to goods related to e charitable purposes of e Vendor and at such sales are restricted except where compelling circumstances warrant approval by e City. Accordingly, e City reserves e right, in its absolute discretion, to disapprove e sale of any goods at e boo oer an approved menu items. Wiout limitation of e foregoing, e Vendor shall not use e boo for solicitation of funds or for promotion of any oer purpose apart from e sale of approved menu items and oer approved products. 3. Compliance wi Laws Vendor represents and covenants at it now is and shall at all times during e term of is Agreement remain in compliance wi applicable federal, state, and local laws, ordinances, and regulations governing e rights, obligations, and performance of Vendor under is Agreement. Wiout limitation of e foregoing, Vendor shall at all times comply wi heal and safety requirements and shall obtain necessary licensing or permits for sale of food and beverages at e food boo. 4. Sanitation and Clean-Up Vendor shall maintain e boo and e area surrounding e boo in conformity wi all applicable sanitary and heal laws and regulations and shall also keep e boo and e surrounding area neat, clean, and free of accumulated refuse and debris. The City shall provide trash receptacles for use by e general public roughout e Festival area. The Vendor is responsible for disposing of all refuse and debris (gray water, grease, etc.) arising from any of e activities conducted in eir boo in accordance wi directions given by e City. NOTE: Unless oerwise provided by e City, Vendor shall provide containers for disposal of cooking oils used. The Vendor is responsible for e off-site removal and disposal of is oil from e Festival area at e end of each day or e vendor s security deposit will be forfeited. Vendor shall not dispose of its refuse (gray water, grease, etc.) in receptacles provided by e City for use by e general public. Vendor shall provide adequate workers or volunteers for clean up of e boo area and e general Festival grounds in accordance wi regulations and directions provided by e City. 5. Oer Duties of Vendor In addition to duties specified elsewhere in is Agreement, e Vendor shall perform e following duties: (a) (b) (c) (d) (e) Deadlines Vendor shall comply wi all deadlines for organization and performance of e food boo operation as established by e City. Cooperation Vendor shall cooperate wi e City in planning and conducting e Festival. The City will evaluate e performance of e Vendor in accordance wi regulations and procedures established by e City. Number of Servings The Vendor shall have and maintain e capability to provide approved menu items to serve e appropriate number of people in attendance during e Festival period. Estimates of attendance are listed on e Food Boo Information and Fees chart enclosed in e Vendor s Information Packet. Compliance wi Regulations and Directions Vendor agrees to comply wi all regulations promulgated by e City, including ose regulations attached to is Agreement. The City reserves e right to modify such regulations or to promulgate new regulations upon notice to e Vendor. The Vendor shall be bound to all such regulations provided at such regulations are made generally applicable to all oer food boo operators similarly situated. Security Vendor shall maintain adequate security against eft, damage, and disturbance in and about e area of e boo. 6. Equipment and Supplies City shall provide electrical (if requested using e enclosed Electrical Request Form) and water service in accordance wi directions and regulations provided by e City, if available. Vendor shall provide all necessary propane and oer fuel oer an e electrical power utilized in e preparation of food at e food boo, togeer wi any necessary refrigeration or coolers. The Vendor shall also be responsible for all tents, tables, chairs, cooking equipment, utensils, napkins, cups, food, beverages, and all oer equipment or supplies necessary for operating e food boo.

7 7. Assignment of Boo Space Vendor consents to assignment of boo space by e City at such location as e City may determine. The City reserves e right, for a proper purpose, to reassign boo locations to e operators of food boos at any time prior to e beginning of e Festival. 8. Application and Oer Information Vendor hereby certifies at e application attached to is Agreement, and all oer documentation and information provided by e Vendor to e City in connection wi is Agreement, are complete and accurate. Except upon prior written consent of e City, e conduct of e boo by e Vendor shall be in accordance wi information and disclosures provided by e Vendor on its application and oer documents submitted to e City. 9. Reservation and Processing Fee Upon execution of is Agreement, Vendor shall pay to e City e appropriate sum according to e Fee Schedule enclosed in e Vendor s Information Packet. 10. License The right given by e City to e Vendor to operate e food boo is a license and shall not create any rights in e Vendor as a tenant. 11. Delegation and Assignment Vendor may not assign any of its rights under is Agreement to any person. Vendor may perform its obligations rough delegation to volunteers or members affiliated wi Vendor, but such delegation shall not relieve Vendor of its liability for nonperformance of its duties. The City may delegate and assign its duties and rights to such committees for representations as e City shall select. Such right of delegation includes, wiout limitation, e promulgation of regulations and e issuance of directions to e Vendor. Such delegation shall not relieve e City of its liability for nonperformance of its duties. 12. Relationship of Vendor and City The relationship of Vendor and e City under is Agreement shall be at of independent contractors. The Vendor shall not have e auority to bind e City to any contract or agreement, nor shall Vendor represent to any person at it is e agent or representative to e City. 13. Force Majeure Neier party shall be liable to e oer for any delay nor failure of performance due to government action, court order, civil disturbance, inclement weaer, act of God, or oer cause beyond e reasonable control of e party whose performance is delayed or prevented. Refunds for vendor fees paid will not be issued for any reason as listed above as a matter of policy by e City of Newport News; however, security deposits are fully refundable under ose circumstances as shown. 14. Limitation on Liability Except as oerwise specified in is Agreement, neier party shall be liable to e oer party for consequential damages, including lost profit nor revenue, for any breach of is Agreement. 15. Default Upon a material default by one party, e oer party may, at any time before such default has been cured, terminate is Agreement by written notice to e breaching party. 16. Joint Vendors If two organizations will be operating a food boo under is Agreement, e term "Vendor" shall mean bo of ose organizations. All obligations, representations, and warranties of e Vendor shall be e joint and several obligations, representations, and warranties of bo such organizations. 17. Waiver of Liability The sponsoring organization or business shall idemnify and hold e City of Newport News, and for events held at City Center, e City of Newport News Parks, Recreation & Tourism Dept., NAI Harvey Lindsay, e Economic Development Auority, Newport News Town Center, LLC, and Norwestern Mutual Life Insurance Company, harmless from all claims which may be brought by its workers against e City of Newport News, arising out of e vendor s activities in is event. 9 GUIDELINES FOR OBTAINING A TEMPORARY FOOD PERMIT A new application and permit are required for EACH event wiin e year. All participating vendors are required to submit an application to participate in an event. This must be done at least one mon prior to e event. The procedure to obtain a Temporary Food Sale Permit is as follows: 1. It is e responsibility of e vendor to obtain a Virginia Department of Heal Temporary Food Sale Permit prior to e event. Last minute applications can be a problem for everyone and your planning in advance is appreciated. 2. The vendor contacts e Environmental Heal Office at e Heal Department at (757) wi questions regarding completing e Temporary Food Sale Permit application or wi any Environmental Heal questions. Regular business hours are 8:00 a.m. 5:00 p.m. Monday Friday, except 12:00 noon 1:00 p.m. daily. 3. Vendor completes e Temporary Food Permit application. 4. The Vendor pays e heal department fee after completing e application made payable to e Peninsula Heal Center. The vendor at is exempt under e Code of Virginia need not pay e fee. 5. Vendor obtains e Temporary Food Permit from e Heal Department at is to be displayed during e time of e event. 6.
