4 , 2013 Addressee: Dear, Re: Foodworks Rental Kitchen Non-Binding Letter of Intent, Prospective Lease The City of Arcata operates the Foodworks Culinary Center, which is located at 100 Ericson Court in Arcata. The Foodworks facility includes a Community Rental Kitchen which is available to rent by the hour. has gone through the Foodworks Facility orientation and submitted an application form. The City is in the process of completing the credit, reference checks, and other rental procedure. Once the applicant successfully completes this process, the City intends to lease the Community Rental Kitchen on an hourly basis. The purpose of this letter is provide a non-binding letter of intent to lease, whereby the parties indicate their willingness to enter into a formal lease discussions based in part on the following terms: 1. Premises: The leased commercial real estate (the Premises ) consists of an agreed area of approximately 974 rentable square feet within the Foodworks Culinary Center located at 100 Ericson Court, Arcata, California, in the Community Rental Kitchen. 2. Use: The premises are to be used for the operation of manufacturing food facility, and for no other purpose, without prior written consent of Landlord. Lessee will not commit any waste upon the premises, or any nuisance or act, which may disturb the quiet enjoyment of any Lessee in the building. Any acts of disturbance, waste, and/or damages that incur expense will be billed directly to the Lessee. 3. DURATION: This Letter of Intent shall be effective from the date of the last signature appearing below and continuing thereafter for a period of 180 days. 4. Base Rent: Outlined in the attached rate schedule. The actual rates will be those outline in the lease agreement 5. Common Area Expenses, Operating Costs: Tenant shall pay to Landlord its pro rata share of the reasonable expenses of Common Area Maintenance (CAM), to fund landscaping, Pest control, disposal of Fats Oils and Grease, Security, Custodial, and Fire System expense estimated at $ per month. 5 7. Security Deposit: The amount of the security deposit is $ 9. Utilities and Services: Landlord shall provide the Premises with standard water and electricity hook ups and shall furnish and pay for electric, gas, water, sewer, janitorial and other common area maintenance. 10. Repairs and Maintenance: Tenant shall, at its sole expense, maintain the Premises in good condition and to keep the Premises safe and in good condition, including all utilities and other systems serving the Premises. Landlord shall maintain and repair the Building structure, foundation, exterior walls, and roof, and the Common Areas. 11. Insurance: During the Lease term, Tenant shall pay for and maintain commercial insurance as outlined in the lease. 12. Parking: Tenant s customers and guests shall only park in areas of the Common Area designated by Landlord. The City anticipates that it will present you with a formal lease agreement after you have successfully completed our review process. At that time, you will be asked to make a formal commitment by execution of the lease agreement, which would then become a binding contract. Until such time, or in the event you decline to enter into a lease with the City, this non-binding letter of intent is intended solely as a preliminary expression of general intent and interest, and is to be used for general discussion purposes only. It is neither an offer, nor an acceptance of a contract, and does not give you a legal given or right to rent space in the Foodworks building. The parties shall have absolutely no contractual duties to each other unless and until the full and final execution and delivery of a lease agreement.
