1 Conditions Paymenttypes Buckaroo version Page 1 of 7 Specific Terms and Conditions per Payment Method This document contains the terms and conditions that Buckaroo and Payment Service Owners impose per payment method. You can find more comprehensive information per payment method in the various whitepapers that can be found at the Buckaroo Payment Plaza: As soon as you are a Merchant at Buckaroo you receive your login data for the Buckaroo Payment Plaza from us. After you have logged in you can find all the whitepapers on the Support page. It is of utmost importance that you read through these carefully. The implementation manuals contain instructions to create the connection with our payment gateway in a secure manner and the Merchant must comply with these instructions. The whitepapers contain descriptions of the payment methods: additional information with the payment methods about features of the payment methods, the advantages and disadvantages and the risks. The implementation manuals describe the manner that the payment method must technically be implemented. If this is not done correctly then risks can occur. The connection of the various payment methods (except credit cards and PayPal) is fully assessed and processed by Buckaroo. Hence at Buckaroo you have both ideal, Giropay, direct debit authorisations and transfers directly covered and you do not need to conclude agreements for this with the banks. 1. Definitions The following definitions are, both in the singular and in the plural, used in these terms and conditions payment methods Buckaroo: Acquiring Bank Book Balance Buckaroo CPSP Credit Card Acquirer Currence ideal B.V. Customer Financial Manager Foundation Issuer List Issuing Bank Manager Merchant The bank or financial institution that processes credit and/or payment card payments for products or services for a Merchant. Balance on the Customers Account in the name of the Merchant. Buckaroo B.V., having its registered office in Beilen, registered in the Trade Register under number Collecting Payment Service Provider; a Payment Service Provider is a service agency for payment traffic that offers the possibility of handling payments (for instance at a web shop). The collecting PSP provides for the administration of the payments. Periodically (weekly or daily) the funds are transferred to the account of the Merchant. At Buckaroo the Merchant can personally dispose of a balance. The company that performs credit card transactions. Owner and trademark proprietor of the ideal payment formula. Encumbered with the definition and management of requirements with regard to the different roles that are distinguished in the Dutch payment traffic in respect of the ideal payment formula. Customer (potential customer) of the Merchant who wishes to conclude a Transaction with the Merchant. An employee designated by the Merchant who is authorised to perform Payment Orders and other financial acts at the Plaza under the Merchant account. The Stichting Derdengelden Buckaroo, having its registered office in Utrecht, registered in the Trade Register under number , acting as the independent manager of customers funds and Customers Accounts authorised by the Merchant. List of banks that act as Issuing Bank for ideal, shown at the moment when a Customer performs an ideal payment at a web shop. This list is maintained and published by Currence ideal B.V. A card issuer that guarantees the amount for which a payment order has been given. The manager of the Plaza account of the Merchant at Buckaroo designated by the Merchant. The (legal) person, acting in the course of a profession and/or business, that concludes an Agreement with Buckaroo and the Foundation for the purchase of Payment Services. Buckaroo B.V. 2 Payment Order Payment Service Owner Payment Threshold PCI Compliant Refund Rolling Reserve Transaction Expiration Period An order to transfer an amount from the Buckaroo account of the Merchant to a random EU bank account number or a Refund where the account number or IBAN of the original payer and beneficiary of the Refund are changed manually. The owner of a payment method, for instance Currence ideal B.V., i.e. the owner of the ideal trademark and payment method. A minimum amount that must remain available on the account of the Merchant. Complying with requirements imposed by the Payment Card Industry. See A repayment in the course of which the payment data that are known in the system of Buckaroo through the original payment, possibly enriched with data from one of the Buckaroo databases, are used. The part of the Book Balance blocked for a certain period by the Foundation at the request of Buckaroo. The validity of the payment request measured from receipt by the issuer. 2 Relationship between the Merchant and Payment Service Owners 2.1 Not with all but with many payment methods an agreement is also concluded between the Merchant and the Payment Service Owners. 2.2 The General Terms and Conditions of this relevant party are applicable to the relationship between the Merchant and the Payment Service Owners. The Merchant must comply with these terms and conditions (applied by the Payment Service Owners). 2.3 The Merchant indemnifies Buckaroo against possible claims of Payment Service Owners and/or other third parties that are related to non-compliance with requirements that the Payment Service Owners impose on the Merchant. 3 ideal 3.1 The Merchant expressly agrees that the guaranteed payment by the Acquiring Bank of credit balances of ideal transactions is made to Buckaroo Stichting Derdengelden. 3.2 The Merchant must lend its cooperation to requests for information of Currence ideal B.V. within the framework of compliance with the Rules & Regulations ideal, which are available on the website of Currence ideal B.V.: The guarantees, terms and conditions on the basis of which credit balances are paid to the Merchant fall under the exclusive responsibility of Buckaroo. 3.4 The Merchant guarantees that it complies with the statutory obligation (articles 15 ff. of Book 3 of the Dutch Civil Code) that web retailers must publish their Chamber of Commerce and VAT registration number on their websites. 3.5 The Merchant guarantees that it disposes of a complaints and escalation procedure and that it also has a contact point via and telephone for its Customers. 3.6 If so desired the Merchant can conclude insurance against the payment risk that it runs with regard to the receipt of credit balances. 3.7 The Merchant must verify the status of the ideal transaction with Buckaroo. If the Merchant does not verify the transaction status before the delivery or supply of its product or service takes place then the risk of non-received funds is vested in the Merchant if the ideal transaction does not have the successful status. 3.8 The Merchant allows Buckaroo to check whether or not the Merchant has evolved, due to changing or additional activities, to the role of intermediary in the course of which the Merchant is not responsible for the delivery, possible repayment, complaints and warranty for a part of the sales of a third party. The Merchant shall in that case become a CPSP and this Merchant shall need to be certified by Currence ideal B.V. 3.9 When the Merchant relies on a third party then the Merchant shall at all times remain responsible for compliance with the obligations of the Merchant. 3 3.10 The Transaction Expiration Period is 15 minutes. The Customer must approve the payment within this time limit. If this does not happen then the status of the transaction is set to Expired by the issuer. This Transaction Expiration Period shall only be changed in consultation with the Merchant It is not allowed to remove Issuing Banks from the ideal Issuer List without instruction of Currence ideal B.V A Merchant who accepts ideal as a payment method must include the ideal payment method in its list of all offered payment methods at the common location in its ordering process If the Merchant uses a mobile website or application then the Merchant must follow the instructions as described in the addendum ideal mobile of the Merchant Integration Guide that can be downloaded at the Support page of the Buckaroo Payment Plaza ( If the Merchant starts using link services then the Merchant must implement the use of links in conformity with the rules as described in the R&R appendix Rules for the use of links, which can be downloaded at the Support page of the Buckaroo Payment Plaza ( The ideal payment method must be included in the list of offered payment methods such that it at least receives the same attention as other payment methods It must be clear to the Customer how and when the ideal payment method is selected. This is accomplished by offering a so called payment button on the page where a selection is made from payment methods The allowed images for the ideal payment button are available via the acceptors part of the website The connection with the ideal gateway of Buckaroo on the part of the web shop is properly implemented by the Merchant. The latter at the discretion of Buckaroo. The manner that this can be done is described in the ideal implementation manual available on the Support page of the Payment Plaza In case of an indication of fraud, e.g. large fluctuations in amounts or numbers of transactions, or in case of (guideline) at least three complaints within one week that are received by Buckaroo about one Merchant Buckaroo shall be entitled to activate the disconnection process: Buckaroo contacts the Merchant in order to verify what is going on. In that case the Merchant is held to give full disclosure within 48 hours and to lend its full cooperation. Buckaroo is held to forward a status update to Currence ideal B.V. If the Merchant cannot be contacted then Buckaroo may decide to temporarily block the account of the Merchant and/or to block the access to ideal until the Merchant reacts. Buckaroo can send a formal warning to the Merchant by containing an ultimatum (approximately 2 weeks after the detection of the alleged fraud). If the complaints have not demonstrably been solved within that period then the Merchant can be disconnected from the ideal payment traffic. If the Merchant does not show any signs of improvement then a week prior to the communicated ultimatum Buckaroo shall again send an with a warning to the Merchant. If the Merchant does, again, not show any signs of improvement then on the communicated date Buckaroo shall disconnect the Merchant from the ideal payment traffic. Buckaroo informs Currence ideal B.V. of the outcome. In case of fraud the account can immediately be blocked and the ideal agreement between Buckaroo and the Merchant is terminated with immediate effect In specific situations Buckaroo is entitled to take urgent measures under the authority of the Acquiring Bank or Currence ideal B.V. (including blocking of ideal payments of the Customer to the Merchant and blocking payments of the balance to the Merchant) in case of (alleged) fraud or non-compliance with delivery obligations by the Merchant. 4 Giropay 4.1 Giropay monitors that the Merchant properly uses the logo of Giropay. 4 5.1 For the use of SEPA direct debit forms the Merchant complies with the relevant guidelines communicated for that purpose by the banks and Buckaroo. More information about this is available from Buckaroo and on the website of Buckaroo. 5.2 The Merchant is aware of the fact that up to at most 56 calendar days after debiting of the amount the bank account holder who issues a written recurrent direct debit authorisation can report to his / her bank, without stating reasons, that he / she wishes to undo the transfer. This is referred to as a reversal The bank must then actually process this reversal within at most five working days. In case of a digital direct debit authorisation there is no signature. This implies that the Customer can also claim back the payment after the reversal period. The account holder then files a Notification Undue Direct Debit. If the Merchant cannot present a signed authorisation then the Merchant is, in case of a dispute, held to repay the relevant amount. A NUDD can be filed up to 13 months after the collection. Apart from the original transaction amount the bank charges Buckaroo for each NUDD. Buckaroo is entitled to pass these costs on to the Merchant. We do this with an indication of the transaction to which the NUDD is related. 5.3 It is up to the Merchant to contact the Customer and/or to start an investigation with the objective of recovering the funds and, possibly, the NUDD costs from the Customer. Via the Buckaroo Payment Plaza an overview is provided of filed NUDDs. In addition this can also be retrieved via the transactions button. 5.4 The Merchant takes appropriate risk reducing measures. In this context the Merchant must balance what risks the Merchant wants to run compared to the offered payment convenience for the Customers of the Merchant. For suggestions in this respect reference is made to the whitepaper and the implementation manual. 5.5 Buckaroo is entitled to take the following measures in order to limit risks that are related to direct debit authorisations: the imposition of a maximum number of transactions and the reduction of the level of the collectible amounts; the imposition of a Rolling Reserve to guarantee sufficient balance to absorb reversals and NUDDs; the imposition of a Payment Threshold; the imposition of a collection process to yet collect reversals or other financial obligations of Customers vis-à-vis an organisation as fast and fully as possible in the course of which the interests of other organisational units, e.g. sales and customer service, are taken into account; in case of more than two NUDDs per month in two months in one calendar year Buckaroo reserves the right to no longer offer the direct debit authorisation payment method to the relevant Merchant. The foregoing shall not release the Merchant from its own responsibility and its own contractual obligations. 5.6 Use of authorisations in combination with outbound calling from a call centre is not allowed, unless: the Merchant provides for a signature of the Customer on a hardcopy collection agreement; the Merchant demonstrates that it uses voice logging and only calls Customers with whom the company has an existing Customer relationship. 5.7 Inbound calling in combination with the recording of the conversation from which it becomes clear that the Customer agreed with the collection is basically allowed however this remains qualified as a high risk. In that case Buckaroo is authorised to set a high Rolling Reserve. 5.8 In case of recorded conversations the Merchant must on demand of Buckaroo make the recordings available to Buckaroo. 6 Credit Cards 6.1 The Merchant must be PCI compliant. If the credit card data run via the web shop systems of the Merchant then the Merchant must comply with high requirements. For an overview of these requirements Buckaroo refers the Merchant to the whitepaper and the implementation manual. If the Merchant does not request credit card data via its own web shop system then the Merchant must submit a declaration as described at The Merchant must apply for connection numbers for MasterCard and Visa with a Credit Card Acquirer. 6.3 When the Merchant joins Buckaroo the Merchant receives the connection forms for the Credit Card Acquirer by . 5 6.4 Buckaroo sends the credit card request to the Credit Card Acquirer. It then takes at least 2 to 3 weeks before the Credit Card Acquirer issues the connection numbers and your connection is activated by Buckaroo. 6.5 You can request the conditions applicable to the use of credit card payments imposed by the credit card companies and that are (in addition to these terms and conditions) applicable to your relationship with the acquirer from your Credit Card Acquirer or on the website of the credit card company: en%20Richtlijnen/Terms_and_Conditions.pdf retailers/retailers_and_merchants/security/handling_visa_ payments/card_not_present_sales.aspx 6.6 Buckaroo limits the period that credit card data is stored, necessary for refunds, to one year after the initial payment by the Client. Refunds on incoming payments can therefore only be processed until one year after initial payment. 7 Buckaroo Card Services 7.1 The Merchant provides Customers with a clear description of the services, obligations, rights, liabilities, complaints procedure, manner of registration / participation, termination of participation, privacy statements, correspondence options / contact details, glossary in the form of General Terms and Conditions on the website of the Merchant and preferably also by to Customers who purchase the service. 7.2 For security reasons nobody other than the Customer, or somebody in possession of the data of the Customer, can exchange the credit balance of the Buckaroo Card Services. The services / documents or products for the orders placed by the Customer are exclusively shipped to the residential address of the account holder as registered with the Merchant. 7.3 Payments of Customers exclusively arrive at one of the accounts of Stichting Derdengelden Buckaroo. Should this not be the case then the Merchant must dispose of an appropriate PSD permit. Buckaroo shall verify this in the register of DNB. Should neither requirement be met then Buckaroo shall discontinue the processing of monetary transactions for the Merchant with immediate effect. 7.4 If the Merchant uses credit balances of Customers for the offer of financial services, e.g. credits to third parties, then the Merchant is obliged to have a permit. Buckaroo shall verify this in the register of DNB. Should this requirement not be met then Buckaroo shall discontinue the processing of monetary transactions for the Merchant with immediate effect and only resume the same when the Merchant complies with the obligation to have a permit. 7.5 The Merchant guarantees that only commissions and withholdings contractually established with stakeholders can be transferred from the Stichting Derdengelden to the account of the Merchant. 7.6 In its General Terms and Conditions the Merchant must clearly establish what emergency scenarios are applicable if the Merchant discontinues, for any reason whatsoever, its business operations. These must in all reasonableness and fairness protect the interests of the Customers as much as possible. 7.7 In case of unusual transactions Buckaroo is held to report this to the Financial Intelligence Unit Netherlands. 7.8 If there is question of ideal payments then in accordance with the Rules & Regulations of Currence ideal B.V. it must be made clear in the description of the payments what amounts shall be transferred to what parties. 7.9 The Merchant guarantees that clear arrangements are established with the Customers about the following matters: how much of the paid funds shall be transferred to third parties (transaction costs, costs of Card Service, etc.); how the credit balance on the card can be spent The Merchant must communicate and comply with a clear complaints procedure that includes fair guarantees in terms of the time limits within which complaints shall be handled by the Merchant The complaints procedure clearly describes what party performs the fulfilment and what party provides for possible Refunds It must be completely clear to Customers what the role of Buckaroo in the whole is. The parties mutually conclude agreements, Buckaroo merely acts as Payment Service Provider. Conditions Paymenttypes Buckaroo v7.4 5 of 6
6 7.13 Buckaroo cannot provide any Refunds and is, generally speaking, not liable and in particular not for missed payments or errors in systems of the platform. 8 Payment Orders and Refunds 8.1 A Payment Order can only be made by the Manager or Financial Manager user roles. 8.2 A Refund in the course of which an account number or IBAN is changed shall never exceed the received amount of the payment transaction. 8.3 Only an employee (employees) designated by the Merchant can enter Refunds. 8.4 Payments and Refunds are booked to the beneficiary of the payment / Refund by Buckaroo within a day, the balance of the Merchant permitting. The balance of the Merchant can as a result of the payment or Refund not drop below the available balance. A possible Rolling Reserve or Payment Threshold must be taken into account. If the balance is not sufficient then the Merchant can first transfer funds to its account. A payment order that is ready for processing but that has not been processed due to insufficient balance shall automatically be processed on the day that this is permitted by the available balance of the Merchant. 8.5 Payments over 2, and in case of payments to countries that are not part of the EU the Merchant establishes the identity of the beneficiary in a file that shall at least contain: a certified extract from the Chamber of Commerce if the beneficiary is a company; valid proof of identification of the beneficiary (beneficiaries) of the account or directors of the company as established in the Trade Register of the Chamber of Commerce; copy of a bank statement of the beneficiary or a copy of the bank card with account number of the beneficiary or written declaration of the bank that the account is held in the name of the beneficiary; description of the service / product for which the beneficiary receives payment from the Merchant. 8.6 Buckaroo reserves the right to verify beneficiaries of payments in a database of people who have been placed on EU sanction lists, lists of people suspected of terrorism or PEP lists and can reject the performance of transactions if the beneficiary occurs on one of these lists. 8.7 Within the framework of the Dutch Disclosure of Unusual Transactions (Financial Services) Act the Merchant is held to on demand of Buckaroo disclose the identity of the beneficiaries of payments to Buckaroo if Buckaroo qualifies the relevant transaction as unusual. Failing the same Buckaroo shall be entitled not to process the relevant payment. 9 Exclusion of liability and indemnification 9.1 Buckaroo shall by no means be liable if the Merchant does not comply with its obligations, including its obligations vis-à-vis Payment Service Owners. The Merchant indemnifies Buckaroo against any and all claims of Payment Service Owners and/or other third parties that are in any way whatsoever related to non-compliance with the aforementioned obligations by the Merchant.
