1 TERMS AND CONDITIONS for the Select Retailer Group Prepaid Virtual Card and the Spend Anywhere Prepaid Virtual Card This Agreement applies to Your Virtual card. You must read it carefully. By applying for or using the Virtual card, You are agreeing to the terms set out in this Agreement. Your rights and obligations in relation to Your Prepaid Virtual Card Account are as set out in this Agreement. Account means the account to which Your Virtual Card is linked. Agreement means these terms and conditions. Available Funds means the value at any given time of unspent funds loaded onto Your Virtual Card and available to pay for transactions and fees and charges payable under this Agreement. "Denominated Currency" means Sterling. flexecash Card means the pre-paid card issued to you by Park Card Services Limited, from which funds were and/or are loaded onto Your Virtual Card. Merchant means a provider of goods and/or services who accepts the Virtual Card as a means of payment whether by distance means (e.g. by telephone and on-line) or otherwise. Programme Manager has the meaning given to it in Section 23. Raphaels Bank has the meaning given to it in Section 23. Shortfall means, following completion of a transaction, when there are insufficient funds on the Virtual Card for that transaction. Virtual Card means the Prepaid Virtual MasterCard card issued to You (including both the Select Retailer Group Prepaid Virtual Card and the Spend Anywhere Prepaid Virtual Card ). "We", "Us" or "Our" means Raphaels Bank. "Website" means the website where you purchased the Virtual MasterCard "You" or Your means the named Virtual Card holder to whom the Virtual Card is issued Customer Services: if there is anything You do not understand regarding this Agreement, please contact Us as follows: Telephone or Postal address: Card Services, PO Box 67528, London, EC2P 2HU or 1. YOUR VIRTUAL CARD a) Your Virtual Card is an electronic money product and is regulated by the Financial Conduct Authority and Prudential Regulation Authority in the UK. Your Virtual Card is not a credit card and is not in any way connected to Your bank account. Funds loaded onto Your Virtual Card will not earn any interest. b) Your Virtual Card is not transferrable; it may only be used by You. 2. APPLYING FOR AND ACTIVATING YOUR VIRTUAL CARD a) To apply for Our Virtual Card You must be at least 18 years old and You must be a UK resident. b) When We perform electronic checks, personal information provided by You may be disclosed to a registered credit reference agency who may keep a record of that information. A formal credit check is not performed and Your credit rating will not be affected. By applying for the Virtual Card You are agreeing to Your information being passed to such agencies for this purpose. 3. LOADING YOUR VIRTUAL CARD a) The Select Retailer Group and the Spend Anywhere Prepaid Virtual Cards are non reloadable cards and can only be loaded once.

2 b) A load fee may apply for certain load methods, please see the Fees and Limits Section below. c) Funds can be loaded to Your Account by You only from your flexecash Card. Instructions on how to do this are available on the Website. d) Upon receipt, Your funds will be available for use without delay. 4. USING YOUR VIRTUAL CARD a) You can use the Select Retailer Group Prepaid Virtual Card at selected online retailers that display the MasterCard acceptance mark. For a complete list go to the Website. b) You can use the Spend Anywhere Prepaid Virtual Card at any online retailer that displays the MasterCard acceptance mark (subject to the restrictions set out in Section 4(l)] below). c) Before using the Virtual Card You must ensure there are sufficient Available Funds. d) You will not be able to use Your Virtual Card after its expiry date. On the day after the expiry date, You agree that We shall transfer any remaining funds on Your Virtual Card to your flexecash Card account (or, if your flexecash Card has expired or it for any reason is invalid, we shall transfer such funds to Your nominated bank account as provided by You). e) Spending limits may apply to Your Virtual Card, see the Fees and Limits Section below for full details. f) All payments made using Your Virtual Card shall be in the Denominated Currency. If You are paying for goods and services in a different currency to the Denominated Currency, the amount payable shall be converted at the MasterCard conversion rate at the time the Your transaction is processed. The current MasterCard conversion rate is displayed on the MasterCard website. The MasterCard conversion rate may vary throughout the day and is not set by Us. No foreign currency fee will apply, see the Fees and Limits Section below. g) We will deduct the value of Your transactions from the balance on Your Virtual Card as soon as they are made. We will also deduct any applicable fees as soon as they become payable by You, see the Fees and Limits Section below for details. h) The Virtual Card belongs to Raphaels Bank. We may at any time suspend, restrict or cancel Your Virtual Card or refuse to issue or replace a Virtual Card for reasons relating to the following: i. if We are concerned about the security of Your Account We have issued to You; ii. if We suspect Your Account is being used in an unauthorised or fraudulent manner; iii. if You breach a material term of this Agreement (or repeatedly breach any term in this Agreement and fail to resolve the matter in a timely manner); or iv. if We need to do so to comply with applicable law. i) If We take any of the steps referred to in the first paragraph of Section 4(h), We will tell You as soon as We reasonably are able to do so or are permitted to do so. In some cases, We may ask You to stop using Your Virtual Card. We may issue You with a replacement Virtual Card if after further investigations We believe that the relevant circumstances (as set out in Section 4(i)(i) to (iv)) no longer apply.

3 j) We may also refuse to pay a transaction: i. if We suspect Your Virtual Card is being used in an unauthorised or fraudulent manner; ii. if sufficient funds are not loaded on Your Virtual Card at the time of a transaction to cover the amount of the transaction and any applicable fees; or iii. if We believe that a transaction will break applicable law; k) If We refuse to authorise a transaction, We will, if practicable, tell You why unless it would be unlawful for Us to do so. You may correct any information We hold and which may have caused Us to refuse a transaction by contacting Customer Services. l) We cannot guarantee that in every given situation a Merchant will accept Your Virtual Card. In all cases, Merchants should check that Your Available Funds will cover the transaction amount. In some circumstances We or a Merchant may require You to have Available Funds in excess of the transaction amount. In such cases, such excess Available Funds may be blocked and unavailable to spend/withdraw (as applicable) for up to 21 days. There may be other circumstances when Available Funds are blocked/frozen in a similar manner if You contact Customer Services We will be pleased to assist with supplying information on the circumstances and likely period of such block/freeze. m) If you wish to return any goods purchased with Your Virtual Card You must follow the Merchant s on-line procedure. n) Your Virtual Card may not be used for illegal transactions, to buy illegal goods or services. 5. AUTHORISING TRANSACTIONS a) The authorisation of a transaction can include authorising a single transaction, a series of recurring transactions (including transactions for an indefinite period), or preauthorising future transactions of a certain or uncertain amount. b) A Virtual Card transaction will be regarded as authorised by You where You proceed with the transaction at the point of sale by following the instructions provided by the Merchant for the transaction, which should include providing the Virtual Card details and/ or providing any other details as requested. c) Authorisation for a transaction may not be withdrawn (or revoked) by You after the time We have received it. However, any transaction which is agreed to take place on a date later than the date it was authorised may be withdrawn if You give notice to the Merchant (providing a copy of the notice to Us) as long as notice was provided no later than the close of business on the business day before the transaction was due to take place. We may charge You a fee if a transaction is withdrawn or revoked by You (see the Fees and Limits Section). 6. TERMINATION AND EXPIRY AND CANCELLATION a) You have a right to cancel Your Virtual Card (and thereby this Agreement) without reason and without being charged the refund fee (as referred to in the Your Rights To A Redemption and the Fees and Limits Sections) for a period of up to 14 days after You first receive Your Virtual Card this 14 day period is known as the "Cooling-Off Period".

4 You also have the right to terminate this Agreement after the Cooling-Off Period at any time without notice (see Section 13 Fees below). You can do so by contacting Customer Services. If Your Virtual Card is cancelled or You have terminated Your Agreement in accordance with this Section We will immediately block Your Virtual Card so it cannot be used. b) We may terminate this Agreement for any reason by giving You at least 2 months' notice. c) This Agreement will terminate immediately in the event of your death and We may terminate this Agreement immediately and will tell You as soon as practicable: i. if You breach a material term of this Agreement (or repeatedly breach any term in this Agreement and fail to resolve the matter in a timely manner); or ii. if You act in a manner that is threatening or abusive to Our staff, or any of Our representatives; or iii. if You fail to pay fees or charges that You have incurred or fail to put right any Shortfall immediately on request (as defined in Section 13(b). d) We may also cancel or suspend Your Account immediately if We believe Your Virtual Card is being used to commit fraud or for other illegal purposes. If We do this We will tell You as soon as We are permitted legally to do so. e) Your Virtual Card will be valid for the period ending on the expiry date set out when you purchase your Virtual card. Your Virtual Card will cease to function after that date and You will have no further rights to use it. f) After termination of this Agreement and/or cancellation of Your Virtual Card any funds in Your Account will be returned to You via Your flexecash Card once all transactions initiated or requested by You and all relevant fees (see the Fees and Limits Section) have been processed. If Your flexecash Card is expired or otherwise invalid at the time of termination or cancellation of Your Virtual Card then the remaining funds will be returned to You via the bank account details You provided in relation to Your flexecash Card. See Your Right To A Redemption Section below which sets out how funds will be returned and further terms relating to the return of funds. 7. KEEPING YOUR VIRTUAL CARD SECURE a) You should treat Your Virtual Card like cash. If your Account details are lost or stolen, You may lose some or all of Your money on Your Virtual Card, in the same way as if You lost cash in Your wallet or purse. As a result, You must keep Your Virtual Card details safe and not let anyone else use it. 8. YOUR LIABILITY a) Your maximum liability for any unauthorised transactions on Your Virtual Card is 50 (unless the investigations show that any disputed transaction was authorised by You, or You have acted fraudulently or with gross negligence (for example by failing to keep Your Virtual Card details secure or by failing to notify Us without delay on becoming aware of the unauthorised use of Your Virtual Card, in which case You will be fully liable for any loss We suffer because of the use of the Virtual Card). b) Provided You have not acted fraudulently or with gross negligence, We will refund the amount of any transactions which Our investigations show are not authorised by You.

5 c) Where necessary and pursuant to the terms of this Agreement, We reserve the right to charge You for any reasonable costs that We incur in taking action to stop You (or any third party) using Your Virtual Card and to recover any monies owed as a result of Your activities. 9. OUR LIABILITY a) Any liability on Our part in connection with this Agreement shall be subject to the exclusions and limitations in this Section 9. b) You agree that We shall not be liable for any loss arising from: i. a Merchant refusing to accept Your Virtual Card; ii. any cause which results from abnormal or unforeseen circumstances beyond Our control or which would have been unavoidable despite Our efforts to the contrary; iii. Raphaels Bank suspending, restricting or cancelling Your Virtual Card or refusing to issue or replace it if We suspect Your Account is being used in an unauthorised or fraudulent manner, or as a result of You breaking an important term or repeatedly breaking any term in this Agreement; iv. Our compliance with any applicable laws; and/or v. loss or corruption of data unless caused by Our wilful default. c) Unless otherwise required by law or as set out in this Agreement, We will not be liable to You in respect of any losses You or any third party may suffer in connection with the Virtual Card as a result of Our actions which were not a foreseeable consequence of Our actions. d) We will not be liable for any loss arising in connection with the goods or services that You purchase with Your Virtual Card. e) From time to time, Your ability to use Your Virtual Card may be interrupted, e.g. when We carry out maintenance. If this happens, You may be unable to i. load Your Virtual Card; ii. use Your Virtual Card to pay for purchases; and/or iii. obtain information about the funds available in Your Account and/or about Your recent Virtual Card transactions. f) Where the Virtual Card is faulty, Our liability shall be limited to replacement of the Virtual Card loaded with any Available Funds. g) Where sums are incorrectly deducted from Your Available Funds, Our liability shall be limited to payment to You of an equivalent amount. h) In all other circumstances, Our liability shall be limited to repayment of the amount of the Available Funds. 10. YOUR RIGHT TO A REDEMPTION a) You have the right to redeem the funds on Your Virtual Card at any time by calling Customer Services. We will return funds to your flexecash Card. This may take up to two business days. b) When We process Your redemption, or return funds in accordance with Section 6 ( Termination and Expiry and Cancellation ), We may charge a redemption fee (see Section 13 Fees and Limits below) except:

6 i. during the Cooling-Off Period; or ii. during the 12 months following expiry of Your Virtual Card connected to Your Account; or iii. when You are cancelling Your Virtual Card because You object to a change We have made to this Agreement; or iv. whenever we return funds to your flexecash Card. c) Funds will be returned in the Denominated Currency. We will return the funds to your flexecash Card. Before We do so, We will need to verify Your identity in order to satisfy anti money laundering obligations. We have the right to withhold funds where We are concerned about fraud or other security issues. d) On expiry all remaining cleared funds on your Virtual Card will be returned to your flexecash Card within two business days of expiry. f) The provisions in this Agreement giving You the right to request a refund and Us the right to charge a refund fee will survive the termination of this Agreement. g) We may need to refund a transaction to You after your Virtual Card has expired. You agree that in such circumstances we may credit funds to your flexecash Card. If Your flexecash Card has expired we may make alternative arrangements to return the funds to You. h) Please note that if Your flexecash Card is expired or otherwise invalid at the time of a redemption request then the remaining funds will be returned to You via an alternative arrangement as agreed with You. 11. DISPUTED TRANSACTIONS a) You may be entitled to claim a refund in relation to transactions made using Your Virtual Card where: i. the transaction was not authorised under this Agreement; ii. In most cases, we shall accept responsibility for any transaction which was incorrectly executed, provided it has been notified to Us in accordance with Section 5 Authorising Transactions above; iii. a pre-authorised transaction did not specify the exact amount at the time of its authorisation and the amount charged by a Merchant is more than You could reasonably have expected (taking into account normal spending patterns on the VirtualCard or the circumstances of the transaction). However a claim for a refund in this circumstance will not be accepted if the amount of the transaction was made known to You at least 4 weeks before the transaction date or if the claim is made more than 8 weeks after being debited to Your Account; iv. We were notified of the unauthorised/incorrectly executed transaction within 13 months of the debit date of such transaction. b) If any of the above circumstances apply, You should contact the Merchant first as this may lead to a quicker resolution of the dispute. You can also ask Us to investigate the

7 transaction or misuse of Your Virtual Card. In such cases, We will immediately process a refund of the amount of the disputed transaction or We may need more information and assistance from You to carry out such investigation. c) If We refund a disputed transaction to Your Account and subsequently receive information to confirm that the transaction was authorised by You and correctly posted to Your Account, We may deduct the amount of the disputed transaction from the Available Funds. d) If Our investigations discover that the disputed transaction was genuine and authorised by You or indirectly, or that You have acted fraudulently or with gross negligence, We may charge You an Administration fee (see the Fees and Limits Section below). 12. CHANGES TO THIS AGREEMENT a) We may change the terms of this Agreement (including, without limitation, changing existing fees or introducing new fees) by notifying You by , by post, via the Website, or by other agreed means at least 2 months before the change is due to take effect, unless We are required by law to change this Agreement more quickly. b) The notices and up-to-date version of this Agreement will always be available on the Website. You should check the Website regularly for such notices and changes. c) When we notify You of a change to this Agreement, You will be deemed to have accepted the notified change unless You tell Us that You do not agree to the change prior to the change taking effect. In such circumstance, We will treat Your notice to Us as notification that You wish immediately to terminate this Agreement and We will refund any balance on the Virtual Card in accordance with Section 10 ( Your Right to a Redemption ) above. In such circumstances, You will not be charged a refund fee. 13. THE FEES AND LIMITS a) Please see the website for a full list of the card fees. b) Authorisation will be requested for all transactions at the time of each transaction. In the unlikely event, for any reason whatsoever, a transaction is completed when there are insufficient funds on the Virtual Card for that transaction (i.e. a Shortfall), the Shortfall must be reimbursed by You immediately. c) You agree that once We make this Shortfall known to You (by or other agreed method), We will charge You for the Shortfall amount and You must repay it immediately. We may charge the amount of the Shortfall from your flexecash Card or any other card or account that You hold with Us, from any other payment method which You may designate at that time, or from any funds which You may subsequently load onto Your Account. We may suspend Your Virtual Card until We are reimbursed the Shortfall amount. In addition, We reserve the right to charge You the Administration fee for each transaction that You make using Your Virtual Card that results in a Shortfall or increases the Shortfall amount on Your Virtual Card. d) You are responsible for ensuring that You have sufficient Available Funds when You authorise a transaction. 14. YOUR DETAILS

8 a) You must let Us know as soon as possible by using the details supplied on the contact page of the Website if You change Your name, address, telephone number or address. If We contact You in relation to Your Virtual Card, for example, to notify You that We have cancelled Your Virtual Card or to send You a refund, We will use the most recent contact details You have provided to Us. Any to You will be deemed received by You as soon as it is sent by Us. b) We will not be liable to You if Your contact details have changed and You have not notified Us of such change. 15. DATA PROTECTION All Personal Data collected by Park Card Services Limited and passed to Us in relation to this Agreement will be handled in accordance with Park Card Services Privacy Policy and in accordance with applicable law 16. DISPUTES WITH MERCHANTS If You have any disputes about purchases made or other transactions using Your Virtual Card, You should settle these with the Merchant from whom You bought the goods or services or otherwise transacted. We are not responsible for the quality, safety, legality or any other aspect of any goods or services purchased using Your Virtual Card. Remember that, subject to Section [5(c)] once You have used Your Virtual Card to make a purchase We cannot stop that transaction. 17. COMMUNICATIONS If You have an enquiry relating to Your Virtual Card, please contact Us via the Website or call Customer Services on calls to this number are charged at your standard network rate and call costs from other networks may vary). 18. COMPLAINTS a) If You are unhappy in any way with Your Virtual Card or the way it is administered or serviced, please contact Customer Services. b) Details of the complaints procedure may be obtained from the Website or by calling the Customer Services Team as provided within the Contact Page. c) If We are unable to resolve Your complaint, You may contact the Financial Ombudsman Service at South Quay Plaza, 183 Marsh Wall, London E14 9SR or by telephone on (please note calls to this number are normally free for people ringing from a "fixed line" phone but charges may apply if you call from a mobile phone) or on (please note calls to this number are charged at the same rate as 01 or 02 numbers on mobile phone tariffs). These numbers may not be available from outside the UK, so please call if you are phoning from abroad. You may also COMPENSATION Your Virtual Card is an electronic money product and although it is a product regulated by the Financial Conduct Authority and the Prudential Regulation Authority, it is not covered by the Financial Services Compensation Scheme. No other compensation scheme exists to cover losses claimed in connection with Your Virtual Card. This means that in the unlikely

9 event that Raphaels Bank becomes insolvent Your funds may become valueless and unusable and as a result You may lose Your money. As a responsible e-money issuer, We ensure that once We have received your funds they are deposited in a secure account, specifically for the purpose of settling transactions made by your Virtual Card. 20. ASSIGNMENT We may assign this Agreement to another entity at any time on not less than two months written notice. 21. GOVERNING LAW This Agreement is governed by English Law and You agree to the non-exclusive jurisdiction of the courts of England and Wales. All communications regarding any aspect of this Agreement shall be in English. 22. VIRTUAL CARD ISSUER Your Virtual Card is issued by R. Raphael & Sons plc (Company Registration No ) with its head office and registered office at Albany Court Yard, 47/48 Piccadilly, London W1J 0LR ( Raphaels Bank ). We are authorised by the Prudential Regulation Authority and regulated by the Financial Conduct Authority and the Prudential Regulation Authority under registration number and we are permitted to issue e-money. Payment Card Technologies (the Programme Manager ) administers and services the Virtual Card on Our behalf and is available to give You support if You have any queries or complaints (see Customer Services contact details on the Contact page.
