1 Framework Agreement Between Braun Foundation for International Exchange Am Sandberg 36, Sankt Augustin represented by Managing Director Harald Braun (hereinafter referred to as the foundation) and STA Travel GmbH, Königsberger Straße 29, Frankfurt (hereinafter referred to as STA). The foundation promotes activities in the field of international education exchange. This framework agreement applies to the foundation, whose headquarters and branches, as well as its partner organisations, can informally enter into this agreement. The foundation shall inform STA of the joining of respective partner organisations by supplying the relevant information. STA shall confirm the joining of each partner organisation of the foundation. STA, as a specialist provider of youth and student travel services, shall provide to the members, employees and cooperation partners of the foundation customised flight offers and further services (e.g. insurance, hotel bookings, other travel components). Thus, on all sides, there results the potential for outstanding, positive cooperation in the field of international education exchange.

2 The following lists the services of the foundation and STA. Services of the foundation The foundation acts internally within STA as contractual partner for flight queries, and as needed externally with the partner organisations of the foundation. This, for example, can happen as outlined below: - Assembly of a flight query form or flight search window in an appropriate location on the public or internal website of the foundation, where interested parties may send booking queries to STA directly. - Links within the website, in appropriate locations, to a booking query form or flight search window. - Mention and link, in an appropriate location, of STA as contractual partner for flight booking. - Opportunity to participate in special promotions of the foundation. Services from STA for individual travel, group travel and package deals STA is pleased to be able to make appropriate offers, as needed, for the programmes from the foundation and its partners to the requested destinations. These apply not only to individual travel, but also to group travel and package deals. Other services by STA Travel 1. STA Travel incorporates the foundation and its partner organisations within the STA Travel Education Travel website, integrating the logo, self-representation and links to websites. 2. For all bookings from end customers (invoice goes not to the foundation but rather to the partner organisations of the foundation), made through a flight enquiry form or directly through STA Travel and arranged through the STA Travel Education Travel Service, the following applies: After the close of the business year (from 01/01 to 31/12), in the first quarter of the subsequent year, STA will prepare a list of all flights or other services booked through the foundation or from its partner organisations, and forward it to the foundation or its partner organisations. This also applies to flights booked through the STA Travel Affiliate-Online-Bookings-Programme. 3. STA is pleased to announce that it may be able to offer support measures to the international projects and activities of the foundation and its partner organisations.

3 Execution Besides enquiries for individual travel, enquiries for package deals/group travel from the foundation or its partner organisations can also be conveyed to the special STA Travel Education Travel service. Offers for package deals/group travel will be created by STA and submitted centrally to the foundation or its partner organisations. All queries from programme participants arising after booking will be directed to the STA Travel Education Travel Service. It is not possible to receive advice or discuss the usage of this framework agreement at the STA Travel offices across Germany. Booking queries from individual travellers to STA made directly through the manual flight query form integrated into the website, or through the STA Travel-Affiliate-Online- Booking-Programme, or directly from the foundation or its partner organisations, shall be executed and transacted centrally by the STA Travel Education Travel Service. For bookings from individual travellers through the Online-Programme of the STA Travel Education Travel Service, the travel contract shall be between STA Travel and the end customer directly. For optimal transparency, it is possible for STA Travel to award different assignment numbers to the central office of the foundation, its branches and its cooperation partners. Miscellaneous Further cooperative activities in the future are possible and would be willingly agreed upon. Regular meetings for the purposes of exchanging information and in order to optimise procedures are an integral part of this framework agreement and shall be coordinated together.

5 Amendments to the contract Amendments to the contract must be in writing Data protection provisions STA Travel, the Braun Foundation for International Exchange and its cooperation partners treat all data according to the provisions of all relevant data protection laws. Place of jurisdiction Place of jurisdiction is the headquarters of STA Travel Severability clause If any provision of the framework agreement, including any of its previously mentioned rules, should be or become wholly or partially invalid, void or incomplete, the validity of the remaining provisions shall remain unaffected. In place of the incomplete or void provisions, the legal provisions shall apply. This applies also in the case of incompleteness.
