For sales of regulators and dive computers, Dealers must keep a record in their files of the serial numbers of the product(s) purchased and the name, address and other contact details of the purchaser. SCUBAPRO has the right to request this information from the Dealer in case of a product defect. c. Dealers must use SCUBAPRO and/or SUBGEAR display and promotional material in their stores. SCUBAPRO and/or SUBGEAR catalogues and promotional literature must also be available for consumers to collect and take away. 8.2 Dealers must additionally meet the following criteria at all times: a. During the opening hours of Authorized Dealerships, a person who has participated in a SCUBAPRO training course must always be present. Such persons also have to be up to date with the required refresher courses. b. Dealers must have retail space specifically dedicated to the display and demonstration of SCUBAPRO and/or SUBGEAR products. c. Dealers must be in an accessible location for consumers. A shop with retail frontage must be available in order to appropriately display their products to the consumers. d. Dealers must at all times have the SCUBAPRO and/or SUBGEAR product lines available in their stores and the whole range of products has to be adequately represented in the store. e. Dealers must provide opening hours in conformity with local business practice. f. Any opening of a SCUBAPRO account by a dealer is subject to a minimum order for each of the SCUBAPRO and/or SUBGEAR product ranges, pursuant to lists supplied upon request and regularly updated. 9. Transfer of products bearing the SCUBAPRO and/or SUBGEAR trademarks to non-authorized dealers is formally forbidden. Dealers may only sell SCUBAPRO and/or SUBGEAR products to end users or to other Dealers within the EU/EEA. In case of doubt, the Dealer must contact SCUBAPRO to verify whether the EU/EEA dealer is an authorized Dealer. 10. Dealers are free to set their prices in accordance with applicable national laws. SCUBAPRO has established a list of recommended resale prices to give an indication of the price levels Dealers can expect to obtain. The prices in this list reflect the high quality and technicality of SCUBAPRO and SUBGEAR products. The Dealer undertakes not to compromise the high-end image of the SCUBAPRO and SUBGEAR products via activities or practices that may have a negative effect. This includes any action that is found to have a cheapening or discriminatory effect in relation to competing products. 11. For on-line sales of SCUBAPRO and/or SUBGEAR products, the requirements for the Dealers are the following: a. For each product, a photograph of the product accompanied by the description from the SCUBAPRO and/or SUBGEAR price list and catalogue should be provided. b. A safety warning should be included at the end of the purchase order, with an obligation on the part of the customer to check a box acknowledging the following: I acknowledge that my experience as a diver or that of the person who will use this diving equipment is sufficient to be able to use this equipment properly and safely. I know that before participating in any diving activity whatsoever, a thorough course of instruction in the theory and practices involved in diving should be successfully completed. This safety warning does in no way replace the need for a complete reading of each operating manual of the SCUBAPRO and/or SUBGEAR products I have purchased and SCUBAPRO is not responsible for damages resulting from improper use of the products. c. The terms and conditions of sale must be provided on your site, and the customer also has to acknowledge understanding and acceptance of them. The acknowledgements must be in the form of check boxes rather than just a click through. Furthermore, if the person does not check the boxes, he/she should be informed that the order cannot go through. d. The site must also include the following: Delivery only to addresses in the EU/EEA. As a result of this, you must set up your site in such a way that the submission of an order with a delivery address outside those countries is rejected. e. Your site should indicate that customers can contact you in person, via the telephone or by and must give the necessary information (address, telephone number, address).

111 f. Only Dealers are authorized to sell SCUBAPRO and/or SUBGEAR products on the internet. g. You must keep on file the customer s name, address, telephone number and , as well as the serial number(s) of the product(s) purchased and proof of the customer s safety warning acknowledgement. h. Customers must be able to ask Dealers questions about SCUBAPRO and/or SUBGEAR products, either over the internet, by telephone or in person. If you sell products over the internet, a sales person who has followed SCUBAPRO required training and refresher courses (pursuant to point 8 of the present terms and conditions of sale) must be available during your opening hours to answer questions via the internet, over the telephone, and in person. Questions asked by internet must, as far as possible, be answered on the same day that they are received. i. The Dealer is also responsible for ensuring that his internet sales comply with applicable laws, in particular those flowing from Directive 97/7 of the European Parliament and of the Council of 20 May 1997 on the protection of consumers in respect of distance contracts (Official Journal of the European Communities L 144/19 of ), Directive 2000/31/EC of the European Parliament and of the Council of 8 June 2000 on certain legal aspects of information society services, in particular electronic commerce, in the Internal Market (the Directive on electronic commerce) (Official Journal of the European Communities L 178/1 of ) and all legal and regulatory national provisions regarding consumer protection in general and data protection. WARRANTY 12. SCUBAPRO regulators are guaranteed for life, SUBGEAR regulators for 30 years, for the initial buyer. All other articles are guaranteed for two years. 13. SCUBAPRO is liable under the said guarantee solely for manufacturing defects duly noted by our technical departments. The guarantee may not apply if our equipment is not used and maintained under the conditions stipulated in the technical notices, or if it is due to normal wear and tear of the product. 14. If the Dealer modifies or changes the composition of a SCUBAPRO and/or SUBGEAR product or if he uses it in a manner contrary to the recommendations given by SCUBAPRO, the guarantee offered by SCUBAPRO is no longer applicable. PAYMENT 15. Our invoices are payable upon receipt or by bill of exchange if preliminarily accepted in writing by the Seller. Payment (in EUR) must be made to a bank account opened in the name of SCUBAPRO. The customer is entitled to an early payment discount of 2% when invoices are paid before due date and upon receipt of invoice. The minimal opening orders must be prepaid (i.e. paid before the goods leave SCUBAPRO s warehouse) but early payment discount is not applicable to this order. Payment facilities may then be granted depending on the banking information supplied by the new Dealer. In the first year, the maximum payment period term may not exceed 30 days end of month. Payment is due in full without deduction, counterclaim or set off and the Dealer acknowledges that the respect of payment delays is of essence. Any invoice not paid on the due date will automatically incur (i) a fixed rate fee of 40 euros for debt collection (clauses L and D of French Commercial law) and (ii) interest at the rate applied by the European Central Bank at its latest refinancing operation increased by 10 percentage points until the outstanding payment is made in full. These delay penalties are payable without the need of a warning. For the avoidance of doubt the Dealer will be responsible for any costs and expenses (including the costs of procedure) incurred by the Seller in obtaining and recovering such payment. Until payment is received in full the legal and equitable title and interest in all products shall remain with the Seller, although risk in the products shall pass to the Dealer. 16. All bills of exchange that are accepted but not paid shall be increased by the amount of the corresponding bank expenses. 17. When the Dealer s credit rating deteriorates, SCUBAPRO reserves the right, even after partial shipment of an order, to require the Dealer to provide guarantees that we consider appropriate with a view to proper performance of the Dealer s commitments. Refusal to comply shall entitle SCUBAPRO to cancel all or part of the contract. PENALTY CLAUSE 18. A refusal to accept our bills of exchange and/or any breach of these terms shall result in all outstanding balances being due and payable immediately by the Dealer, regardless of the foreseen payment method. 19. Without prejudice to any other right or remedy available to the Seller, any breach of the present conditions of sale including, but not limited to, a failure to make a due payment, shall entitle the Seller to suspend supplies, terminate its contract and/or any orders in progress. Such failure shall release the Seller from its commitments and entitles the Seller to repossess any unpaid delivered goods at any time after such breach. The costs and expenses of any termination of its contracts and/or repossession of the products shall be paid by the Dealer who commits to completely indemnify the Seller for all costs and expenses incurred by it in connection with such termination and repossession of the products. RISKS 20. The risks related to the products of the sale are transferred to the Dealer from the moment of notification, provision or of delivery of products to a carrier in view of their delivery to the Dealer. RETENTION OF TITLE 21. In accordance with the provisions of the French law of 12 May 1980, the products shall remain the property of SCUBAPRO until the whole invoice price has been paid. Until that moment, the products provided or supplied to the Dealer are deemed to be consigned and the Dealer bears the risk of all damage caused or suffered by the delivered products. The forwarding of a commercial paper or any other title creating an obligation to pay is not considered to constitute a payment. INTELLECTUAL PROPERTY RIGHTS 22. The Seller s trademarks, as well as all other figurative marks, whether representational or not and more generally all other marks, illustrations, images and logotypes that appear on the products sold by the Seller to the Dealer, their accessories or their packaging, whether or not they are registered, are and shall remain the exclusive property of the Seller. Total or partial reproduction, modification or use of these brands, illustrations, images and logotypes, for whatever reason and on any medium whatsoever, without express and prior authorization of the Seller is strictly forbidden. The same applies to the combination or conjunction with any other brand, logotype and more generally any distinctive sign used to form a composed logo. The same applies also to all copyrights, designs, models and patents which are the property of the Seller. NON WAIVER 23. The fact that one party did not claim a breach by the other party of one of the obligations contained in the present conditions of sale cannot be interpreted as a waiver of this obligation for the future. PARTIAL INCAPACITY 24. If one or more clauses of the present terms and conditions of sale were deemed illegal or invalid, such invalidity would not invalidate other provisions of these conditions. APPLICABLE LAW AND ASSIGNMENT OF JURISDICTION 25. The present terms and conditions of sale are governed by French law. 26. Any dispute or litigation, whatever the cause thereof may be, and in particular regarding the conclusion, interpretation, execution or not of the present conditions of sale and of its outcome, shall be subject to the sole jurisdiction of the Commercial Court of Antibes, which shall enjoy sole jurisdiction even in case of several defendants or guarantee call.
