MODERATORS & PANELISTS Vyas Anantharaman Deloitte Consulting, LLP Senior Manager Vyas Anantharaman is a Senior Manager with Deloitte Consulting s HR Transformation Practice and specializes in helping global organizations transform their HR operations through service delivery, process and technology improvements. He has advised clients on the design, development and transition to new HR service delivery models including HR Outsourcing and Shared Services. His HR technology experience includes Implementation Roadmaps, Technology Vendor selection and Global PeopleSoft core HR, Talent Acquisition and Talent Management implementations. His transition experience includes business process redesign, policy and data harmonization, facilitating knowledge transfer, testing as well as post implementation business process support. Lisa Kizina National Real Estate Advisors, LLC Human Resource & Office Manager Ms. Kizina is responsible for managing and controlling National s human resource and administrative support functions including development, implementation and coordination of policies and programs, and the direct supervision of administrative staff. Prior to joining National, Ms. Kizina owned and operated Property Detailing Services, LLC where she secured contracts and managed projects in commercial and residential facilities maintenance in the Washington, DC area. Prior thereto, she was Human Resources and Accounting Manager for the civil engineering firm Bolton and Associates, LLC. Ms. Kizina holds a BS in Business Administration and Finance from the University of Maryland University College, is certified in Business Project Management, and is pursuing an MBA and MIM in Financial Management. She has more than 18 years of business experience in the construction industry and is a member of the Society of Human Resource Management. Josh R. Anbil FPL Associates L.P. Senior Managing Director Josh R. Anbil is Senior Managing Director of FPL Associates. Mr. Anbil co-runs the firm s compensation consulting business and leads FPL s projects for privately-owned real estate companies. In this capacity, he focuses on helping clients review and analyze their existing pay practices and determine how best to compensate their executives, managers, employees, and/or Board of Directors going forward. Since joining FPL in 2004, Mr. Anbil has worked with over 160 real estate companies on hundreds of projects. He has worked with C-suite executives, senior management teams, Boards of Directors, Compensation Committees, and human resources professionals to address a wide range of compensation and organizational topics. While Mr. Anbil has worked with numerous types of companies and across all industry sectors, Mr. Anbil specializes in advising private real estate firms, including real estate investment managers, private equity firms, developers, owner-operators, family-owned companies and private REITs. 3 NAREIM 4
Mariann Madden Heitman, LLC Internal Human Resources Consultant As Heitman s Internal Human Resources Consultant, Mariann s focus is on program and policy evaluation, design, implementation, and administration for key HR initiatives. She has an extensive background as an advisor on global HR matters including compensation, performance management, on-boarding, learning, employee relations, immigration, and organizational initiatives. Prior to joining Heitman in 2007, Mariann has served in human resources manager and compensation consulting roles at Deloitte Consulting and Arthur Andersen. In those roles, she gained expertise in compensation program design, implementation, and administration, including employee and executive pay, total rewards, attraction/retention, job evaluation, and incentive plan design. Mariann earned a Bachelors of Arts in Accounting from St. Ambrose University and holds a Professional in Human Resources certification. She is an active member of the NAREIM HR Council, World@Work Association, Society for Human Resources Management and the Human Resources Management Association of Chicago. Heather McKay Bentall Kennedy VP, Human Resources Heather McKay recently joined Bentall Kennedy to lead the Human Resources team across North America. She has over 20 years of experience in Human Resources in companies ranging in size from 150 to 15,000. NAREIM ANTITRUST POLICY GUIDELINES NAREIM s Members often compete with each other. Federal and state antitrust laws prohibit anticompetitive actions, and penalties for violations are severe. These Policy Guidelines supplement NAREIM s more comprehensive Antitrust Compliance Policy, which is accessible on NAREIM s website, www.nareim.org. Members attending NAREIM meetings may not discuss, formally or informally, their specific business practices concerning fees (especially present or future fees) that they charge, or are intending to charge, to any specific customers or clients, including but not limited to: commission rates and the structuring of commissions; methods used to calculate asset management fees and fees charged for asset management; pricing methods and policies; sales promotions; incentives to customers; costs, or any other matter relating to or affecting prices charged, or to be charged, to specific customers or clients. Additionally the following topics may not be discussed at NAREIM meetings: 1. Allocating business among real estate investment managers, rigging bids or fixing or capping offering prices for properties; stabilizing or reducing the prices Members will pay for third party services, or fixing, stabilizing or reducing the compensation of professionals employed by Members. 2. Controlling or limiting investments, restricting or allocating supply, dividing or otherwise allocating investments according to customers, territories or products, or specifying a preferred level of compensation, or compensation formula, that should be adopted by all industry participants. Remember that mere participation in a discussion or even attendance at a NAREIM meeting where illegal topics are discussed can make you a conspirator in the illegal conduct even if you do not say a word, participate in the discussion, or agree with anything. Illegal discussions can occur at NAREIM meetings, but also during informal conversations over cocktails or on the golf course. The same rules apply in these cases as well. These Guidelines are designed to assist NAREIM s Members to avoid inadvertently creating antitrust risks while participating in NARIEM meetings and programs. Antitrust issues can be complex and violations have very serious consequences. These Guidelines are not intended to provide all the answers, nor do they define the outer limits of conduct that may be permissible under the antitrust laws. They are designed to help you recognize improper conduct and to know when to ask for legal advice. These Guidelines do not and cannot replace each NAREIM Member s decision making as to its own activities and the activities of its employees. Each Member must instead consult with its own legal counsel to obtain independent advice on these subjects. 9 NAREIM 10
