Export Finane Program Guidelines Setion I General A. Introdution The Export Finane Program (EFP or the Program ) administered by the Department of Community and Eonomi Development (DCED), is designed to inrease the level of foreign exports and the number of exporting ompanies in Pennsylvania. Many reditworthy small businesses do not have aess to adequate finaning beause they either lak a relationship with a finanial institution with export finane apabilities or the size of the transation makes it uneonomial for the private setor to partiipate, even when redit risks are insured. The program fills the export finaning gap by lending on export ontrats. EFP provides assistane for two types of export finaning projets. As a Delegated Authority Lender Authority under Ex-Im Bank s Working Capital Guarantee Program, the Commonwealth of Pennsylvania is permitted to provide working apital finaning for pre-export working apital needs. In addition, the program also provides aounts reeivable finaning for post-export assistane. This Program is not intended to supplant or be a substitute for funds otherwise available from private lending soures. B. Eligibility Appliants Export Finaning is available only for produts that are manufatured or assembled at failities loated in Pennsylvania or for servies that originate from failities loated in Pennsylvania. An eligible appliant is a for-profit business enterprise whih is a orporation, limited liability ompany, partnership, proprietorship or other business entity that: operates as a going onern in Pennsylvania. has no more than 250 full-time employees. has had an operating history of at least one year. C. Eligible Ativities The Export Finane Program an assist eligible businesses by offering working apital and aounts reeivable finaning in an amount of up to $350,000. Assistane is limited to the finaning or export ativities that take plae within Pennsylvania. 1. Working apital finaning may be used to: a. Aquire inventory. b. Pay diret and indiret osts (e.g., design, engineering, labor and overhead) used for the manufature or purhase of goods (inluding work-in-proess), or for the provision of servies.. Support Standby Letters of Credit used as bid bonds, performane bonds or payment guarantees. 2. Aounts reeivable finaning may be used to finane export aounts reeivable sold on payment terms up to 180 days from the date of arrival at the port of importation. 1
Export Finane Program Guidelines D. Ineligible Ativities The Export Finane Program does not provide funding for: 1. Defense and Nulear Produts and Servies as determined by Ex-Im Bank. Ex-Im Bank s restritions inlude: a. Items that are sold to military organizations or are designed primarily for military use; and b. Items sold for nulear produts or servies that must be approved by the U.S. Congress. 2. Inventory whih inludes: a. Inventory that is not loated in the United States. b. Demonstration inventory or inventory sold on onsignment.. Defense artiles or servies (i.e., items sold to military organizations or designated primarily for military use). d. Inventory onsisting of proprietary software (software not intended for resale). e. Inventory that is damaged, obsolete, returned defetive, realled or unfit for further proessing. f. Inventory that is to be inorporated into items whose sale would result in an ineligible aount reeivable, as desribed below. g. Inventory that has previously been exported from the United States. 3. Aounts Reeivable, whih inludes: a. Aounts reeivable with terms greater than net 180 days. b. Aounts reeivable more than 30 alendar days past the invoie due date.. Any intra-ompany reeivables or any reeivables from a subsidiary, from any person or entity with a ontrolling interest in the exporter, or from an entity, whih shares ommon ontrolling ownership with the exporter. d. Aounts reeivable from military buyers or generated by defense artiles or servies. e. Aounts reeivable that DCED deems unolletible or unaeptable for whatever reason. f. An irrevoable letter of redit is not onsidered to be an aount reeivable until the underlying goods have been shipped. 2

Program Requirements At the disretion of the Department, a business may be required to have the guarantee of the Ex-Im Bank Working Capital Program or be on an export sales ontrat insured by a poliy or be eligible for a poliy. 1. The amounts and terms/onditions for working apital finaning are: a. Loan Size: The maximum loan amount is $350,000. b. Terms: The terms of the loan shall not exeed 12 months and may support a single transation. Revolving lines of redit are available for multiple transations. The term of the line of redit shall not exeed twelve months and may be renewed for an additional 12-month period. Renewal will be at the disretion of the Department. Disbursement under a revolving line of redit will be based upon up to 85% of eligible aounts reeivable and up to 70% eligible inventory.. Interest Rate: An annual fixed rate of 3.75%, d. Fees: Commitment fee of ½% for terms up to 12 months. The renewal fee is ½%. e. Maturity and Renewals: Loan maturities an be up to 12 months. One aepted, the ommitment letter is valid for 30 days. To renew an existing revolving loan, the Borrower must submit a written request with updated ompany and finanial information. f. Collateral: Loans must be seured with a first lien position on the asset being finaned, suh as the export inventory and aounts reeivable and may require the assignment of the ontrat and letter of redit proeeds. General While not a requirement, the potential appliant is strongly enouraged to ommuniate with the Department about a proposed projet prior to submitting an appliation. This an be aomplished by sending a letter or onept paper that provides basi information about the proposed projet to the DCED Servie Provider or the Small Business Finaning Division (Commonwealth Keystone Building, 400 North Street, 4th Floor, Harrisburg, PA 17120-0225. Phone: 717-783-5046). Potential appliants may all either offie to disuss the same information. This preliminary step permits EFP staff to offer tehnial assistane and alerts staff to pending Single Appliation submissions. Appliants should arefully review the instrutions outlined in the on-line eletroni Single Appliation kit and submit doumentation that addresses the objetives identified in these guidelines. The narrative setion in the Single Appliation should be as detailed as possible. The on-line eletroni Single Appliation is designed for all DCED programs; therefore, some information on the form may not be appliable to your speifi program. Appliants are enouraged to seek the assistane of the Team Pennsylvania Export Region Provider or Area Loan Organization in preparing the appliations. (Listings an be found at www.newpa.om). B. Single Appliation Instrutions 1. The business applies eletronially utilizing the DCED Eletroni Single Appliation for Assistane loated at www.newpa.om or www.esa.ded.state.pa.us. DCED also requires the appliant to submit the appliation addenda listed in the ESA as a part of the appliation proess. The required Appliation Content may be attahed eletronially to the appliation on the Addenda tab, or submitted via US Mail with the signature page. Please referene the Single Appliation number on any douments sent with the signature page. Export Finane Program Guidelines C. Speifi Instrutions for Working Capital Finaning 1. Complete pages 1 thru 6 of the Single Appliation. Attah a projet narrative desription of the overall projet and a desription of the speifi items identified on the Projet Budget as listed on pages 3 thru 5. 2. Copies of the following items must aompany Single Appliation: Funding ommitment letters from all other projet funding soures (inluding equity ommitments and interim finaning). Letters must be signed and dated and should inlude the appliable term, rate, and ollateral onditions. Finanial statements of the ompany/developer, parent ompany, and any other proposed guarantors, if any, for the last three years of operations and one year proforma. Finanial statements should inlude balane sheets, inome statements, ash flow statements, and notes to the finanial statements. Personal finanial statement for any prinipal and their spouses having ownership of 20% or greater in the Company/Developer. The personal finanial statements should not be more than six months old and must be signed and dated. An independent ertified publi aountant may prepare personal finanial statements or the individuals themselves by using standard forms available from most banks. D. Speifi Instrution for Aounts Reeivable Finaning The following items must aompany the Single Appliation: A opy of the Purhase Order or Contrat Sale. A opy of the Commerial Invoie. Evidene of Export Shipment(s). Copies of any other douments as may be required under the terms of payment. E. Appliation Approval Proedure 1. DCED reviews eah appliation in the order in whih it is reeived. The appliant is responsible for updating the appliation if hanges our during the review. 2. DCED approves or rejets the loan appliation and formally notifies the appliant about the deision within 30 days of reeipt of the ompleted loan appliation. 3. Appliants of approved projets will reeive a loan ommitment letter, whih they must review, aept, and return within 30 days. One aepted by the appliants, the ommitment letter is valid for a period of six months. F. Appliation Evaluation Criteria 1. Business Evaluation: DCED evaluates the historial performane of an existing business to assess its ability to repay the EFP loan. 2. Publi Benefit Criteria: DCED evaluates the strategi importane of the industry to the ommonwealth. 5
Export Finane Program Guidelines G. Limitations, Restritions and Penalties 1. Any material misrepresentation in any appliation or use of loan funds for ineligible ativities may be ause for rejetion of an appliation or for alling an EFP loan in default. In addition, the matter may be referred to the appropriate authorities for riminal investigation. 2. An EFP Loan may be prepaid at any time without finanial penalty. 3. Upon reasonable request of the DCED, the borrower shall permit duly authorized employees of the ommonwealth to inspet the plant, books, and reords of the borrower. 4. Borrowers and their prinipals may not be delinquent or in default on any existing private of publi loan. 5. Borrowers and their prinipals must be urrent in payment of all appliable federal, state and loal taxes. 6. The borrower and its prinipals and managerial offiers must dislose any potential onflits of interest with any offiials or employees of the ommonwealth or of the area loan organizations involved in the administration of the program.
