KVIC implements various schemes and programs with a view to promote Khadi and Village Industries and thereby create employment opportunities for rural artisans, spinners, weavers and for the first generation entrepreneurs in India. Among the various schemes and programs, the following schemes are being implemented for the benefit of more than 5000 registered Khadi and Village Industries Institutions and lakhs of entrepreneurs producing and marketing khadi as well as different range of village industries products in India under the ambit of KVIC. 1. Prime Minister s Employment Generation Program (PMEGP) 2. Cluster Program under SFURTI Scheme 3. Khadi Development Program 4. Village Industries Development Program. 5. Marketing Development Program The aforesaid schemes facilitate the Khadi producing institutions and the individual entrepreneurs not only for establishment of production units and to create employment opportunities but also facilitates to create platform to market their products through the 8 retail sales outlets owned by KVIC and more than 7000 sales outlets managed by the Khadi producing institutions across the country. Besides this KVIC also organize various exhibitions domestically and internationally to help the KVI institutions and Entrepreneurs to showcase their products for business development. In order to ensure better growth and to improve marketing of KVI products of the entrepreneurs, KVIC invites Expression of Interest (EOI) to Design, Develop, Manage and Maintenance of online marketing portal for KVIC from the agencies engaged in the similar nature of work. The EOI document provides the detailed EOI Response, scope of work, pre-qualification criteria, bidding process and other terms and condition-s with necessary formats.

1. INTRODUCTION 1.1 Background 1.1.1 Khadi and Village Industries Commission (KVIC) is a statutory body created by an act of Parliament (No.61 of 1956 and as amended by Act. No.12 of 1987 and Act No.10 of 2006). It functions under the administrative control of the Ministry of Micro, Small and Medium Enterprises (MSME), Govt. of India. KVIC is charged with the functions of Planning, Promotion, Organization and Implementation of programs for the development of Khadi and other Village Industries in the rural areas in co-ordination with other agencies engaged in rural development. KVIC has its offices across the country comprising of Central/Field Office, Training Centers, Sales Outlets and Central Sliver Plants. 1.1.2 KVIC has about 5000 registered Institutions and lakhs of entrepreneurs in its fold for carrying out various activities from design, development, production and marketing Khadi as well as wide range of Village Industries products across India. These registered institutions and entrepreneurs were assisted by various schemes and programs implementing by KVIC with a view to promote KVI products and to create employment opportunities in the country. 1.1.3 KVIC has 8 retail sales outlet in its own and more 7000 sales outlets owned and managed by the Khadi producing institutions across the country. Varieties of Khadi fabric comprising of cotton, silk, woolen with various pattern and designs for both men and women are being marketed through these sales outlet. Besides, wide range of other products covering cosmetics, herbal,
toiletries, honey etc. are also being sold through the said sales outlets. The detailed list of sales outlets with the location and address of sales outlets owned by KVIC and KVI Institutions are given at APPENDIX-1 and APPENDIX-2. 1.1.4 KVIC is not engaged in production activities but facilitates marketing the products produced by Khadi Institutions and other Individual beneficiaries. In order to ensure better growth and to improve marketing of KVI products of the entrepreneurs, KVIC invites Expression of Interest (EOI) for Designing, Developing, Managing and Maintaining of online marketing portal for KVIC from the agencies engaged in the similar nature of work having adequate experience with all requisite backend facilities and support team in implementation of e-commerce. The proposed online marketing platform is expected to take the lead in connecting with the new set of target customers and push KHADI as a brand of future. 1.1.5 The Project may be awarded to the successful bidder through a competitive bidding process. The Project would be implemented in accordance with the terms and conditions, scope of work and services stated in the EOI by executing the service level agreement between the KVIC and the successful bidder ( Service Level Agreement ). 1.1.6 In pursuance of the above, KVIC has decided to carry out the process for selection of Agency for Designing, Developing, Managing and Maintaining the proposed online marketing portal for KVIC having adequate knowledge and experience in implementation of e-commerce portal. The prospective bidders will propose successful model to suite with KVIC requirement of e-commerce system as a part of technical bid. 1.2 Expression of Interest KVIC invites EOI Response for selection of Agency for Designing, Developing, Managing and maintaining the online marketing portal for KVIC who will Design, Built, Test, Operate and Manage entire operation of the e-commerce portal of KVIC. Shortlisted bidders will participate in the RFP going to be released to implement the e-commerce portal in accordance with the scope of work/services and other terms and conditions of the final RFP document.
1.3 Due diligence by Applicants Prospective bidders are encouraged to inform themselves fully about the assignment and the conditions of products, production and sales environment before submitting the Response by paying a visit to the KVIC Office and its retail sales outlet (Khadi Gramodyog Bhavan) and the sales outlet owned by the Khadi producing Institutions across the country to understand the range of products, specifications, packaging, look and feel etc. 1.4 Sale of EOI Document EOI document can be obtained between 1100 hrs and 1600 hrs on all working days on payment of a fee of Rs. 10,000 (Rupees Ten Thousand only) in the form of a demand draft or banker s cheque drawn on any Nationalized/Scheduled Bank in India in favor of Chief Executive Officer, KVIC, Mumbai-56 and payable at Mumbai. The document can also be downloaded from the Official Website of the KVIC www.kvic.org.in. In case of a downloaded form, the Applicant fee should be furnished at the time of submission of bid. 1.5 Validity of the EOI Response The EOI Response shall be valid for a period of not less than 180 days from the last date of submission of bid. 1.6 Brief description of the Selection Process KVIC proposed to adopt two stage selection process (collectively the Selection Process ) in evaluating the EOI Responses. In the first stage, the EOI Response will be evaluated on the basis of prequalification eligibility criteria as defined at clause 2.4. The bidders who qualify in the pre-qualification criteria shall only be considered for issuance of RFP. The bidders who meet the technical evaluation criteria shall be considered for opening of their financial bid.

2. Terms of Reference (TOR) 2.1 General 2.1.1 KVIC seeks the services of qualified and experienced agencies engaged in implementing e-commerce portal having adequate experience with all requisite backend facilities and support team to carry out the e-commerce operation for KVIC. 2.2 Objective The objective of this EOI is to invite the EOI Response from e-commerce service provider who will be able to manage end to end services like technology, catalog management, warehouse management, logistics, fulfillment, payment gateways, customer services and digital marketing for successful and suitable e-commerce model, and to Design, Built, Test, Operate and managing the entire operation of the e-commerce portal for KVIC. The very purpose of initiating the EOI Response is to assist the KHADI producing Institutions and entrepreneurs of REGP & PMEGP schemes to market their products under brand name KHADI through the proposed e-commerce portal. 2.3 Scope of Services The scope of services shall comprise of: 2.3.1 The prospective bidders will propose successful e-commerce model to suite with KVIC requirement of e-commerce system as a part of technical bid. 2.3.2 The successful bidder will Design, Built, Test, Operate and Manage entire operation of the e-commerce portal for KVIC. 2.3.3 The successful bidder shall be responsible for preparing the draft Service Level Agreement (SLA) which will be finalized mutually by both KVIC and the Implementing agency.
2.3.4 The successful bidder after development of the system shall manage the entire operation of e-commerce for KVIC such as inventory, warehouse, product catalogue, customer correspondence, logistic operation, packaging, delivery, payment gate way etc. 2.3.5 The successful bidder shall develop the e-commerce portal under KHADI INDIA domain and to promote KHADI as a brand. The bidder is responsible to register the domain in favour of KVIC. 2.3.6 The proposed e-commerce shall be implemented through all 8 Departmental sales outlet initially with selective products and subsequently added other products and cities in India and internationally. Selection of products shall be done mutually by KVIC and successful bidder in consultation with other stake holders engaged in production and sale of KVI products. 2.4 Pre-Qualification Eligibility criteria Applicants must read carefully the minimum conditions of eligibility (the Eligibility criteria ) provided herein. EOI Responses of only those Applicants who satisfy the Eligibility criteria detailed below will be considered for technical evaluation. 2.4.1 The bidder should be registered company in India. 2.4.2 The bidder should have e-commerce as core business and manage multiple online stores, with PAN India presence, directly or through channel partner. 2.4.3 The bidder should have experience in e-commerce for last 5 years 2.4.4 Annual Average Turnover of not less than Rs.100 crores in last 3 years. 2.4.5 The Bidder is required to provide Proof of Concept of the proposed model for KVIC. Each agency will be given a time slot of 30 minutes for Presentation and Demonstration of the proposed e-commerce operational model.
Brief Description of Selection Process Expressions of Interest (EOIs) are being invited with well defined pre-qualification criteria (without any financial EOI Response). EOI with financial proposal will be rejected. Based on the EOIs received from the various Applicants, KVIC will shortlist prospective Applicants who fulfill the pre-qualification criteria. These prospective Applicants will be issued RFP to submit their detailed Technical and Financial RFP Responses for implementation of proposed e- Commerce Services for KVIC. These prospective Applicants will also be invited to KVIC to carry out pre-rfp Response study. Also, Pre-bid meeting will be held to clarify any doubts before submission of Bids (Technical and Financial EOI Responses). The Applicants will submit Technical RFP Response and Financial RFPI Response in two separate sealed envelopes. Technical Evaluation will be undertaken first. The Applicants who qualify in technical evaluation will qualify for the financial Bid opening. Contract will be awarded to the Bidder based on lowest cost or appropriate Quality cum cost based system as per terms of RFP.
INSTRUCTIONS TO APPLICANTS 3.1 GENERAL 3.1.1 Detailed description of the objectives, scope of work/ services, deliverables and other requirements relating to project are specified in this EOI. In case the prospective bidder possesses the requisite experience and capabilities required for undertaking the work and services satisfying the pre-qualification and technical capability may participate in the Selection Process. 3.1.2 Applicants are advised that the selection of Agency shall be on the basis of an evaluation by KVIC through the Selection Process specified in this EOI. Applicants shall be deemed to have understood and agreed that no explanation or justification for any aspect of the Selection Process will be given and that the KVIC s decisions are without any right of appeal whatsoever. 3.1.3 The Applicant shall submit its EOI Response in the form and manner specified in this EOI as per the Annexure - 3. 3.2. Number of EOI Responses An Applicant is eligible to submit only one Application for the proposed work. An Applicant applying individually or as a member of a consortium shall not be entitled to submit another application either individually or as a member of any consortium, as the case may be. However, the eligible prospective agency qualified technically can be awarded the work if found suitable by KVIC. 3.3 Cost of EOI Response The Applicants shall be responsible for all of the costs associated with the preparation of their EOI Responses and their participation in the Selection Process. The Authority will not be responsible or in any way liable for such costs, regardless of the conduct or outcome of the Selection Process.
3.4 Site visit and verification of information Prospective bidders are encouraged to inform themselves fully about the assignment and the conditions of products, production and sales environment before submitting the EOI Response by paying a visit to the KVIC Office and its retail sales outlet (Khadi Gramodyog Bhavan) and the sales outlet owned by the Khadi producing Institutions across the country to understand the range of products, specifications, packaging, look and feel etc. The list of sale outlet is annexed with this EOI at APPENDIX-1&2. 3.5 Acknowledgement by Applicant 3.5.1 It shall be deemed that by submitting the EOI Response, the Applicant has: (a) (b) (c) (d) (e) (f) made a complete and careful examination of the EOI; received all relevant information requested from the Authority; Acknowledged and accepted the risk of inadequacy, error or mistake in the information provided in the EOI or furnished by or on behalf of the Authority or relating to any of the matters referred in the EOI. satisfied itself about all matters, things and information with regard to this EOI herein above, necessary and required for submitting an informed Application and performance of all of its obligations there under; acknowledged that it does not have a Conflict of Interest; and agreed to be bound by the undertaking provided by it under and in terms hereof. 3.5.2 KVIC shall not be liable for any omission, mistake or error on the part of the Applicant in respect of any of the above or on account of any matter or thing arising out of or concerning or relating to EOI or the Selection Process, including any error or mistake therein or in any information or data given by the Authority.
3.6 Right to reject any or all EOI Responses 3.6.1 Notwithstanding anything contained in this EOI, KVIC reserves the right to accept or reject any EOI Response and to annul the Selection Process and reject all EOI Responses, at any time without any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons thereof. 3.6.2 The Authority reserves the right to reject any EOI Response if: (a) At any time, a material misrepresentation is made or uncovered, or (b) The Applicant does not provide, within the time specified by the Authority, the supplemental information sought by the Authority for evaluation of the EOI Response. Such misrepresentation/ improper response may lead to the disqualification of the Applicant. If the Applicant is the Lead Member of a consortium, then the entire consortium may be disqualified / rejected. If such disqualification / rejection occurs after the EOI Responses have been opened and the highest ranking Applicant gets disqualified / rejected, then the Authority reserves the right to consider the next best Applicant, or take any other measure as may be deemed fit in the sole discretion of the Authority, including annulment of the Selection Process. 3.7 Clarifications 3.7.1 Applicants requiring any clarification on the EOI may send their queries to the KVIC in writing to emarketing@kvic.gov.in before the date mentioned in the Schedule of Selection Process at Clause 1.6. Query shall clearly bear the following identification: "Pre-bid Queries/Request for Additional Information concerning EOI"
KVIC shall endeavour to respond to the queries within the period specified therein in the schedule at clause 1.7. The Authority will post the reply to all such queries on the Official Website www.kvic.org.in and copies thereof will also be circulated to all Applicants who have purchased the EOI document without identifying the source of queries. 3.7.2 KVIC reserves the right not to respond to any questions or provide any clarifications, in its sole discretion, and nothing in this Clause shall be taken or read as compelling or requiring the Authority to respond to any question or to provide any clarification. 3.8. Amendment of EOI 3.8.1 At any time prior to the deadline for submission of EOI Response, the Authority may, for any reason, whether at its own initiative or in response to clarifications requested by an Applicant, modify the EOI document by the issuance of Addendum/ Amendment and posting it on the Official Website and by conveying the same to the prospective Applicants (who have purchased the EOI document) by fax or e-mail. 3.8.2 All such amendments will be notified only in KVIC official website www.kvic.org.in. No written communication by any means through fax or e-mail shall be sent to all Applicants who have purchased the EOI document. and will be binding on all Applicants. 3.8.3 In order to afford the Applicants a reasonable time for taking an amendment into account, or for any other reason, the Authority may, in its sole discretion, extend the EOI Response Due Date. 3.9 PREPARATION AND SUBMISSION OF EOI RESPONSE 3.9.1 Language The EOI Response with all accompanying documents (the Documents ) and all communications in relation to or concerning the Selection Process shall be in English Language and strictly on the forms provided in this EOI. No supporting document or
printed literature shall be submitted with the EOI Response unless specifically asked for and in case any of these documents is in another language, it must be accompanied by an accurate translation of the relevant passages in English, in which case, for all purposes of interpretation of the EOI Response, the translation in English shall prevail. 3.10 Format and signing of EOI Response 3.10.1 The Applicant shall provide all the information sought under this EOI. The Authority would evaluate only those EOI Responses that are received in the specified forms and complete in all respects. 3.10.2 The Applicant shall prepare one original set of the Documents comprising the EOI Response (together with originals/ copies of documents required to be submitted along therewith pursuant to this EOI) and clearly marked ORIGINAL. In addition, the Applicant shall submit one copy of the EOI Response marked COPY. In the event of any discrepancy between the originals and the copies, the original shall prevail. 3.10.3 The EOI Response shall be typed or written in indelible ink and signed by the authorized signatory of the Applicant who shall initial each page, in blue ink. All the alterations, omissions, additions, or any other amendments made to the EOI Response shall be initialed by the person(s) signing the EOI Response. The EOI Responses must be properly signed as detailed below: (i) (ii) (iii) (iv) by the proprietor, in case of a proprietary firm; by the partner holding the Power of Attorney, in case of a partnership firm; by a duly authorized person holding the Power of Attorney (the Authorized Representative ), in case of a Limited Company or a corporation; or by the Authorized Representative of the Lead Member, in case of consortium.
A copy of the Power of Attorney certified under the hands of a partner or director of the Applicant or a notary public on the specified form shall accompany the EOI Response. 3.10.4 Applicants should note the EOI Response Due Date, as specified in Clause 1.7, for submission of EOI Responses. Applicants are reminded that no supplementary material will be entertained by the Authority, and that evaluation will be carried out only on the basis of Documents received by the closing time of EOI Response Due Date as specified in Clause 1.7. Applicants will ordinarily not be asked to provide additional material information or documents subsequent to the date of submission, and unsolicited material if submitted will be summarily rejected. 3.11 Submission of EOI Response 3.11.1 The Applicants shall submit the EOI Response in hard bound form with all pages numbered serially and by giving an index of submissions. Each page of the submission shall be signed by the Authorized Representative of the Applicant. In case the EOI Response is submitted on the document down loaded from Official Website, the Applicant shall be responsible for its accuracy and correctness as per the version uploaded by the Authority and shall ensure that there are no changes caused in the content of the downloaded document. In case of any discrepancy between the downloaded or photocopied version of the EOI and the original EOI issued by the Authority, the latter shall prevail. 3.11.2 The EOI Response will be sealed in an envelope which will bear the address of the Authority and superscripting EOI FOR DESIGNING, DEVELOPING, MANAGING AND MAINTAINING ON-LINE MARKETING FOR KVIC. The cover also should clearly indicate the complete address of the bidder with contact details on the left bottom of the envelope. Do not open, except in presence of the Authorized Person If the envelope is not sealed and marked as instructed above, the Authority assumes no responsibility for the misplacement or premature opening of the contents of the EOI Response submitted.
3.11.3 The completed EOI Response must be delivered on or before the specified time on EOI Response Due Date. EOI Responses submitted by fax, telex, telegram or e-mail shall not be entertained. 3.11.4 The EOI Response shall be made in the Forms specified in this EOI. Any attachment to such Forms must be provided on separate sheets of paper and only information that is directly relevant should be provided. This may include photocopies of the relevant pages of printed documents. No separate documents like printed annual statements, company brochures, 3.12 EOI Response Due Date 3.12.1 EOI Response should be submitted before 3.00 p.m. on the EOI Response Due Date specified at Clause 1.7 at the address provided in Clause 1.11 in the manner and form as detailed in this EOI. A receipt thereof should be obtained from the person specified therein. 3.12.2 The Authority may, in its sole discretion, extend the EOI Response Due Date by issuing an Addendum in accordance with Clause 3.8 uniformly for all Applicants. 3.13 Late EOI Responses EOI Responses received by the Authority after the specified time on EOI Response Due Date shall not be eligible for consideration and shall be summarily rejected. 3.14 Modification/ substitution/ withdrawal of EOI Responses 3.14.1 The Applicant may modify, substitute, or withdraw its EOI Response after submission, provided that written notice of the modification, substitution, or withdrawal is received by the Authority prior to EOI Response Due Date. No EOI Response shall be modified, substituted, or withdrawn by the Applicant on or after the EOI Response Due Date.
3.14.2 The modification, substitution, or withdrawal notice shall be prepared, sealed, marked, and delivered in accordance with Clause 3.12 with the envelopes being additionally marked MODIFICATION, SUBSTITUTION or WITHDRAWAL, as appropriate. 3.14.3 Any alteration / modification in the EOI Response or additional information or material supplied subsequent to the EOI Response Due Date, unless the same has been expressly sought for by the Authority, shall be disregarded. 3.15 Evaluation of EOI Responses 3.15.1 The Authority shall open the EOI Responses at 16.00 hours on the EOI Response Due Date, at the place specified in Clause 1.11.1 and in the presence of the Applicants who choose to attend. The envelopes TEOI Response shall be opened. 3.15.2 EOI Responses for which a notice of withdrawal has been submitted in accordance with Clause 3.15 shall not be opened. 3.15.3 Prior to evaluation of EOI Responses, the Authority will determine whether each EOI Response is responsive to the requirements of the EOI. A EOI Response shall be considered responsive only if: (a) it is received in the form specified at Appendix-3 EOI Response); (b) it is received by the EOI Response Due Date including any extension thereof pursuant to Clause 3.13; (c) it is signed, sealed, hard bound and marked as stipulated in Clause 3.10 and 3.12; (e) (f) it is accompanied by the Power of Attorney as specified in Clause 2.5.2(e); it contains all the information (complete in all respects) as requested in the EOI; (g) it does not contain any condition or qualification; and (h) it is not non-responsive in terms hereof.
3.15.4 The Authority reserves the right to reject any EOI Response which is non-responsive and no request for alteration, modification, substitution or withdrawal shall be entertained by the Authority in respect of such EOI Responses. 3.15.5 The Authority would subsequently examine and evaluate EOI Responses in accordance with the Selection Process specified at Clause 1.6 and the criteria set out in this EOI. 3.15.6 Applicants will be deemed to have understood and agreed that no explanation or justification on any aspect of the Selection Process or Selection will be given. 3.15.7 Any information contained in the EOI Response shall not in any way be construed as binding on the Authority, its agents, successors or assigns, but shall be binding against the Applicant if the Consultancy is subsequently awarded to it. 3.16 Confidentiality Information relating to the examination, clarification, evaluation, and recommendation for the selection of Applicants shall not be disclosed to any person who is not officially concerned with the process or is not a retained professional adviser advising the Authority in relation to, or matters arising out of, or concerning the Selection Process. The Authority will treat all information, submitted as part of the EOI Response, in confidence and will require all those who have access to such material to treat the same in confidence. The Authority may not divulge any such information unless it is directed to do so by any statutory entity that has the power under law to require its disclosure or is to enforce or assert any right or privilege of the statutory entity and/or the Authority. 3.17 Clarifications 3.17.1 To facilitate evaluation of EOI Responses, the Authority may, at its sole discretion, seek clarifications from any Applicant regarding its EOI Response. Such clarification(s) shall be provided within the time specified by the Authority for this purpose. Any request for clarification(s) and all clarification(s) in response thereto shall be in writing.
3.17.2 If an Applicant does not provide clarifications sought under Sub-Clause 3.19.1 above within the specified time, its EOI Response shall be liable to be rejected. In case the EOI Response is not rejected, the Authority may proceed to evaluate the EOI Response by construing the particulars requiring clarification to the best of its understanding, and the Applicant shall be barred from subsequently questioning such interpretation of the Authority. 3.18 Indemnity The Consultant shall, subject to the provisions of the Agreement, indemnify the Authority for any direct loss or damage that is caused due to any deficiency in services..

I/We understand that you may cancel the Selection Process at any time and that you are neither bound to accept any EOI Response that you may receive nor to select the Consultant, without incurring any liability to the Applicants in accordance with Clause 2.8 of the EOI document.

I/We hereby irrevocably waive any right or remedy which we may have at any stage at law or howsoever otherwise arising to challenge or question any decision taken by the Authority [and/ or the Government of India] in connection with the selection of Consultant or in connection with the Selection Process itself in respect of the above mentioned Project. 14. I/We agree and understand that the EOI Response is subject to the provisions of the EOI document. In no case, shall I/we have any claim or right of whatsoever nature if the Consultancy for the Project is not awarded to me/us or our EOI Response is not opened or rejected. 15. A Power of Attorney in favor of the authorized signatory to sign and submit this EOI Response and documents is attached herewith in Form 4. 16. In the event of my/our firm/ consortium being selected as the Consultant, I/we agree to enter into an Agreement in accordance with the form at Schedule 2 of the EOI. We agree not to seek any changes in the aforesaid form and agree to abide by the same.
17. I/We have studied EOI and all other documents carefully and also surveyed the Project site. We understand that except to the extent as expressly set forth in the Agreement, we shall have no claim, right or title arising out of any documents or information provided to us by the Authority or in respect of any matter arising out of or concerning or relating to the Selection Process including the award of Consultancy. 18.
