Bank Account Opening and Servicing Guide. Account opening and closing terms are stipulated in Ameriabank CJSC Account Opening, Management and Closing Procedure. 2. Bank accounts may be opened in AMD, USD, EUR, RUB, CHF, GBP, CAD, JPY, AUD, AED and 999.9 pure paper gold. 3. The Bank provides comprehensive account service and executes settlement and cash transactions based on the client s orders subject to the Terms and Conditions and its internal acts, provided that such transactions comply with the Republic of Armenia legislation. Bank account operations include cash and settlement operations such as cash deposit/withdrawal, transfers, currency conversion as well as other legitimate operations executed by mutual consent of the Bank and the client, other than transactions through metal accounts in paper gold described below: 3.. Gold is credited to metal account either by buying paper gold from the Bank at the rate set by the Bank as of the date of submission of the client s order or by means of non-cash transfer from other metal accounts of the client or third parties. 3.2. Gold is debited to metal account either by selling the paper gold to the Bank at the rate set by the Bank as of the date of submission of the client s order, or by means of transferring the paper gold to other paper gold accounts of the client or third parties. 3.3. To buy or sell paper gold the client files an order containing the essential details of the transaction (price, due dates and weight of gold). 3.4. Any amounts debited to the client s account without prior notice are directed at repayment of the client s liabilities to the Bank or third parties. 4. The cash and settlement transactions stipulated in the Terms and Conditions are executed provided there is sufficient balance on the account less the commission fees. The minimum account balance and the restrictions on bank account transactions are specified below as well as in the TARIFFS of the Bank. 5. No interest is accrued to the account balance. 6. The Bank sets minimum account balance as per the following: Minimum Account Balance AMD accounts AMD 0,000 Having an account in AMD is required for any transaction. The minimum account balance is set for AMD bank accounts only. 7. Bank account management/maintenance is subject to the following fees: Account management /maintenance. For resident legal entities.. If during the calendar half-year the average cash flows on the client s accounts are at least AMD 300,000, or the average daily balance on the accounts is above AMD 00,000.2. If during the calendar half-year the average cash flows on any of the client s account are less than AMD 300,000, or the average daily balance on the AMD 0,000 per calendar half-year accounts is less than AMD 00,000 2. For non-resident legal entities AMD 5,000 monthly

The turnover of any account of the client (including card accounts) applies to all other accounts (this provision is applicable only in terms of charging the commissions). Commissions are charged within two weeks following each calendar half-year. If there were no cash flows on the account during the most recent 2 months, the client account debiting transactions will be restricted within two weeks following each calendar quarter. If there were no cash flows on the account during the most recent 2 months and the account balance is zero, the account will be closed within two weeks following each calendar half-year. 8. Transactions are executed in the account currency, except for currency conversion transactions which are subject to board rates. 9. Distance fees and rates. Provision of a token (in case of loss or damage), replacement of the existing token AMD,000 per month (including one token generating one-time password to log into the system and authorize the transactions, or one code for Ameria Token app at client s discretion) AMD 6,000, including VAT 2

Cash is posted to the bank account once it is submitted to the teller. In case of more than 0 cash deposit transactions a, the legal entities shall pay a fee of AMD 20 per transaction starting from the 0 th transaction.. No commission is charged for non-cash foreign currency deposits to the account; crediting cash to card accounts and making time deposits in cash. 2. Cash is disbursed based on the request submitted by the client one prior to the cash withdrawal date, if the amount exceeds AMD 30 million, USD 00,000 and EUR 30,000, and for other currencies AMD million equivalent (these limits are applicable for the head office of the Bank). The following limits are defined for Yerevan-based branch offices of the Bank: AMD 20 million, USD 25,000 and EUR 5,000. In branches outside Yerevan the cash exceeding the specified limits will be provided within 5 business s after submission of the request. 3. No commission is charged for foreign currency cash withdrawal during service of time deposits (except for deposits repaid before the due date). 4. Non-cash amounts are deposited into the bank accounts on the same when they are credited to the bank s correspondent account. 5. Checks are cashed according to the following terms: checks drawn in the RA territory should be cashed within 0 (ten) s starting from the date of drawing checks drawn outside the RA territory should be cashed within 30 (thirty) s starting from the date of drawing 3

7. Client-initiated queries on transactions executed within or outside Armenia are charged as per the actual expenses declared by the correspondent bank. Account statement delivery Via e-mail By post within the RA By post outside the RA 3 As per postal service bills Account statements, copies and other materials (including confirmations, documents, their copies, responses to auditors inquiries) backdated more than 3 years are provided on agreement-based terms. No fee is charged for account statements showing transactions through the Bank s POS-terminals. 2 The confirmation requests should be filed one in advance. 3 The delivery is provided by regular mail. 20. The client s right to manage the funds available on the account may not be restricted, except in case of blocking (freezing) the said funds or canceling transactions through the account pursuant to the Armenian legislation or in cases envisaged by instruments entered into by and between the parties. 2. The funds available on the account may be withdrawn without the client s instruction pursuant to court decision, as well as in cases provided for by applicable law or any agreement or other written instrument entered into by and between the Bank and the client. 22. A signature card for the client s representative/s authorized to execute transactions through the account and the client s seal (if any) card shall be approved by the Bank in accordance with the established procedure. 23. Disagreements and disputes arising out of or in connection with the Terms and Conditions shall be settled through negotiations between the parties. Should the parties fail to reach agreement, settlement is reached in accordance with the procedure prescribed by the Armenian legislation. 24. The terms of terminating the bank account, as well as the further actions pertaining to account balance in case of termination are set out in Ameriabank CJSC General Terms and Conditions of Provision of Banking Services to Legal Entities (Individual Entrepreneurs). 25. Attention! The client s rights to manage the account and funds available on the account may be restricted upon demand of the Judicial Acts Compulsory Enforcement Service or tax authorities based on a count award or decision. 26. Attention! The funds available on the client's account and those to be credited to the account may be foreclosed upon demand of the Judicial Acts Compulsory Enforcement Service based on a court award or decision. Where necessary the bank shall take appropriate measures to obtain the relevant court award or decision issued in accordance with the Civil Trial Code of the Republic of Armenia and within 3 (three) s notify the client (verbally, in writing or electronic form) of the bank s obligation to disclose information containing bank secrecy. 5
