PSTBN is the historic reviser in Paraguay for Martindale-Hubbell. The firm was established in 1968, growing to achieve a high international profile, a strong client base and diversified areas of specialisation. PSTBN members have been active participants in legal innovation in Paraguay, advising not only corporations but the Paraguayan government on development strategies; the firm works closely with congress to enact new legislation and takes an active part in university education. PSTBN offers a range of services for clients involved in transactions in Paraguay, and has several lawyers with comprehensive experience of public and private law. MAIN AREAS OF PRACTICE Corporate, commercial and business: the firm has taken on significant corporate M&A work and has advised international companies on engaging mineral and petroleum concessions with government entities. Foreign companies and individual investors have used the firm to establish subsidiaries or joint ventures in Paraguay. Litigation and dispute resolution: PSTBN has represented clients before civil, commercial, administrative, family and labour courts and tribunals, acting for both plaintiff and defendants, for more than 40 years. The litigation department, integrated by some of the most renowned litigators in Paraguay, has represented clients in many cases which have established key precedents and jurisprudence. Public and tax: PSTBN offers advisory services in public and tax law. The firm also works on designing efficient tax structures for clients, creating tax benefit schemes designed to promote investment, paperwork and process for suspension of advance payments, and VAT refund for exporters. Banking and financial operations: PSTBN has participated in the establishment of branches for several international banks. In addition, PSTBN represents financial institutions which do not have branches or subsidiaries in Paraguay, but offer financing to the Paraguayan government and private entities. Intellectual property rights: PSTBN deals with all aspects related to brands, patents, industrial models and designs for domestic and international businesses. The firm also offers advice on concessions, licensing, software registration, copyrights and related rights. Foreign investment projects: PSTBN deals with client projects, feasibility studies and contacts with the government to take advantage of fiscal incentives offered by investment law and maquila. PSTBN s senior partners participated in the drafting and implementation of the Incentives for Economic Development Act. Environment: PSTBN has a specialised environmental law department, which is currently handling a number of very high-profile cases. Besides its corporate-environmental services, PSTBN also provides pro bono services to local and international conservationist NGOs. Telecommunications: the firm has deep knowledge of the sector. PSTBN has participated in many telecommunications investment projects and in legislation reforms to ensure private sector participation. The Legal 500 Latin America: Paraguay recommends this firm for: Banking and finance The banking crisis of the 1990s saw lose a number of clients, (including Bank of America, Bank Boston, Banco Real de Paraguay and Chase Manhattan), due to their withdrawal from the market or via mergers. As a result, it currently advises primarily international banks, predominantly those without a physical presence in the country but involved in local private projects. It is also very active in insurance matters. Private banking clients include BBVA, Delta Bank, JPMorgan Chase and Lloyds Bank; while on the insurance side it represents major player SANCOR. Having recently restructured, the firm offers managerial finesse, industry knowledge, relevant advice, and a solid and capable team. Five partners dedicate their time to this sector, including recommended senior partner and ex-president of the Association of Paraguayan Finance Companies Guillermo Peroni and the highly active Francisco Peroni; formerly in-house at Citibank, he is main contact for private banking matters. Both provide a very good level of service. Currently counselling ING Bank, as intermediary, on a $10m credit transaction between Argentina s Nidera and Paraguayan entity COPATIA, the team s other recent work includes regulatory advice to MoneyGram, and advisory documentation for BRP Bizzozero & Partners and UBS Wealth Management Americas. It also provides annual advice to Western Union regarding cross border issues and new legal requirements. Corporate and M&A Excellent corporate firm has undergone a thorough process of modernisation over recent years and now operates with a fully fledged partnership. While the first generation of name partners remains of counsel, a second generation of capable professionals took over full-management of the firm in 2012 and have ambitious growth plans for 2013. Clients appreciate the depth and strength of the team with an immediately available pool of lawyers who are practical, accurate and efficient. Their affable and educated manner gives clients a sense of safety and importance and their helpful knowledge of clients businesses allows for tailor-made solutions. A firstclass lawyer due to his extensive trajectory and vast knowledge, senior partner Guillermo Peroni continues to lead the corporate department although he is slowly reducing his day-to-day involvement. Marcos Peroni s practice involves matters related to company law, contracts and foreign investment. The team has increasing engagement in the local real estate sector, which continues to expand. A key client is Cargill and its investment arm, Black River Asset Management, for which the firm handles real estate and agricultural projects. Managing partner Francisco Peroni is active in the rural real estatesector, while Graciela Narvaja handles urban real estate matters. A former president of the US- Paraguayan Chamber of Commerce, she has over 30 years experience counselling multinationals on Paraguayan legislation. Environmental practice head José Sosa Fracchia is also recommended in the corporate field for his efficiency, extensive knowledge and constant interest. Esteban Burt s broad practice has recently involved extensive work with TAM Airlines. The firm is also active in more specific sectors such as mining, oil and gas exploration and river transportation. It continues to advise Rio Tinto Alcan on the proposed $3bn development of an aluminium smelter, a project currently under negotiation and that would mark the largest investment in Paraguayan history. The firm is also the Paraguayan member of the MERITAS Alliance and Lex Mundi. Dispute resolution has been representing clients before civil, commercial, administrative and labour courts and tribunals for four decades. The six-strong team is praised for its efficiency, capacity and professionalism and clients include multinational companies, domestic corporations, banks and other financial entities. It is currently counsel to Sancor Seguros del Paraguay in three insurance claims: one brought by public gambling regulator CONAJZAR; another filed by 16 farmers; and a third filed by the Ministry of Public Works. It is also in the process of handling separate claims concerning demurrage (among other issues) on behalf of Mercopar SACI/Horamar against various companies with which it had established freight agreements. Elizeche is an ad-hoc arbitrator for MERCOSUR and the only Paraguayan arbitrator in history to sit as a member of the International Court of Justice at The Hague. José Sosa and Bertha Peroni handle both civil and commercial cases, while Antonio Tellechea is an arbitrator at the Paraguayan Chamber of Commerce. Pelucia Giménez provides coherent defence in labour-related matters, and José Sosa Fracchia is also recommended. Environment continues to experience an increased volume of work in the environmental sector. Key practitioner José Sosa Fracchia, has an academic background in the environmental sciences but began his legal career in litigation; he currently devotes 50% of his time to environmental matters and can call on Enrique Sosa Arrúa and Juan Carlos Boggino who assist with regulatory and administrative aspects, respectively. Sosa advises the firm s corporate clients on environmental matters, particularly in areas such as agribusiness, energy, the food industry, shipping and hydrocarbons, and provides tailor-made solutions to a growing client base that includes Rio Tinto, Cargill and companies working in river navigation. He also handles contentious and non-contentious matters related to administrative and other environmental regulations, licencing, environmental and corporate social responsibility certification and due diligence procedures. It is currently advising: the Wildlife Conservation Society regarding its incorporation in Paraguay; Black River Asset Management regarding a large-scale artificial irrigation system for soya cultivation; and Agricola Monday regarding an environmental impact assessment. It is also handling a summary procedure before the Environment Secretariat (SEAM), concerning oil spills into the Paraguay River for Mercopar Navios Maritime Holdings. Intellectual property offers a very good service in IP-related matters. The agile and responsive Mariana Peroni, who has considerable patent and trade mark expertise, and Elba Britez de Ortiz, who focuses on administrative and contentious matters, have developed the practice since the early nineties. Today the ten-strong team includes a third partner, Juan Ortiz, who specialises in industrial property and copyright law, and in particular, on counterfeit merchandise. All three are exclusively dedicated to the IP practice. Given the limited patents market in Paraguay, 80% of the department s work in in the trade mark area, where it covers all issues, including litigation, recently representing Land Rover in a case against Chacomer for infringement of the trade mark DISCOVERY. Other clients include Vicente Scavone, in the pharmaceutical sector; Starbucks, Gap, Old Navy, Banana Republic, and most recently Anheuser-Busch InBev; while on the patents side, F Bayer is a significant client. Tax s tax practice continues to grow, recently welcoming new clients in the maritime sector including Hidrovía and Fluvialba. A former executive secretary of the Maquila National Council, practice head Gerardo Duré has niche expertise in the tax aspects of the industry. Juan Carlos Boggino, an expert on customs and tax law; and Enrique Sosa Arrúa, who covers the administrative side of the practice; are also members of the four-strong team. Increasingly busy in 2013 advising clients on the recent implementation of personal income tax, the department has also seen an influx of clients requiring tax-related advice on investment projects, with the team counselling Compañia Metalúrgica Iguazu on a $45m project for the construction of a silicon-carbonate plant; and Yguazu Cementos on its $154m investment in a cement plant. The team also advises on the process for the suspension of advance payments and VAT refunds, handles contentious matters before the tax court (Tribunal de Cuentas), and is regularly involved in reviewing tax law, collaborating with the Treasury to discuss tax-related controversies, and legal grey areas, and their resolution.
