GROUP 01600 - MILK (Fluid) (Statewide) AWARD PAGE 31 REQUEST FOR CHANGE: Any request by the agency or contractor regarding changes in any part of the contract must be made in writing to the Office of General Services, Procurement Services Group, prior to effectuation. CONTRACT PAYMENTS: Payments cannot be processed by State facilities until the contract products have been delivered in satisfactory condition. Payment will be based on any invoice used in the supplier's normal course of business. However, such invoice must contain sufficient data including but not limited to Contract No., description of product, quantity, unit and price per unit as well as Federal Identification Number. State facilities are required to forward properly completed vouchers to the Office of the State Comptroller for audit and payment. All facilities are urged to process every completed voucher expeditiously giving particular attention to those involving cash discounts. If the contract terms indicate political subdivisions and others authorized by law are allowed to participate, they are required to make payments directly to the contractor. Prior to processing such payment the contractor may be required to complete the ordering non-state agency's own voucher form. PRICE: PRICE ADJUSTMENT - In the event of an increase or decrease in price including butterfat differential, pursuant to the provisions of Article 21, as amended by Chapter 383 of the Laws of 1937, of the Agriculture and Markets Law, and/or Federal or State Milk Marketing Agreement or Order, the Office of General Services, Procurement Services Group, will authorize an adjustment of the price paid for Milk, Skim and Low Fat Milk delivered under contract to facilities located in the milk marketing area. Bids were considered with the understanding that for facilities located in the Northeast Milk Marketing Area, they are based on class prices announced by the Order s market administrator for August at the 201-210 mile zone and for facilities located in the Western New York Milk Marketing Area (WNYMMA), they are based on class prices announced by the Order s market administrator for August. All products must conform with the definitions and standards of identity set forth in Part 17 of 1NYCRR. In areas not subject to Federal or State Milk Marketing Orders, adjustments shall be computed on the same basis as those under the Northeast Milk Marketing Area. FEDERAL ORDER REFORM The prior NY-NJ Milk Marketing Area is now part of the Northeast Order, which also includes the previously unregulated area in northern New York. The Office of General Services will authorize price adjustments in accordance with the monthly announcement of class and component prices by the Northeast Order s market administrator for fluid milk products delivered to facilities located in the marketing area. NORTHEAST DAIRY COMPACT Congressional approval of New York State s entry into the Northeast Dairy Compact may impact the price paid to New York dairy farmers for Class 1 (fluid) milk. Any changes resulting from compact mandated prices would be reflected in price adjustments issued during the contract period. DEPOSIT CHARGE FOR MILK CASES - The contractor shall assess a deposit charge as established by the New York State Department of Agriculture and Markets for each milk case delivered to the using facility and which upon delivery remains at the premises of the facility. Ownership of each milk case properly identified with the name or other business identification of the person or company who is the owner remains with that owner notwithstanding the imposition of the deposit. The deposit shall be held by the contractor so long as the milk case or its replacement remains on the facility premises and until such time as it is returned to the contractor in useful condition allowing for normal wear and use.

GROUP 01600 - MILK (Fluid) (Statewide) AWARD PAGE 32 PRICE: (Cont d) MILK COOLERS/DOLLIES/DISPENSERS/CARTS For designated facilities, the contractor is required to provide milk coolers, dollies, dispensers or carts as indicated at no additional cost. No additional charge for this equipment will be allowed. The dollies, dispensers or carts are to be provided, installed, maintained and replaced (if necessary) by the contractor at the contractor s expense. On conclusion of the contract, the equipment remains the property of the contractor and is to be removed at contractor s expense. ADDITIONAL SITES State agencies and political subdivisions may participate in contracts resulting from this bid opening even though they may not appear on the Delivery Schedule sheets. Those State agencies and political subdivisions who wish to participate in these contracts after the award has been issued may do so with the concurrence of a contractor closely located to them and with the approval of the OGS Procurement Services Group. The contractor must be willing to extend the same pricing, terms and conditions and be agreeable to their delivery requirements. NON-STATE AGENCIES PARTICIPATION IN CENTRALIZED CONTRACTS: New York State political subdivisions and others authorized by New York State law may participate in contracts. These include, but are not limited to local governments, public authorities, public school and fire districts, public and nonprofit libraries, and certain other nonpublic/nonprofit organizations. See "Participation in Centralized Contracts" in Appendix B, OGS General Specifications. For purchase orders issued by the Port Authority of New York and New Jersey (or any other authorized entity that may have delivery locations adjacent to New York State), the terms of the "Price" clause shall be modified to include delivery to locations adjacent to New York State. Upon request, all eligible non-state agencies must furnish contractors with the proper tax exemption certificates and documentation certifying eligibility to use State contracts. A list of categories of eligible entities is available on the OGS web site (www.ogs.state.ny.us) under "Non-State Agency Legal References." Questions regarding an organization's eligibility to purchase from New York State Contracts may also be directed to OGS Procurement Services Group's Customer Services at 518-474-6717. DELIVERY: GENERAL - Deliveries are to be made strictly in accordance with orders, on the day and date and within the time specified, in clean sealed containers and at a maximum temperature of 45 Fahrenheit on delivery. RESTRICTED DELIVERY - Price includes restricted delivery. Delivery to some facilities, particularly Correctional Facilities, have delivery restricted --- delivery must be made during certain hours, and must be made only on weekdays (Monday through Friday) except/excluding holidays. Price shall also include contacting the agency prior to making delivery. Deliveries are to be made in crates which are acceptable to the facility - wire mesh crates may not be acceptable. [See also PACKAGING CONTAINERS FOR CORRECTIONAL FACIILTIES in DETAILED SPECIFICATIONS. ] DISCREPANCY ON PURCHASE ORDER - Delivery shall be made in accordance with instructions on Purchase Order from each agency. If there is a discrepancy between the purchase order and what is listed on the contract, it is the contractor s obligation to seek clarification from the ordering agency and, if applicable, from the Office of General Services, Procurement Services Group. CONTRACT PERIOD: It is the intention of the State to enter into a contract for the term as indicated. If mutually agreed between the Procurement Services Group and the contractor, the contract may be extended under the same terms and conditions for two additional periods not to exceed twelve months each.

GROUP 01600 - MILK (Fluid) (Statewide) AWARD PAGE 33 SHORT TERM EXTENSION: In the event the replacement contract has not been issued, any contract let and awarded hereunder by the State, may be extended unilaterally by the State for an additional period of up to one month upon notice to the contractor with the same terms and conditions as the original contract including, but not limited to, quantities (prorated for such one month extension), prices, and delivery requirements. With the concurrence of the contractor, the extension may be for a period of up to three months in lieu of one month. However, this extension terminates should the replacement contract be issued in the interim. WARRANTIES AND GUARANTEES: See "Warranties and Guarantees" and "Year 2000 Warranty" in Appendix B, OGS General Specifications for Procurement Contracts. RESERVATION: The State reserves the right to negotiate lower pricing, or to advertise for bids, any unanticipated excessive purchase. An "unanticipated excessive purchase" is defined as an unexpected order for a contract product(s) totaling more than $30,000.00. INSPECTION: The agency, any of its officers, or any properly authorized representative of the State shall have the right to inspect the premises, facilities and methods on or by which such milk is produced, and may make, or cause to be made, standard tests of any milk delivered for the purpose of determining whether the contract is being properly performed. INFERIOR DELIVERIES: Inferior deliveries will be rejected, except where Milk has been used prior to receipt of laboratory reports from the New York State Department of Agriculture and Markets on official samples showing deficiency in quality. Such Milk will be paid for as follows: MILK - For each one-tenth of one percent of butterfat content found less than the minimum requirements listed in Invitation for Bids, there shall be deducted one cent per quart. If two or more samples taken from deliveries of Milk are found to contain bacteria in excess of the standards specified, the contract shall be canceled. The undelivered quantities may be purchased in the open market and any difference in cost shall be charged to the contractor. All deliveries must be made strictly in accordance with instructions appearing on the purchase order. Failure to deliver as specified will result in rejection upon arrival. Immediate replacement may be made from the open market at the contractor s expense. COMPLIANCE WITH FEDERAL FOOD, DRUG AND COSMETIC ACT, AS WELL AS OTHER REGULATIONS: The contractor, processor, and/or the manufacturer guarantees any product delivered complies in all respects with, and is not adulterated or misbranded within the meaning of standards and regulations established by Federal or New York State laws - - - this includes the Federal Food, Drug and Cosmetic Act, decisions of the U.S. Department of Agriculture, and decisions of the U.S. Department of Commerce. The vendor may be required to submit letter of guarantee from manufacturer stating their compliance with Federal and/or New York State laws and regulations. E.
