EXPRESSION OF INTEREST FOR EMPANELMENT OF ADVERTISING AGENCIES I. EMPANELMENT OF ADVERTISING AGENCIES Export-Import Bank of India ( the Bank ) invites Expression of Interest ( the Application ) from interested Advertising Agencies, which can provide solutions for the Corporate Communication requirements of the Bank through Creative Artworks and Media Buying. II. PRE-QUALIFICATION CRITERIA FOR EMPANELMENT OF ADVERTISING AGENCIES The Advertising Agency should have: (a) A full-fledged office in Mumbai with minimum staff strength of 25. (b) Minimum Annual turnover of ` 25 crore in the last 2 years (i.e. 2014-15 and 2015-16). (c) Been in existence for the last 5 years, i.e. the date of incorporation of the Advertising Agency should not be later than 1st February 2012. III. TERMS & CONDITIONS FOR EMPANELMENT OF AGENCIES (a) The agency should not be disqualified/ blacklisted by Reserve Bank of India, Indian Bank s Association and/or by any other Bank. A declaration by the Agency to this effect is to be enclosed with the Application. (b) The agency should have full-fledged office in Mumbai and representative offices/branches in other major cities, having independent media & creative facilities to plan & execute campaigns. (c) The agency should have accreditation with the Indian Newspaper Society (INS) as on January 31, 2017. (d) The agency should have the resource to handle multi-media, multi-lingual publicity campaigns, with proficiency and proof reading facilities in major Indian languages. Proficiency in English and Hindi are a must. (e) The agency shall be able to offer comprehensive communication services from development of corporate identity aids, exhibition collaterals, advertisement campaigns for the Press & the electronic media, sales promotion etc. In other words, the agency should have a Full Service Setup.

(f) The agency shall have sufficient experience in working with financial institutions in Private and Public sector. (g) The agency shall be able to meet a diversity of communication requirements at short notice. (h) The agency shall be required to make Advertising/Publicity plans for the Bank in consultation with the officials of the Bank. (i) The agency shall be required to provide Designs, Artworks, for campaigns and other publicity materials. (j) The allocation of the work shall be at the sole discretion of the Bank. (k) No advance payment shall be made to the agency for carrying out campaigns or preparing artwork, designs etc. (l) The approval of creative work submitted by the agency for the Bank would be at the sole discretion of the Bank. The Bank reserves the right to accept or reject any creative art work at its sole discretion. No charges will be paid to the agency for their unapproved artwork. (m) No charges/advances shall be paid for preparing artwork, designs, processing, adaptations etc. for print media advertisements released through the agency. (n) Artwork/Commercials once selected will be the property of the Bank and it can be repeatedly used in different media like print, outdoor, electronic etc. without seeking permission from the concerned Advertising Agency or paying any commission. Agency has to provide the original soft copy of the open file to the Bank. The Agency cannot use the concept artwork, picture, film for other clients once the Bank selects it. Bank reserves the right to make necessary modification in the selected Artwork, concept or film etc. (o) All applicable taxes including Income Tax etc. will be deducted at source from the final bill as required under Income Tax Act, 1961 and other relevant provisions of Law as applicable. (p) The Bank reserves the right to terminate the services of the Agency at any point of time, without assigning any reason. (q) The Bank reserves the right to reject all or any application/proposal without assigning any reason. (r) Conditional or Incomplete Applications for empanelment are liable to be rejected.

(s) The agency is expected to maintain high level of professional ethics and will not act in any manner, which is detrimental to the Bank s interest. Agency will maintain confidentiality on matters disclosed till proper instruction is issued for publication. The Bank reserves the right to impose penalty in case of any violation of the above. (t) Agency will be empanelled for a period of 3 years subject to review of performance on completion of 1 year. The empanelment tenure will start on April 01, 2017. (u) The Bank will have right to remove any agency from the empanelled list without assigning any reason whatsoever. The Bank also reserves the right to modify the term and conditions for empanelled agencies. IV. PAYMENT Payment to the empanelled agencies shall be made by the Bank on per assignment basis. Payment will be based on the final quote submitted by the agency for a particular assignment. V. JURISDICTION In case of any dispute or difference arising between the parties under this Application and arising/ relating to this Application shall be governed by and construed in accordance with the laws of India and the parties hereto irrevocably submit to the exclusive, jurisdiction of the Courts in MUMBAI to try any suit, proceeding in connection herewith in that behalf. VI. SUBMISSION OF TENDER APPLICATIONS FOR EMPANELMENT OF ADVERTISING AGENCIES The applications must be submitted in sealed cover, super scribed Applications for Empanelment of Advertising Agencies, addressed to General Manager, Corporate Affairs Group, Export-Import Bank of India, Floor 21, World Trade Centre Complex, Centre One Building, Cuffe Parade, Mumbai - 400005 on or before Friday, February 17, 2017.

VII. Documents to be submitted along with Application Form a) Copies of Audited Balance Sheet for 2014-15 and 2015-16 Note: As per the Audited Balance Sheet, if the Agency is not found eligible then the Agency will be debarred from the selection process at any stage; b) Accreditation Certificate of INS OR a declaration on the Letterhead stating that the Agency is accredited with INS; c) Copy of PAN Card and Service Tax registration certificate; d) Declaration by the agency as stipulated in Clause III (a) in specified format; e) Detailed profiles of two Client Service Executives who will be assigned to the Bank as per specified format; f) Two Print artworks pertaining to activities of the Bank. VIII. SELECTION PROCEDURE - FOR EMPANELMENT OF ADVERTISING AGENCIES Short Listing of the agencies will be done strictly on the basis of the information furnished in the Application form and the Two Print Artwoks. Five shortlisted agencies will be called by the Bank for a Presentation in the Bank s office at WTC, Cuffe Parade, in February or March 2017. A minimum of two and a maximum of three agencies will be finally selected for Empanelment based on their Presentations. The decision of the Bank regarding selection of the Agencies will be final and binding. Bank reserves the right to amend, modify, add or delete, accept or reject in part or full, one or all conditions mentioned above without assigning any reason thereof.
