Emicom Service and Semitec represent the unified entity in the Telecommunication field. Our offer goes from Fixed, Mobile and WI-FI/WI-MAX Network design and implementation to the management and maintenance of infrastructure networks. The main TLC technology operators and suppliers have chosen and choose Emicom Service and Semitec to implement their most important projects, sure of our wellestablished experience. We have been performing for 15 years in Italy, where we have constructed and managed the technological maintenance of more than 30,000 National Telecommunication sites. Our mission is to provide to our customers integrated services for the design, implementation and maintenance of Fixed and Mobile Telecommunication Network, trying to anticipate the market needs and providing innovative solutions and being ever more careful in reducing of energy consumption. Emicom Service: more than 400 employees and a turnover larger than 40 million Euros Semitec: more than 250 employees with a turnover of 30 million Euros. Emicom Service was born in November 2007 when the Emicom srl division was united. This division specialized in maintenance, logistic and telecommunication technology services. Siram became shareholder of 60% of Emicom Service in December 2007. Its core business is represented by a technological maintenance of more than 24,000 sites of telecommunication operators. Emicom Service is at the moment one of the main Italian industries of multiservice maintenance on technological structures and network infrastructures with more than 400 employees and a turnover larger than 40 million Euros. Semitec, which is controlled by Emicom Service at 100%, was set up in September 2009 with the lease of a branch of Emicom srl working on the manufacture and implementation of networks and technological structures. Semitec makes use of the same Emicom Service structure widespread in all National territory and it can project, implement and develop Wired and Wireless telecommunication networks. Its team, which is always progressing, has today more than 250 employees with a turnover of 30 million Euros. 7

Since 2002 Siram is a Dalkia International member, European leader in Energy management and Facility Management. Dalkia is controlled at 66% by Veolia Enviromenent and at 34% by EDF. To be a part of a strong International Group increases our reliability and competencies that can be supported by technical and organizing knowledge of all members. We can count on experience and competence of a sound Group leader on Energy Management and so we can propose forefront solutions to optimize the exercise costs and reducing the environmental impact. We can grant the maximum operating continuity of our infrastructures as the SBR or Data Centers. Skilled technicians équipe is available for audit implementation to locate processes to optimize the Energy resources. 9

Men, experiences, technology in all territory, 24hours a day, 365 days a year. The natural synergy between Emicom Service and Semitec gives to our customers total solutions from design and implementation of SBR station to the management and maintenance of infrastructure networks. We have a poll of 600 technicians and engineers able to intervene in all territory, 24hours a day, 365 days a year. The experience in the Telecommunication Core Business on Wired and Wireless network allows us to manage the technological sites located in the four principal geographical areas (North west, North East, Middle and South) with a quick intervention time and failure resolution. Thanks to long experience in the field we have a deep knowledge in the Mobile network sector and in the radio frequency giving specific solutions for each customer. The 18 operative units in the Italy territory, where coordinators and teams of technicians are present, provided with equipment and cars, allow our customers to have the possibility to be always in touch with our Companies Registered office Head office Branch offices in the Italy territory 13
14 Emicom Service activities
TLC network maintenance preventive maintenance service, corrective maintenance service and extraordinary maintenance on technological systems and network infrastructure located in all National territory with the Call Center and Help Desk 24h/365 days. With Semitec competencies the service is extended to the maintenance of TLC equipment. In this way we can give a complete answer to the operator management needs. Disaster recovery of network and mobile stations management of mobile stations and of Disaster recovery of network with availability service of specialized technicians to have a quick connection in the network architecture of the mobile stations in uncomfortable sites and in emergency operating conditions. Advanced logistic: Spare Parts Management warehouse management, shipment of faulty spare part to repair, reception of repaired spare part and delivery in the sites with additional service of components reconfiguration. 15

Site acquisition and permits Civil works Installation & Commissioning TLC Network Design and planning The site acquisition services comprise all preparatory works and planning necessary before construction starts (search and selection of area destined for the installation of SBR station, writing of preliminary site design, presentation of city planning request and sanitary request, management of procedures for permits obtaining, electromagnetic impact analysis, writing of final site design). Semitec carries out all civil and structure works necessary for the construction of the SRB (excavation and foundation works, Electricity, equipment earthing system, all works to modify the existing structures). Installation, commissioning and maintenance of Wired equipment (Router and switch) and Wireless equipment (Base Station, Master Station, Wi-Fi, Wimax, Hiperlan, HSDPA). Network implementation service for the telecommunication including all necessary activities to construct a SBR station (GSM, UMTS, Wi-FI or Wimax) or fixed network access (ex. IP-DSLAM, BRAS). 17
