The Artist and Andy s Gallery mutually agree that either party may cancel this agreement and all parties shall be released from liability or damages thereunder only if the Artist or Andy s Gallery is unable to fulfill the terms of this agreement due to legitimate conditions beyond the control of the Artist or Andy s Gallery. However, it is agreed by both parties that best efforts will be made to ensure that the terms of the agreement be fulfilled. The foregoing constitute the entire agreement between both parties hereto with respect to the subject matter thereof and cannot be changed, altered, modified, or terminated, except in writing and signed by both parties hereto. The Artist agrees to indemnify and save and hold Andy s Gallery and CHS Field harmless from any claims or causes of action arising from the exhibition of the contract by the Artist or Artist s agents, employees, or other under the control of the Artist. This clause shall not be confused to bar any legal remedies the Artist may have for Andy s Gallery s failure to fulfill its obligations pursuant to this contract. Artists are expected to arrive to CHS Field for installation no less than one and one half hour prior to the beginning of the baseball game. Necessary arrival times will be discussed and agreed upon between the Artist and the Art Coordinator based on the needs of the Artist. Artists will be provided with an eight foot banquet style table and a wall system on which to display their art from pregame activities through the 7 th Inning stretch. All artwork must be displayed on the provided walls and table. No tents or additional grid walls are needed or allowed without first discussing such an item with the Art Coordinator. Artist understands no additional display systems will be provided by Andy s Gallery or CHS Field. Artist understands the Artist is responsible for all installation of artwork as well as the removal of the artwork. Artist understands Andy s Gallery or CHE Field will not provide a cart or any other form of transport device for art work. During the game at which the Artist is exhibiting the Saints will Page 1 of 7

display the names of both artists showing in front of the gallery space. Artist understands their name and information will not be displayed during the entirety of the game. Artist agrees to exhibit work appropriate for a public space. Questionable artwork will be discussed with the Art Coordinator prior to the date of installation. Artist understands the Art Coordinator as well as the Saint Paul Art Collective maintains the right to request artwork deemed inappropriate to be removed from the exhibition. Artists or any individual under the control of the Artist are required and expected to conduct any and all sales or exchanges regarding the artwork or property of the Artist. Andy s Gallery is not liable for any lost or stolen items or damages to items controlled by the Artist or others under the control of the Artist. Artist understands that Andy s Gallery is an outdoor space subject to any and all weather concerns. Artist agrees to have a valid Minnesota Sales Tax ID Number for sales of artwork and understands that Andy s Gallery will not require a fee or apply a commission on any sales. Artist agrees to pay a fee of: $20 per game to the Saint Paul Art Collective (SPAC) for managing the gallery presented to the Art Coordinator prior to installation in the form of cash or a check made out to SPAC. If a baseball game is cancelled due to weather issues, the Art Coordinator will make all attempts to reschedule the artist or, upon failing to do so, the $20 fee will be refunded. For a game called after the game begins, the artist will be rescheduled only if the game is considered incomplete. Artist agrees to provide own transportation of artwork to CHS Field as well as to Andy s Gallery within CHS Field. In order to gain access to CHS Field, Artist agrees to meet with the Art Coordinator at the front entrance or to inform gate security that artist is the artist showing in Andy s Gallery for the game on that current day at which point the artist will be let into CHS Field. Unless otherwise discussed and agreed upon between the Artist and the Art Coordinator, Art Coordinator will check in with the Artist at Andy s Gallery. Artist understands that no parking location will be provided to the Artist. Artist will be provided with one free admission to the game. By signing below, the Artist agrees to all expectations of the Artist and understands the role of Andy s Gallery in the commencement of the Exhibition. Andy s Gallery Art Exhibit Game Day Information The information presented below if to assist the artist with preparing for exhibiting their art at Andy s Gallery during St Paul Saints games. Arrival: Arrive no later than 1 ½ hours before game time. If you need more time to setup, you may arrive earlier. Please notify the Art Coordinator if you will need more than 1 hour to setup your exhibit. Visit saintsbaseball.com to verify game time for the game for which you are scheduled. Be aware that games may be delayed by rain, but delays may not be announced until game time. Gates open to fans 1 ½ hours prior to the beginning of the game. Setup can be difficult when fans are already in the ballpark. The deadline for arrival is 1 ½ hours prior to game time, but artists are encouraged to arrive 2 to 3 hours before game time in order to complete setup before fans arrive and increase the chance of interaction and sales before the game begins. Artists are responsible for transport of all of their materials and artwork to Andy s Gallery in CHS Field. No cart is provided. Artists may pull their vehicle up to the side of the road by the dog park near 5 th and Broadway (slightly north of the main entrance), but this is not a parking space. The vehicle must be moved promptly. Artists are encouraged to have a volunteer move their vehicle or to do so themselves as soon as possible. Unfortunately, no parking passes or vouchers are available for artist vehicles. Be aware that on street metered parking in the area is in effect until 10:00 PM (except Sundays) and event rates may apply. Please plan accordingly. Entry: Artists must gain entry by speaking with the gate attendant and identifying themselves as the artist showing in Andy s Gallery for that game. This is only allowed on the day an artist is showing. Access will not be granted for other games or at any other point. The Art Coordinator may not be present upon arrival unless specifically requested. Artists may proceed to the Andy s Gallery area on the concourse behind home plate. And begin setup. Display: Each artist is provided with a pillar with attached gridwall system measuring approximately 4 x 5 on two sides. Artists are also provided with an 8 banquet table on which to display artwork or conduct sales. A black spandex table cover is provided, but artists may also bring their own table cloth or other cover to enhance their display. Remember, however, that wind may be an issue. The space is under a roof, but it is open to the elements. Be prepared to protect your artwork from the elements if necessary. Each artist space has a sign that must be displayed at all times. It can be moved (not removed) to accommodate the artist s display as long as it remains visible. Page 3 of 7

Materials: Each artist space has a black portfolio bag that hangs on the gridwall. The bags contain tape, S- hooks (approx. 30), clamps (approx. 15), and Slat wall hooks (approx. 20), baskets, etc. The amount is limited. Please bring extra materials if needed. Departure: Artists agree to stay through the 7 th Inning stretch (unless otherwise discussed with the Art Coordinator) but are encouraged to stay for the whole game. (For games with fireworks, there is sometimes a break between the game and the show where patrons are not otherwise occupied.) Please return all materials to the portfolio bag and hang from the gridwall. Artists are responsible for transport of all of their materials. Volunteers: Artists must discuss the need for a volunteer with the Art Coordinator prior to the day of the game at which they are showing. Volunteers must have a purpose for being at the game. Volunteers are expected to remain with the art exhibit to assist the artist. Fee and Agreement: The fee of $20 (payable by cash or check) must be received by the St Paul Art Collective (SPAC) prior to the day of the game at which the artist is showing. The fee and signed agreement (first two pages of this document) can be mailed to or dropped off at the SPAC offices in room #206 of the Northern Warehouse in Lowertown (308 Prince St #206, St Paul, MN 55101 see agreement).
