Our experts are registered as Luxembourg chartered accountants, or are working towards that aim, and have obtained the diploma in tax from the Luxembourg Chamber of Commerce. Our services From start to finish our team of experts provides accounting consultancy and compliance services every step of the way. Our global services approach spans the conception phase, incorporation of Luxembourg Soparfis and special-purpose vehicles, and finally the day-to-day management of these entities. Such global services are monitored by one key contact person, who provides these entities with cross-practice support, follow-up of its day-to-day operations and ensures compliance with Luxembourg tax and regulatory requirements at all stages in their lifecycle. 1. Accounting assistance under Lux GAAP and IFRS when setting up the structure Provide assistance and guidance on accounting treatment and implications of the client s business decisions, complex transactions and financial hybrid instruments (such as distressed debts, (C)PECs, PPL, warrants, total return SWAP, call/put option, etc.) Ensure a proactive accounting approach in line with the legal and tax structure in place 2. Accounting compliance and reporting for non-regulated vehicles Maintain accounting records using our license software Bob 50 or in-house client accounting and reporting system (SAP, HFM, MRI, Yardi, etc.) in compliance with the mandatory Luxembourg chart of accounts or client s own chart of accounts Prepare periodic and/or annual stand-alone accounts under Lux GAAP and IFRS (including preparation of tax provisions as well as coordination and follow-up with auditors) or reporting packages Conversion of financial statements from foreign GAAP/ client s own GAAP to Lux GAAP and vice versa (mainly IFRS or U.S. GAAP) 3. Accounting compliance and reporting for regulated vehicles and management companies Maintain accounting records in accordance with CSSF and financial sector regulations for regulated vehicles [i.e. SIF, SICAR and securitisation, management companies and financial sector professionals (i.e FSP/PSF)] Provide advice on, and prepare, periodic and annual reporting to regulatory authorities 4. Consolidation Prepare consolidated accounts under Lux GAAP and IFRS using our licensed software SIGMA or excel Prepare periodic and/or annual consolidated financial statements under Lux GAAP and IFRS (including coordination and follow-up with auditors) 5. Corporate and tax compliance under the supervision of our in-house corporate-legal and tax experts Prepare and coordinate legal compliance (board minutes and minutes of shareholders ordinary general meetings, including filing of accounts) Prepare tax provisions and corporate tax returns and check compliance with the tax clearance Prepare periodic and annual VAT returns 6. Specific assistance on above matters Prepare financial statements for deal purposes (interim dividend distribution, own shares class repurchase, etc.) and for liquidation purposes Prepare financial analysis or customised reporting (such as analytical review, forecasts, cash flow analysis, budget control, etc.) at group level for management purposes Monitor and follow-up of bank accounts Set-up or map of appropriate charts of accounts and accounting procedures and policies Help design and implement a consolidation process and coordinate the data collected from subsidiaries Provide highly skilled Luxembourg chartered accountants to temporarily help with clients organisation (temporary outsourcing) 7.
