Introduction In the Osaka Growth Strategy, the image of Osaka in 2020 is described as a metropolis to exert a presence in the world, driving the growth of Japan along with Tokyo, aiming to become a world-wide creative city that will provide world-class entertainment. To invite human resources, goods and investment from around the world and to promote the economy in Osaka, it is essential to make a global tourism hub that will take advantage of the strengths of Osaka and the Kansai region, including the 1) abundant tourism assets in Kansai, 2) strong industries in fields such as environment and energy, medicine and life-science, and 3) convenient transportation infrastructure and more. In October 2014, three organizations from the Kansai business community, the Osaka Prefectural Government and the Osaka City Government established the Yumeshima Development Plan Working Group, and have come together to make long-term plans from a broad perspective. We created the Yumeshima Development Plan (Draft): Interim Report (hereinafter referred to as the Interim Report) in February 2015, which describes the general direction we wish to pursue. As we make further developments on the Interim Report, we are now inviting ideas and information from the private sector who intend to join in the development of a new tourism hub in Yumeshima. Taking these ideas into consideration, we will create the Yumeshima Development Plan (Draft). This will be the master plan for the development of Yumeshima, including its land use, transportation infrastructure, general outline of facilities and development schedule. 1. Objective We are planning the development of Yumeshima, aiming for the creation of an attractive global tourism hub that utilizes Osaka s potential to a maximum, and attracts visitors from Japan and all over the world. In this public invitation for ideas, we ask for private operators who would like to participate in the development of Yumeshima to submit specific projects. We will then have discussions with those private operators and plan the following: the concept of the global tourism hub in Yumeshima, functions that will be implemented and their feasibility, the urban development policy we wish to pursue for the establishment of the global tourism hub, land-use and infrastructure such as railways and roads, overview of facilities, and the development schedule. The ultimate objective of this public invitation (hereinafter referred to as The Objective of the Public Invitation of Ideas) is to create the Yumeshima Development Plan (Draft). 2. Organizing Body This public invitation of ideas will take place in the City of Osaka. Qualification for Participation Those who wish to submit an idea proposal (hereinafter referred to as Applicant) for this public invitation of ideas must meet the following conditions (hereinafter referred to as Qualification for Participation). (1) Requirements for Participation 1. The Applicant must be a single entity, or a group of multiple entities (hereinafter referred to as Member(s)), and if submitting as an applicant group, must designate a representing entity (hereinafter referred to as Representing Entity) (*1). Changes in groups are not permitted. 2. The Applicant must comply with these guidelines and all applicable laws. 3. The Applicant holds interest in the development of Yumeshima, and wishes to participate as an operator or developer. 4. The Applicant must have a record of one of the following within the past 10 years (January 1, 2007 onward) in Japan or overseas. (In the case of an applicant group, the Representing Entity must meet this requirement). (*2) A) Has developed or operated a Tourism Facility (*3) in an area (*4) of over 5 hectares. B) Has developed or operated a Tourism Facility with a floor area (*4, *5) of over 100,000 square meters. *1: The applicant group that makes a submission for this public invitation of ideas does not have to be the same group that submits an application for the recruitment of real estate a-3
developers or operators (hereinafter referred to as Developers) that may take place in the future. *2: May have been part of a joint project *3: Tourism Facility includes entertainment facilities, leisure facilities, sports facilities, commercial facilities, accommodation facilities, conference halls, and exhibition centers. *4: The area in this section refers to the area used for urban development projects, which includes single or multiple buildings. The area size must be confirmed by official documents such as the decision of city plans. *5: The floor area refers to the total floor area of Tourism Facilities within that area. (2) Restrictions Those who meet any one of the following cannot participate as an Applicant or as a Member thereof. 1. An Applicant or a Member that attempts to submit another idea proposal. 2. An organized crime group as specified in Article 2, Paragraph 1, a member thereof as specified in Paragraph 2 of the same Article, or is closely related to such organized crime group as specified in Paragraph 3 of the same Article from the Osaka City Government Ordinance for Eliminating Organized Crime Groups (Act No.10 of the Osaka City Government Ordinance, 2011). 3. An entity that engages in wrongdoing or is prone to such an act, or a member of an entity led by a person who belongs to such an entity. 4. An Applicant that has had their license, approval or permission nullified by the national or a local government within the past 5 years in Japan or overseas, for a project which involved the development or operation of a Tourism Facility, or for a project for which the Applicant had submitted a proposal similar to the idea proposal for this public invitation of ideas. 4. 8) Discussions on Idea Proposals Discussions will be held individually with each Idea Proposer as needed to confirm the intentions and details of the idea proposals. The date and location of the discussions will be decided at a later date, and may be held multiple times. (2) Points to Note The following are additional points to note for this public invitation of ideas. 1) Insertions, Changes, Revisions to Idea Proposals The Idea Proposer may be requested to make insertions, changes, and/or revisions to their submitted idea proposals, and will be contacted directly in such cases. 2) Withdrawal of Idea Proposals Qualified Applicants that wish to withdraw their idea proposal must do the following. way due to other bidding cases organized by the City of Osaka G) Ideal proposals that are unintelligible due to misspelled or omitted words H) Idea proposals submitted by an Idea Proposer that is serving as a proxy for another idea proposal, or idea proposals submitted by a proxy that is also a proxy for another idea proposal I) Ideal proposals that contain content that infringes on the copyright, trademark, design rights, other intellectual property and any other rights or benefit of a third party J) Ideal proposals made in violation of other conditions stipulated in these guidelines 4) Prohibition of Multiple Idea Proposals Each Qualified Applicant may only submit 1 idea proposal. 5) Handling of Materials Materials provided by the City of Osaka shall not be used for purposes other than this public invitation of ideas. 6) Language The language used for all paperwork for this public invitation of ideas will be Japanese, and the documents shall be submitted in Japanese. The information session and discussions will also be held in Japanese. Therefore, Idea Proposers must translate their paperwork into Japanese and have a Japanese interpreter as needed. 7) Units of Measurement Area: Hectares (ha) or square meters (m 2 ) Length: Meters (m) or millimeters (mm) Currency: Japanese Yen ( ) 8) Dates and Times The dates and times used in these guidelines are the Japanese standard dates and times. 9) Taxation Please use the tax rate of 10% for the national consumption tax and local consumption tax. For other taxes and dues, please use the set rates as of April 1, 2016. 10) Unforeseen Circumstances In the case of situations unmentioned in these guidelines or other unforeseen circumstances, the City of Osaka will decide on the appropriate responses. 11) Other Points to Note A) Status updates on this public invitation of ideas will be announced as deemed appropriate. B) This public invitation of ideas is not aimed at selecting and evaluating superior submissions. a-9
C) Submitted idea proposals (including the content of discussions) are not guaranteed to be adopted or realized as a policy of the City of Osaka, or reflected in the Yumeshima Development Plan (Draft). D) A submission to this public invitation of ideas is not required in order to participate in the recruitment of Developers that may take place in the future. E) The summarization, analysis and other supplementary work involved with this public invitation of ideas is planned to be outsourced to outside entities. We will restrict the participation of such entities or those that have business connections with them. F) The costs necessary for this public invitation of ideas will be borne by the Applicant. The City of Osaka will not hold any responsibility for any relevant losses or damage by the Applicant or a third party. G) Everything related to this public invitation of ideas including the content of these guidelines is governed by and shall be construed and resolved in accordance with the laws of Japan. It is agreed that the court of jurisdiction for the first trial for all disputes arising with regards to this public invitation of ideas shall be the Osaka District. 5. Pre-Conditions for Idea Proposals (1) Overview of Area for Idea Proposals Location Owner Portion of the land on Yumeshimanaka 1-chome, Konohana-ku, Osaka City, Osaka Prefecture and surrounding areas Reclamation rights owned by: City of Osaka (Anticipated owner after construction completion: City of Osaka) The idea proposal must address the area within the A, B, C, D and E Zones (maximum of approximately 190 hectares). However, it is possible to also include the F Zone. In that case, the idea proposal must follow the directions as written in section (2) Handling of the Yumeshima Development Plan (Draft): Interim Report under 6. Pre- Conditions for Idea Proposals. (2) Handling of the Yumeshima Development Plan (Draft): Interim Report In principle, idea proposals shall be based on the Interim Report. However, we will also a-11
accept novel and feasible ideas that do not strictly adhere to the Interim Report. Please pay particular attention to the following points from the Interim Report. Current Status of the F Zone The F Zone is planned to be used as a waste disposal area until at least around the late 2030 s. The handling of the waste disposal area requires complying with laws and regulations related to final waste disposal sites. The mega solar area is approved to be used until 2033. Reclamation Schedule There have been changes made to the reclamation schedule in the Interim Report under 5. Handling of Idea Proposals The handling of submitted idea proposals [documents submitted in accordance with 4. (1) 7) Accepting Idea Proposals, as well as perspective drawings, land use maps and materials, responses, etc., all of which are hereinafter referred to as Idea Proposals] is as described as follows. Ownership of submitted materials belongs to the City of Osaka; materials will not be
returned. (1) Publication, Disclosure and Distribution 1. Idea Proposals will not be publicized, disclosed, or distributed (hereinafter referred to as Distribution) to any third parties, with the exception of cases stated in 2. 2. Distribution will be possible for the following cases: i) public and/or official matters, ii) anything already owned or developed/acquired by the City of Osaka, iii) an agreement has been made with the Idea Proposer, iv) Distribution that has been requested due to legal matters, v) works derived from Idea Proposals, vi) for use by the Osaka City Council, each commission, each investigative commission and relevant administrative organizations and others in order to accomplish The Objective of the Public Invitation of Ideas, vii) for use by third parties including outside experts, consultants, attorneys, public accountants that have promised to not publicize, disclose, or distribute, in order to accomplish The Objective of the Public Invitation of Ideas. (2) Intellectual Property and Other Matters 1. Copyright, trademark, design rights and other intellectual property rights of Idea Proposals belong to the Idea Proposer. 2. In order to accomplish The Objective of the Public Invitation of Ideas, the City of Osaka and parties that have received distributions as listed in (1) 2. may replicate, alter and produce derivative works from the Idea Proposals, their derivative works, ideas and know-how at no charge. The Idea Proposer shall not claim any rights against or profit from these uses, including the author s moral rights and rights of the original author in the exploitation of a derivative work. 3. The Idea Proposer: i) shall create original content, ii) shall not create content that is the same or is similar to content that has already been published, iii) shall not infringe on the copyright, trademark, design rights, other intellectual property rights and/or any other rights of a third party, iv) must clearly state in their Idea Proposals if they are using intellectual property rights of a third party and submit a written agreement from the third party on matters described in (1) 2. and (2) 2., v) must bear all responsibility for any violations of these rules, and cannot cause any inconvenience or burden on the City of Osaka as well as those to whom the Idea Proposals were provided in accordance with (1) 2. The City of Osaka may check information related to the process of creating the Idea Proposals as well as relevant material that has been used or referred to during the process. 8. Anticipated Procedures after the Public Invitation of Ideas The anticipated schedule is as follows. Please note that this is an estimated schedule and may change without the consent of a-13
