1. Introduction Company360 is Australia s first comprehensive private company database providing in-depth business analysis information on over 50,000 Australian private companies. Powered by the world s leading brand in commercial information Dun & Bradstreet Company360 provides a unique depth of information on private companies including: Company Profiles Comprehensive Financials Detailed Ownership Structure Ratio Analysis Director & Executive Profiles Professional Services Relationships (i.e. Auditors, Solicitors, Bankers etc.) Latest news coverage and significant events. Company360 is a powerful business intelligence tool with sophisticated on-line search capabilities to meet the data requirements of your business. Financial data, corporate family trees, company profiles, key decision makers and peer analysis are all at your fingertips with Company360. 1.1 Subscribing to Company360 Company360 subscribers have a choice of two subscription levels: 1. Access Level: provides information including company name, address and phone number, names of contacts, competitor list, industry/product segments and professional services. 2. Universe Level: grants users full-access to all functions of Company360. 5

2. Getting Started 2.1 Welcome Email and Setup Refer to the Welcome to Company360 email that your Account Manager has sent you. This will contain your login details. If your subscription includes more than one user, please follow the link included in the body of the above email. This will bring up your company s User Registration page. On this page you can add another user to your subscription. Note: Company360 operates at optimal performance when used with Internet Explorer 11 and Chrome. 2.2 Login 1. Go to www.company360.com.au and enter your login details: 2. To save your username and password, click Remember me. This will remember your login details on the computer you are working on until you next logout. 6

3. Dashboard The Company360 Dashboard page is tailored according to the way you use the product, reflecting your Saved searches, your My companies list and related News. Further down the page you ll also find a list of your most Recently viewed companies, and companies You may be interested in. 3.1 Quick Search The Quick Search function enables you to find companies (both public and private) that match a certain criteria, be it revenue size, number of employees or location. 7

You can also access the Quick Search function from any screen by striking any key on the keyboard. Provided you haven t already clicked into a designated field, this will immediately bring up the Quick Search box, enabling you to search for companies or people. REFINE MY RESULTS You will notice that on the left-hand side of the search page is a box titled Refine My Results. This box provides a quick means of further refining your search without going back to the main search page. 8

3.2 People Search The People Search function enables you to search for people from Australia s leading 50,000 public and private companies. In the Search bar s drop-down menu simply change Company to People. The results screen for a People Search provides details such as Responsibilities and Company Name. 9

4. Advanced Search The Advanced search page enables you to undertake a more customised search using parameters that are listed under the following tabs: Key Information Location Activities People Professional Services Finance ADDING AND REMOVING CRITERIA Under each expandable category you ll find a number of search items or criteria that can be included to build your search. Simply click on a tab and when the search items appear, add them to your search by clicking on them (or the plus sign next to them). Selected search items will then appear in the List criteria section. The more items included the more specific your search results will be. There is no limit to the amount of search criteria that can be added in Advanced search. Items can be removed from a search by clicking on the minus symbol shown to the right of each search box. 11

TYPES OF SEARCHES The Advanced Search function uses four types of searches: a) Radio button search (e.g. Company or People) b) Predictive text search by entering a partial word, all companies that contain all or any of the entered text-string will be found in the search. This is also a wildcard search, and can be used to search for more than one word as an or search. To enter more than one word, simply separate items with a semi-colon (e.g. a company name search with con; ban. This would search for all companies with con or ban in their name). c) Minimum and maximum (please note an empty box denotes infinity, i.e. leaving the maximum box empty will mean your search will grab all companies with revenue higher than the minimum entered) d) Tick boxes in this type of search you can tick one or many options. a 12

4.1 Key Information Under the Key Information tab you ll find a number of search items and criteria that can be used to build a search. TEXT SEARCH Search company report written content for word or phrases COMPANY NAME Search for a Company Name (that is registered/is trading) TRADING NAME Search for a company by its Trading Name PREVIOUS NAME Search for a company by its Previous Name ACN Search for a company by its ACN 14

ABN Search for a company by its ABN DUNS Search for a company by its DUNS (Dun & Bradstreet Unique Number System) COMPANY TYPE Search for public or private companies (or both) STOCK TYPE Search for companies by the Stock Code as shown on the ASX page (e.g. BHP) LINE OF BUSINESS Search for companies by keying in their Lines of Business (e.g. Tourism) REVENUE Search for companies by keying in the minimum or maximum revenue (in $000 s). Exclude companies where only group revenue figures are available* EMPLOYEES Search for companies by keying in their minimum and maximum number of employees. Exclude companies where only group employee figures are available* STATE OF REGISTRATION Search for companies by their State(s) of Registration FISCAL YEAR END Search for companies by the Fiscal Year End (by month) ASIC STATUS Search for companies by their Status (e.g. Active, De-Registered, External Administration, Winding Up Managed Investment Schemes) ASIC TYPE Search by the ASIC Type (e.g. Australian Public Company, Australian Private Company, Australian Proprietary Company etc) ASIC CLASS Search for companies by ASIC class (e.g. Limited Liability, Limited by Guarantee, Limited by Shares and Guarantee, and Unlimited Companies etc) 15

ASIC SUB CLASS Search for companies by their ASIC Sub Class (e.g. those that are listed on the Australian Stock Exchange (ASX), Unlisted Public Company, Proprietary Company etc): *(Group figures are used when available and where individual figures are not) TEXT SEARCH Search the written content of Company360 reports for key terms or phrases. Separate each key word with a space and select from the Contains All, Contains Any or Exact Phrase radio buttons. 16

This search field can also be used for wildcard searching, simply enter * at the end of a partial word to bring back more results. E.g. By entering Aus* all words starting with Aus followed by anything will be returned. 4.2 Location This field enables you to search for companies by state, postcode, postcode range, address type and location type. STATE Select the states in which you wish to search. STREET NAME Search street name using predictive text. POSTCODE RANGE Type in a postcode range (e.g. 3000-3207 for metropolitan Melbourne, 2000-2234 for metropolitan Sydney). POSTCODE Choose a postcode ADDRESS TYPE Select primary or postal. 4.3 Industries The Industries tab enables users to search by industry name, SIC code or by whether the company is involved in importing and/or exporting. INDUSTRY NAME 17

This search field uses predictive text (as shown in the illustration below) and allows you to make multiple selections by separating the individual search terms with a semi colon. Once you have made a selection, simply return to the text box and start typing again; this will trigger the predictive text function again and you can make another selection. INDUSTRY SEARCH This search option uses SIC codes. When using this option, first select whether you want to find companies by their primary or secondary SIC code classification (i.e. the company s main area of business or secondary area of business). Alternatively, selecting any means you are seeking companies that run any activities, no matter how major or minor, that classify under the code. Once you have done this you can either click against the entire industry (e.g. B-Mining) or break down the industry by clicking on the expand/plus sign next to it. All industries can be expanded to reveal four-digit SIC codes. Note: if you would like to further information regarding SIC codes, contact your account manager for a SIC code booklet. 18

IMPORT/EXPORT This search function allows you to search companies according to whether they import, export, do both or neither. Simply make your selection from the drop-down box. 4.4 People This section enables you to search for Executives/Directors by using a number of search criteria: 19

COURTESY TITLE Search for a contact by their Courtesy Title (e.g. Mr/Mrs/Ms, Dr, Councillor) PERSON NAME Search for a contact by their name JOB TITLE Search for a contact by their Job Title (e.g. Marketing Manager, Human Resources, Information Technology) RESPONSIBILITIES Responsibilities can be selected from a drop-down box of job titles. Note: this is the recommended search feature for selecting people as a person s job title may not indicate what their responsibilities are as it is possible for a person to have many responsibilities e.g. sales and marketing. EMPLOYEE TYPE Search for contacts by their title Director, Partner and/or Personnel DATE OF BIRTH (DOB) Search for contacts by their DOB 4.5 Professional Services This enables you to search for the professional services utilised by companies, including solicitors, auditors and banks. 4.6 Finance The Finance tab enables you to search for companies using a number of financial parameters, all of which are listed under the three standard financial reporting statements: Profit & Loss; Balance Sheet; and Cash Flow. A wide range of ratios can also be searched in this section. 20

Once you have selected your parameters, simply enter a minimum, a maximum or both into your search. Remember all minimums and maximums entered will have three zeros added to them. For example, a company search specifying a minimum revenue figure of 10,000 and a maximum revenue figure of 20,000 will search for companies with revenue between $10,000,000 and $20,000,000. A search that specifies minimum revenue of 50,000 (i.e. $50 million) will search for all companies with revenue greater than $50 million. PROFIT & LOSS STATEMENT The Profit & Loss Statement can be used to conduct searches using more than 40 financial measurements such as Revenue from continuing operations, Income tax expense, EBITDA or Salary and wages. Simply select your search item from the drop-down box. 21

BALANCE SHEET The Balance Sheet provides over 50 search items including Cash and cash equivalents, Assets held for sale, Overdrafts, Loans (secured) and Loans (unsecured). Simply select a search item from the drop-down box. CASH FLOW STATEMENT Like Profit & Loss and Balance Sheet, the Cash Flow Statement offers a number of search items including Receipts from customers, Interest paid, Tax paid and Interest received. Once again, all items are organised in a drop-down box. 22

RATIOS The Ratios section allows you to search over 20 ratios including Return on equity, Current ratio, Quick ratio and Net profit margin, to name a few. Simply make a selection from the drop-down box. 4.7 Family Tree The Family Tree search allows you to search for companies via their ownership structure. This includes parameters such as the position of the company within the family tree and/or the parent company location. ENTITY TYPE Search companies by position within their own family tree. Select any combination of Single entities companies without a parent or subsidiaries; Ultimate parents have subsidiaries, but no parent; Subsidiaries have parent, but no subsidiaries of their own; and Companies with both parents and subsidiaries. 23

PARENT COUNTRY Search companies by any number of Parent Country locations. By using this feature only subsidiary companies will be returned. A parent company is defined as owning more than 50% of its subsidiary. EXPRESS DOWNLOAD Company360 includes an Express Download feature, which provides the option to bypass the search results screen if you are satisfied with your search criteria and do not wish to refine further prior to downloading a company or mailing list or peer analysis. Simply finalise your search criteria (noting the number of identified records (A), select your preferred download method (B), and click the Download button (C). Alternatively, if you would like to view your search results prior to downloading, simply hit the Search button, which will take you to the Search Results page where you can refine your results. 24

4.8 Saving a Search In the Advanced Search page it is possible for you to save your searches to avoid having to rebuild them. In order to save a search, perform the following steps: 1) Once you have built a search simply click the Save button. 2) Give your search a name and description and hit Save. 3) To retrieve your search you have two options, simply click on the Saved searches tab from the Dashboard. 25

Or, alternatively you can select Load saved search from the Advanced search menu. 4) Then select your search and press Open. 26

SEARCH EXAMPLE To search for mining companies in Western Australia with more than $50M revenue using Advanced Search: 1) Under Industries Industry Search tick against B - Mining 2) Tick WA under Location State. 3) Under Key Information Revenue enter Min 50000 ($50m) 4) Press Search 5) Companies are displayed on the results page. 6) In order to change the display, click onto Change Columns and select from the drop-down boxes. 27

For example, you might change Column 3 from Location to Postcode and Column 4 from Duns to EBITDA. Note: this will only change the columns in the results page. If you would like to obtain a company s/companies complete information, this can be gained by downloading a Company List (See Downloads section). Your search results will now have new adjacent columns, with Post Code and EBITDA replacing Location and DUNS, respectively. 7) To find out more about a company simply click on it. This will display the company s profile page. 28

5. Company Profile The Company Profile page provides a snapshot of a company and acts as a window to extract further information about it. 29

5.1 Menu Options The menu on the right-hand side of the page provides access to a range of information on the company*. Use these options to familiarise yourself with a range of information including a company s Operations, Shareholders, Family Tree and Competitors. The following is a breakdown of the different headings: * (Menu options are displayed where information is available) 360 VIEW The 360 View tab will take you back to the company profile homepage. SUMMARY The company Summary provides a succinct overview of the company, specifying what it does, where it operates and the extent of its operations. The Summary also highlights any major events or developments in the company s recent past that may have had an effect on its performance. OPERATIONS The Operations section provides further detail on the company s main lines of business, geographic footprint and current areas of interest. Divisions within the company are also examined in terms of their relationship to the wider operating entity. PEOPLE The People section provides names, titles, responsibilities and age(s) of key Directors and Personnel. FINANCIALS* Financial information is sourced directly from documents lodged with ASIC. Information contained in this section includes Income Statements, Balance Sheets, Cash Flow statements and Ratios. Users with access to financials are able to download the information into an excel document (See Downloads section for more detail). *(Requires Financial-enabled subscription, please speak with your account manager or Client Services on ) 30

SHAREHOLDERS* Contains share class summary (including total shares and unit price) and a list of major shareholders together with their percentage ownership (See Shareholders section for more detail). *(Requires Corporate Structure-enabled subscription, please speak with your account manager or Client Services on 13 23 33) FAMILY TREE* Family Trees are obtained from information lodged with ASIC. Parent companies are shown at the top of the tree with subsidiaries listed underneath. The presence of a tick next to a company signals that the company has its own page in Company360. Users with access to family trees are able to download the information into an excel document (See Family Tree section for more detail). *(Requires Corporate Structure-enabled subscription, please speak with your account manager or Client Services on 13 23 33) INDUSTRIES Industries are listed according to the Standard Industrial Classification Code (SIC). Standard Industry Classification (SIC) codes The SIC code is an industry code, devised by the US government, that classifies industries by a four-digit code. Many companies in Company360 have more than one SIC code. When this is the case, a gold star next to a SIC code identifies that company s primary SIC code (i.e. primary area of business). SIGNIFICANT EVENTS Significant Events includes summaries of the latest News concerning the company profile you are viewing, as well as Financial Updates covering the company s latest financial results. COMPETITORS The Competitors list is ordered so that a company s primary competitor (not necessarily the biggest company in that particular industry) is positioned at the top, with other lesser competitors and affiliated entities listed underneath. When a particular company has only a few direct competitors, the competitors list might include companies operating in a similar field or companies operating in that field but in another geographical location. PROFESSIONAL SERVICES The Professional Services section lists the main professional services utilised by a company, i.e. banks, solicitors and auditors. 31

6. Downloads Company360 enables you to download a range of information including mailing lists, company lists, company reports, company financials, shareholders, family trees and peer analysis. 6.1 Mailing List A company Mailing List provides you with company contact information and contact details for a range of people within the company (the responsibilities of the contact person can be specified). To download a company mailing list undertake the following steps: On the Search Results page select the companies you are interested in. 32

From the View results as drop-down box select Download Mailing List and press Submit. The following Download Mailing List page will be displayed: 1) Ensure the list of responsibilities is sorted to suit your needs. For example, if you would prefer to contact Human Resources over the Chairperson, select and drag the Human Resources responsibility to the top of the list. Depending on your requirements, either Select All responsibilities to receive a contact for every company on your list; or select only the specific responsibilities you wish to contact (which will exclude companies that do not have someone in the selected roles). 2) Select the mailing list type. This can be: 33

One Contact Per Company: Choose this for company-based mailing lists. This will provide one contact for each company in your selection and will choose the most senior person available from the order of responsibilities in Step 1. One Company per Person: Choose this for people-based mailing lists. If a person has cross-directorships across more than one company in your selection, the mailing list will include the contact information of the largest company they work for in your selection (by revenue and employee size) Full Mailing List with all available contacts and companies: Choose this if you wish to complete further analysis before creating your mailing list. This will provide all available (selected) personnel for all selected companies 34

3) Select mailing list fields: Simply select the output fields you wish to include in your mailing list, select the download format you would prefer from the given drop-down box and hit Generate Report*. The mailing list will appear in the selected format. It can be used for mailing/telemarketing lists, and/or merging them into your own database for Customer Relationship Management (CRM) purposes. *Please note if any items are selected from the Premium fields, you will be charged at the Premium fields rate. 35

6.2 Company List The Company List download function enables you to download basic information about a company or companies into a PDF or an Excel format. To download a company list take the following steps: 1) 2) Select the companies you are interested in from the Search Results page. From the View Results As drop-down box at the bottom of the page, select Download Company List and press Go. 3) The Download Company List page is displayed. 4) Tick against the parameters in which you are interested (see below), and click Generate Report. 36

5) You will be taken to the Download mailing list screen. Press Download Report. 6.3 Company Report A Company Report provides a comprehensive overview of a company and its operations. The report contains a wide array of information including contact details, company summary, operations overview, competitor list and full financials. To download a company report (in PDF format), take the following steps: 1) From the Search Results page select a single company 2) Select Download Company Report from the View Results As drop-down box and press Submit. The Report Builder page is displayed. Make your selections and hit Generate Report. 37

Alternatively, a Company report can be downloaded from the Company Profile page. Click on the Download option in the top right corner, adjacent to the Company report heading. 3) You will be taken to the Report Builder page where you will be able to specify what elements you want to leave in or out of your report. 38

6.4 Company Financials There are two ways in which a company s financials can be downloaded both are outlined below*. Note: you can only download one company s financials at a time. The first way to download a company s financials is to select them from the search results screen. To do this: 1) Select a company from the Search Results page. 2) From the View Results As drop-down box, select Download Company Financials and click Submit. 3) On the Download Company Financials page, select the Financial Statements you wish to download, and click Generate Report. *(Requires Financial-enabled subscription, please speak with your account manager or Client Services on ) 39

Alternatively, you can access a company s financials from the Company Profile page. Simply click on Financials in the right-hand menu. This will take you to the Company Financials page. From here, click on the Download link in the top right-hand corner of the page. 6.5 Shareholders The Shareholders summary is different for private and public companies*. For privately-owned companies, the corporate structure contains share class summary (including class code, total shares and unit price) and a list of major shareholders together with their ownership percentage. *(Requires Corporate Structure-enabled subscription, please speak with your account manager or Client Services on 13 23 33) 40

For publicly-owned companies, the corporate structure includes controlled entities (including % shares held), a list of substantial shareholders (including total shares held and % shares held) and a list of the top 20 shareholders (including total shares held and % shares held). 41

6.6 Family Tree Family Trees are obtained from information lodged with ASIC*. Company360 identifies the highest Australian-owned (or one level outside Australia) majority parent in your selected company s Family Tree, then displays that ultimate parent s full family tree. The ultimate parent company is shown at the top of the tree, with subsidiaries listed underneath. You have the option to display and download trees with either majority shareholdings only, or to include minority shareholdings as well. The presence of a tick next to a company indicates the company has its own page in Company360. Users with access to family trees are able to download the information into an excel document. To download a company s family tree take the following steps: Select a company from the Search Results page. 43

From the View Results As drop-down box select Download Company Shareholders and Family Tree and click Submit. *(Requires Corporate Structure-enabled subscription, please speak with your account manager or Client Services on 13 23 33) You will be asked to specify whether you would like to select Majority Shareholders or All Shareholders. Select the appropriate one (e.g. All Shareholders), click Generate Report and on the subsequent page select Download Report*. *(If there is one company in the family tree zero credits will be deducted). Alternatively, you can access a company s Family Tree from the Company Profile page. Simply click on Family Tree in the right-hand menu. This will take you to the Family Tree page. From here, click on the Download link in the top right-hand corner of the page. 44

6.7 Peer Analysis The Peer Analysis function allows you to benchmark or compare a chosen target company against its peers (or companies of your choice) using multiple financial parameters*. The competitors can be companies with the same Standard Industry Classification (SIC) codes, companies on your Watch List (see Watch List section for more information), or companies returned as the result of a search. 6.71 SEARCH RESULT PAGE To conduct Peer Analysis on companies returned from a search, simply tick the companies you wish to compare and from the View Results As toolbar, select Peer Analysis then press Submit. 6.72 PEER ANALYSIS ON COMPETITORS To perform a Peer Analysis on a company s competitors, simply go to the target company s C360 View, from there select the Competitors page and from the drop-down list on the top-right, select Peer Analysis. 45

6. 73 PEER ANALYSIS UNDER SIC GROUP To conduct Peer Analysis for a company against other companies with the same SIC code: 1) Tick a company on the results page 2) From the View Results As toolbar select Peer Analysis and click Submit. 3) The Peer Analysis page will be displayed. 4) Select your company in the Target Company toolbar and select SIC Group in the Peer Group toolbar. 46

By expanding the different sets you can make your comparison as specific as you like. More than one item can be chosen by holding down the control key. Once you have selected the items that you want to compare, hit the > sign between the two boxes, or simply drag the items or folder into the right-hand Variables to compare box. 6.74 PEER ANALYSIS BASED ON WATCH LIST Comparing companies to those contained in your Watch List is an easy way to compare one company against a selection of companies of your choice, i.e. not simply competitors in the SIC group. To compare a company to its competitors contained in your Watch List, perform the following steps: 1) Perform a search and place a tick next to a company. 2) From the View Results As drop-down box select Peer Analysis and click Submit. This will take you to the Peer Analysis page. 47

3) Under the Target Company toolbar select your target company and under the Peer Group toolbar select Watch List. 4) In the Variable options box select the elements that you wish to compare between your target company and your Watch List companies. By expanding the different sets you can make your comparison as specific as you like. More than one item can be chosen by holding down the control key. Once you have selected the items that you want to compare, hit the > sign between the two boxes, or simply drag the items to the right-hand Variables to compare box. Peer Analysis Example To compare some of the Profitability ratios of Toll Holdings Limited against companies on your Watch List: 1) Click the cross on the left hand side of Profitability ratios. 2) While holding down the control key, select as many items as you wish. For Example, choose Return on equity, Return on total assets, EBIDTA margin, and EBIT margin. Once selected, click the > sign, which will move your selected items to the right hand column, or simply drag the highlighted items across yourself. 3) Select the Average parameter. 48

7. News The News page allows you to read thousands of news items and Financial Updates covering Australia s top 50,000 companies. Updated daily, the News page provides a central hub from which you can access the latest company information available, including major news events and coverage of new financial statements. 7.1 News Page The News page is accessible from your Dashboard view, which preferences News items relative to companies on your Watch List or, if your Watch List is empty, the most recently published corporate news. Click the arrow on the right hand side to see all news items. You can also access News from anywhere on the Company360 website by clicking News at the top of your screen. 50

Once selected, the News page will load 5) Select a date range (A) and/or type of news to display: News or Financial Updates (B). 6) Choose whether to display only News for companies in your Watch List (C). 7) Search News stories selected by a free text search of Keywords (D). 7.2 News from the Search Results page You can also display news items based on companies returned from a search. Having completed a Quick Search or Advanced Search, simply tick the companies you wish to view news for and from the View Results As toolbar, select Display News, then press Submit. 51

8. Watch List If you want to keep a close-eye on a company, add it to your Watch List. 8.1 Adding companies to your Watch List 1) To enter a company to your Watch List you must first enter its company profile page (this is done by simply searching for the company and clicking on it). 2) Then, once on the company profile page, simply click on the Add to My companies link in the top right of the page, next to the Download heading. 3) To access your saved list of companies at any time simply click on My companies in the heading bar. 52

8.2 Alerts To receive email alerts covering Financials, People or Significant Events for any company on your My companies list, simply do the following: Click on the Manage link next to the company you want to receive alerts for. Select the On/Off radio button option to change the alert status to On. Select the alert criteria you wish to receive. Click Save. 53
